SETTLEMENT OFFER OF MICHAEL WOZNIAK ACCEPTED

The Commission announced the entry of an Order Instituting Public Administrative Proceedings, Making Findings and Imposing Remedial Sanctions against Michael D. Wozniak (Wozniak) and accepting Wozniak's Offer of Settlement.

The Order contains findings that on October 29. 1993. an Order of Permanent Injunctionwas entered by the United States District Court for the Northern District of Illinois which permanently enjoined Wozniak from future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 promulgatedthereunder. The Order also contains findings that Wozniak willfully violated the above-mentioned federal securities laws. Wozniak consented to the issuance of the Order without admitting or denying the Commission's findings. except for the entryof an Order of Permanent Injunction, which was admitted. In its civil complaint. the Commission alleged that from at least August 1991 to July 20, 1992 Wozniak engagedin activities in which he raised at least $640,000 from 19 investors and made material. false and misleading statements and failed to disclose material facts to these investors regarding. among other things. the use of their funds and the risks of the investments.

The Commission's Order bars Wozniak from association with any broker, dealer,investment company, investment adviser or municipal securities dealer. (IA-1397)

THEODORE HOFMANN, CPA, SETTLES CIVIL INJUNCTIVE ACTION AND IS BARRED IN ADMINISTRATIVE PROCEEDINGS

The Commission announced the entry of a Final Judgment of Permanent Injunctive and Other Relief (Final Judgment) against Theodore Hofmann, CPA (Hofmann), a California resident, in SEC v. The Software Toolworks. et al., C-93-3581 (PHS) (N.D. Ca. Sept.30, 1993). The complaint alleges that Hofmann was the corporate controller of The Software Toolworks, Inc. (Toolworks), and that he, along with other Toolworks officials, knowingly or recklessly provided false financial information that was included in Toolworks' June 1990 Form 10-Q. The complaint further alleges that Hofmann and others traded Too1works' stock while in possession of material nonpublicinformation regarding Too1works' financial condition. Hofmann consented to the Final Judgment, which enjoins him from further violations of the antifraud and reportingprovisions of the federal securities laws, and which orders him to disgorge an amount equal to the 10sse. he avoided by hi. illegal trade.. Also issued was an Opinion and Order Pursuant To Rule 2(e) of the Commission's Rules and Practice (Order) making findings and imposing remedial sanctions against Hofmann. Hofmann consented to the Order and submittee an Offer of Settlement vithout admittingor denying any findings, except the finding that the Final Judgment vas entered against him. Hofmann also consented to the imposition of a bar against appearing or practicing before the Commission, with the right to reapply to the Commission after three years to be permitted to resume appearing or practicing before the Commission. DEFAULT JUDGMENT ENTERED AGAINST MICHAEL SCOTT LANGHEINRICH

The Commission announced that on December 21, 1993 the Honorable Aldon J. Anderson, Senior U.S. District Judge for the District of Utah, entered an order for default judgment of permanent injunction against Michael Scott Langheinrich of Salt Lake City, Utah.

The Commission'S September 27, 1993 complaint alleges violations of Section 17(a) of the Securities Act of 1933, as amended, and Section lOeb) of the Securities ExchangeAct of 1934, as amended, and Rule lOb-5 promulgated thereunder.

Further, the Commission's complaint alleged that in February 1992 Langheinrichtelephoned a Salt Lake City broker-dealer and mislead it into believing he vas his brother, vho maintained an account at this broker-dealer. Langheinrich placed an order to sell all stock in his brother'S account and requested that the proceeds be forwarded to his brother'S address at a time when his brother was out of town. TERENCE ZAWACKI SENTENCED

The Commission announced that on September 21, 1993 the U. S. Attorney for the Northern District of Ohio accepted a guilty plea from Terence W. Zawacki (Zawacki) in response to an lS-count information previously filed against him. Zawacki wa. the president of First Ohio Securities Company (FOSC), a now defunct broker-dealer previouslyregistered with the Commission. He pled guilty to, among other things, violationa of Section lOeb) of the Securities !schange Act of 1934, and Rule 10b-5 promulgatedthereunder, in connection with his involvement in the unlawful conversion of funda from customers of FOSC. Zawacki was sentenced to 33 months imprisonment, three yeara probation, and ordered to pay restitution of approximately $3 million and to perform 3,000 hours of community service.

On December 4, 1992, the Commission filed a complaint charging Zawacki with violationa of the federal securities laws based on the same conduct underlying the criminal information. Thereafter, on June 10, 1993, the Commission obtained an Order of Permanent Injunction against Zawacki, pursuant to his consent and without him admitting or denying the allegations of the Commission's complaint. NEVADA MANHATTAN HINING SALESPERSON ENJOINED

The Commission announced that on December 22, 1993 a judgment of permanent injunction was entered against Freya Sortomme Kovarik (Kovarik), a former salesperson for the California-based mining company, Nevada Manhattan Hining, Incorporated (NKM). The judgment provides that Kovarik is enjoined from future violations of Sections 5(a),S(c) and 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Securities !schange Act of 1934 and Rule 10b-5 thereunder. Kovarik consented to the

entry of the injunction against her without admitting or denying the facts allegedin the Commission's complaint. The Commission filed a complaint against NMM, its officers and several of its salespersons, including Kovarik, on July 28, 1993. The Commission's complaint alleged that from the Spring of 1988 through the Summer of 1989, Kovarik, while acting as an unregistered broker, fraudulently offered and sold unregistered stock in NMH. PIC INVESTMENT TRUST, ET AL.

A notice has been issued giving interested persons until February 1, 1994 to request a hearing on an application filed by PIC Investment Trust, et al. for a conditional order under Section 6(c) of the Investment Company Act exempting applicants from Sections 2(a)(32), 2(a)(35), 22(c), and 22(d) of the Act, and Rule 22c-1 thereunder. Ell proposes to acquire a limited partnership interest for $11.5 million in a Canadian limited partnership being formed to develop, construct, own, and operate a 22.5 megawatt wood and oil fired cogeneration facility in Brooklyn, Nova Scotia, Canada. Ell proposes to secure its equity contribution to the limited partnership through an irrevocable letter of credit for $11.5 million with GPU unconditionally guaranteeing Ell's obligations. Alternatively, should the limited partnership elect to borrow $11.5 million from lending institutions to provide a portion of the construction financing, GPU proposes to guarantee unconditionally Ell'srepayment obligations.
