Studies have shown that giving makes us feel happy and is good for our health. The many volunteers at the

Community Food Bank of Southern AZ (CFBSA) are living proof of this. They contribute 195,000 hours a

year and more volunteers are needed, according to Marco Liu, Director of Family Advocacy and Outreach.

Mr Liu said “the CFBSA could not function without our volunteers. Deepening and broadening engagement

with our community is one of the top strategic priorities”. Marco lives in Catalina Vista and he served for

several years as a member and Secretary of the CVNA Board.

The needs of our community continue throughout the year, not only during the holiday season. Volunteers

perform a variety of jobs, including, greeting members, checking members in for their food box, packing

boxes, data entry, working in the gardens and many other tasks. The time

commitment can be as few as 4 hours/week or as many as five days a week.

And it’s fun and rewarding, according to Dory Martin, neighbor and board

member. Dory has enjoyed volunteering at the food bank for the past 2

years. If you want to find out more about volunteer opportunities, contact:

BANNER HOSPITAL SCHEDULE — CONTINUING HOSPITAL CONSTRUCTION

December 17, 2017: New ambulance entry opens at Cherry/Speedway.

November 20: Martin Avenue closes to through traffic at Lester Street

January 8: Construction fence is installed prior to demolition.

January 8: The historic houses at 1802 and 1812-1816 E Lester are demolished. Martin Avenue closed.

(Heavy equipment noise impact 6 am to 4 pm.)

May 8: Single level hospital entry construction begins

May 8 UA vacates buildings they now occupy

May 8: Underground parking on Campbell Avenue becomes UA parking

May-November: Elm Street light is shut down for new Road construction at this corner. Temporary

light is installed at Adams-Campbell. Elm St entry-exit is closed.

April 1, 2019: Go live - heads in beds. Hospital is open!

(Note re Banner parking lot at Edison/Norris in Catalina Vista: Banner lost parking at the Lutheran

Church and will continue to use the parking at the former movie theater after the hospital opens as

additional construction will continue. They anticipate parking for around 70 construction workers

and 80 nurses.)

POT HOLES, STREETS AND ROADS

Nick King, CVNA Board Treasurer, advised that you can report potholes to the City by downloading an

app called SeeClickFix— seeclickfix.com

When Nick reported a pot hole near his house on Sierra Vista, the City came and filled it very quickly.

Meantime, Dave Sunderman (CVNA Board) completed a neighborhood

street reconnaissance and submitted a listing of 64 potholes to the City

which has been quick begin patching. Dave is the neighborhood’s repre-

sentative on the Grant Road Citizens Task Force.

Grant Road is being widened with funds from the Regional Transportation

Authority (RTA). The design phase is underway for phases 3-4, Alvernon

to Swan, where potholing will be happening through November 22. This

means intermittent lane closures and temporary traffic shifts along that

area of Grant Road. Detailed information about the design/construction of

Grant Road are available online at http://www.grantroad.info/schedule-

Meantime, the neighborhood is still on the “hope” list for street paving. The

Bond Oversight Commission is responsible for the major decision-making regarding street selection based

on road conditions and funding possibilities. The Commission made its final decisions regarding the use of

the Prop 409 funding. While Catalina Vista was not selected with 409 funds, Proposition 101 project fund-

ing decisions are up next. We remain on the list, so keep your fingers crossed Catalina Vista is selected in

the next round.

Catalina Vista Neighborhood Association—Annual Neighborhood Meeting Minutes November 26, 2016

Call to Order: President Alison Hughes called the meeting to order at 7:10 pm.

Welcome of New Neighbors--Neighbors who have moved to Catalina Vista during the past year stood and intro-

duced themselves.

Special Guests—Alison Hughes introduced special guests including a representative from Tucson Police Department

and Banner Hospital.

Minutes—Marco Liu, 2015 CVNA Secretary, prepared meeting minutes for the 2015 annual meeting which Alison

Hughes provided by email to CVNA members. Betty Jo Drachman made a motion to approve the minutes, David

Sunderman seconded. Colette Altaffer asked that the minutes be amended to reflect a vote to increase dues to

$20. That motion passed. Motion passed. Minutes were approved with the requested revision.

Bylaws: A Bylaws committee was formed in 2016 to update the Bylaws. A copy of the revisions was provided on each

table for review. Sandy Heiman made a motion that the Bylaws be approved, Dale Keyes seconded. During discus-

sion Colette Altaffer said she was concerned about the changes that were provided to the members only a few

hours prior. It was not provided at least one week prior. Based on this, the motion was withdrawn. Alison Hughes

asked for a volunteer to usher the bylaw revisions through. Sara Wisdom said she would chair a committee .

Nominations for Board: The following CV residents were nominated for the neighborhood association board: Ellen

Adelstein, Anne Barrett, Janet Fischer, Debra Huffman, Alison Hughes, Alison Jones, Nick King, Margaret Kish,

Dory Martin, Dan Schnoll, wade Schultz, David Sunderman, Sara Wisdom, and Bill Young. A call was made for

nominations from the floor. Kelly Button was nominated by Marco Liu and Layton Rockafellow was nominated by

Wade Schultz. These nominations were seconded by members. Voting proceeded. The initial slate was voted in

plus Mr. Rockafellow. Motion passed.

Steve Kozachik thanked Alison Hughes for her work as CVNA President. He provided an update on City business

including a proposed City charter revision. In May 2017, voters will be asked to vote on a 0.5 cent sales tax in-

crease. If approved it will add $50 million to revenues that can be used for road repair and public safety (i.e. vehi-

cles). Kozachik says he supports using the funds, primarily for residential streets, and new vehicles where needed.

He said the ballot verbiage has not been finalized.

President’s Annual Report--CVNA President Alison Hughes gave a Power Point presentation describing significant

developments affecting the neighborhood in 2016. She recognized the Arizona Inn for hosting our monthly Board

meeting, and also Council Member Steve Kozachik for being of valuable assistance to the neighborhood many times

during the year. She reported on the following activities: Neighborhood picnic in Tahoe Park, which was a great

success; New ramada that was constructed in Tahoe Park using the Kramer house tiles and materials noting the

neighborhood has donated $46,980 to the project to date; the neighborhood cleanup in March with the assistance

of UA Mortar Board students; opening up access at Campbell and Elm by creating an opening in the wall; and the

historic neighborhood signs constructed by Banner at Campbell/Elm and Elm/Kramer.

Tucson Police Department: A representative documented crimes and crime statistics in the neighborhood. and

urged residents to keep their cars locked and keep anything of value in the cars hidden.

Island Cleanup—Neighborhood volunteers provide a great service by keeping the islands clean and free of weeks.

Feral Cats—CV residents may notice feral cats in the neighborhood. Those that have been neutered have a notched

ear. They are caught and released. Over time it is hoped this will reduce the feral cat population.

Neighborhood Watch—Dan Schnoll has started a neighborhood watch.

Steve Brigham from Banner announced that two dead dogs had been found in the northwest corner

of the parking garage behind Bookmans. The landscaper thought they had been shot.

Wildlife: Our neighborhood has hawks, owls, javelina and bobcats.

Potholes continue to be an issue but they are being addressed.

Problem backyards: there are backyards with green pools or that are very overgrown. CVNA contin-

ues to monitor these and get them addressed, but there is not a lot we can do.

Casa Seton is currently under construction.

Art Wall—as part of the Grant Road widening, CV is hoping to get an “art wall” installed along Grant,

similar to the wall along Campbell.

Banner Hospital has significant construction projects underway. A new portion of the hospital will

open in April 2019.

Banner paid for new neighborhood signs at Kramer/Elm and Campbell/Elm

Tucson Blvd. is being re-paved.

Bookmans is leaving for a new location.

Designation of historic homes: neighbors can go to https://www.tucsonaz.gov/preservation/national-

register-historic-districts to see how to get historic designation and tax relief for qualifying homes.

Communication: we have a listserv for the neighborhood. Residents should contact a board member

to get on the list. Also, neighbors may find NextDoor, a neighborhood social networking site

helpful. Many CV residents are members of NextDoor.

A UA Mirror Lab tour is being led by Gerry Geise on December 2. It is very interesting and highly-

recommended.

The Arizona Daily Star wrote an interesting article about our neighborhood in their November 27

edition.

Alison thanked outgoing CVNA board members including Jan Hastreiter (treasurer since 1986-1987),

Betty Jo Drachman, John Fendrock, Gerald Geise, and Nancy Zeldin.

Helicopters at Banner—Alison Jones and Debra Huffman spoke about the issue of helicopter ambulances

(HEMS) overflights over the neighborhood to raise neighborhood awareness. This is a safety issue of

concern. There is a memorandum of understanding (MOU) between UA, Banner, and neighborhoods

that establishes a flight corridor, but the HEMS providers continue to fly outside the corridor. Debra

Huffman is keeping a log of her observations of flights outside the corridor. Banner has set up a south

-facing camera in an attempt to document overflights during the daytime. Neighbors were asked to

sign a letter that will be sent to Banner requesting that they take action to enforce the MOU.

NOMINEES FOR CVNA BOARD 2018

Ellen Adelstein has lived in Catalina Vista for 46 years. Decades ago when she lived in the East side of town, before picking up

her children from nursery school she used to drive around this neighborhood dreaming of one day living here. The opportunity

eventually arose when she was able to purchase her home at Waverly and Norton. Professionally Ellen was public affairs director

at Channel 11 television where she also had her own talk show. She has served on the board of Catalina Vista Neighborhood As-

sociation for over 20 years, and served as president for two of those years. She also represented the board on the City’s Electric

Street Car Committee. This year she served on the Ramada Committee and chaired the Bylaws committee. Ellen currently serves

on the Grant Road Neighborhood Coalition.

Anne Barrett has lived in Tucson since 1979 and moved to Catalina Vista with her sons in 2000 and has always preferred to live

in Central Tucson. Anne has worked in the Information Technology (IT) industry her whole career, including at the UA for 13

years. She currently works out of her home for an IT company with some US travel. Anne is very interested in keeping the mo-

mentum of positive change the Board has accomplished in recent years. She wants to ensure participation and alignment with the

surrounding public and private sector investments and to continue to build historic value and quality of life in Catalina Vista. Anne

created a successful Saturday movie night for neighbors this summer as a fund raiser for the Neighborhood Association.

Kelly Button and her husband moved into Catalina Vista in March of 2014. They bought their home from a family friend and

knew the neighborhood very well. Kelly is a Tucson native and graduated from the UA with a master's in Education. She left teach-

ing and fell into real estate back in 2006 and has been working as a full time agent ever since. On her free time, she likes spending

time with family and friends, and attending various community events. She and her husband have a son who is three and a daughter

who is seven months old. She says she has enjoyed serving the neighborhood as a board member and has had the pleasure of get-

ting to know several of our neighbors over the past few years. She adds, “I'm very thankful to be a part of the Catalina Vista com-

munity.”

Pricilla Cornelio has lived in the Catalina Vista neighborhood for over thirty years with her husband Carmine. Priscilla recently

retired as director of the Pima County Department of Transportation and was previously employed at Parsons Brinckerhoff engi-

neering firm and the City of Tucson Transportation. She is familiar with many of the transportation issues facing the neighborhood

associated with poor pavement conditions and the upcoming Grant Road widening.

Janet Fischer and her family have enjoyed being a resident of Catalina Vista Neighborhood since 1978! She lives with her hus-

band, daughter and two mini-aussies. Janet is a LEED Accredited (Leadership in Energy and Environmental Design) commercial inte-

rior designer, and has run her business from her design studio located downtown in Barrio Viejo district since 2003. She has

worked with developers involved in the revitalization of downtown Tucson, Big Brothers Big Sisters, the solar industry, and is in-

terested in continuing her involvement with the central Tucson neighborhoods. Janet has represented Catalina Vista Neighbor-

hood as a committee chair on the Grant Road Coalition for the past year, working with the RTA, city Council and neighborhood

associations. One of our goals is to obtain funding to build a wall on Grant Road (similar to the wall bordering Catalina Vista on

Campbell) that will define the Catalina Vista neighborhood. She believes that it is vitally important to maintain the integrity and

property values of the neighborhoods being directly affected by the road widening projects. In her spare time, Janet enjoys walking

with her dogs, gardening, sewing and quilting.

Jo-Ann Gehrels was born and raised in the house in Catalina Vista that she currently lives in with her mom, Aleida Gehrels, after

being away for 20 years. Her parents bought the house in 1962, and have been active in the neighborhood ever since. Her dad,

Tom Gehrels, an astronomer, helped implement the no-street-light ordinance of Catalina Vista. Jo-Ann graduated from the Univer-

sity of Arizona with a Master's in Sociology and works at Banner-UMC in the Sleep and Health Research Program. She enjoys being

outdoors, biking to work and spending her weekends hiking and camping in our beautiful mountains.

Debra Huffman moved into Catalina Vista from Sam Hughes in 2000 with her husband Art Sanders and their two young sons,

purchasing one of the historic properties on Sierra Vista. They have worked consistently to preserve the designation of their

home and to care for the property and old trees that help define it. A resident of Tucson since childhood, she is committed to

Catalina Vista remaining a strong and vibrant historic neighborhood.

Alison Hughes has lived in Catalina Vista since 1975. She is a co-founder of the Catalina Vista Neighborhood Association and has

served on the board since its inception around 1986. Before retiring from the UA, Alison held joint appointments at the College

of Public Health and the College of Medicine where she headed the Center for Rural Health, and also served as Associate Director

of the Arizona Telemedicine Program. Alison has twice served twice as the CVNA Board President and is currently the Vice Presi-

dent and Catalina Vista Newsletter editor.

Nick King: “My family and I moved into Catalina Vista at the start of last year and thoroughly enjoy the space and temperament

of the neighborhood. We have lived in Tucson since 2008, when we moved here for me to complete graduate school studying car-

diac and skeletal muscle mechanics/physiology. Since graduating, I’ve worked at a locally based public/private partnership, the Criti-

cal Path Institute. We (my spouse, Kimberly, and children—Susie and Finnegan) enjoy hiking, biking, and traveling. I’m an avid cyclist

commuting to work by bike and riding most weekends—I’m the frequent spandex and cap clad person on Sierra Vista in the morn-

ing. Prior to Tucson, my wife and I lived, together, in eastern Washington and the Republic of Cape Verde. Having lived in two

other Tucson neighborhoods, this is the most welcoming and friendly location we’ve moved.” Nick is currently the CVNA Board

Treasurer.

Dory Martin has lived in Tucson since 1973 and she and her family (Joe, Jesse and Sam) moved to Catalina Vista in 1998. Dory

and Joe have always lived in central Tucson and both love the CV neighborhood. A licensed clinical social worker, Dory has a part-

time counseling practice where she counsels adults, couples and caregivers. She enjoys working out at the Tucson Racquet Club,

volunteering at the Community Food Bank, playing bridge and singing in the Tucson Women’s Chorus. Dory has been active in

promoting Neighborhood Watch and has been on the Tahoe Park Clean Up committee for several years. Dory served on the

CVNA board for a couple years in the early 2000s and rejoined the board in 2016.

Leighton Rockafellow, Jr. was born and raised in Tucson, Arizona. He returned here with his wife (then fiancé) in 2008 to at-

tend law school. Since 2011 he has been practicing law with his father at the Rockafellow Law Firm where he focuses primarily on

personal injury law. His wife, Amanda Rockafellow, owns and operates Amanda Rockafellow Photography. She is one of Tucson’s

best photographers and primarily shoots weddings. Leighton enjoys the outdoors and is an avid hiker and mountain biker. He also

regularly plays ultimate Frisbee with the local city league. Leighton and his family love to travel the world but most of the time you

will find him and Amanda chasing after their two year old son in Tahoe Park.

Dan Schnoll. Dan Schnoll has lived in Catalina Vista since 2006 with his wife, Marisa Bragoni. He is a Principal Systems Engineer

at Raytheon Missile Systems. He served as CVNA Board Vice Chair in 2015 and 2016 and as President in 2017 and enjoys being

connected with the community and helping give neighbors a voice in issues that affect Catalina Vista.

Wade Schultz and Lisa Duncan have lived in Catalina Vista since 2014. They have always lived in the central part of Tucson and

have loved Catalina Vista, whether visiting with neighbors during dog walks or just enjoying the park, it feels like home. Wade

works at Hallmark and has his entire career as a Territory Manager ranging from Tucson to North Dakota. Lisa went to school at

the University of Arizona and currently works there as an archivist in Special Collections. Wade was initially hesitant about joining

the board, but has seen the good work and positive changes being accomplished by the board and is happy to play a small role in

it. Wade also volunteers for the Juanita Street Neighborhood Watch.

Dave Sunderman has lived in Catalina Vista off and on since 1948. His parents bought a lot in Catalina Vista and had a house

built in 1948. When Dave married his wife Aggie in 1960, they bought the Catalina Visa house from Dave’s parents. They have four adult children scattered from Tucson to New York to San Diego. Dave retired as a plant manager from the materials busi-

ness (Concrete, Asphalt and rock and sand). He currently serves on the board of Catholic Community Services, the St. Thomas More Catholic Church facilities committee and is a member of The New Centurions of Tucson. In addition he is on the Grant Road Land Use Planning Process Task Force representing neighborhoods. His wish is that we can keep Catalina Vista a premiere

neighborhood to live in and raise a family. He promises to do his best to see that this happens. William (Bill) Young and his wife have lived in Catalina Vista for 34 years, and their three children have all grown up in the

neighborhood. He a long time Catalina Vista Neighborhood Association board member and is the CVNA representative for the

Campus Community Relations Committee.

ARTICLE I. THE ASSOCIATION

(Note: Sections in red are replaced with the wording that immediately follows.)

Section 1.1 Organization. The Catalina Vista Neighborhood Association (hereinafter referred to as the

“Association”) is a nonprofit, nonstock membership corporation established pursuant to

Arizona Revised Statutes, Title 10, Chapter 5.

Section 1.2 Area of Interest. The area of interest and operation of the Association shall be that area

within the following boundaries: Grant Road on the north, Tucson Boulevard on the east,

Elm Street on the south, and Campbell Avenue on the west.

Section 1.3 Purposes. The purposes for which the Association is established are:

A. To provide for the maintenance and preservation of the Association’s Area of Interest

(hereinafter referred to as the “Area”).

B. To ensure that any development be compatible with the residential

qualities and character of the Area.

C. To encourage vehicular and pedestrian safety in the Area, and discourage vehicular traf-

fic disruption and penetration of the Area.

D. To seek to renew existing Deed Restrictions and to consider proposing amendments

that would be compatible with the character and quality of the neighborhood as may be re-

quired by law.

E. To prepare and seek adoption by the City of Tucson of a neighborhood plan for the Area. To periodically review the Blenman-Vista Neighborhood Plan and work

with the City and Blenman-Elm to adopt recommended revisions.

F. To promote the health, safety and welfare of the residents of the Area, and do all things

necessary, proper, incident and convenient to carry out these purposes.

ARTICLE II. MEMBERSHIP

Section 2.1 Eligibility: Membership in the Association is open to any adult owner of real property

within the Area set forth in Section 1.2. Non-resident owners may allow a tenant to be-

come a member upon written notification to the Association. No more than one member-

ship shall be available for any one street address or owner.

Section 2.2 Evidence of Membership. Association membership and all the rights and privileges atten-

dant thereto shall be evidenced by possession of a receipt from the Association for the an-

nual dues. This procedure will be periodically updated to adhere to current prac-

tices.

Section 2.3 Dues. The Association dues shall be ten dollars ($10) which shall be effective until the first an-

nual meeting of the Association membership. Thereafter the annual dues will be established

by the Board of Directors and ratified by a majority of members present and voting at the an-

nual meeting. Annual dues established at the annual meetings become due and owing at that

time and written mail notice of the dues shall be provided to all members as soon as possible

following the annual meeting. Failure to pay dues within 90 days of the annual meeting shall

result in the loss of all rights and privileges of Association membership; membership in the As-

sociation may be reestablished at any time by payment of current annual dues. (Statement in

red is replaced with the following paragraph.)

Dues. The Association annual dues shall be established by the Board of Directors and ratified

by a majority of the members present and voting at the annual meeting. Annual dues estab-

lished at the annual meeting become due and owing at that time.

Section 2.4 Non-Discrimination. The Association does not discriminate against any person on the basis of

race, color, national origin, familial status, age, disability, gender or religion with respect to

participation in its programs, services, and activities.

ARTICLE III. MEMBERSHIP MEETINGS

Section 3.1 Annual Meeting. The annual meeting of the Association membership shall be held in the first

week in November of each year, beginning with the year 1985, at such time and at such place

within the City of Tucson, Arizona, as is specified in the notice of the meeting for the purpose

of electing directors, passing upon reports for the previous year and transacting such other

business as may come before the meeting. Failure to hold the annual meeting at the desig-

nated time shall not work a forfeiture of dissolution of the Association and in the event of

such failure, the annual meeting shall be held within a reasonable time thereafter.

Section 3.2 Special Meetings. Special meetings of the membership may be called by the president, a major-

ity of the Board of Directors or by the president upon receipt of a petition signed by ten per-

cent (10%) of the Association members, and it shall thereupon be the duty of the secretary to

cause notice of such meeting, including the purpose for which it is to be held, to be given in

the manner provided in Section 3.3. The president shall fix the time and place for holding the

meeting.

Section 3.3 Notice of Meetings. Written mail notice of the time, place, and agenda of all meetings shall be

forwarded to each member not less than 10 nor more than 50 days before a meeting.

Section 3.4 Quorum. A quorum must be present at any meeting in order to conduct business. A quorum

shall consist of ten percent (10%) twenty percent (20%) of the current membership, or fif-

teen (15) thirty (30) members, whichever is higher.

Section 4.2 Election and Tenure. Directors shall meet the membership requirements of the Association

and shall be elected at the annual meeting for a term of one (1) year. Directors my serve

successive terms without limitation. The Board of Directors shall nominate candidates for the

Board prior to the annual meeting and names of those candidates shall be provided to the As-

sociation members in the written, mailed notice of the annual meeting. In making its nomina-

tions, the board shall attempt to obtain broad geographical representation within the Associa-

tion’s area of interest. Further, the Board shall include as a candidate in its mailing notice any

member who presents a signed petition, with ten (10) members’ signatures, in a timely fashion.

Candidates may also be nominated from the floor at the annual meeting.

Section 4.3 Vacancies. A vacancy on the board of directors shall exist in the event of the death of any di-

rector; upon receipt of a letter of resignation from any director; in the event of any director

who no longer qualifies as an Association member, either because the director no longer

meets membership criteria specified in Section 2.1; or in the event any director has three (3)

consecutive unexcused absences from meetings of the board.

Section 4.4 Annual Meeting of the Board of Directors. The first meeting of the year of the Board of

Directors shall be held following, but not later than sixty (60) days, after the annual meeting

of the Association membership, at such time and at such place within the City of Tucson, Ari-

zona, as is specified in the notice of the meeting for the purpose of electing officers, passing

upon reports for the previous year and transacting such other business as may come before

the meeting.

Section 4.5 Regular Meetings. Regular meetings of the board of directors shall be held from time to time

as determined by the board as necessary, but not less often than quarterly.

Section 4.6 Special Meetings. Special meetings of the Board of Directors may be called by the presi-

dent or by a majority of the directors, and it shall thereupon be the duty of the secretary or

the president to cause notice of such meeting to be given as provided in Section 4.7. The

president shall fix the time and place for holding the meeting.

Section 4.7 Notice of Director’s Meetings. Written Notice of the time and place of each annual or regu-

lar meeting shall be given to each director at least ten (10) days forty eight (48) hours

before such meeting, either personally or by mail, by the secretary or by the president or at

the direction of either of them. Written Notice of the time, place and purposes of any spe-

cial meeting of the Board shall be given not less than forty-eight (48) twenty-four (24)

hours previous thereto either personally or by electronic mail, by or at the direction of the

secretary or president.

Section 4.8 Quorum. A majority of the then members of the Board of Directors shall constitute a quo-

rum, provided that if less than such majority of the directors is present at said meeting, a ma-

jority of the directors present may adjourn the meeting from time to time; and provided, fur-

ther, that the secretary shall notify any absent directors of the time and place of such ad-

journed meeting.

Section 4.9 Action Without Meeting. To address time sensitive or urgent matters, unless other-

wise restricted by these Bylaws, any action required or permitted to be taken at

any meeting of the Board of Directors or of any committee thereof may be

taken without a meeting. All of the directors must register consent. A tran-

scribed record of the action taken shall be voted into the Board of Directors‘ re-

cord of proceedings at the next regularly scheduled board meeting. Unless other-

wise restricted by these bylaws, any action required or permitted to be taken at any meeting

of the Board of Directors or of any committee thereof may be taken without a meeting, if all

members of the board or committee, as the case may be, consent thereto in writing; the

written consents to be filed with the minutes of proceedings of the board or committee.

Section 4.10 Interest of Directors. No director of the Association shall have any right, title, or interest in

or to any property or assets of the Association.

Section 4.11 Liability of Directors for Debts. The private property of the directors shall be exempt from

execution or other liability for any debts of the Association and no director shall be liable or

responsible for any debts or liabilities of the Association.

Section 4.12 Limitation on Board of Directors. The Board of Directors is not authorized to amend deed

restrictions. Further, the board is not authorized to adopt or approve a neighborhood plan

without approval of the majority of the members of the Association.

ARTICLE V. OFFICERS

Section 5.1 Officers. The officers of the Association shall be a president, vice-president, secretary and

treasurer, and such other officers as the Board of Directors shall appoint.

Section 5.2 Election. The Board of Directors shall elect all officers of the corporation for terms of one (

1) year, or until their successors are elected and qualified.

Section 5.3 Vacancies. A vacancy in any office because of the death, resignation, disqualification or other-

wise shall may be filled by the Board of Directors.

Section 5.4 President. Subject to the control of the Board of Directors, the president shall have general

supervision, direction and control of the business and affairs of the Association. He or she

shall preside at all meetings of the membership, the directors and the executive committee,

and shall have such other powers and duties as may be prescribed from time to time by the

board of directors.

CVNA Board Recommends removal of the following underlined paragraph: The president will

be a proper officer to sign on behalf of the Association any deed, bill of sale, assignment, evi-

dence of indebtedness, application, consent, agreement, contract, or other instrument, except

in such case where the signing and execution thereof shall be expressly delegated by the Board

of Directors or by these Bylaws to some other officer or agent of the corporation.

Section 5.5 Vice President. In the absence or disability of the president, the vice president shall perform

all the duties of the president, and in so acting shall have all the powers of the president. The

vice president shall have such other powers and perform such other duties as may be pre-

scribed from time to time by the Board of Directors.

Section 5.6 Secretary. The secretary shall keep a full and complete record of the proceedings of the

Board of Directors and any standing committee(s), shall keep the seal of the Association and

affix the same to such papers and instruments as may be required in the regular course of

business, shall make service of such notices as may be necessary or proper, shall see that all

notices are given in accordance with the Bylaws, shall supervise the keeping of all the books

and records on the Association except the books of account, and shall discharge such other

duties as pertain to the office or as prescribed by the Board of Directors.

Section 5.7 Treasurer. The treasurer shall have care and custody of all funds, money and property of the Association, except as otherwise provided herein or in a resolution of the board of directors; shall supervise the keeping of regular books of account; shall render financial statements to t

he president, directors and members at proper times; shall have charge of the preparation

and filing of such reports, financial statements, and returns as may be required by law; and shall

have such other powers and perform such other duties as may be prescribed and as recited in

Article VIII, “Financial Transactions.”

ARTICLE VI. COMMITTEES

Section 6.1 Standing Committees. Members of the standing committees shall be appointed by the presi-

dent from the Board of Directors of the Association. Such appointments shall be for a term of

one year but may be renewed for successive one year terms by the president. Should the

president wish to include a person not a member of the Board of Directors in the deliberation

of a committee, he or she may do so upon approval of the executive committee of the Asso-

ciation.

The standing committees of the Association shall be as follows:

A. Executive Committee -- The executive committee shall consist of the officers of the Asso-

ciation and such additional members of the Board of Directors as the president may designate.

The executive committee may act for the Board of Directors when specifically authorized by

the Board of Directors or the Bylaws. This committee is empowered to study all recommen-

dations of standing or special committees and submit proposals for board action. The execu-

tive committee shall be responsible for seeing that adequate procedural safeguards are estab-

lished for the receipt and disbursement of all Association funds and property.

B. Nominating Committee -- The nominating committee shall consist of such members of the

Board of Directors as the president shall designate. The major function of this committee is

the nomination of prospective directors.

Section 6.2 Special Committees. The president may appoint special committees from time to time

as required. Such committees may include persons who are not members of the Board

of Directors.

ARTICLE VII. NONPROFIT CORPORATION

The Association shall at all times be operated on a nonprofit basis, and no part of the income or assets of the

Association shall be distributed to, or inure to benefit of, any member, director or officer.

ARTICLE VIII. SEAL—THIS SECTION REMOVED

The corporate seal of the Association shall be in the form of a circle and shall have inscribed thereon the

name of the Association and the words “Nonprofit Corporation”, and in the center the word “Arizona”.

ARTICLE IX. VIII. FINANCIAL TRANSACTIONS

Section 98.1 Contracts. Except as otherwise provided in the Bylaws, the Board of Directors may authorize

any officer or officers, agent or agents, to enter into any contract or execute and deliver any

instrument in the name and on behalf of the Association and such authority may be general or

confined to specific instances.

Section 9 8.2 Checks, Drafts, Etc. All checks, drafts or other orders for the payment of moneys, and all

notes, bonds or other evidence of indebtedness issued in the name of the Association

shall be signed by such officer or officers of the Association and in such manner as shall

from time to time be determined by resolution of the Board of Directors.

Section 9 8.3 Deposits. All funds of the association shall be deposited from time to time to the credit

of the Association in such financial institutions as the board of directors may select.

Section 9 8.4 Fiscal Year. The fiscal year of the Association shall begin on the first day

of January of each and every year and shall end on the last day of December of the same

year.

ARTICLE IX. MISCELLANEOUS

Section 10 9.1 Waiver of Notice. Any director or member may waive in writing any notice of a meeting

required to be given by the Bylaws. The attendance of a director or member at any meeting shall con-

stitute a waiver of notice of such meeting by such director or member, except in case a director or

member shall attend a meeting for the express purpose of objecting to the transaction of any business

on the ground that the meeting has not been lawfully called or convened.

Section 10 9.2 Rules and Regulation. The Board of Directors shall have the power to make and adopt

such rules and regulations not inconsistent with law, the Articles of Incorporation or these Bylaws, as it

may deem desirable for the management of the business and affairs of the Association.

Section 10 9.3 Accounting System and Reports. The Board of Directors shall cause to be established

and maintained, in accordance with generally accepted principles of accounting, an appropriate account-

ing system.

ARTICLE X. AMENDMENTS

These Bylaws may be altered, amended, or repealed by the affirmative vote of a two thirds (2/3) major-

ity of the members at any annual or special meeting, provided the notice of such meeting shall have con-

tained a copy of the proposed alteration, amendment, or repeal; except that Section 1.2, Section 4.1, and

Article VII of these Bylaws may not be altered, amended or repealed.

Amendments to the foregoing Bylaws were considered and accepted by the general Association mem-

bership at its meeting on __________________, 2017, and adopted by the Association’s Board of Di-

rectors at its meeting on _____________, 2017 pursuant to Article X.

October 24, 1985, and were adopted by the Association’s Board of Directors at its Initial Meeting on

June 5, 1986, pursuant to what was then Article XI of the Association’s Articles of Incorporation. The

TAHOE PARK NEWS

Plans for tree replacements at Tahoe Park have been approved by the Historic Commission. City staff

members have already begun measurements at the park for tree placements, along with a timeline for

planting. The map below was developed by the CVNA Board’s Tahoe Park group comprised of Annie

Barrett (Chair), Debra Huffman, and Laura Mielcarek, Leighton Rockafellow, and approved by the CVNA

Board during its October meeting. A Little Free Library (LPL) is planned which will mimic the architecture

of the ramada. (See related story on Page 19)

In Catalina Vista, there are currently six homes on the market. The prices range from $174,900-

$820,000. The average price per square foot for these homes is $153.13, and the average days on the

market are 73.

There is currently one property under contract with a list price of $280,000, and one property is

pending with a list price of $235,000.

Over the past 6 months, five homes have sold. The sale prices ranged from $140,000-$670,000. The average

price per square foot was $182.23, and the homes averaged 49 days on the market. Homeowners were able

to sell within 95.17% of their asking price. Here is the list of 'Sold' homes:

In the Tucson Central area, September 2017 active inventory was 527, virtually unchanged from September

2016. There were 184 closings in September 2017, a 12% decrease from September 2016. Year-to-date 2017

there were 1,915 closings, a 1% increase from year-to-date 2016. Months of Inventory was 2.9, up from 2.5

in September 2016. Median price of sold homes was $165,000 for the month of September 2017, up 14%

from September 2016. The Tucson Central area had 206 new properties under contract in September 2017,

down 1% from September 2016.

It is a “seller’s market” in central Tucson in the following price points: Up to $274,999, $300,000-$349,999,

and "slightly seller's market" for homes priced between $275,000-$299,999 and $500,000-$599,999. It is a

"balanced market" for homes priced between $400,000-$499,999. It is a “slightly buyer’s market” for homes

priced between $350,000-$399,999, and $600,000-$699,999. It is a “buyer’s market” for homes priced be-

tween $700,000-$799,999. There are no data available for homes priced between $800,000-$899,999 or

homes between $900,000-999,999, but it is a "buyer's market" for homes priced over $1mil.

CULINARY DROPOUT AT GRANT ROAD LUMBER TAKES OFF

The Culinary Dropout at Grant Road Lumber got off to a great start this month. Early customers from

Phoenix, the UA campus, and surrounding neighborhoods rushed to check it out and fill in feedback

forms for the managers to review following some food tasting and tours of the cavernous, game– and

bar-filled, inside-outside restaurant. The parking lot is regularly full, with some customers spilling

across Tucson Boulevard to park at the Tucson Association of Realtors during evening hours.

The adjoining corner lot is also owned by Sam Fox of Culinary Dropout fame!. The corner is the for-

mer home of the car wash at Grant Road/Tucson Boulevard, and will house an Orangetheory Fitness

Studio, a sandwich shop and a poke bowl restaurant. (Poke, pronounced POH-keh, means to slice or

cut in Hawaiian, and refers to chunks of raw, marinated fish, usually tuna, which is tossed over rice or

veggies.

It is “rumored” that the business lot on the southeast side of Tucson Boulevard/Grant Road is targeted

for a facelift that will include retail shops and restaurants. More to come as we learn about plans for

this development.

The traffic light will probably need some modifications at this increasingly busy corner at some point.

By October 27 the City of Tucson landscape

crew completed installation of the watering

system and electrical wiring to feed the new

trees about to be planted at Tahoe Park.

The City gave us four trees to replace each

of the Aleppo pines that had to be removed,

for a total of 12 trees. Neighborhood do-

nations acquired through brick sales at the

ramada will cover the cost of four additional

trees. Tree planting to begin in November.
