Tree canopy data were analyzed for Normandy Parl<’sland use categories to determine the distribution of existing and potential

urban tree canopy throughout the City. Parks/ Golf Courses/ Trails/ Open Spaces

had the highest canopy coverage at 69%, but 74% of all canopy in the City was

found within Single-Family Residential areas as well as 81% of all plantable space.

Brian Murphy is a Principal at BERKwith more than i5 years

of experience developing actionable strategies and plans for

organizations. His expertise includes strategic and businessplanning, facilitation, economic development and market analysis.

His practice includes strategic and economic development plannin

for organizations and communities acrossthe state.

Brian ioinedthe ?rm in 2002 and is a skilled manager of complex

analytic and planning proiects with many moving pieces and

nuanced policy choices. He has completed more than a dozen

economic development strategies, including recently for the cities

of Lakewood and Bonney Lake. He has also worked with Bellevue,

Carnation, Duvall, Hoquiam, Kenmore, Lynnwood, Stanwood,

Tumwater, University Place, Woodinville, and Pierce County.

Radhika Nair is a Senior Planner at BERKwith more than I0

years of experience working with local overnment agencies to

develop recommendations on complex issues. Radhika focuseson planning for transit-oriented development and walkability,

economic development strategies, modern industrial development,

neighborhood planning and design, and the integration of technicalanalysis with community planning and engagement.

Currently, Radhika is leading the Arlington and Marysville

Manufacturing industrial Center subarea planning effort. She is

also working with the City of Sumner and the City of Paci?c on a

subarea plan for their regional center, the City of Lakewood on

economic development strategies for their downtown Subarea Plan,

and with the City of Renton on a Parks and Trails Plan.

She has worked on comprehensive planning efforts in the region,

including for the City of Seattle, City of Bellevue, City of Cle Elum,

and for Jefferson County.

Ben Silver is an Analyst with»a background in demographic,

THISALTERNATIVESERVICEDEMONSTRATIONPROJECTAGREEMENT(the "Agreement”) ismade and entered into between the City of Normandy Park, amunicipal corporation of theState of Washington (the "City”), and King County, a politicalsubdivisionof the State ofWashington, through its Department of Transportation, MetroTransit Division (the "County” or”Metro”). The City and the County may also be referredto'i‘ndivi,dua|lyas "Party” or collectivelyas the ”Parties.”

WHEREAS,Metro operates a public transportation’system in KingCountygincludingrouteswithin the City's boundaries; and

WHEREAS,in July 2011, via Ordinance’17143, the King»CountyCounciladoptedthe King CountyMetro Transit Strategic Plan for Pub‘1{cTranisportation 20.11‘-.2021(the "Strategic Plan”) andService Guidelines; and

WHEREAS,the Strategi,c'P’lan Service Gu’ide|ines‘11ave‘b.eenamendedfrom time to time andin June 2016, via Ordinance'I8~3\0i’,xthemost t\o»theI'Strategic Plan and ServiceGuidelines were adopted; and

WHEREAS,in September 2012,,"theKingCounty Council, via Motion 13736, accepted the KingCounty Metro Transit Five-YéarImplementation Plan for Alternatives to Traditional TransitService Delivery ("Five-Year_lIjnplementationPlan"), which calls for Metro to establishalternatives to traditional transit service as an integral part of a comprehensive transit system,and use it as an option to, among other things, meet unmet travel needs; and

WHEREAS, in November 2016, the King County Council, via Ordinance 18409, appropriated $15million for the 2017-2018 biennium to implement an alternative services demonstrationprogram consistent with the Strategic Plan and Five-Year Implementation Plan that will moreeffectively serve the affected communities, with a range of transportation and mobility servicesthat may be different for each community depending on its needs and circumstances; and

WHEREAS,the County's alternative services program allows Metro to collaborate with localagencies to design transportation services that meet community transportation needs not metby fixed-route or other traditional transit service, or in locations where fixed-route bus serviceis cost prohibitive; and

The City and the County share the objective of improving mobility and increasing travel optionsand access to public transportation in the Normandy Park areafand

WHEREAS,as part of Metro's efforts to expand alternatjv’e transitservice delivery in KingCounty in order to more effectively serve communitieswhere\fi}‘<e.d-routetransit service maynot be effective, the Parties desire to participate in’a‘~pilotproject totdevelopneighborhoodtransportation hubs and evaluate their efficacy/insupporting ridesharingopportunities andalternative transit service in the Normandy Parkarea. The Normandy\Park area is defined aswithin the City's jurisdictional boundaries; and

WHEREAS,the pilot project providedforhereinmay requfireyadjustmentsduring the term ofthis Agreement in order to achieve Parties’objectives andserve the community moreeffectively;

NOW, THEREFORE,in of the\terms,condivtionsand\rn/utualpromises set forthherein, and for othe,r’go/od‘and\v\a|uab|econsideration’,th‘e\s\uffic,iencyof which is herebyacknowledged, the Partiesagree asfollows:

1. PURPOSEor AGREEMENT

The purposeof this Agreement isxto‘set forth fhestermsand conditions by which the Parties willdevelop neighborhoodtransp‘o\rtati‘o-nhubsas an alternative transportation service pilotproject. Implementation andxongoingmanagement of the pilot project provided for herein willbe supportedby the County and the City. The Agreement provides for the development of thepilot project desc‘r«ipt‘i’on,responsibilities for both Parties related to the service, indicators tomeasure success of theservice, andopportunities to make adjustments to the service. Projectobjectives and time|ine's\ar\e"set/forthin Attachment A (Pilot Project Description, ParticipatingAgency Responsibilities, PerformanceIndicators), which is attached hereto and incorporatedherein by this reference.

2. PILOTDESCRIPTIONSUMMARY

The neighborhood transportation hubs ("Hubs”) are physical locations for community membersto access ridesharing and transportation options available in their community, includingCommunity Ride, TripPoo| and Vanpool. The City will provide oversight of the Hubs and workwith Metro to promote the Hubs to the community, leveraging existing resources and

communication channels. Roles and responsibilities for the Parties are further described inAttachment A.

3. DUTIESAND RESPONSIBILITIESOF THECITY

The City will perform the respective tasks and provide the services assigned to it in AttachmentA, as described with more particularity therein.

4. DUTIESAND RESPONSIBILITIESOF THECOUNTY

The County will perform the tasks and provide theservicesassignedto it in Attachment A asdescribed with more particularity therein.

5. MONITORINGAND EVALUATION

The Parties will meet at least two (Zjtimesa year to ‘reviewthe operating performance of thepilot project and, if warranted, to proposeadjustments ‘forthe success of the pilot project.Specific metrics and performance indi‘cators‘~a.re‘alsoincludedin Attachment A. An evaluationof the pilot project, along with other alternative‘services,willbeincludedin an AlternativeServices section of the,County’s\-SystemEvialuation,r~e’po_rt\ZAdditionally,the evaluation data willbe taken into considerationwhendetermininganypjroposseclextensionor modifications to thisAgreement.

6. EFEECTlVE‘DATEAND

This Agreementshall b‘e\effective\up‘onits executionby both Parties and shall remain in effectfor two (2)yearsunless ea“rJ_ie‘r~terminatedpursuant to the provisions of Section 7 of thisAgreement‘. \|t\is.theParties”‘expectationthatthe Hubs pilot project provided for herein willcontinue as a demonstrationproject for a‘two-year trial period, with adjustments possibleduring that time asdescribedin Section 5 (Monitoring and Evaluation) of this Agreement, andin more detail in AttachmentA. During this period Metro will, in consultation with the City,monitor and evaluate thes‘e’rvi<;e’,measuring key performance indicators as outlined inAttachment A. If, after theinitial Agreement period, the demonstration service is deemedviable by both Parties, the Agreement may be extended in one-year increments with re-evaluation of viability after each one-year period. Any such mutually acceptable extensionmust be in the form of a written amendment to this Agreement signed by authorizedrepresentatives of the Parties and may be contingent on King County Council approval.

TERMINATION

Termination for Cause. Either Party may terminate this Agreement in the event that theother Party materially breaches this Agreement. Written notice of such termination anda description of the breach must be given via certified mail by the Party terminating thisAgreement to the other Party not less than sixty (60) days prior to the effective date oftermination. The breaching Party shall be given this sixty days in which to cure itsmaterial breach. if the breaching Party fails to cure,Al”\/itljiinsixty days, the Agreement isimmediately terminated. Upon termination, thexPartiesshall determine final costs andpayments to be made by each Party.

Termination for Non-a ro riation or Lesso,f"Grant Fundin‘ Uponwritten notice, theCounty may immediately terminate tliisAgreement for non-appropriationor if there is areduction in or loss of any grant fundingxnecessary to coverthe costsof the Agreement.

If possible, the County will provide writtermotice I30)ca|endar\da‘ysprior to theeffective date of termination.

Pre-terminationCosts. CONTACTS

Notice. Anynotice required or permitted to be given pursuant to this Agreement shallbe in writingpandxshallxbesent postage prepaid by U.S. Mail, return receipt requested,to the contact personsandaddresses identified in Subsection 8.3 of this Agreementunless otherwise indicated by the Parties in writing.

Contact Persons and Addresses. The Parties shall designate a contact person("Designated Contact” or ”Contract Manager”) for purposes of sending inquiries andnotices regarding the execution and fulfillment of this Agreement. Any changes to theDesignated Contact person or address information shall be promptly provided in writingor electronic mail to the other Parties. Any update to the Contract Managers shall statethe effective date of said update.

10. RECORDSRETENTIONAND AUDIT

10.1 Maintenance of Records. During the term of the Agreement and for a period not lessthan six (6) years from the date of its expiration or earlier termination, the records andaccounts pertaining to this Agreement are to be kept available by both Parties forinspection and audit by the other Party and the State Auditor, and copies of all records,accounts, documents, or other data pertaining to the Agreement will be furnished uponreasonable notice. If any litigation, claim, or audit is/commenced, the records andaccounts along with supporting documentation shallbe retained until all litigation,claim, or audit finding has been resolvedeven;t/hoyughxsuchlitigation, claim, or auditcontinues past the six-year retention period/.

10.2 Disclosure of Public Records. The Partiesacknowledge and agree that all non-privileged,non-exempt records that may be maintainedpursuantto SubsectiQn‘10.1of thisAgreement are subject to public disclosure<un“derthe WashingtonState‘Public RecordsAct, Chapter 42.56 RCW.

11. NONDISCRIMINATION

The Parties agree to cor?ply withall app|ic~ab‘lefederal, state,andxlgcallaws, rules, andregulations pertaining to»nondi’scri‘minationand,agree"torequire,the same of any and allsubcontractors providingservices\or‘performingany work using funds provided under thisAgreement. During the“p\er‘forma,nce;_ofthis Agreement,neither Party nor any entitysubcontracting Underthe authofityof _t\hi\s‘Agreement,shall discriminate or tolerate harassmenton the basis,of’sex,~race,\co|or;\maritaIstatus, nationalorigin, religious affiliation, disability,sexual\orie’ntation,generliidentity drlexpressionsor‘age except by minimum age and retirement

provisions,unless based u‘p\on“~abonaficleoccupational qualification, in the administration ordelivery of servicesor any other"benefi’t\sunder this Agreement. King County Code Chapter12.16 and 12.1\7,a‘reincorporatedéherein by reference, and such requirements shall apply to thisAgreement.

12. FORCEMAJEURE

Either Party to this Agreement shall be excused from performance of its responsibilities andobligations under this Agreement, and shall not be liable for damages due to failure to perform,during the time and to the extent that it is prevented from performing by a cause directly orindirectly beyond its control, including, but not limited to: late delivery or nonperformance byvendors of materials or supplies; any incidence of fire, flood, snow, earthquake, or acts ofnature; strikes or labor actions; accidents, riots, insurrection, terrorism, or acts of war; order ofany court or civilauthority; commandeering material, products, or facilities by the federal, stateor local government; or national fuel shortage; when satisfactory evidence of such cause is

presented to the other Party to this Agreement, and provided that such non—performance isbeyond the control and is not due to the fault or negligence of the Party not performing.

13. INDEMNIFICATION

The City shall protect, defend, indemnify, and save harmless the County, its officers, officials,employees, and agents, while acting within the scope of theirernployment as such, from anyand all costs, claims, judgment, and/orawards of damages,/incluclingdamages for injuries to

persons and/ordamage to tangible property, arising out/of, oriinany way resulting from, thenegligent acts or omissions of the City and its officers.»,"em,p'|’oyee‘s,,agents, or contractors, inperformance of this Agreement, including, but not/limitedto, clai\m‘s.againstthe County by anemployee of the City or any of its contractors. TheCounty shall pr‘ot\ect, defend, indemnify, andsave harmless the City, its officers, officials, efrnployees,and agents, wlqilepactingwithin thescope of their employment as such, from any a‘n,g:lallcosts, claims, judgment,and/or awards ofdamages, including damages for injuries to persons and/or’i:lam‘ageto tangible property, arisingout of, or in any way resulting froms,/thevlnegligentactsxoromissionsof the County and itsofficers, employees, agents, or contractors, ’in-performa‘n.ce“ofthis Agreement, including, butnot limited to, claims against the City byanemployeeof the.\Countyor any of its contractors. .

The Parties each expressly waive, by mutualneg‘otiafion,all immunity and limitation on liabilityunder any industrial insuranceact, includingTitle5,1’RCW,other‘w9/rker’scompensation act,disability benefit act_,’orotheremployee benefitact oflanyjurisdictionwhich would otherwisebe applicable in the ca§e‘of such claim. In the\eventthat either Party incurs any costs includingattorneys’ fees to enforcetheprovisions of this\$e‘ction13, all such costs and fees shall berecoverable*fr6r?ithe_ Partwbrea’ching.the“ter_mso‘f.thi_sSection. The obligations of this sectionshall su,w/ive_any’ex-pjrationorearliertermination.o‘ftthisAgreement. The Parties acknowledgethat th\ese;fprovisionswerespecificallynegotiatedtand agreed upon by them.

Each Party agreesto maintaininsuranceicoverageareas and types, or programs of self-insurance, thatare\.responsive‘to its exposuresunder this Agreement.

14. CHANGESANDMODIEI/CATIONS

This Agreement may be amended or modified only by prior written agreement signed by theParties hereto. No variation or alteration of the terms of this Agreement shall be valid unlessmade in writing and signed by authorized representatives of the Parties hereto.

15. GENERALTERMS AND CONDITIONS

15.1 No A enc Partnershi or Third Part Beneficiaries. It is understood and agreed thatthis Agreement is solely for the benefit of the Parties hereto and gives no rights to anyother person or entity. No joint venture, agent—principalrelationship, or partnership is

formed as a result of this Agreement. No officers, employees or agents of one Party, orany of its contractors or subcontractors, shall be deemed, or represent themselves tobe, employees or agents of the other Parties.

Waiver of Default. Waiver of any default shall not be deemed to be a waiver of anysubsequent default. Waiver of breach of any provision of this Agreement shall not bedeemed to be a waiver of any other or subsequent breachand shall not be construed tobe a modification of the terms of this Agreement un|’ess,statedto be such in writing,signed by authorized representatives of the Parties, attached to the originalAgreement.

Assi nment. Neither Party shall assign oi‘delegate any interest,or any rights andresponsibilities, in this Agreement withouttheprior written consentof the other Party.

Severabilit . Ifany provision of this Agreement is held invalid by a court of competent

jurisdiction, the remainder of the Agreement shall not be affected thereby if suchremainder would then continue to serve the purposes and objectives originallycontemplated by the Parties.

15.9 Attorne s' Fees. In the event either Party incurs attorneys‘ fees, costs or other legal

expenses to enforce the provisions of this Agreement against the other Party, all suchfees, costs and expenses shall be recoverable by the prevailing Party.

15.10 Limitation of Effect- Pro ert . This Agreement does not establish a separate legal entity,

joint board, joint venture, or administrative section for the purpose of acquiring,

managing, or disposing of property, or incurring any otherfinancial obligation, nor doesthis Agreement provide for jointly owned property. /All/propertypresently owned orhereafter acquired by either Party to enable it to/perform the services required underthis Agreement shall remain the property of theacquiring-.Partyin the event of theexpiration or earlier termination of this Agréem‘ent.

15.11 Survival.The provisions of this Section15.sha|| survive the expiration or earliertermination of this Agreement.

16. AUTHORITYTO BIND

The Parties represent and warrant tha‘t\they.\(aThaveall right, ‘power, and authority necessary

If it is not practical to

provide a copy, then the RECIPIENT shall provide a description(photographs,drawings, printouts, etc.) that bestrepresents the item.Any communicationsintendedfor public distributionthat uses ECOLOGY’s logo shall comply with ECOLOGY’sgraphic requirements and any additional requirements speci?ed in this Agreement. AMENDMENT NO. 1 TO PROFESSIONALSERVICES AGREEMENT

THIS AMENDMENT amends the ProfessionalServicesAgreement, City of NormandyParkContractNo. 5564 (the “Agreement”) entered into between the City of NormandyPark, aWashington municipal corporation (the “City”) and Hart Crowser, Inc., a Washington pro?tcorporation (the “Consultant”) on January 1, 2017.

WHEREAS, Section 1 of the Agreement provides that the professional services to beprovidedby the Consultant are to commence on January 1_,2017 and shall be completed no late

rthan December31, 2018, unless the completiondate is extended in writing by the City; and

WHEREAS, the City and the Consultant have agreed uponan extensionof the Agreementfor the period from January 1, 2019 through December 31, 2020; and

WHEREAS, the City and the Consultantwish to set forth their agreement on the extensionin writing.

NOW, THEREFORE, the City and the Consultant mutually agree as follows:

Section 1. Extension. Section I of the Agreement is hereby amended to extend thecompletion date for the professional services to December31, 2020.

Section 2. Com ensation. ExhibitB to the Agreement is hereby amended to reflectthe Consultant’s revised hourly rates and to read as set forth on the exhibit attached to thisAmendment.

Section2. Remainder of A reement. Except as amendedby this Amendment,allremainingprovisions of the Agreement are unchanged and remainin ?ill force and effect.

provided herein and not for Consultant's material breach, the Consultant shall be paid orreimbursedfor‘all hoursworked and Eligible Expenses incurred up to the Termination date, lessall payments previouslymade:provided that work performed after dateof the Notice isreasonably necessary to terminate the Work in an orderly. manner.

Notwithstanding the above.the Consultant shall not be relieved of liabilityto the City fordamages sustained by the City, its officers, employees and agents by virtue of anybreach of this Agreement by the Consultant for the purpose of set offuntilsuch time as theexact amount of damages due the City for the Consultant is determined.

7. Assignment of Contract — Subcontractors. Consultantshall not assign this contract orsub-contract or assign any of the Workwithout prior written consent of the City.

8. Indemni?cation. To the extent provided by law and irrespective of any insurance required ofthe Consultant, the Consultant shall defend and indemnify the Cityfromany and all Claimsarising out of or resulting from the acts, errors or omissions of the Consultant in performance ofthis Agreement; provided, however, the requirements of this paragraph shall not apply to thatportion of such Claim that reflects the percentage of negligence of the Citycompared to the totalnegligence ofall persons, firmsor corporations that resulted in the Claim.

Consultant agrees that the provisions of this paragraph 8 apply to any claim of injury or damageto the persons or property of consultant's employees. As to such claims and with respect to theCity only, consultant waives any right of immunity,which it may have under industrial insurance(Title 51 RCWand any amendment thereof or substitutiontherefore). THISWAIVERISSPECIFICALLYNEGOTIATEDBYTHE PARTIES ANDIS SOLELY FOR THE BENEFITOFTHE CITYANDCONSULTANT.

As used in this paragraph: (1) "City"includes the City’s of?cers, employees, agents, andrepresentatives; (2) "Consultant" includes employees, agents, representatives, sub-consultants;and (3) "Claims” include, but is not limitedto, any and all losses, claims, causes of action,demands, expenses,_attorney's fees and litigation expenses, suits, judgments, or damagearising from injury to persons or property.

Consultantshall ensure that each sub-contractor shall agree to defend and indemnify the City tothe extent and on the same terms and conditions as the Consultant pursuant to the paragraph.

9. Insurance.A. Consultant shall comply with the following conditions and procure and keep in force

at all times during the term of this Agreement, at Consultantjs expense, the following policies ofinsurance with companies authorized to do business In the State ofWashington. TheConsultant's insurance shall be rated by A. M.Best Company at least "A"or better with anumerical rating of no less than seven (7) and otherwise acceptable to the City.

1. Business Automobile LiabilityInsurance in an amount not less than $1,000,000per occurrence, extending to any automobile.A statement certifying that novehicle willbe used in accomplishing this Agreement may be substituted forthis insurance requirement.

2. Commercial General LiabilityInsurance on an occurrence basis in an amountnot less than $1,000,000 per occurrence and at least $2,000,000 in the annualaggregate, including but not limited to: premises/operations (including off-siteoperations), blanket contractual liabilityand broad form property damage.

STAFF EXPLANATION:RCW 35A.34 provides for a budget amendment to the adopted 2017-2018 biennialbudget for the City of Normandy Park adopted on November 8, 2016. Certaintransactions unknown at the time when the budget was initially adopted necessitatesthe need to provide budget authority approved by City Council.

This amendment consists of the following modifications:

> F120: Provide budget authority for the purchase of ri?es for the PoliceDepartment, ($15,400)

> F204: Transfer funds into Debt Service Fund in 2018 to provide adequate fundingto begin paying down 2013 Bond Issue, ($400,000)

FISCAL IMPACT:The ?scal impact of the budget modi?cations above is an increase of $415,400 ofexpenditures in 2018.

RECOMMENDEDMOTION:“I move to approve Ordinance No. 988 amending the 2017-2018 budget, an increase of$415,400 in 2018 expenditures.”
