This guide will help you get started, and it all begins with the enrollment process. For those of you already enrolled, use this guide to become reacquainted with the Plan’s tools and features that may help you keep your retirement planning on track.

Follow these steps to start saving in the Plan.

Step 1: Register and enroll

Use any one of the three convenient options below to register and enroll:• Online—Log in to workplace.schwab.com.

• Mobile app—Download the Schwab Workplace Retirement app* at workplace.schwab.com/mobile.

To enroll online or via the mobile app, use the Register Now link to establish your login ID and password. Once you have successfully created your login credentials, follow the prompts to enroll.

• Phone—Call Participant Services at 1-800-724-7526.

Step 2: Decide how much to contribute

Your decision should be based on factors such as your age, your compensation, and the amount of income you may need when you retire. The U.S. Department of Labor suggests that you may need at least 70% of your preretirement income to maintain your same standard of living once you stop working.†

To help you determine what you may need to save annually to be able to fund your expected retirement spending goals, access the Retirement Savings Calculator at workplace.schwab.com. Go to Learning Center > Tools and Calculators.

Step 3: Select your investments

Choose the investment strategy that suits your approach to investing. For information on selecting your investments, review the “Choose Your Investment Strategy” section beginning on page 2.

Step 4: Designate your beneficiary

Your beneficiary designation lets Schwab Retirement Plan Services, Inc. and Marvell Semiconductor, Inc. know who should receive the balance of your account in the event of your death. That’s why it’s so important to designate a beneficiary(ies) and keep your election current. To enter your beneficiary designation, log in your account at workplace.schwab.com and go to My Profile > Beneficiaries.

Choose Your Investment Strategy

Whether you prefer to receive a savings and investment recommendation, select a target date fund, or choose your own investments, it’s important to have an investment strategy that is right for you. Use the information in this section to help determine which strategy best suits your preferred approach to selecting and managing the investments in your account.

If you’d like some help selecting and managing your investments:

Get a savings and investment recommendation

If you’re not sure how much to save and which funds to select, get a savings and investment recommendation from the Plan’s advice service.

Utilize the Plan’s point-in-time advice service provided by GuidedChoice®, 1 a third-party advisory service, to get a savings and investment recommendation that can help you work toward your goals; the service also provides annual portfolio rebalancing, based on your last interaction, to help you stay on the course you’ve set.

• Schedule an advice consultation at workplace.schwab.com or by calling Participant Services at 1-800-724-7526.

• If you prefer a self-service approach, access the GuidedChoice advice tool online at workplace.schwab.com. Go to Advice > Retirement Plan Advice to get started on your own.

Invest in a target date fund

If you lack the time or desire to actively manage and monitor your investments, a Schwab Managed Retirement Trust Fund2,3 might be right for you.

The Schwab Managed Retirement Trust Funds™ are managed by investment professionals and are adjusted to become more conservative as you near retirement.

• Choose the fund with the target maturity date that most closely matches your expected retirement date, as well as other factors important to your planning objectives, and leave the rest to the professionals.

The values of the target fund will fluctuate up to and after the target date. There is no guarantee the funds will provide adequate income at or through retirement.

If you prefer to select and manage your investments on your own:

Design your own portfolio from the Plan’s core fund lineup

If you are a knowledgeable investor, you may prefer to design your own investment portfolio from the Plan’s core fund lineup.

Your Plan’s core funds are listed on page 6 of this guide. These funds have been selected to provide you with a diverse range of investment choices to accommodate your retirement savings goals and time horizon. To learn more about the funds offered in the Plan, including fund profiles, log in to workplace.schwab.com. Go to Learning Center and click on the Fund Information link. Click on a fund name to view the fund’s fact sheet.

• Select the funds in which you’d like to invest from the Plan’s investment lineup and determine the percentage to allocate to each fund.

Access a wider array of investment options with a self-directed brokerage account

If you are an experienced investor with the time and interest to conduct your own research, the Schwab Personal Choice Retirement Account® (PCRA)4 may be your preferred option.

A PCRA is a brokerage account you manage yourself that provides access to more investment choices than are otherwise available in the Plan.

• You can open your PCRA after enrolling in the Plan. Complete the PCRA Application at workplace.schwab.com. Go to Manage Account > PCRA and select the link under Apply Now.

Whichever investment strategy you select, be sure to review your investment allocation at least annually, and whenever you experience a life event, to ensure that your strategy will continue to help you work toward your retirement savings goals.

Eligibility

401(k) Plan You are immediately eligible to begin saving in your Plan. You must complete the enrollment process within 30 days after you become eligible (date of hire or rehire). If you have not completed the enrollment process, or opted out of participating within that time, you will be automatically enrolled in the Plan at a pre-tax savings rate of 6%. Unless you elect otherwise, your contributions will be invested in the Schwab Managed Retirement Trust Fund2,3 aligned with the year you will reach age 65, as determined by the Plan.

Your Plan has automatic savings increases to help you set aside extra money—automatically. Your savings rate will increase 1% each year on April 1 until you reach 10%, unless you opt out of this feature.

Your Contributions

Pre-Tax Contributions

Pre-tax 401(k) contributions are made to your account before taxes are deducted from your eligible pay. This reduces your current taxable income. You pay taxes on your contributions and any applicable earnings at the time of distribution.

Roth 401(k) Contributions

Your Plan allows you to make Roth 401(k) contributions. Roth 401(k) contributions are deducted from your pay after taxes. You will not pay taxes on any earnings when they are withdrawn—provided that the distribution occurs at least five years following the year you make your first Roth 401(k) contribution and you have reached age 59½, are deceased, or have become disabled.

Catch-Up Contributions

If you will be age 50 or older by year-end, you may be able to make additional pre-tax and/or Roth 401(k) catch-up contributions to your account.

Contribution Limits You may contribute up to 50% of your eligible pay in combined pre-tax and/or Roth 401(k) contributions each pay period.

Federal law limits the amount you can contribute in combined pre-tax and/or Roth 401(k) contributions and in catch-up contributions in a given year. The limit is set annually and can be found at workplace.schwab.com. Go to Manage Account > Contributions.

Changes You can change the amount you contribute to your account at any time. Visit workplace.schwab.com or call Participant Services at 1-800-724-7526 to make changes.

Rollovers You may roll over contributions from a previous employer’s qualified retirement plan or from an IRA into your account. Consolidating your retirement savings may make it more convenient to manage your investments. Plus, your savings may continue to grow tax-deferred.

Company Contributions

401(k) Match The Marvell Semiconductor, Inc. match is discretionary; refer to the company benefits website or the Summary Plan Description for details.

The employer contribution is paid on a pre-tax basis and may be taxable at withdrawal.

Vesting

Your Contributions Vesting is your ownership of your account. You are always 100% vested in your own contributions and any earnings, including any rollovers you make to your account.

Company Contributions

Company contributions to your account are also immediately 100% vested.

Changing Your Investments

You may transfer existing assets among investment choices at any time, subject to prospectus requirements.

Withdrawals

Your Plan is designed to help you save for retirement; therefore, the Internal Revenue Service places restrictions on when money may be withdrawn from your account. Although you may access your retirement savings while employed by Marvell Semiconductor, Inc., there may be tax consequences. The following withdrawals are allowed under certain circumstances.

Retirement You can withdraw money from your account when you reach the early retirement age of 59½ or the normal retirement age of 65.

In-Service In-service withdrawals are allowed after age 59½ from pre-tax and Roth 401(k) contribution sources. In-service withdrawals are allowed from all contribution sources at age 70½. You may withdraw from rollover assets at any time.

Loans You may borrow money from your account. The loan amount is based on the vested value of your account.

You may borrow up to the lesser of 50% of the vested account balance or $50,000, reduced by your highest outstanding loan balance over the previous 12 months, if any. The minimum loan amount is $1,000.

General loans must be repaid within five years. Residential loans must be repaid within 10 years.

Loan repayments are deducted from your paycheck per standard biweekly payroll cycles. The interest rate on your loan will be the prime rate at the time the loan is initiated plus 1%.

Each loan will be charged a one-time set-up fee of $75. All of your principal and interest loan payments are credited to your account and are invested in the same manner as your regular contributions. You can contact Participant Services at 1-800-724-7526 for more information and to apply for a loan.

After your loan request is received and approved, a check for the requested loan amount will be mailed to you in approximately four business days.

A maximum of two outstanding loans are allowed at a time.

Hardship Withdrawal

You may be eligible to withdraw a portion of your account balance if you experience a hardship. According to the federal government, you may qualify for a hardship withdrawal if you need to:

• Prevent eviction from or foreclosure of your primary residence;• Repair damage to your primary residence;• Purchase a primary residence;• Pay for postsecondary education for you or an immediate family member;• Pay for uninsured medical expenses; or• Cover funeral expenses.

Hardship withdrawals are subject to ordinary income tax and may be subject to a 10% federal penalty. Residents of certain states may also be subject to state penalties.

Withdrawals (Continued)

Termination You may receive all of your vested contributions and any earnings upon termination of your employment.

If your vested account balance is less than $1,000 it will be paid to you. This is called a single-sum cash distribution.

If your vested account balance is between $1,000 and $5,000, Schwab Retirement Plan Services, Inc. will contact you and provide you with information on the options available to you. If you do not respond to Schwab Retirement Plan Services, Inc., the balance will be rolled over to a Charles Schwab Bank IRA, and the funds will be deposited to an FDIC-insured money market deposit account.

If your vested account balance, including rollovers, is greater than $5,000, your balance will remain in the Plan until you request a distribution.

Rollover funds in the Charles Schwab Bank IRA are invested in an FDIC-insured money market deposit account at Charles Schwab Bank. Funds are insured by the Federal Deposit Insurance Corporation (FDIC) up to $250,000 when aggregated with all other deposits held by the IRA owner in individual retirement accounts or self-directed employee benefit accounts at Schwab Bank. Any account balances in Roth 401(k) sources will be rolled over into a Roth IRA, and the five-year qualification period will start over. Trust, custody, and deposit products and services are available through Charles Schwab Bank.

Disability If you become permanently disabled, you are allowed to withdraw your vested account balance.

Death In the event of your death, your account balance will be paid to your beneficiaries.
