Auction Format Real Estate Brokerage (cont’d)

does not serve your geographic market, you may be prevented from conducting a Real Estate Auction. We reserve the right to require the auctioneer to enter into a separate license agreement that will contain restrictions and guidelines consistent with those set forth herein.

Marketing Materials. All marketing and promotional materials related to the Real Estate Auction that bear the Sotheby’s International Realty name and Mark shall require our advance written approval (which shall be granted in our sole and absolute discretion). You must use the marketing templates we make available to you. In no event shall the name of the real estate auctioneer be in close proximity to the Mark on any materials. If applicable, any proposed materials (other than marketing templates created by us and pre-approved for use) must be sent to us no later 15 calendar days prior to the date such materials need to be finalized for printing. All materials should be sent to [email protected].

Public Communications. All proposed public communications regarding Real Estate Auctions require our prior written approval. Any such pre-auction communications must be sent to us no later than 3 business days prior to the date such materials need to be finalized for distribution, and any communications that are to be released post-auction must will be reviewed within 1 business day of our receipt. All materials should be sent to [email protected].

Minimum Offering Price / Quality. Only residential properties with a bona fide list price of $350,000 or greater may be included in the Real Estate Auction (if the property was listed prior to the Real Estate Auction). If the property was not listed prior to the Real Estate Auction, then such property must have a good faith estimated value of $350,000 or greater. All properties included in the Real Estate Auction must be of a property type and quality that is consistent with the properties that qualify to appear on sothebysrealty.com. Any property that does not qualify for inclusion in the Real Estate Auction (e.g. those not meeting the price thresholds or commercial properties) must be approved by us in advance (in our sole and absolute discretion).

Absolute Auctions. Other than as may be required by law and industry best practices, you shall not in any way publicize, promote or mention that properties included in the Auction are subject to an “Absolute Sale.” To the extent that such disclosures are required by applicable law, they shall be made in a dignified manner consistent with the quality associated with the Mark and shall not be used as a
