ABOUT WM HOUSING GROUP

Introduction

WM Housing Group owns and manages around 30,000 homes across the West Midlands. Governance Structure

The Group is governed by a highly skilled board of non-executive directors and is regulated by the Homes and Communities Agency. It is currently rated as G1/V1. WM is a Group structure with 4 subsidiary associations; Whitefriars in Coventry: WM Homes in Hereford and Worcester: and Optima and Family (which operate as one association with a co-terminous board) operating in Birmingham, Solihull and Dudley.

While each of the subsidiaries have different origins, they have come together within a Group structure to gain advantage of their combined expertise and resources in order to better serve their communities and deliver good quality homes. The local knowledge and influence of the subsidiaries and their boards delivers a strong sense of local connection, while the size and influence of the Group as a whole gives financial strength and opportunities for future growth and development.

Management and Employment

The staff team is led by the Group Chief Executive with a team of Executive Directors who are all employees of the parent and have shared corporate responsibility for the delivery of the Board’s business strategy and business plan, and functional responsibilities.

The Executive Team is supported by a Senior Management Team, members of which are employed either by the parent or, where their roles are specific to the delivery of subsidiary services, by that subsidiary, but all staff are accountable to an Executive Director who is ac- countable to the parent board. The senior staff structure is appended.

The Group employs almost 900 staff and has a well-established programme of training and personal development for all staff. In addition, the Group offers a number of apprenticeships and graduate development programmes across a range of disciplines each year.

The Group supports a number of employment and skills development initiatives across its areas of operation. Its major contracts normally include a requirement for community development activities, such as job opportunities.

Business Strategy

In June 2014 WMHG adopted a new business strategy for the following five years. This establishes six key objectives for the Group and a number of success measures and projects to help it achieve its aims. Each of these will help WMHG improve its financial performance whilst protecting and enhancing its asset base.

The six key objects for the Group are:

Strengthening Governance and Corporate Configuration

It is important for our Group that we retain our federal structure as it offers the flexibilityto create business efficiencies whilst maintaining local delivery flexibility. Our federalstructure has been a significant factor in attracting others to join the Group. By focusingon our governance arrangements and corporate configuration we can ensure clarity ofroles across the Group and ensure decisions are taken at the right level to deliver ourcorporate aims.

Delivering Excellent Customer Services

We recognise that our customers’ needs will change over the next few years. Throughthe use of business intelligence we will be better able to predict, understand and respondto these changes. This will allow us to deliver the right products and services to ourcustomers now and into the future.

Maintaining & Investing In Our Assets

Our approach to investment must be based on good stock condition and income andexpenditure information. Our aim is to ensure we deliver a good financial and social returnon the money we spend on our homes and estates.

Growing the Number of Homes We Provide & Diversifying Our Services

The shortage of decent affordable housing continues to be a national problem. Werecognise that we are a leading developer of new and affordable homes across the WestMidlands and we want to continue to offer new opportunities for people to live in high- quality and affordable homes in areas where there is demand.

Enhancing Our Financial Strength

Managing our financial resources enables us to be more efficient and generate a healthy‘profit for purpose’ which we can reinvest into our homes and communities. Maintainingour credit rating enables us to approach the markets for additional funding if we feel it isnecessary to delivery key projects.

Developing Awareness of Our Work Amongst Our People & Partners

To attract and retain the highly-skilled and motivated people a modern business needs wemust continue to invest in training, developing and rewarding our staff whilst ensuringtheir work focuses on achieving our corporate aims. We work with many hundreds ofpartners, contractors and suppliers. In many cases these relationships deliver benefits tothe businesses concerned but also the communities we work in. This means it is importantfor us to make sure those with whom we work understand our business and objectivesand work positively with us to help achieve them.

WMHG’s Business Strategy acts as a guide for all activities although it does not attempt to cover every aspect of our operations in detail. Instead it provides a clear linkage that runs from the work of an individual member of staff through to decisions to raise funds on the financial markets.

Primary Business Activities

The Group sees its primary function as being a provider and manager of affordable general needs housing across the West Midlands. In order to achieve this, the Group, through its subsidiaries, provides high quality landlord services. It invests in its properties to ensure that the asset is maintained to a good standard and works closely with 11/12 key local authority partners to address housing need in the locality.

In Coventry and Birmingham the Group has Direct Service Organisations (DSOs) providing repairs, maintenance and some landscaping services. It is exploring opportunities for extending this service, provided that it makes a net contribution to financial plans.

In addition to providing high quality landlord services, WM manages a portfolio of care and supported housing schemes and is an active developer of new homes across all tenures, including a small amount of building for outright sale. The Group has some care and supported housing projects and normally delivers services through third party care providers. The exception to this is in Herefordshire where the Group, through a business unit (Supported Housing for Young People Project) delivers foyer type supported housing and services directly.

The Group has a very good reputation with HCA and other funders for delivering new housing development and it leads a development consortium (known as Spectrum) which provides development support to a range of other housing providers.

The Group has established an unregistered subsidiary, trading as Signature Homes, to develop homes for outright sale with the objective of using profits to support the development of affordable housing. This is currently a small enterprise using loan funding from the existing subsidiaries on which it returns a market level of interest and gift aids profit.

Operational and Financial Performance

Against most key indicators, the Group and its subsidiaries performs well although it strives for improvement and all boards have identified for themselves a key role in driving organisational and service performance improvement.

The Group has planned well for the impact of Welfare Reform but acknowledges the continuing challenge.

The Group has a Moodys Credit Rating of A2 and is seeking to maintain this but its planned expenditure on ageing stock will continue to put pressure on the level of surplus which is achievable. The board acknowledges this and, while demanding cost effective service delivery, has committed to ensuring that the quality of the housing asset is maintained and where necessary improved.

The Group has a loan portfolio of c£550M held against individual subsidiary asset bases. This is a combination of bond finance, LSVT debt funding and traditional loans.

In 2012 the Group issued a bond for £160M. After some debt repayment, spending plans were agreed which are now being implemented with completion targeted for 2017/18. It is likely that further funding will be sought to allow future developments and investment in stock to continue. There is sufficient capacity to permit this additional funding, subject to market conditions.

Other Major Issues

The Group will open a new headquarters and contact centre facility during the summer of 2015. The premises have been identified and work has commenced for fit out. The new office is at the Birmingham Business Park.

The move to new offices will mark the implementation of transformational change in service delivery, known internally as Journey to Excellence. This includes new systems and processes and a significant shift to increased contact with customers through digital services. These changes will also have impact on existing traditional services and offices throughout the Group.

In parallel with the Journey to Excellence, the board has continued to modernise its own governance structures and is introducing some changes to its Group arrangements although it remain committed to its Group structure with local boards.

JOB DESCRIPTION

JOB TITLE: GROUP DIRECTOR OF FINANCE & GOVERNANCE

ACCOUNTABLE TO: GROUP CHIEF EXECUTIVE

RESPONSIBLE FOR: FINANCE, COMPANY SECRETARIAL, GOVERNANCE, RISK MANAGEMENT, INSURANCE, VALUE FOR MONEY (all subject to short term review)

JOB PURPOSE: Through personal and professional example lead the Finance & Governance Directorate for the benefit of the Group and uphold the Vision and Values As a member of the Group’s Executive Management Team, to contribute to ensuring the continued success of the organisation. As a member of the Group’s Executive Management Team, to contribute to the corporate management of WMHG and strategic direction and support Executive colleagues in the delivery of corporate objectives To ensure that WM Housing Group has adequate financial resources at all times to achieve its objectives and ensure Treasury Management Strategy is developed and applied. To ensure that Governance and legal structures serve the organisation and comply with law and good practice and that all requirements of the Regulators are met, particularly in respect of accounting and company secretarial matters. To develop and manage key internal and external relationships in the interests of facilitating service delivery and development in the interests of customers and communities To lead the staff and manage the resources within the Directorate and engender effective working relationships across the organisation ensuring effective and appropriate financial and management control. AREAS OF RESPONSIBILITY:

1. Group Finance & Treasury Management Strategy:

To develop and recommend financial strategies, plans and policies to secure adequatefunding and effective financial management for the Group.

To prepare and keep under review, the Group’s Business Plan and ensure thatfinancial procedures and regulations appropriate to the agreed strategy and policy arein place.

To ensure that the Group maximises its income within statutory and policy constraints.

2. Funding & Development Finance:

To explore and evaluate opportunities for financing future developments.

To secure finance on competitive terms for the Group’s operations including capitalprojects.

Lead, develop, maintain and improve the Group’s relationship with lenders, securingfinance on competitive terms for the Group's operations, including capital projects.

To ensure flexibility of funding and reduce exposure to any particular risk.

3. Risk Management:

To develop, implement and maintain risk management procedures and appraisalsystems for capital projects and all other significant areas of risk to the Group.

To monitor and regularly report on the key indicators of the Group’s financial andoperational performance and take appropriate action.

To ensure that appropriate insurance cover is provided for the Group.

4. Financial Control:

To ensure that the Group’s financial systems comply with statutory and Homes &Communities Agency (HCA) requirements and best practice.

To be responsible for the preparation, review and monitoring of financial regulations,standing orders and authority levels and ensure that they are adhered to.

To ensure that the Group’s budgets, financial and management accounts are preparedand audited.

To ensure that proper accounts and cash flow reports are maintained and that allreceipts, payments and financial matters are dealt with in a proper and secure manner.

To manage the cash investments of the Group so as to maximise income within theconstraints of flexibility and prudence.

Summary Terms and Conditions

Group Director of Finance & Governance

Salary: c.£140k

Car Allowance: £10,000 pa

Pension: From the start of your employment you are eligible to join the Social Housing Pension Scheme

Private Healthcare: WM Housing Group provides Private Healthcare Membership

Annual Leave: Up to 31 days per annum

Notice Period: Six months

Relocation Expenses: The payment of relocation expenses will be considered for this post. Further details upon offer of employment.

Assessment and Selection Process
