EXHIBIT “A” SCOPE OF SERVICES

I. PURPOSE

The State of Florida Department of Transportation, hereinafter referred to as the “Department” proposes to install and implement a Federal Railroad Administration (FRA) Type Approved Positive Train Control (PTC) System (the Project) in accordance with 49 CFR Part 236 subpart I on the Central Florida Rail Corridor (CFRC). As part of the mandated PTC Regulations, a new PTC System shall provide associated warning and enforcement to the existing system to comply with FRA CFR 236 Subpart I. The Department intends to award a separate contract to a PTC Contractor to perform all configuration, engineering, installation, testing, commissioning, and training for a PTC System on the CFRC. This separate contract includes the development and implementation of a PTC Safety Plan which will require approval by the FRA. The installed PTC shall be a “turnkey” system that contains the following four main system components: a hosted back office segment, an onboard system, a wayside system, and a bi-directional communications transport system. The PTC shall also be interoperable with the CSXT PTC and compatible with the Meteorcomm ITCnet platform for wireless communications. Information on the PTC System Request for Proposal (RFP) can be found at: http://www.myflorida.com/apps/vbs/vbs_www.ad_r2.view_ad?advertisement_key_num=131786 For installation of the PTC system and revenue service demonstration, the beginning of the contract is to be determined by the Department and it is anticipated that the term of the contract will end on December 31, 2018 with a possible alternate schedule to be approved by FRA and as such to be completed by December 31, 2020. The Department requires the support of an Engineering Consultant (hereinafter referred to as the Consultant) to provide oversight of the PTC Contractor as part of the Program Management services, including oversight of the design, installation, testing, system integration and monitoring of revenue services demonstration testing services.

II. SCOPE OF SERVICES

The project for which the Consultant services are required is: Financial Project ID: 412994-5-62-01 Descriptions: Program Management Consultant Services for Installation and Implementation of a Positive Train Control System for the Central Florida Rail Corridor County: Volusia, Seminole, Orange, and Osceola Services provided by the Consultant shall comply with the FRA and other applicable Federal regulations and Department manuals, procedures, and memorandums in effect as of the date of execution of the Agreement unless otherwise directed in writing by the Department. Such Department manuals, procedures, and memorandums are found at the State Construction Office’s website.

III. LENGTH OF SERVICE

The services for this Contract shall begin upon written notice to proceed (NTP) by the Department and are expected to extend to December 21, 2020. While no personnel shall be assigned until written notification by the Department has been issued the Consultant shall be ready to assign personnel at NTP. The Consultant will be provided two weeks advance notification of the issuance of NTP.

IV. PTC PROGRAM MANAGEMENT

1. Consultant Key Personnel The Consultant shall include Key Personnel, subject to Department approval, with additional support personnel deemed necessary by the Consultant in compliance with the requirements specified within this scope, including:

1. Program Manager 2. Project Manager 3. CEI Manager 4. Systems Integration Testing Manager 5. Acceptance Test Manager 6. Rail Safety Coordinator

Provide competent personnel, qualified by experience and education. Submit in writing to the Department the names of personnel proposed for assignment to the project, including a detailed resume for each containing at a minimum: education, and experience. The Consultant Action Request form for personnel approval shall be submitted to the Department at least two weeks prior to the date an individual is to report to work. Personnel identified in the Consultant technical proposal are to be assigned as proposed and are committed to performing services under this Agreement. Personnel changes will require written approval from the Department. Staff that has been removed shall be replaced by the Consultant within one week of Department notification. Minimum qualifications for the Consultant personnel are set forth as follows. The Consultant shall have the flexibility to structure their staffing in a manner necessary to efficiently and effectively carry out its responsibilities under this Agreement. Although the Consultant has the staffing flexibility, it is required that the Consultant team be headed by a Program Manager and Project Manager meeting the qualifications set forth below. Program Manager

The Program Manager shall: 1. Report to the Department. This position shall be performed by a single

individual. 2. Provide overall program management responsibility for the PTC

Installation and Implementation Project. 3. Perform the following:

a. Manage, coordinate and provide monitoring for PTC Contractor’s contract compliance, schedule evaluation, change management, and invoice review.

b. Provide Program Level Oversight of Safety, Quality Assurance, Training, and Regulatory Document review

c. Provide Program Level Oversight of Financial, Risk, and Quality Management Plans.

d. Provide Program Level assistance to the Department, including progress meetings and reporting, PTC program coordination and support with FRA and coordination with all other regulatory agencies, local stakeholders and tenant railroads.

4. Possess a minimum of 10 years’ experience (12 years or more preferred) on railroad systems and technology projects of similar type, size, and complexity. Experience shall include the successful management of at least three (3) completed projects, of comparable size and complexity that demonstrate the Program Manager’s qualifications

of prior experience in program management and familiarity with the configuration, communications, and inspection of railroad systems. The Program Manager shall have demonstrated success in keeping projects on schedule and within budget. A Florida State Professional Engineer license is desirable.

Project Manager

The Project Manager shall be the technical lead responsible for the following: 1. Report to the Program Manager. This position shall be performed by a

single individual. 2. Perform the following:

a. Establish and implement a Consultant Quality Assurance Plan that ensures the Consultant’s compliance with contract requirements.

b. Coordinate reviews of the PTC Contractors’ Design Submittals and Permits, as applicable.

c. Coordinate reviews for the PTC Contractors’ plans for compliance with the PTC Contractor’s Technical Scope and FRA requirements, including but not limited to the PTC Implementation Plan (PTCIP), PTC Development Plan (PTCDP) Variance Requests, PTC Safety Plan (PTCSP), system performance certification documents, annual and quarterly status reports, test documentation, staging plans, and any other FRA required documentation and establish the comment resolution process.

d. Prepare a monthly progress report through the duration of the Project.

e. Review the PTC Contractor’s Schedule on a monthly basis as part of the monthly status report.

f. Establish and prepare a variance report describing variance between the current schedule and the baseline schedule. Update and issue as part of the monthly status report.

g. Coordinate reviews for the PTC Contractor’s PTC System Test & Commissioning Program, including the PTC Contractor’s Master Test Program.

h. Review and verify the PTC Contractor has commissioned the wayside signal system, the retrofit of designated rolling stock, and new PTC communications systems and retrofitted existing Department communications systems and completed tested all installed hardware infrastructure required to interface the PTC Hosted Back Office with all segments of the Department’s PTC infrastructure and all other external systems to provide a complete PTC System.

i. Coordinated the monitoring of Revenue Service Demonstration Testing.

3. Possess a minimum of eight (8) years’ experience (10 years or more preferred) on railroad systems and technology projects of similar type, size, and complexity. Experience shall include the successful administration of at least three (3) completed projects, of comparable size and complexity that demonstrate the Project Manager’s qualifications of prior experience in program administration and documentation and familiarity with Project configuration, communications, and inspection of railroad systems. The Project Manager shall have demonstrated success in program administration and documentation. A Florida State Professional Engineer license is desirable.

CEI Manager

The CEI Manager shall be the technical lead responsible for the following: 1. The CEI Manager will report to the Program Manager. This position

shall be performed by a single individual. 2. The CEI Manager shall be the technical lead responsible for the

following: a. Coordinate with the Department, Program Manager, Project

Manager and Contractor regarding Project Controls’ information and issues.

b. Direct highly complex and specialized CEI program; plans and organizes the work of subordinate and staff members; develops and/or reviews policies, methods, practices, and procedures; and reviews programs for conformance with Department standards.

c. Review the PTC Contractor’s Schedule on a monthly basis as part of the monthly status report.

d. Review change order requests for time extension and provide feedback to the Department, Program Manager, Project Manager and Contractor.

e. Track Project issues with potential cost impact and provide schedule/cost impact analysis and response for change order and claims to the Department.

f. Assist in preparation of Project reports. g. Responsible for review and acceptance of PTC Contractors’

schedule and Pay Applications. h. Oversees tracking of the PTC Contractor’s action items, design

reviews, permits and other activities or issues related to the Project Schedule.

i. Monitor compliance of the PTC Contractor to the accepted PTC Contractor Quality Plan.

j. Monitor Contract closeout requirements and reviews and approves closeout documentation.

k. Review and provide official contractual position on all requests for additional time and money disputes and/or claims.

l. Direct, control and manage all technical functions of the PTC Contractor’s effort.

m. Coordinate with the Department on field changes. n. Communicate on an as-needed basis with the Department on PTC

Contractor issues, including planning of long-term curfews, Department official contractual position for Contractor requests and disputes, changes in PTC Schedule, and oversight of PTC Contractor activities. pertaining to the CFRC System Safety Certification process

3. The CEI Manager shall possess a minimum of eight (8) years’ experience (10 years or more preferred) on railroad systems and technology projects of similar type, size, and complexity. Experience shall include the successful performance of CEI activities on at least three (3) completed projects, of comparable size and complexity that demonstrate the CEI Manager’s qualifications of prior experience with the configuration, communications, and inspection of railroad systems. The CEI Manager shall have demonstrated success in keeping projects on schedule and within budget. A Florida State Professional Engineer license is desirable.

Systems Integration Testing Manager

The Systems Integration Testing Manager shall be the technical lead responsible for the following:

1. Report to the Project Manager. This position shall be performed by a single individual.

2. Be the technical lead responsible for coordinating and overseeing all system interfaces and system integration between and among the components of the complete PTC System.

3. Monitor the PTC system during the Revenue Service Demonstration Testing period and provide status reports to the Department and FRA, as applicable.

4. Possess at least eight (8) years’ (10 years or more preferred) experience on railroad systems and technology projects of similar type, size, and complexity. Experience shall include the successful integration of at least three (3) completed projects, of comparable size and complexity that demonstrate the SIT Manager’s qualifications of prior experience with fixed-rail systems engineering development, integration testing and familiarity with system configuration, communications, and inspection. A Florida State Professional Engineer license is desirable.

Acceptance Test Manager

The Acceptance Test Manager shall be the technical lead responsible for the following:

1. Report to the CEI Manager. This position shall be performed by a single individual.

2. Responsible for directing and organizing the performance of all acceptance tests on PTC equipment and systems and for ensuring that all applicable test documentation is completed.

3. Possess eight (8) years’ experience (10 years or more preferred) on railroad systems and technology projects of similar type, size, and complexity. Experience shall include the successful management of at least three (3) completed projects, of comparable size and complexity that demonstrate the Acceptance Manager’s qualifications of prior experience in managing systems engineering related development and acceptance testing and familiarity with the configuration, communications, and inspection. The Acceptance Test Manager shall have demonstrated success in managing fixed-rail systems engineering development and acceptance testing. A Florida State Professional Engineer license is desirable.

Rail Safety Coordinator

The Rail Safety Coordinator shall be the technical lead responsible for the following:

1. Report to the CEI Manager. This position shall be performed by a single individual.

2. Provide oversight of PTC Contractor safety, including without limitation, compliance with CFRC roadway worker protection (RWP) and all safety compliance issues related to FRA, OSHA and various codes (NFPA, APTA standards, etc.) during installation and testing phases of the Project.

3. Coordinate with the Department to ensure that the public is aware of all PTC installation and testing-related issues along the CFRC corridor.

4. Conduct safety audits of the PTC Contractor. 5. Provide RWP training for Consultant personnel. 6. Verify that all Consultant personnel have current CFRC e-Railsafe

Shortline security clearance. 7. Possess a minimum of eight (8) years of rail safety training and

inspection experience. Experience shall include the successful administration of at least three (3) completed projects, of comparable size and complexity that demonstrate the Rail Safety Coordinator’s qualifications of prior experience in railroad safety. A Certified Safety Professional (CSP) or Construction Health and Safety Technician (CHST) certification is desirable.

2. Consultant Support Personnel

Signal Systems Inspector

The Signal Systems Inspector shall be the technical lead responsible for the following:

1. Report to the CEI Manager. This position shall be performed by a single individual.

2. Communicate effectively in English (verbally and in writing). 3. Perform independent on-site inspections during installation of all PTC

equipment related to wayside signal, train control, communications, and Centralized Traffic Control (CTC) Dispatch Systems to ensure that they are properly installed, tested, operated, and maintained.

4. Manage contract compliance, perform signal system audits, and is responsible for escalating any deficiencies to the CEI Manager.

5. Conversant with all applicable Federal laws and regulations pertaining to railroad signal systems and specifically PTC systems.

6. Possess a minimum of four (4) years of engineering experience in Railroad Signal Systems Construction (two (2) years of which are in a major commuter rail project), or for non-degreed personnel eight (8) years of responsible Railroad Signal Construction (two (2) years of which are in a major commuter rail project).

7. Previous experience in construction, testing, installation, and maintenance of CTC/TCS, Communications Systems, CTC/TCS Dispatch Systems and I-ETMS PTC Systems.

Communications Systems Inspector

The Communications Systems Inspector shall be the technical lead responsible for the following:

1. Report to the CEI Manager. This position shall be performed by a single

individual. 2. Communicate effectively in English (verbally and in writing). 3. Perform independent on-site inspections during installation of all PTC

communication systems, including testing and maintenance of all communications equipment and reporting any defects; monitoring and electrical installation techniques to ensure conformance with the plans, specifications, National Electrical Code and other applicable manuals and is responsible for coordinating and managing the lower level inspectors.

4. Manages contract compliance, performs communication system audits, and is responsible for escalating any deficiencies to the CEI Manager.

5. Be familiar with the IP-based communication systems for the Wayside Segment, BOS and Onboard systems fiber optic systems and backup cellular communications systems.

6. Possess a High School diploma or equivalent plus eight (8) years of experience in IT and communications system inspection and configuration, two (2) years of which shall have been in railroad communications maintenance or construction inspection, or an Electrical Engineering Technology Degree and four (4) year of Communications CEI experience, plus demonstrated knowledge in the following: a. Fiber Installation Inspection and OTDR Fiber Testing b. DMS Operation and Testing c. Controller Operation and Testing d. IP-based system configuration and network management e. Familiarity with Existing Communication Equipment and Switches f. RF Communications systems g. FCC License preferred but not required

Mechanical Systems Inspector

The Mechanical Systems Inspector shall be the technical lead responsible for the following:

1. Report to the CEI Manager. This position shall be performed by a

single individual. 2. Communicate effectively in English (verbally and in writing). 3. Perform independent on-site inspections during installation of all PTC

equipment related to locomotive and Cab Car Train Management Computer (TMC) systems, including communications systems, onboard systems and connections to the locomotive operating equipment.

4. Conversant with all applicable Federal laws and regulations pertaining to Locomotive and Cab Car systems and specifically PTC systems.

5. Possess a High School diploma or equivalent plus eight (8) years of experience in railroad locomotive and cab car electrical and mechanical inspection and knowledge of PTC systems and FRA requirements plus demonstrated knowledge in the following Locomotive and Cab Car systems:

a. Electrical systems b. Radio and Cellular Communications Systems c. Airbrake and speed control systems d. Event Recorder Systems.

Contract Support Specialist The Contract Support Specialist (CSS) shall:

1. Report to the CEI Manager. This position shall be performed by a

single individual. 2. Have the day-to-day responsibility to ensure the Consultant is

performing document control per the contract requirements, and that SiteManager™/EDMS are being utilized to their full functionality and all project logs are being maintained.

3. Monitor the completeness and accuracy of the PTC Contractor’s Job Guide Schedule; verify that material certification and acceptance tracking logs are up-to-date, and track work progress for payment to the Contractor.

4. Interface with the Department’s Project Controls representatives. 5. Provide support to the Department’s Resident Compliance Specialist

for EEO and payroll/sublet compliance monitoring as required. 6. Maintain up-to-date records for all Released for Construction plans,

specifications, shop drawings, Requests for Information (RFIs), work plans, and permits. These documents will be maintained in the EDMS.

7. Possess a High School diploma or equivalent plus three (3) years of secretarial and/or clerical experience including two (2) years of experience in construction office management, having performed project related duties (i.e., Materials Acceptance and Certification (MAC) System, progress and final estimates, EEO compliance, processing Construction Contract changes, etc.). Experienced in the use of standard word processing software. Should exercise independent initiative to help relieve the supervisor of clerical detail. Assists the Project Manager and CEI Manager in office related duties (i.e., CQR, progress, and final estimates, EEO compliance, Processing Construction Contract changes, etc.).

Resident Compliance Specialist

The Resident Compliance Specialist shall:

1. Report to the CEI Manager. This position shall be performed by a single individual.

2. Be responsible for surveillance of the PTC Contractor’s compliance with Construction Contract requirements, including reviewing, monitoring, evaluating and acting upon documentation required for PTC Contract compliance, and maintaining the appropriate files thereof.

3. Verify compliance responsibility include EEO Affirmative Actions for the prime contractor and subcontractors, DBE Affirmative Action, Contractor Formal Training, Payroll, and Subcontracts.

4. Keep all related documents and correspondence accurate and up to date; attend all compliance reviews and furnish the complete project files for review; and assist the Department’s Contract Compliance Manager as requested.

5. Possess a High School diploma or equivalent with one (1) year of experience as a resident compliance officer on a construction project or two (2) years of assisting the compliance officer in monitoring the project.

6. Should have prior experience in both State funded and Federal Aid funded construction projects with FDOT and knowledge of EEO/AA laws and FDOT’s DBE and OJT programs.

7. Ability to analyze, collect and evaluate data, and take appropriate action when necessary. Must attend all training workshops or meetings for Resident Compliance Specialists as determined necessary.

3. General Program Management Services

The Consultant will be accountable for execution of tasks related to the implementation of the PTC System including the following services:

A. Provide overall program management of the PTC Contractor’s activities. B. Provide program management and project control to ensure PTC Contractor’s

adherence to scope, schedule and program cost and technical performance for all deliverables and products. Establish, monitor and/or evaluate project scheduling requirements and major milestone events for engineering/installation activities.

C. Provide additional design engineering expertise as necessary to perform PTC Contractor design reviews and other design support tasks such as analysis of alternative designs and review of overall constructability. This expertise may include personnel such as electrical engineers, communications specialists, railway signal specialists, and system integration specialists.

D. Review the PTC Contractor's plans for compliance with the PTC Contractor’s Technical Scope and FRA requirements and promptly report any discrepancies to the Department. Establish a comment resolution process with the PTC Contractor and reviewers to clarify any comments, review comments not accepted, and resolve any outstanding comments. The plans include, but are not limited to:

1. Project Management Plan (PMP) 2. Construction Safety Plan (CSP) 3. List of approved PTC Vendors as part of a PTC Product Vendor List

(PTCPVL). 4. Document Management Plan 5. Software Quality Assurance Plan (SQAP) 6. Software Configuration Management Plan (SCMP) 7. PTC System Configuration Items (CIs) in a Configurations Item List

(CIL) 8. PTC Safety Plan (PTCSP) based on format and content as required by

49 CFR Part 236 for FRA approval of the CFRC PTCSP 9. Contract Data Requirements List (CDRL)

E. Respond to project related correspondence from the PTC Contractor and third parties as required, based on input provided by the Department.

F. Coordinate with the Department, the Department’s Operations and Maintenance (O&M) and Signal Maintenance Contractors for the CFRC, the Department’s Design-Build Contractor for the Phase 2 South Project, and the tenant railroads (CSXT, Amtrak and the Florida Central Railroad (FCEN)).

G. Assist the Department to update CFRC Operating Rules as required. H. Assist the Department to obtain Interoperability Agreements with other

railroads. I. Coordinate interactions between the Department, the PTC Contractor, the FRA

and other State and Federal agencies as well as other third parties in connection with the Project.

J. Review PTC Contractor-prepared FRA documentation, and when accepted, assist the Department with submitting the required documents to the FRA including, but not limited to, the PTC Development Plan variances and revised PTC Implementation Plan as may be required, and PTC Safety Plan.

K. Maintain the Department’s PTC policies and procedures. L. Attend all Progress Review Meetings and participate as required. M. The Consultant shall prepare a monthly progress report through the duration of

the project. The report shall address, but is not limited to, descriptions of work completed, work in-progress, work to be accomplished, problems encountered and solutions to the problems, schedule compliance, cost estimates, budget compliance, and Disadvantaged Business Enterprise participation. An updated schedule shall be submitted with the monthly progress report. The monthly progress report shall be in a format agreed to by the Department.

N. Develop, implement, and maintain a program-wide document control and filing system.

O. Support the Department’s project specific public involvement/community awareness activities.

P. The Consultant shall prepare monthly invoices for the professional services in a format agreed to by Department, with supporting documentation.

4. Surveying and Mapping

The Consultant may be authorized to provide services for incidental surveying and mapping support services as authorized in writing in accordance with Department procedures.

5. Geotech The Consultant may be authorized to provide services for incidental geotechnical services as authorized in writing in accordance with Department procedures.

6. Project Office

The Consultant shall provide a project office with sufficient room and furnishings to effectively carry out the Consultant’s responsibilities under this Scope of Services. Security shall be established to preclude the entry of unauthorized personnel into the project office. Provisions shall be made in the storage arrangement to prevent damage, deterioration, or loss and provide for prompt replacement or substitution of lost or damaged records.

7. Performance of the Consultant During the term of this Agreement and all Supplemental Amendments thereof, the Department will review various phases of the Consultant operations, such as CEI and administrative activities, to determine compliance with this Agreement. Additional information for CEI Scope of Service responsibilities is available at the following link: http://www.fdot.gov/Construction/DesignBuild/ConsultantCEI/ConsultantMain.shtm If deficiencies are indicated, remedial action shall be implemented immediately. Department recommendations and Consultant responses/actions are to be properly documented by the Consultant. No additional compensation shall be allowed for remedial action taken by the Consultant to correct deficiencies. Remedial actions and required response times may include but are not necessarily limited to the following:

A. Further subdivide assigned inspection responsibilities, reassign inspection personnel, or assign additional inspection personnel, within one week of notification.

B. Immediately replace personnel whose performance has been determined by the Consultant and/or the Department to be inadequate.

C. Immediately increase the frequency of monitoring and inspection activities in phases of work that are the Consultant's responsibility.

D. Increase the scope and frequency of training of the Consultant personnel.

8. Quality Assurance Program Within thirty (30) days after receiving NTP, the Consultant will furnish a Quality Assurance (QA) Plan to the Department. The QA Plan shall detail the procedures, evaluation criteria, and instructions of the Consultant’s organization for providing services pursuant to this Agreement. Unless specifically waived, no payment shall be made until the Department approves the Consultant QA Plan. Significant changes to the work requirements may require the Consultant to revise their QA Plan. It shall be the responsibility of the Consultant to keep the plan current with the work requirements. The Plan shall include, but not be limited to, the

following areas: A. A description is required of the Consultant QA Organization and its functional

relationship to the part of the organization performing the work under the Agreement. The authority, responsibilities and autonomy of the Consultant’s QA organization shall be detailed as well as the names and qualifications of personnel in the quality control organization.

B. Detail the methods used to monitor and achieve organization compliance with Agreement requirements for services and products.

C. Outline the types of records which will be generated and maintained during the execution of the QA program. At a minimum, the following PTC Project documents will be maintained:

D. Documents will be attributed and tracked based on the Department’s Electronic Document Management System (EDMS) filing system (see EDMS Quick Reference Scan Listing at the following link:

http://www.dot.state.fl.us/construction/download/HBQuickRefScanList.pdf) E. Schedule and attend SiteManager™/EDMS informational meeting with the

District Construction Office. Provide appropriate staff to attend and participate in this meeting.

F. Provide personnel proficient in the use of computers and scanner operation to input PTC Contract documents into an EDMS. This will require familiarity with the documents and guidelines posted on the Department’s website for EDMS. Duties will include scanning, attributing and retrieving documents that are to be archived electronically.

G. Detail the methods used to control subconsultant quality, as applicable. H. An officer of the Consultant firm shall certify that the inspection and

documentation was done in accordance with FDOT specifications, plans, standard indexes, and Department procedures.

I. Conduct semi-annual Quality Assurance Reviews of the Consultant’s QA Plan to ensure compliance with the requirements of the Agreement. Quality Assurance Reviews shall be conducted to evaluate the adequacy of materials, processes, documentation, procedures, training, guidance, and staffing included in the execution of this Agreement. Quality Assurance Reviews shall also be developed and performed to achieve compliance with specific QA provisions contained in this Agreement. The semi-annual reviews shall be submitted to the Department in written form no later than one (1) month after the review.

J. Maintain adequate records of the quality assurance actions performed by the organization (including subcontractors and vendors) in providing services and products under this Agreement. All records shall indicate the nature and number of observations made, the number and type of deficiencies found, and the corrective actions taken. All records shall be available to the Department, upon request, during the Agreement term. All records shall be kept at the primary job site and shall be subject to audit review.

9. Agreement Management Pursuant to Section 337.11(9)(a), Florida Statutes, the Consultant is hereby designated by the Secretary of the Department to negotiate and approve Supplemental Agreements within the thresholds established in the CPAM. The Consultant shall seek input from the Department relating to all Supplemental Agreement requests. Supplemental Agreements must be determined to be in accordance with Florida law by the Department prior to approval by the Consultant. For any Supplemental Agreement which exceeds the thresholds, prepare the Supplemental Agreement as a recommendation to the Department, which the Department may accept, modify or reject upon review. Consult with the Department as necessary and direct all issues for Department action or direction.

10. Other Services

Upon written authorization by the Department, the Consultant will perform additional services in connection with the project not otherwise identified in this Agreement. The following items are not included as part of this Agreement, but may be required by the Department to supplement the Consultant services under this Agreement. These services are included, but not limited to:

A. Assist in preparing for arbitration hearings or litigation that occurs during the Agreement time in connection with the PTC project covered by this Agreement.

B. Provide qualified engineering witnesses and exhibits for arbitration hearings or litigation in connection with the Agreement.

C. Provide inspection services in addition to those provided for in this Agreement. D. Provide services determined necessary for the successful completion and

closure of the PTC Contract.

11. Post Installation Claims Review

In the event the PTC Contractor submits a claim for additional compensation and/or time after the Consultant has completed this Agreement, analyze the claim, engage in negotiations leading to settlement of the claim, and prepare and process the required documentation to close out the claim. Compensation for such services will be negotiated and effected through a Supplemental Amendment to this Agreement.

12. Third Party Beneficiary

It is specifically agreed between the parties executing this Agreement that it is not intended by any of the provisions of any part of the Agreement to create in the public or any member thereof, a third party beneficiary hereunder, or to authorize anyone not a party to this Agreement to maintain a claim, cause of action, lien or any other damages or any relief of any kind pursuant to the terms or provisions of this Agreement. The Department shall be the final authority in considering modifications to the PTC Contractor’s Contract for time, money or any other consideration except matters agreed to by the PTC Contractor through contract changes negotiated by the Consultant, as authorized herein.

V. PTC CEI SERVICES

1. PTC Installation:

The Consultant will serve as the Department’s representatives in the field. The major tasks of the Consultant include, but are not limited to, the following:

A. It shall be the responsibility of the Consultant to administer, monitor, and

inspect the PTC Contractor such that the project is installed and implemented in reasonable conformity with the plans, specifications, and special provisions for the PTC Contract.

B. Observe the PTC Contractor’s work to determine the progress and quality of work. Perform Quality Assurance monitoring, and surveillances of the PTC Contractor’s activities to assure compliance with the design criteria and appropriate codes and requirements and the PTC Contractor’s QA/QC Plan.

Identify discrepancies, report significant discrepancies to the Department, and direct the PTC Contractor to correct such observed discrepancies.

C. Coordinate the PTC Contract administration activities of all parties other than the Contractor involved in completing the project. Notwithstanding the above, the Consultant is not liable to the Department for failure of such parties to follow written direction issued by the Consultant.

D. Services shall include maintaining the required level of surveillance of Contractor activities, interpreting plans, specifications, and special provisions for the PTC Contractor’s Contract. Maintain complete, accurate records of all activities and events relating to the project and properly document all project changes.

E. Analyze the PTC Contractor’s schedule(s) (i.e. baseline(s), revised baseline(s), updates, as-built, etc.) for compliance with the contract documents. Elements including, but not limited to, completeness, logic, durations, activity, flow, milestone dates, concurrency, resource allotment, and delays will be reviewed. Verify the schedule conforms to the PTC installation phasing, including all contract modifications. Provide a written review of the schedule identifying significant omissions, improbable or unreasonable activity durations, errors in logic, and any other concerns as detailed in CPAM.

F. Analyze problems that arise on a project and proposals submitted by the Contractor; work to resolve such issues, and process the necessary paperwork.

G. Monitor, inspect and document utility relocation self-performed by the contractor for conformance with Utility Agency’s Standards and the Utility Agency’s Approved Materials List. Document utility construction progress to be performed by Utility Agencies. Facilitate coordination and communication between Utility Agency’s representatives, Department’s staff and Contractors executing the work. Identify potential utility conflicts and assist in the resolution of utility issues including Department and Local Government owned facilities.

H. Identify, review, and track progress of Joint Project Agreements, and/or other Department and utility agreements. Address work progress, track reimbursement activities, and address betterment and salvage determination. Prepare all necessary documentation to support reimbursement activities and betterment and salvage determination.

I. Inform the Department of any significant omissions, substitutions, defects, and deficiencies noted in the work of the PTC Contractor and the corrective action that has been directed to be performed by the PTC Contractor. Inform the Department of any design defects, reported by the PTC Contractor or observed by the consultant.

J. Produce reports, verify quantity calculations and field measure for payment purposes as needed to prevent delays in Contractor operations and to facilitate prompt processing of such information in order for the Department to make timely payment to the Contractor.

K. Prepare and make presentations for meetings and hearings before the Dispute Review Boards in connection with the project covered by this Agreement.

L. Monitor the PTC Contractor’s compliance with specifications and special

provisions of the PTC Contract in regard to payment of predetermined wage rates in accordance with Department procedures.

M. The Consultant will monitor the PTC Contractor’s compliance with the PTC Contract requirements. These requirements include, but are not limited to:

1. The PTC Contractor shall prepare a detailed test procedure for each test. Each test procedure shall be submitted to the Department for review and approval at least 90 days prior to conducting the test

2. Complete Test Records of all tests, including but not limited to Factory Testing, Functional Performance Tests, and Unstructured Testing. Results shall be compiled and maintained by the PTC Contractor and delivered at the completion of each test.

3. The PTC Contractor shall meet all FRA requirements for Testing and Inspection of the PTC System, including coordination of PTC testing with FRA inspectors who will witness the testing and review the results. The PTC Contactor shall provide Maintenance Manuals covering all System equipment maintenance functions; Operating User’s Manuals which include operating, signals, communications, and rolling stock equipment; and manuals for each software systems including Software User Manuals, Database Administrator Software Manual, and System Administrator User Manual.

N. The Consultant is responsible for reviewing, monitoring, evaluating and acting upon documentation required for PTC Contract compliance, and maintaining the appropriate files thereof. Typical areas of compliance responsibility include EEO Affirmative Actions for the PTC Contractor and subcontractors, DBE Affirmative Action, PTC Contractor Formal Training, Payroll, and Subcontracts. The Consultant shall keep all related documents and correspondence accurate and up to date; attend all compliance reviews and furnish the complete project files for review; and assist the Department as requested.

O. Prepare and submit to the Department monthly, a Construction Status Reporting System (CSRS) report for the PTC Project, in a format to be provided by the Department.

P. Maintain an accurate and current record of daily construction progress. Q. Provide photographic documentation of pre-installation state and of

noteworthy incidents or events during PTC installation. These photographs will be filed and maintained on the Consultant’s computer using a digital photo management system. Photographs shall be taken the day prior to the start of PTC installation and continue as needed throughout the project. Photographs shall be taken the days of Conditional, Partial and Final Acceptance.

R. Provide visual documentation of the Project through the periodic collection of a set of digital photographs of predetermined system component installations for the project. Photographic locations should be located such that the digital photographs collectively portray all equipment and components installed as part of the Project. The digital photographs should be taken with a frequency designed to reveal changes in the progress of the Project, which can be compared to other project data including daily status reports of PTC

installation and scheduling updates. Photographic data files comprising each digital photograph are to be supplied together with an HTML (web page) based access and display system for viewing the photographs. Original photographic data files are to be supplied for archival purposes and comprise photographic data identical in form and content to that produced by the digital camera used to capture the image. Working photographic data files are to be supplied for everyday reference purposes and comprise copies of each original photographic data file, which have been processed to a reduced pixel and color resolution (size and clarity) for distribution via CD ROM and the Internet. The access and display system should be comprised of a series of HTML files (web pages) which allow a user to view each photographic data file at random, and in a sequence which simulates the visual experience of a viewer moving through the actual Project from one photographic station to the next. The original photographic data files, working photographic data files and access and display system are to be distributed on CD ROM and portable hard disk media. The working photographic data files and the access and display system should also be maintained on a server accessible via the Internet.

S. Respond to all of the PTC Contractors' Requests for Information (RFI). T. Negotiate all changes with the PTC Contractor and perform an Engineer’s

Estimate prior to such negotiations; U. Review/approve shop and erection drawings as submitted by the PTC

Contractor.

2. Vehicles

Consultant’s vehicles will be equipped with appropriate safety equipment and must be able to effectively carry out requirements of this Agreement. Vehicles shall have the name and phone number of the consulting firm visibly displayed on both sides of the vehicle.

3. Field Equipment:

The Consultant shall supply survey, inspection, and testing equipment essential to perform services under this Agreement; such equipment includes non-consumable and non-expendable items. Hard hats shall have the name of the consulting firm visibly displayed. Equipment described herein and expendable materials under this Agreement will remain the property of the Consultant and shall be removed at completion of the work. Handling of nuclear density gauges shall be in compliance with their license. The Consultant shall retain responsibility for risk of loss or damage to said equipment during performance of this Agreement. Field office equipment shall be maintained and

in operational condition at all times.

4. Licensing for Equipment Operations:

The Consultant shall obtain proper licenses for equipment and personnel operating equipment when licenses are required. The license and supporting documents shall be available for verification by the Department, upon request.

5. Safety Rules:

The Consultant shall follow all safety rules and requirements as required by the Department for CEI activities within the corridor including, but not limited to, CFRC Roadway Worker Protection training. All personnel who are working within the corridor shall maintain CFRC eRailSafe Shortline security credentials.

6. On-Site Inspection

The Consultant shall monitor the PTC Contractor's on-site installation activities and inspect materials entering into the work in accordance with the plans, specifications, and special provisions for the PTC Contract to determine that the projects are constructed in reasonable conformity with such documents. Maintain detailed accurate records of the PTC Contractor's daily operations and of significant events that affect the work. The Consultant will monitor off-site activities, such as fabrication and Factory Acceptance Testing.

VI. SYSTEM INTEGRATION TESTING SERVICES

The Consultant shall administer, monitor, inspect and verify the PTC Contractor’s testing and inspection program meets all FRA requirements for testing and inspection of the installed PTC System. The Consultant shall coordinate PTC SIT testing with the Department and FRA inspectors, including but not limited to Integrated System Lab Tests and Integrated System Tests, Field Integration Testing, Field Qualification Testing and System Acceptance of all segments.

A. The Consultant shall review the responsibilities in the PTC Contractor’s PTC

System Test & Commissioning Program for completeness, including but not limited to:

1. PTC Wayside System - The PTC Contractor shall configure, furnish, install, integrate, test, and commission the wayside signal system locations of the Department CTC systems governing mainline train movements.

2. Rolling Stock PTC Onboard System - The PTC Contractor shall configure, furnish, install, integrate, test, and commission the retrofit of designated rolling stock of the Department rolling stock identified in

these Specifications with onboard PTC equipment and systems. 3. PTC Communications Systems - The Contractor shall configure,

furnish, install, integrate, test, and commission new PTC communications systems and retrofit of existing communications systems of the Department’s PTC Railroads identified in these Specifications.

4. PTC Hosted Back Office System - The PTC Contractor shall be responsible to procure, install, configure and test all hardware infrastructure required to interface the PTC Hosted Back Office with all segments of the Department’s PTC infrastructure and all other external systems to provide a complete PTC System.

B. The Consultant shall review and verify the PTC Contractor’s Master Test Program defines test plans and procedures for all systems, subsystems, products, components, equipment, and materials furnished, including hardware and software, and all work performed sufficient that testing can be fully executed.

C. The Consultant shall monitor and verify all FRA-required testing documentation is completed by the PTC Contractor.

D. The Consultant shall monitor and verify all reliability, availability, maintainability, and safety (RAMS) requirements are propagated through all systems and system elements so as to meet the overall RAMS requirements of the PTC Contractor.

E. The Consultant shall review and verify all documentation, submittals and reports required for submittal to the FRA by the CFRC are performed by the PTC Contractor including but not limited to the PTCIP, PTCDP Variance Requests, PTCSP, system performance certification documents, annual and quarterly status reports, test documentation, staging plans, and any other FRA required documentation.

F. The Consultant shall witness and verify the PTC Contractor has met all FRA requirements for Testing and Inspection of the PTC System, including coordination of PTC testing with FRA inspectors who will witness the testing and review the results.

G. The Consultant shall review and verify the PTC Contractor has developed and provided PTC-related training for the following designated classifications of the Department staff, including the Department’s O&M and Signal Maintenance Contractors:

1. Dispatchers, 2. Train crews, 3. Maintenance personnel 4. Management staff.

H. The Consultant shall review and verify the PTC Contractor has configured, furnished, installed, integrated, tested, and commissioned the wayside signal system locations of the CTC systems governing mainline train movements.

I. The Consultant shall review and verify the PTC Contractor has configured, furnished, installed, integrated, tested, and commissioned the retrofit of designated rolling stock identified in the PTC Contractor’s Technical

Specifications with onboard PTC equipment and systems. J. The Consultant shall review and verify the PTC Contractor has configured,

furnished, installed, integrated, tested, and commissioned new PTC communications systems and retrofitted existing Department communications systems identified in the PTC Contractor’s Technical Specifications.

K. The Consultant shall review and verify the PTC Contractor has procured, installed, configured and tested all hardware infrastructure required to interface the PTC Hosted Back Office with all segments of the Department’s PTC infrastructure and all other external systems to provide a complete PTC System.

VII. REVENUE SERVICE DEMONSTRATION TESTING SERVICES

The Consultant shall monitor Revenue Service Demonstration Testing, anticipated to extend for one year after Final Acceptance. The Consultant shall review FRA-required documentation verifying that all PTC System functionality, interoperability, and performance requirements are executed in accordance with the Department-approved configuration and in accordance with the FRA PTC Regulations for revenue service.

A. The Consultant shall conduct a monthly review of the PTC Contractor’s Reliability, Availability, Maintainability, and Safety (RAMS) Reports, including any variances from the Contract requirements for the PTC Availability in full PTC operation, the PTC Communications Availability, the PTC Hosted Back Office Availability, the Mean Time to Restore Service (MTTRS), and the Mean Time Between Service-Disrupting Failures (MTBSDF).

B. The Consultant shall monitor the Reliability Demonstration Test conducted by the PTC Contractor during the first three months of PTC Hosted Back Office revenue operation.

C. The Consultant shall summarize the functional status of the PTC system and any required mitigations.

VIII. RESPONSIBILITY OF THE DEPARTMENT

The Department will furnish, without cost to the Consultant, the following services and data under the terms of this agreement:

A. Provide all criteria and full information as to the Department’s requirements for

consultants’ and contractors’ services including copy of the Executed PTC Contract, objectives, constraints, budgetary limitations and time restraints.

B. Furnish all Department procedures, standards, and policies applicable to the services. All

Department documents, directives, procedures, and standard forms are available through the Department’s Internet website. Most items can be purchased through the following address. All others can be acquired through the District Office or on-line at the

C. Furnish drawings, specifications, schedules, reports and other information prepared by

and/or for the Department by others which are available to the Department and which the Department considers pertinent to the Consultant’s responsibilities, as described herein.

D. Provide existing plans, studies and other available data.

E. Furnish all necessary utility form letters, agreements, relocation schedules and other

document forms as needed.

F. Review and comment on the submittals from the Consultant.

IX. SUBCONTRACTING

Services assigned to subconsultants must be approved in advance by the Department in accordance with Standard Consultant Agreement. The subconsultants must be qualified by the Department to perform all work assigned to them. In the event services of a subconsultant are authorized, the Consultant shall obtain a schedule of rates, and the Department shall review and must approve any rates to be paid to the subconsultant.

X. COMPUTER SERVICES (OFFICE AUTOMATION)

The Consultant shall provide all software and hardware necessary to efficiently and effectively carry out the responsibilities under this Agreement. The Consultant shall comply with the Department’s Information Technology Resource Standards. The Consultant will obtain FDOT user ids as appropriate and maintain current passwords. The Consultant shall provide each inspection staff with a laptop computer (or tablet) running SiteManager™ application through Citrix connection using a mobile broadband connection at the jobsite. All computer coding shall be input by Consultant personnel using equipment furnished by them. All informational, contractual and other business required for this project will be through a system of paperless electronic means. When the specifications require a written submission of documentation, such documents must be submitted electronically. All documents requiring a signature must be executed electronically by both parties in accordance with Chapter 668, Florida Statutes, and have the same force and effect as a written signature. The Department will provide a web-based collaboration site to facilitate the electronic document exchange. All persons requiring access to the collaboration site shall be identified during the preconstruction conference. All persons that normally sign paper documents, and will be using the site, must acquire digital signature certificates. Ownership and possession of computer equipment and related software, which is provided by the Consultant, shall remain at all times with the Consultant. The Consultant shall retain responsibility for risk of loss or damage to said equipment during performance of this Agreement. Field office equipment should be maintained and operational at all times. Computations based on computer programs other than the Department’s must conform to the Department’s general format. (See “Plans Preparation Manual”).

XI. SPECIFICATIONS FOR WORK

The Consultant shall ensure that all work efforts are completed in accordance with the latest standards adopted by the Department.

The Consultant shall ensure that all contract documents and support forms have been prepared using the Department’s current software.
