HTG will provide the technical knowhow and will assist the students in completingthe project work.

NOW, THEREFORE, in consideration with the mutual covenant and MOU hereinafter set

The total professional lee for the total program lor Minimum .+0 + 40 Students for DOTNETand PHP respectively is Rs.1,60,000/- (One lakh sixty Thousand rupees only) inclusive of allthe taxes.

THE RESPONSIBILITIES OF HTG.

1 . We shall conduct the respective training program in the premises of SC.

2. We will provide the consultant, project titles and the required substance lor the completion ofthe dissertation reports and ensures the successful completion olthe project work within the timeframe ofthe Bangalore University schedule ofthe exams for the year 2014.

3. In case the students or SC management are not satisfied with the trainer/consultant we willchange the same as per the requirement.

4. After completion of the training rve will be providing them the individual course completioncertificate to all the students who scores 600/o and above in the flnal evaluation exam.

THE RESPONSIBILITIES OF SUITANA COLLBGE

1. SC will ensure that the commitment of students given is met and in cases of any shortfall inthe number of students the payment shall be for the minimum commitment. In cases there aremore number ofstudents, the payment shall be as per the fees mentioned in the quotation

2. SC witl be providing the infrastructure and Laboratory for taking up the classes and Projects.

3. All Invoices raised by HTG shalt be paid within 5 days from the date of Invoice without fail

4. The schedule of the training and the list of students wilh contact details will be Provided bySC.

JOINT II.ESPONSIBILITIES OF BOTH'I'HE PARTII'S.

I. PROGRAMMECOORDINATOR

Both Parties shall nominate one coordinator each from either side for the smooth functioning andadministration of the Joint venture. Mr. Nataraj D N will represent HTG and Mr./Ms. VidyaPrasad Faculty from SC. These coordinators shall meet frequently and work out the detailspertaining to the conduct of these programs. The coordinators shall try to solve all problemsamicably and with a view to ensure smooth conduct of these programs.

2. FINANCIAL COMMITNII'NTS

The professional fees will be collected by HTG representative and the necessary receipt will beprovided to the SC management.

3. COMMENCEMENT/EXPTRATION/TERMINATION

This MOU takes effect from the date of signing the agreement by the representatives of bothpa(ies and shall remain in effect for two years from the date of execution. This MOU may beextended or amended with mutual consent in writing. Either party may terminate this MOU with90 days of written notice to the other. Such notice shall be send by private intemational courierto the address ofthe party mentioned in this agreement.

4. NO ASSIGNMENT

No party, without the prior written consent of the other, may assign the benefit or the br.rrden ofthis MOU.

5, PUBLICITY

Any press release or related publicity or publication ol findings corurected with this MOU shallbe managed and co-ordinate between the Parties, including the text ofany press statements to beagreed belorehand in writing by the Parties.

6. CONFIDENTIALITYOFINFOITMATION

All iniormation in any form which includes business, commercial, financial, technical,marketing information exchanged by one Party to the other Party.

During the relationship would be treated as confidential, and neither party would share suchinformation to third parties without an explicit consent ofthe other party on a case to case basis.This clause shall not apply to information that is already in the public domain or in possession ofthe party or is independently developed by the Party without using confidential information.

I. SETTLEMENTOFDISPUTES

Differences, if any, between the parlies in respect of this MOU or any activity there under shallbe sought to be resolved by mutual discussion and agreement. Failing such resolution, thedispute or difference shall be referred to mutually agreed arbitrator. The language ofarbitration shall be English.

HTG/party I and SC/party 2 are jointly referred to as Parties in this MOU

WHEREAS

This MOU stands true to the requirement of the SC Graduate students withregards to the training on ASP DOT NET and MSSQL alongwith the assistance on project dissertation report for the award of Bachelors in ComputerApplications. HTG will provide the technical knowhow and will assist the students in completingthe project work.

NOW, THEREFORE, in consideration with the mutual covenant and MOU hereinafter setforth. the PARTIES agree as follows:

PROFESSIONAL FEES

The total professional fee for the total program for Minimum 40 Students for DOTNET andMSSQL respectively is Rs.90,000/- (Ninty thousand rupees only) inclusive of all the taxes.

(ASP.NET and MSSQL)3. 25'Y" after completion of the project work.

THE RESPONSIBILITIES OF HTG.

l. We shall conduct the respective training program in the premises of SC.

2. We will provide the consultant, project titles and the required substance for the completion ofthe dissertation reports and ensures the successful completion ofthe project work within the timefrarne ofthe Bangalore University schedule ofthe exams for the year 2015.

3. In case the students or SC management are not satisfied with the trainer/consultant we willchange the same as per the requirement.

4. After completion of the training we will be providing them the individual course completioncertificate to all the students who scores 60Yo wrd above in the final evaluation exam.

THE RESPONSIBILITItrS OF SURANA COLLEGE

1. SC will ensure that the commitment of students given is met and in cases of any shortfall inthe number of students the payment shall be for the minimum commitment. In cases there aremore number of studenls, the payment shall be as per the fees mentioned in the quotation

2. SC will be providing the infrastructurc and Laboratory for taking up the classes and Projects.

3. All Invoices raised by HTG shall be paid within 5 days from the date of lnvoice without fail.

4. The schedule of the training and the list of students with contact details will be Provided bySC.

JOINT RESPONSIBILITIES OF BOTH THE PARTIES.

1. PROGRAMMECOORDINATOR

Both Parties shall nominate one coordinator each from either side for the smooth functioning and

administration of the Joint venture. Mr. Nataraj D N will represent HTG and Mr./Ms. VidyaPrasad Faculty from SC. These coordinators shall meet frequently and work out the detailspertaining to the conduct of these programs. The coordinators shall try to solve all problems

amicably and with a view to ensure smooth conduct of these programs.

) FINANCIAL COMMITMENTS

The professional fees will be collected by HTG representative and t}re necessary receipt will beprovided to the SC management.

3. COMMENCEMENT/EXPIRATION/TERMINATION

This MOU takes effect from the date of signing the agreement by the representatives of bothparties and shall remain in effect for two years from the date of execution. This MOU may be

extended or amended with mutual consent in writing. Either party may terminate this MOU with90 days of written notice to the other. Such notice shall be send by private intemational courierto the address of the party mentioned in this agreement.

4. NO ASSIGNMENT

No parfy, without the prior written consent of the other, may assign the benefit or the burden ofthis MOU.

5. PUBLICITY

Any press release or related publicity or publication of findings connected with this MOU shatlbe managed and co-ordinate between the Parties, including the text ofany press statements to beagreed beforehand in writing by the Parties.

6- CONFIDENTIALITYOFINFORMATION

All information in any form which includes business, commercial, financial, technical,marketing information exchanged by one Party to the other Party.

During the relationship would be treated as confidential, and neither party would share suchinformation to third parties without an explicit consent of the other party on a case to case basis.This clause shall not apply to information that is already in the public domain or in possession ofthe party or is independently developed by the Party without using confidential information.

This MOU stands true to the requirement of the SC Graduate students withregards to the training on PIIP & Mysqt alongwith the assistance on project disse(ation report for the award of Bachelors in ComputerApplications. HTC will provide the technical knowhow and will assist the students in completingthe project work.

NOW, THEREFORE, in consideration with the mutual covenant and MOU hereinafter setforth, the PARTIES agree as follows:

PROFESSIONAL FEES

The total professional fee for the total program for Minimum 40 Students for PHP respectivelyis Rs.90,0fi)/- ( Ninety thousand rupees only) inclusive of all the taxes.

l, 35 o/o along with the commercially cleared Purchase Order.2. 40o/" after the completion of the training on the technologies

( PHP& MYSQL)3, 25"/o after completion of the project work.

NOTE: TDS will be deducted as per the norms.

THE RESPONSIBILITIES OF HTG.

1. We shall conduct the respective training program in the premises of SC.

2. We will provide the consultant, project titles and the required substance for the completion ofthe dissertation reports and ensures the successful completion ofthe project work within the timeframe of the Bangalore University schedule of the exams for the year 20'15.

3. In case the students or SC management are not satisfied with the trainer/consultant we willchange the same as per the requirement.

4. After completion of the training we will be providing them the individual course completioncertificate to all the students who scores 60%o ar,d above in the final evaluation exam.

THE RE,SPONSIBILITIES OF SURANA COLLEGE

l. SC will ensure that the commitment of students given is met and in cases of any shortfall inthe number of students the payment shall be for the minimum commitment. In cases there aremore number of students, the payment shall be as per the fees mentioned in the quotation

2. SC will be providing the infrastructure and Laboratory for taking up the classes and Projects.

3. All Invoices raised by HTC shall be paid within 5 days from the date of Invoice without fail.

4. The schedule of the training and the list of students with contact details will be provided bySC.

JOINT RESPONSIBILITIES OF BOTH THE PARTIES.

I. PROGRAMMECOORDINATOR

Both Parties shall nominate one coordinator each from either side for the smooth functioning and

administration of the Joint venture. Mr. Nataraj D N will represent HTG and Mr.Ms. VidyaPrasad Faculty from SC. These coordinaton shall meet frequently and work out the detailspertaining to the conduct of these progr,rms. The coordinators shall try to solve all problems

amicably and with a view to ensure smooth conduct ofthese programs.

) FINANCIAL COMMITMENTS

The professional fees will be collected by HTG representative and the necessary receipt will beprovided to the SC management.

3. COMMENCEM ENT/EXPI RATION/TERMI NATION

This MOU takes effect from the date of signing the agreement by the representatives of bothparties and shall remain in effect for two years from the date of execution. This MOU may beextended or amended with mutual consent in writing. Either party may terminate this MOU with90 days of written notice to the other. Such notice shall be send by private intemational courierto the address of the pa-rty mentioned in this agreement.

4. NO ASSIGNMENT

No party, without the prior written consent of the other, may assign the benefit or the burden ofthis MOU.

5. PUBLICITY

Any press release or related publicity or publication of findings connected with this MOU shallbe managed and co-ordinate between the Parties, including the text ofany press statements to &agreed beforehand in writing by the Parties.

6. CONFIDENTIALITY OF INFORMATION

All information in any form which includes business, commercial, financial, technical,marketing information exchanged by one party to the other party.

Differences, if any, between the parties in respect of this MOU or any activity there under shallbe sought to be resolved by mutual discussion and agreement.
