Structure of Transaction
• OpGen acquisition of Curetis GmbH for 2.66 million new shares of OpGen common stock, which corresponds to a 72.5% (CURE) to 27.5% (OPGN) relative ownership prior to any additional financing
Financial Considerations
• Combined company positioned for strong growth profile and sustained value creation
• Estimated 2020 combined revenue of $10-15 million, up from an anticipated $5-6 million in 2019
• Target to significantly reduce net loss starting in 2020 and beyond
Subject to approval by OpGen’s and Curetis’ respective regulators, shareholders, and debt financing providers
• Both companies’ Boards of Directors have approved the definitive implementation agreement
• Both companies will seek approval from their respective shareholders in extraordinary general meetings toto be scheduled as soon as practicable

UPDATES AS OF NOV 14, 2019: CONDITION PRECEDENT OF INTERIM FINANCING SUCCESSFULLY MET
CURETIS & OPGEN TO COMBINE BUSINESSES
Debt Holder Approvals
• On 15 October 2019 Curetis debt holder European Investment Bank formally approved the transaction subject to customary closing conditions.
Interim Financing
• On 28 October 2019 OpGen announced successful closing of $9.4 Million underwritten public offering.
• As per the Implementation Agreement between Curetis and OpGen, part of the proceeds form this transaction will be used to (1) complete the business combination with Curetis GmbH; (2) provide short-term funding to Curetis GmbH under an interim financing facility to fund current operations of Curetis’ business.
• The interim financing facility agreement was signed on November 12, 2019 providing Curetis with access to at least US$ 4 million.
S4 Filing
• On 12 November 2019, OpGen filed an S4-Form with the SEC to seek approval of the business combination. Review and approval of the S4 filing are expected in the coming weeks and will be one of the last critical steps before inviting for the shareholder meetings and seeking their approval for the transaction.
