B. PUBLIC WORKS/SOLID WASTE -Tom Vlach

1. Consider acceptance of easements and authorization to pay the property owner, Kurt M. & M. Dianne Chrysler, the agreed settlement amount of $20,000.00 for the SW 29th Street: SW Indian Hills Road to SW Urish Road project.

4. Consider approval of request to award bid to Downing Sales & Service, Inc. for the following metal commercial containers at a total cost of $24,846.00 which includes freight.

KANSAS DEPARTMENT OF TRANSPORTATION HIGHWAY SAFETY PROJECT AGREEMENT WITH A GOVERNMENT AGENCY

Impaired Driving Deterrence Program (IDDP)

Hereinafter, referred to as the "Secretary."

and:

Sheriff Herman T. Jones

Shawnee County Sheriff's Office

Hereinafter, referred to as the "Project Agency."

Collectively, referred to as the "Parties."

PURPOSE:

To promote highway safety improvement. This highway safety improvement is identified by the project number above and the city or county listed above, hereinafter referred to as the "Project." The Project is further identified by the Impaired Driving Deterrance Program {IDDP) Project Information Sheet.

EFFECTIVE DATE:

The Parties shall be mutually obligated to perform in accordance with this Agreement as of: October 1, 2013

TERMS OF THE AGREEMENT

Article 1- THE SECRETARY AGREES:

1) To reimburse the Project Agency for the added salary and approved commodity expenses incurred in the performance of the Project Agreement in an amount not to exceed the annual amount provided in the IDDP Project Information Sheet. This first year amount is:

$7,031.88

If this agreement is for two or more years, subsequent annual amounts will be reimbursed to the Project Agency through annual Notices to Proceed mailed to the above named official prior to the beginning of the subject year.

2) To reimburse the Project Agency for approved expenses not more than 30 days following receipt of required time sheets, invoices, and other accounting documents and activity reports as set forth in the IDDP Project Information Sheet.

Article II -THE PROJECT AGENCY AGREES:

1) To furnish the necessary personnel, facilities, and such other professional services as may be required to perform the additional law enforcement patrol activities concerning Kansas seat belt, child passenger safety, and impaired driving laws as emphasized in each year's IDDP campaign schedule issued by the Secretary.

2) To promptly qegin the Project upon receipt of Secretary's written Notice to Proceed.

3) To complete the Project by: September 30, 2015

4) To prepare and deliver to the Secretary during and upon completion of the Project all reports as required by the Secretary.

5) To pay actual project costs prior to submitting any reimbursement claim to the Secretary. After the added salary costs have been incurred, the Project Agency shall submit reimbursement invoices to the Secretary.

6) Funds provided under this Agreement shall not supplant any salary expenditure provided for by the Project Agency's current budget.

7) The services to be performed by the Project Agency are personal and cannot be assigned, sublet, or transferred without consent of the Secretary.

8) To maintain accounting records, which shall be made available at all times during the agreement period and for five (5) years from the date of the final payment. The Secretary shall have access to the premises to review and inspect the work and related records. Arrangements for all reviews and inspections by the appropriate federal agency shall be made by the Secretary.

9) Upon request from .the Secretary, the Project Agency shall supply progress reports at monthly or at mutually agreed intervals in conformity with the official Project schedule.

1 0) It is the policy of the Secretary to make any final payments to the Project Agency for services related to the Highway progam in a timely manner. The Single Audit Standards set forth in Federal O.M.B. Circular A-133, "Audits of States, Local ~overnment and Non-Profit Organizations" in 49 C.F.R. Part 18 (Common Rule), require an audit be performed by an independent certified public accountant in accordance with these standards. All information audited shall comply with 49 C.F.R. Part 18 (Common Rule.) ·

The Secretary may pay any final amount due for the authorized work performed based upon the Project Agency's most recent Single Audit Report available and a desk review of the claim by the Contract Audit Section of KDOT's Bureau of Fiscal Services. The Project Agency, by acceptance of this Agreement, acknowledges the final payment is subject to all single audits which cover the time period of the expenses being claimed for reimbursement. The Parties agree as the Single Audit Report becomes available for the reimbursement period (normally should occur within a period of 1-2 years), the Secretary will review the Single Audit Report for items which are declared as not eligible for reimbursement. The Project Agency agrees to refund payment made by the Secretary to the Project Agency for items subsequently found to be not eligible for reimbursement by audit.

12) The Project Agency agrees it shall maintain current registrations in the System for Award Management (SAM) (http://www.sam.gov) at all times during which it has active federal awards.

Article Ill -THE PARTIES AGREE:

1) Disputed matters arising under this Agreement that are not mutually resolved, shall be decided by the Secretary, whose decision shall be final and binding.

2) This Agreement, for any reason, may be terminated upon thirty (30) days written notice by either party; Provided, however, the Project Agency shall not be paid more than that which would be received under the terms of the Agreement for that portion of services rendered to the date of termination.

3) The IDDP Project Information Sheet, Attachment 1, is incorporated by reference and made a part of this Agreement.

4) Attachment 2, pertaining to the implementation of the Civil Rights Act of 1964, is incorporated by reference and made a part hereof.

5) The Certification of the Project Agency, Attachment 3, is incorporated by reference and made a part hereof.

6) The provisions found in the Contractual Provisions Attachment (Form DA-146a, Rev. 04-11)) which is attached hereto as Attachment 4, are hereby incorporated in this contract and made a part thereof.

7) If the total value of this agreement exceeds $100,000, a Certification for Federal Aid Contracts and Accompanying Disclosure of Lobbying Activities will be included as Attachment 5 to this agreement and be incorporated by reference and made a part thereof.

8) This Agreement shall be binding upon the parties hereto and their successors and assigns.

9) It is expressly agreed that no third party beneficiaries are intended to be created by this Agreement, nor do the parties herein authorize anyone not a party to this Agreement to maintain a suit for damages pursuant to the terms or provisions of this Agreement.

NOTIFICATION

The Secretary of Transportation for the State of Kansas, in accordance with the provisions of Title VI and Title VII of the Civil Rights Act of 1964 (78 Stat. 252), §504 of the Rehabilitation Act of 1973 (87 Stat. 355) and the Americans with Disabilities Act of 1990 (42 USC 12101), the Age Discrimination Act of 1975 (42 USC 6101), the regulations of the U.S. Department of Transportation (49 C.F.R., Part 21, 23, and 27), issued pursuant to such Act, Executive Order 12898, Federal Actions to Address Environmental Justice in Minority Populations and Low Income Populations (1994), and the DBE Program (49 C.F.R., Part 26.1), hereby notifies all contracting parties that, the contracting parties will affirmatively ensure that this contract will be implemented without discrimination on the grounds of race, religion, color, gender, age, disability, national origin, or minority populations and low income populations as more specifically set out in the following "Nondiscrimination Clauses".

CLARIFICATION Where the term "Consultant" appears in the following seven "Nondiscrimination Clauses", the term "Consultant" is understood to include all parties to contracts or agreements with the Secretary of Transportation of the State of Kansas.

Nondiscrimination Clauses

During the performance of this contract, the Consultant, or the Consultant's assignees and successors in interest (hereinafter referred to as the "Consultant"), agrees as follows:

(1 )Compliance with regulations: The Consultant will comply with the regulations of the U. S. Department of Transportation relating to nondiscrimination in its federally-assisted programs and codified at Title 49, Code of Federal Regulations, Parts 21, 23 and 27, (hereinafter referred to as the "Regulations"). The Regulations are herein incorporated by reference and made a part of this contract.

(2) Nondiscrimination: The Consultant, with regard to the work performed by the Consultant after award and prior to the completion of the contract work, will not discriminate on the grounds of race, religion, color, gender, age, disability, national origin or minority populations and low income populations in the selection and retention of subcontractors, including in the procurements of materials and leases of equipment. The Consultant will not participate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment practices when the contract covers a program set forth in Appendix B of the Regulations.

(3) Solicitations for Subcontractors, Including Procurements of Material and Equipment: In all solicitations, either competitive bidding or negotiation made by the Consultant for work to be performed under a subcontract including procurements of materials and equipment, each potential subcontractor or supplier shall be notified by the Consultant of the Consultant's obligation under this contract and the Regulations relative to nondiscrimination on the grounds of race, religion, color, gender, age, disability, national origin or minority populations and low income populations. (4) Information and Reports: The Consultant will provide all information and reports required by the Regulations, or orders and instructions issued pursuant thereto, and the Secretary of the Transportation of the State of Kansas will be permitted access to the Consultant's books, records, accounts, other sources of information, and facilities as may be determined by the Secretary of Transportation of the State of Kansas to be pertinent to ascertain compliance with such Regulations, orders and instructions. Where any information required of a Consultant is in the exclusive possession of another who fails or refuses to furnish this information, the Consultant shall so certify to the Secretary of Transportation of the State of Kansas and shall set forth what efforts it has made to obtain the information.

(5) Employment: The Consultant will not discriminate against any employee or applicant for employment because of race, religion, color, gender, age, disability, or national origin.

(6) Sanctions for Noncompliance: In the event of the Consultant's noncompliance with the nondiscrimination provisions of this contract, the Secretary of Transportation of the State of Kansas shall impose such contract sanctions as the Secretary of Transportation of the State of Kansas may determine to be appropriate, including, but not limited to,

(a) withholding of payments to the Consultant under the contract until the Consultant complies, and/or

(b) cancellation, termination or suspension of the contract, in whole or in part.

(7) Disadvantaged Business Obligation: (a) Disadvantaged Businesses as defined in the Regulations, shall have a level playing field to compete fairly for contracts financed in whole or in part with Federal funds under this contract.

(b) All necessary and reasonable steps shall be taken in accordance with the Regulations to ensure that Disadvantaged Businesses have equal opportunity to compete for and perform contracts. No person(s) shall be discriminated against on the basis of race, color, gender, or national origin in the award and performance of federally-assisted contracts.

(c) The Consultant, sub recipient or subcontractor shall not discriminate on the basis of race, color, national origin, or sex in the performance of this contract. The Consultant shall carry out applicable requirements of 49 CFR Part 26 in the award and administration of Federally-assisted contracts. (9) Incorporation of Provisions: The Consultant will include the provisions of paragraphs (1) through (8) in every subcontract, including procurements of materials and equipment, unless exempt by the Regulations, order, or instructions issued pursuant thereto. The Consultant will take such action with respect to any subcontract or procurement as the Secretary of Transportation of the State of Kansas may direct as a means of enforcing such provisions including sanctions for noncompliance: PROVIDED, however, that, in the event a Consultant becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, the Consultant may request the State to enter into such litigation to protect the interests of the State.

31 Termination Due To Lack Qf Funding APpropriation: If, in the judgment of the Director of Accounts and Reports, Department of Administration, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges-hereunder, State may terminate this agreement at the end of its current fiscal year. State agrees to give written notice of termination to contractor at least 30 days prior to the end of its current fiscal year, and shall give such notice tor a greater period prior to the end of such fiscal year as may be provided in this contract, except that such notice shall not be required prior to 90 days before the end of such fiscal year. Contractor shall have the right, at the end of such fiscal year, to take possession of any equipment provided State under the contract. State will pay to the contractor all regular contractual payments incurred through the end of such fiscal year, plus contractual charges incidental to the return of any such equipment. Upon termination of the agreement by State, title to any such equipment shall revert to contractor at the end of State's current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the agency or the contractor.

~ Disciaimer.Of Liability: No provision of this contract will be given effect that attempts to require the State of Kansas or its agencies to defend, hold harmless, or indemnify any contractor or third party for any acts or omissions. Further, the State of Kansas and its agencies do not agree to pay attorney fees, costs, or late payment charges beyond those available under the Kansas Prompt Payment Act (K.S.A. 75-6403), and no provision will be given effect which attempts to exclude, modify, disclaim or otherwise attempt to limit any damages available to the State of Kansas or its agencies at law, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Action Requested: Approval to renew the contract with Dr. Mahasen DeSilva to provide psychiatric services to patients of the Shawnee County Health Agency (SCHA)­Community Health Center (CHC) from January 1, 2014 through December 31, 2014 at the rate of One Hundred Fifty and No/100 Dollars ($150.00) per hour.

Dr. DeSilva provides psychiatric medication management for SCHA-CHC patients with mental health disorders.

The intent of these services is to provide more immediate access to mental health staff for existing clients. The level of service includes assessment and addressing of short-term issues such as anxiety, depression, and situational mental health issues.

SCHA continues to work with Valeo Behavioral Health Care and Family Service & Guidance Center in assuring non-duplication of services in the community and to improve services to those in need by improved partnering. Existing referral processes will be used.

This position is covered by patient revenues generated by the visits as well as by the State Community Based Primary Care Grant.

COMMUNITY HEALm CENTER Contract for Professional Services: Physician/Psychiatrist

THIS CONTRACT, entered into this __ day of , 2013 by and between the Board of County Commissioners of the County of Shawnee, Kansas, hereinafter referred to as "the County" and Mahasen DeSilva, MD, 835 SW Western, Topeka, Kansas 66606, hereinafter referred to as "the Provider."

WHEREAS, the County is desirous of contracting with the Provider for the purpose of providing professional behavioral health care services for patients of the of the Shawnee County Health Agency-Community Health Center (SCHA-CHC):

WHEREAS, the Provider is desirous of providing said professional behavioral health care services for patients of the CHC:

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. The Provider agrees to provide professional behavioral health care services for the County. Professional behavioral health care services shall be defined as: services which are usually and customarily provided by a licensed Psychiatrist under the laws of the State of Kansas which are delivered to persons who have been identified as patients of the CHC. ·

2. The time and location of the delivery of the professional behavioral health care services shall be by mutual agreement between the Provider and the County, and shall be scheduled prior to the anticipated date of delivery. The County may authorize the Provider to provide additional professional behavioral health care services, in addition to the services which have been scheduled, when in the opinion of the County, such services are needed to maintain the efficient and effective operation of the CHC.

3. The Provider shall, for the duration of this contractual agreement, maintain a license to practice as a Physician in the State of Kansas. The provider shall furnish verification to the County of a current Kansas licensure.

4. The Provider shall furnish written verification of current tuberculin skin test (annually) to the County. In the event of a positive TB skin test, the Provider shall furnish verification of a symptom review evaluation and/or a negative chest X-ray.

5. The Provider shall, for the duration of this contractual agreement, maintain professional liability and malpractice insurance as required by the State of

Kansas. · The Provider shall furnish to the county verification of insurance coverage.

6. The Provider shall, while performing services under the terms and conditions of this contract, comply with all laws, public health regulations, grant agreements, confidentiality policies, Shawnee County rules and regulations, and Standard Operation Procedures governing the operation of the CHC. The Provider specifically agrees not to discriminate against persons served or employed by the County on the basis of race, creed, gender, national or ethnic origin, or disability.

7. The County shall pay the Provider the sum of $150.00 per hour for providing professional behavioral health care services under the terms of this contract. The County shall not be liable for payment for any services provided which were not authorized by the County, or which were not performed for persons who have been previously identified by the County, or which were not performed for persons who have been previously identified by the County as patients of the CHC.

8. In no event should this engagement be intended or determined to constitute an employee/employer relationship. The Provider has the sole right to control and direct the means, manner and method by which the services required by this agreement will be. performed. The Provider waives any and all claims to benefits otherwise provided to employees of the County, including, but not limited to: medical, dental, or other personal insurance, retirement benefits, unemployment benefits, and liability or worker's compensation insurance. The Provider shall be responsible for her/his own tax liability and related issues and legal obligations. The Provider has the right to perform services for others during the term of this Agreement.

9. This contract for professional behavioral health care services shall become effective on January 1, 2014 and run through December 31, 2014. This agreement may, by mutual consent of the parties and by approval of the Board of Shawnee County Commissioners, be renewed on an annual basis. ·However, it is specifically agreed by the parties hereto that the County and the Provider retain the right to terminate this agreement unilaterally with thirty (30)-days written notice to the other party. This agreement may be immediately suspended by the SCHA-CHC Director, without prior notice, if in the opinion of the SCHA-CHC Director the Provider's conduct or actions violate accepted standards ofclinical practice or jeopardizes the operation of the SCHA-CHC.

I. TERMS HEREIN CONTROLLING PROVISIONS. It is expressly agreed that the terms of each and every provision in this attachment shall prevail and control over the terms of any other conflicting provision in any other document relating to and a part of the contract in which this attachment is incorporated.

2. AGREEMENT WITH KANSAS LAW. It is agreed by and between the undersigned that all disputes and matters whatsoever arising under, in connection with or incident to this contract shall be litigated, if at all, in and before a Court located in the State of Kansas, U.S.A., to the exclusion of the Courts of any other states or country. All contractual agreements shall be subject to, governed by, and construed according to the laws of the State of Kansas.

3. TERMINATION DUE TO LACK OF FUNDING APPROPRIATION. Shawnee County is subject to the Kansas Cash Basis Law, K.S.A. 10-1101 et seq. If, in the judgment of the Financial Administrator, Audit-Finance Office, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. County agrees to give written notice of termination to contractor at least thirty (30) days prior to the end of its current fiscal year. In the event this agreement is terminated pursuant to this paragraph, County will pay to the contractor all regular contractual payments incurred through the end of such fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged ·to the County or the contractor.

4. DISCLAIMER OF LIABILITY. Neither the County of Shawnee nor any department thereof shall hold harmless or indemnifY any contractor for any liability whatsoever.

5. ANTI-DISCRIMINATION CLAUSE. The contractor agrees; (a) to comply with the Kansas Act Against Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act, (K.S.A. 44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq.) [ADA] and to not discriminate against any person because of race, religion, color, sex, disability, national origin or ancestry, or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal opportunity employer"; (c) to comply with the reporting requirements set out in K.S.A. 44-1031 and K.S.A. 44-1116; (d) to include those provisions in every subcontract or purchase order so that they are binding upon such subcontractor or vendor; (e) that a failure to comply with the reporting requirements of(c) above or if the contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the contracting agency determines that the contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (e) or (f) occurs, the contract may be cancelled, terminated or suspended in, whole or in part by the County. Parties to this contract understand that subsections (b) through (e) of this paragraph number 5 are not applicable to a contractor who employs fewer than four employees or whose contract with the County totals $5,000 or less during this fiscal year.

6. ACCEPTANCE OF CONTRACT. This contract shall not be considered accepted, approved or otherwise effective until the required approvals and certifications have been given and this is signed by the Board of County Commissioners of the County of Shawnee, Kansas.

7. ARBITRATION, DAMAGES,· WARRANTIES. Notwithstanding any language to the contrary, no interpretation shall be allowed to find the County has agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, the County shall not agree to pay attorney fees and late payment charges; and no provisions will be given effect which attempts to exclude, modifY, disclaim or otherwise attempt to limit implied warranties of merchantability and fitness for a particular purpose.

8. REPRESENTATIVE'S AUTHORITY TO CONTRACT. By signing this document, the representative of the contractor thereby represents that such person is duly authorized by the contractor to execute this document on behalf of the contractor and that the contractor agrees to be bound by the provisions thereof.

9. RESPONSIBILITY FOR TAXES. The County shall not be responsible for, nor indemnifY a contractor for, any federal, state or local taxes which may be imposed or levied upon the subject matter of this contract.

I 0. INSURANCE. The County shall not be required to purchase, any insurance against loss or damage to any personal property to which this contract relates, nor shall this contract require the County to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-610 I et seq.), the vendor or lessor shall bear the risk of any loss or damage to any personal property to which vendor or lessor holds title.

SHAWNEE COUNTY HEALTH AGENCY BUSINESS ASSOCIATE AGREEMENT

ADDENDUM TO SHAWNEE COUNTY CONTRACT C-____ _

THIS BUSINESS ASSOCIATE AGREEMENT ("Agreement") is made and entered into on this day of , 20_ by and between the Board of County Commissioners of the County of Shawnee, Kansas on .behalf of the Shawnee County Health Agency, (hereinafter "Covered Entity"), and fVIAI~(-lS~StJ DE.5iLVI+ (V)_D ("Business Associate"), collectively "the Parties".

WHEREAS, the parties have entered into Shawnee County Contract C-__ -__ (the "Underlying Agreement") whereby Business Associate agrees to perform certain functions on behalf of Covered Entity and/or provide certain services that qualifies it as Covered Entity's "business associate" pursuant to 45 C.F .R. § 160.103; and

WHEREAS, in the performance of such functions, and/or the provision of such services, Business Associate may require access to Protected Health Information in Covered Entity's possession, custody or control, or may create or receive Protected Health Information on behalf of Covered Entity for the limited purposes identified below; and

WHEREAS, pursuant to the Health Insurance Portability and Accountability Act of 1996, as amended effective March 26, 2013, 45 C.P.R. Parts 160 and 164, et seq. ("Privacy Rule" or "HIPAA") Covered Entity cannot Disclose Protected Health Information to, or authorize the creation or receipt of Protected Health Information on its behalf by, Business Associate unless Covered Entity obtains from Business Associate satisfactory assurances that Business Associate will property safeguard such information; and

WHEREAS, Business Associate is willing to provide such assurances to Covered Entity.

WHEREAS, it is the intent of the Parties that this Agreement rescinds any and all prior Business Associate Agreements previously entered into between Covered Entity and Business Associate, and it is the Parties' intent that for any Protected Health Information and/or Electronic Protected Health Information already in its possession, Business Associate will comply with the following provisions.

NOW, THEREFORE, in consideration of the mutual covenants, promises and agreements contained herein, the Parties agree as follows:

1. Definitions

Terms used, but not otherwise defined, in this Agreement shall have the same meaning as those terms are defined in the Privacy Rule, including Breach, Data Aggregation, Designated Record Set, Disclosure, Health Care Operations, Individual, Minimum Necessary, Notice of Privacy Practices, Protected Health Information, Electronic Protected Health Information, Required By Law, Security Incident, Subcontractor, Unsecured Protected Health Information, and Use.

2. Obligations and Activities of Business Associate

Business Associate agrees to:

a. Not Use or Disclose Protected Health Information, including Electronic Protected Health Information, other than as permitted or required by this Agreement or as Required By Law.

b. Use appropriate safeguards to prevent any Use or Disclosure of Protected Health Information other than those permitted by this Agreement. Business Associate shall implement administrative safeguards as required under 45 C.F.R. 164.308, physical safeguards as required under 45 C.F .R. 164.310 and technical safeguards as required by 45 C.F .R. 164.312 that reasonably and appropriately protect the confidentiality, integrity, and security of the Electronic Protected Health Information that it creates, receives, maintains, or transmits on behalf of Covered Entity, as required by HIPAA.

c. Report to Covered Entity any Use or Disclosure of Protected Health Information not provided for by this Agreement of which it becomes aware, including breaches of Unsecured Protected Health Information as required at 45 C.F .R. 164-41 0, and any Security Incident of which it becomes aware.

i. Business Associate must report any Use or Disclosure that could constitute a Breach within five (5) business days of the date the Business Associate becomes aware of the Breach. Business Associate will provide sufficient information to permit Covered Entity to investigate and comply with its obligations under the Breach Notification Rules, including but not limited to:

a) identification of each Individual whose Unsecured Protected Health Information has been or is reasonably believed by Business Associate to have accessed, acquired, Used or Disclosed during the breach

b) A description ofthe breach c) date of the breach d) date of discovery of the breach e) the types of Protected Health Information involved in the Breach f) the investigation procedure and results, and a plan for mitigation

ii. Business Associate shall work cooperatively with the Covered Entity to mitigate any harmful effect of any Use or Disclosure not provided for by this Agreement, and the Covered Entity may, at its election, assign notification duties to the Business Associate.

iii. Business Associate agrees to pay all costs for mitigation and notification made by Covered Entity to fulfill its obligations under 45 C.F .R. 164.402-414.

d. In accordance with 45 C.F.R. 164.502(e)(1)(ii) and 164.308(b)(2), if applicable, obtain and maintain a Business Associate Agreement with each Subcontractor, Business Associate or agent which creates, receives, maintains or transmits Protected Health Information in performance of services on behalf of Business Associate and ensure such Subcontractor or agent shall agree to be bound by the same privacy, security and security Breach notification requirements that apply to Business Associate hereunder.

e. Provide access to, at the request Covered Entity, Protected Health Information, including that within a Designated Record Set, to Covered Entity or, as directed by Covered Entity, to an Individual within five (5) business days from a request by Covered Entity or Individual pursuant to 45 C.F.R. 164.524.

f. Make any amendment(s) to Protected Health Information in a Designated Record Set as directed or agreed to by Covered Entity pursuant to 45 C.F .R. 164.526 within five (5) business days from a request by an Individual or Covered Entity.

g. Maintain and make available the information required to provide an accounting of Disclosures to the Covered Entity as necessary to satisfy Covered Entity's obligations under 45 C.F .R. 165.528 within five (5) business days from a request by an Individual or by the Covered Entity.

h. Make its internal practices, books, and records available to Covered Entity, the Department of Health and Human Services (HHS), and/or the Office for Civil Rights (OCR) or their agents, upon request, for purposes of determining compliance with the Privacy Rule.

i. To the extent Business Associate is to carry out one or more of Covered Entity's obligation(s) under Subpart E of 45 C.F.R. Part 164, comply with the requirements of Subpart E that apply to the Covered Entity in the performance of such obligation(s).

J. To the extent applicable, utilize appropriate encryption and destruction methodologies in transmitting and/or destroying Covered Entity's Protected Health Information.

3. Permitted Uses and Disclosures by Business Associate

a. Business Associate may only Use or Disclose Protected Health Information to fulfill its contractual obligations as set forth in the Underlying Agreement.

b. Business Associate may Use or Disclose Protected Health Information as Required By Law.

c. Business Associate agrees to make Uses and Disclosures and requests for Protected Health Information in accordance with Covered Entity's Minimum Necessary policies and procedures and as set forth in the Privacy Rule.

d. Business Associate may not Use or Disclose Protected Health Information in a manner that would violate the Privacy Rule if done by Covered Entity, except for the specific Uses and Disclosures as follows:

1. Business Associate may Disclose Protected Health Information for the proper management and administration of Business Associate or to carry out the legal responsibilities of the Business Associate, provided the Disclosures are Required By Law, or Business Associate obtains reasonable assurances from the person to whom the information is Disclosed that the information will remain confidential and Used or further Disclosed only as Required By Law or for the purposes for which it was Disclosed to the person, and the person notified Business Associate of any instances of which it is aware in which the confidentiality of the information has been Breached.

11. Business Associate may provide Data Aggregation services relating to the Health Care Operations ofthe Covered Entity.

4. Obligations of Covered Entity

a. Covered Entity shall notify Business Associate of any limitation(s) in the Notice of Privacy Practices of Covered Entity in accordance with 45 CFR 164.520, to the extent that such limitation may affect Business Associate's Use or Disclosure of Protected Health Information.

b. Covered Entity shall notify Business Associate of any changes in, or revocation of, the permission by an Individual to Use or Disclose his or her Protected Health Information, to the extent that such changes may affect Business Associate's Use or Disclosure of Protected Health Information.

c. Covered Entity shall notify Business Associate of any restriction to the Use or Disclosure of Protected Health Information that Covered Entity has agreed to or is required to abide by under 45 CFR 164.522, to the extent that such restriction may affect Business Associate's Use or Disclosure of Protected Health Information.

d. Covered Entity shall not request Business Associate to Use or Disclose Protected Health Information that would not be permissible under the Privacy Regulations if done by Covered Entity.

5. Term and Termination

a. Term of Agreement. This Agreement shall become effective on the date fully executed, and shall continue in effect and run concurrent to the Underlying Agreement so long as Business Associate continues to perform certain functions on behalf of and/or provides certain services that qualifies it as Covered Entity's "business associate" pursuant to 45 C.F .R. § 160.103, or until Covered Entity terminates for cause as authorized below, whichever is sooner.

b. Termination for Cause. Business Associate authorizes termination of this Agreement by Covered Entity if Covered Entity determines Business Associate has violated a material term of the Agreement and Business Associate has not cured the Breach or ended the violation within the time specified by Covered Entity.

c. Obligations of Business Associate Upon Termination. Upon termination of this Agreement for any reason, Business Associate, with respect to Protected Health Information received from Covered Entity, or created, maintained, or received by Business Associate on behalf of Covered Entity, shall:

1. Retain only that Protected Health Information which is necessary for Business Associate to continue its proper management and administration or to carry out its legal responsibilities;

ii. Return to Covered Entity or, if agreed to by Covered Entity, destroy the remaining Protected Health Information that the Business Associate still maintains in any form;

111. Continue to use appropriate safeguards and comply with Subpart C of 45 C.P.R. Part 164 with respect to Electronic Protected Health Information to prevent Use or Disclosure of the Protected Health Information, other than as provided for in this Section, for as long as Business Associate retains the Protected Health Information;

iv. Not Use or Disclose the Protected Health Information retained by Business Associate other than for the purposes for which such Protected Health Information was retained and subject to the same conditions set out in Section 3 .d.i.-ii. above;

v. Return to Covered Entity or, if agreed to by Covered Entity, destroy the Protected Health Information retained by Business Associate when it is no longer needed by Business Associate for its proper management and administration or to carry out its legal responsibilities;

VI. Provide written certification to Covered Entity certifying compliance with this Section S.c.

d. Survival. The obligations of Business Associate under this Section shall survive the termination of this Agreement.

6. Miscellaneous Provisions

a. Indemnification. Business Associate will indemnify, defend, and hold harmless Covered Entity and its respective directors, officers, employees, and affiliates from and against all claims, actions, damages, losses, liability, fines, penalties, costs, expenses, or reasonable mitigation or remediation services, including, without limitation, reasonable attorney's fees, incurred by Covered Entity arising from or in connection with any breach of this Agreement, or any negligent or wrongful acts or omissions in connection with this Agreement, by Business Associate or its directors, officers, employees, Subcontractors, or agents.

b. Regulatory References. A reference in this Agreement to a section in the HIP AA Privacy Rule means the section as in effect or as amended.

c. Amendment. The Parties agree to take such action as is necessary to amend this Agreement from time to time as is necessary for compliance with the requirements of the HIPAA Privacy Rule and any other applicable law. This Agreement may not be modified, nor shall any provision be waived or amended, except in a writing duly signed by authorized representatives of the parties.

d. Interpretation. Any ambiguity in this Agreement shall be interpreted to permit compliance with the HIP AA Privacy Rule.

e. Conflicting Terms. In the event any terms of this Agreement conflict with any terms of the Underlying Agreement, the terms of this Agreement shall govern and control.

f. Governing Law. This Agreement shall be governed by and construed m accordance with the laws of the State of Kansas.

g. Notices. All notices, requests, approvals, demands and other communications required or permitted to be given under this Agreement shall be in writing and delivered either personally, or by certified mail with postage prepaid and return receipt requested, or by overnight courier to the party to be notified. All communications will be deemed given when received. The addresses of the parties shall be as follows:

Pursuant to KSA 75-7c20(i), the Board of County Commissioners of Shawnee County provides you with notice that it is exempting the Shawnee County Courthouse1 from the provisions of K.S.A. 75-7c20 allowing the concealed carry of handguns in public buildings.

The reasons for the exemption are as follows: As a county courthouse, the families of both victims and criminals are present every day. The Board believes that concealed carry firearms in such an emotionally charged atmosphere would be detrimental to public safety. A security plan has been developed for the building being exempted which supplies adequate security to the occupants of the building and merits the prohibition of the carrying of a concealed handgun as authorized by the personal and family protection act. In accordance with the statute, a copy of the security plan for the building will be maintained on file and shall be made available, upon request, to the Kansas attorney general and the law enforcement agency of local jurisdiction.

Re: Request to Fill Vacant Road Maintenance Staff Position

The Shawnee County Department of Public Works (SCDPW) requests authorization to fill a soon-to-be-vacated Road Maintenance position, and any subsequent openings that may result upon the filling of this position.

This position will be vacant as of December 20, 2013 upon the resignation of an employee who is taking a similar position with the Kansas Department of Transportation. As a result of the vacancy, one of SCDPW's road crews will be understaffed.

Shawnee County residents will benefit by the approval of this request in that the SCDPW will be better suited to provide timely road maintenance and snow removal services. The provision oftimely maintenance reduces the frequency of future high-dollar roadway maintenance/reconstruction projects and enhances overall roadway safety.

The financial impact of this request is an annual salary, including benefits, of $32,604.00.

Funding for this position is included in the adopted Public Works Road Maintenance Budget (Account No. 10PW126 50101).

It is recommended that authorization be granted to the SCDPW to fill the vacancy.

RE: Request Authorization to Issue Requests for Proposals for Solid Waste Trucks

The Shawnee County Solid Waste Department (SCSWD) seeks authorization to issue a Request for Proposal (RFP) for the purchase of two front-loader trucks and one equipment service truck.

The existing front-load trucks in need of replacement have nearly 14,000 and 10,000 hours of operation, respectively, with one having of them having repair costs at nearly $20,000 this year.

The existing service truck in need of replacement is a 1997 model with approximately 160,000 miles.

All of these trucks are used extensively throughout the entire year and it is critical that they be reliable in order for SCSWD to operate efficiently.

The estimated financial impact of this request will be an expenditure of $600,000, with trade-in, as detailed below:

Two (2) Front-Loaders @ $250,000 each= $500,000 One (1) Service Truck@ $100,000 each= $100,000

SCSWD customers will benefit by the approval of this request in that SCSWD will be able to continue providing reliable, efficient service.

Funding for this request has been included in the 2013 Solid Waste Collections Operational Budget (AcctNo. 25SW310 50377).

The Shawnee County Solid Waste Department (SCSWD) issued a Request for Quotation (RFQ) for the purchase of multiple metal commercial waste containers.

Four bids were received and are attached for your information.

After reviewing the bids, it is SCSWD's opinion that the lowest, most responsive bid meeting the specifications was submitted by Downing Sales & Service for the amount of $24,846.00.

It is recommended the award of these containers be granted to Downing Sales & Service.

The approval of this request will result in the expenditure of $24,846.00. No detrimental financial impacts are anticipated, if approved.

Shawnee County Solid Waste commercial customers will benefit from the approval of this request in that SCSWD will be able to provide more timely and flexible service to meet their needs.

Funding for this request will come from the Solid Waste Collections Fund (Account No. 25SW310 50377).

We will be renewing the software maintenance agreement with New World Systems for the total of $346,717.00, and will be using budget funds for this payment. The renewal period is from December 1, 2013 through November 30, 2014, and covers software for the Shawnee County Sheriff's Office, the. Shawnee County Department of Corrections, the Topeka Police Department, and the Topeka Fire Department.

In the past New World had contracts with each separate entity, and billed the maintenance agreements directly to each entity. The new contract, #C857-2012 approved on 12/17/12, is between the Shawnee County Sheriff's Office and New World Systems, and includes software/maintenance for all agencies. The breakdown for the maintenance agreement is as follows:

Shawnee County Sheriff's Office $182,432.00 Shawnee County Dept of Corrections $ 32,194.00 Topeka Police Department $107,313.00 Topeka Fire Department $ 24,232.00

$346,171.00 The Sheriff's Office will pay New World $346,171.00. We have billed the other agencies for their portion of the maintenance. Upon receipt of their payments, we will reimburse our budget for their portion of the expense.

We believe we have found a candidate to replace Mr. Blanchard, who will be starting at Range 30, Step 21, $33.95. This position's salary is included in the Sheriff's 2014 budget.

The candidate that we are considering for the position is the only applicant and has a BA in engineering. He has been employed with Motorola since 1985 and has extensive experience in the electronics and radio field. He has current knowledge in P25 radio systems and helped design our the new system being installed in Shawnee County.

We have consulted with Human Resources Director Jonathan Thummel, who discussed the pros and cons of starting someone at this position in the wage scale.
