Re: The Planned Major Hiway 27 Downtown Project and the upgrades, to sewer & water lines to the local downtown business area. The August 26 2018 Morrison County Record report stated that for Little Falls the water line past the shut off point on the curb and the sewer line past the main are the responsibility of the property owners. In conversation with City Engineer Greg Kimman he confirmed the above rule. I shared with him my concern that with such a major construction project on a time schedule to complete on time. Is it possible that the contractors doing the water & sewer lines for the City of Little Falls be equipped to replace the water lines from the shut off to the water meter and the sewer line from the main to the business. If a problem is found during construction it would be very hard for a private business to find a contractor on short notice to do the repairs and not add a delay of possible days to the over all project. 1. CALL TO ORDERThe special work session City Council meeting of the City of Little Falls was called to order by

Council President Hanfler on Monday, August 20, 2018, at 6:45 p.m. in the Council Chambers at City Hall. Councilmembers Hircock, Gosiak, Lundberg, Liljegren, Knafla, Hanson, Council President Hanfler, and Mayor Zylka were present. It was determined there was a quorum.

2. PUBLIC FORUMa. Robin Hensel, 807 Southeast First Street, reviewed her concerns with the proposed

hospital expansion including the zoning, landscaping and alley maintenance.

3. BILLS DISCUSSIONNone.

5. COUNCIL INFORMATIONAL ONLY ITEMSa. Joint Powers Agreement, Fire Protection, Camp Ripley – Fire Chief Nieman and

Camp Ripley Fire Chief Boone reviewed the proposed Joint Power Fire Protection Agreement. This item is on the regular agenda for consideration.

b. Erik Ordahl, Flaherty and Hood – Erik Ordahl representing Flaherty and Hood,introduced himself and reviewed Flaherty and Hood, the City’s proposed new attorney. A contract is on the regular agenda for consideration.

Planning Commission Recommendations, CHI/St. Gabriel’s HospitalProposed Expansion – Public Works Director Kimman reviewed the Planning Commission recommendations on CHI/St. Gabriel’s Hospital’s request for a conditional use for an expansion and their rezoning request. d. Utility Service Partners, dba Home Service USA – Ashley Shiwarski, representingUtility Service Partners, reviewed their Marketing Proposal and service line warranty program. This proposal is on the regular agenda for consideration.

Local Option Sales and Use Tax Ballot Information – City AdministratorRadermacher reviewed the City’s bond counsel’s proposed resolution for a ballot question regarding a Local Option Sales and Use Tax to be used for a community center and recreational complex. REGULAR CITY COUNCIL MEETING ~ AUGUST 20, 2018

1. CALL TO ORDER The regular City Council meeting of the City of Little Falls was called to order by Council President Hanfler on Monday, August 20, 2018, at 7:30 p.m. Councilmembers Hircock, Gosiak, Lundberg, Liljegren, Knafla, Hanson, Council President Hanfler, and Mayor Zylka were present. It was determined there was a quorum.

2. APPROVAL OF AGENDA Motion was made by Councilmember Knafla, seconded by Councilmember Liljegren to approve the agenda of August 20, 2018, as presented. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

3. APPROVAL OF MINUTES Motion was made by Mayor Zylka, seconded by Councilmember Hanson to approve the City Council minutes of the special meeting of August 6, 2018, and the regular meeting of August 6, 2018, as presented. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

4. APPROVAL OF BILLS Motion was made by Councilmember Hircock, seconded by Councilmember Lundberg to approve the bills totaling $153,437.64 for check numbers 99055 through 99143. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

5. AWARDS, DONATIONS, PRESENTATIONS, AND PROCLAMATIONS a. Presentation 1. Police Department 2017 Annual Report – Motion was made by Mayor Zylka, seconded by Councilmember Gosiak to receive, place on file and thank Police Chief Schirmers for his presentation on the Police Department 2017 annual Report. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

6. CONSENT AGENDA Motion was made by Councilmember Gosiak, seconded by Councilmember Knafla to take the following action on Consent Agenda items a. through i.:

a. Approved to the Minnesota Charitable Gambling Control Board an Application to Conduct Off Site Gambling as requested by Little Falls Youth Hockey to allow a raffle at the Little Falls Sports Arena, 305 Southeast Eleventh Street, to be held from January 1 through January 31, 2019, and further waived any waiting period; and

b. Received and placed on file the Heritage Preservation Commission minutes of August 2018; and

c. Authorized the execution of a Joint Power Agreement with the State of Minnesota Department of Military Affairs, Facilities Management Office at Camp Ripley for mutual aid between the Fire Departments; and

d. Approved an outdoor event requested by the West Side Bar, 113/115 West Broadway, to allow outdoor activities on September 15, 2018, on their property and the adjacent property, contingent upon the security plan as presented being followed, both the Fire and Police Chiefs approval, their event ends no later than 12:00 midnight, and they cleanup after the event; and

e. Received and placed on file the Police report for July 2018; and

f. Received and placed on file the Public Works report for July 2018; and

g. Approved the renewal of the 2:00 a.m. On Sale Liquor License as requested by One Fifteen Properties Inc., dba West Side Bar, 115 West Broadway, contingent upon approval by the Police Chief and the Minnesota Department of Public Safety, Alcohol and Gambling Enforcement Division; and

h. Received and placed on file the Wastewater Treatment facility report for July 2018; and

i. Received and placed on file the Water Treatment facility report for July 2018.

7. PUBLIC HEARINGS AND LETTINGS a. Public Hearings 1. Resolution 2018-42, Approve Project by St. Francis Health Services of Morris, Inc., etc. – Council President Hanfler opened a scheduled public hearing at 7:38 p.m. to gain input on the proposed approval of a project by St. Francis Health Services of Morris, Inc., and consenting to the issuance of obligations by the Cities of Randall and Royalton for said project. Christopher Verda, representing Fryberger, Buchanan, Smith and Frederick, the bond counsel for St. Francis Health Services of Morris, reviewed the project. Council President Hanfler closed the public hearing at 7:41 p.m. Councilmember Hanson then introduced and moved for the adoption of Resolution 2018-42, a Resolution Approving a Project by St. Francis Health Services of Morris, Inc., and further Consenting to the Issuance of Obligations by the Cities of Randall and Royalton. Councilmember Hircock seconded the motion for adoption. On a roll call vote; Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Council President Hanfler then declared said Resolution 2018-42 to have received the unanimous vote of the entire City Council and the same to have been duly passed and approved.

2. Resolution 2018-44, Vacate Portion of Cherry Avenue and Second Street Southeast – Council President Hanfler opened a scheduled public hearing at 7:42 p.m. to consider a request from CHI/St. Gabriel’s Hospital to vacate a portions of Cherry Avenue and Second Street Southeast. Public Works Director Kimman reviewed the proposed request and stated that the Planning Commission has reviewed and is recommending the approval of the request. Speaking to the request: Robin Hensel, 807 Southeast First Street. Council President Hanfler then closed the public hearing at 7:48 p.m. Councilmember Hanson then introduced and moved for the adoption of Resolution 2018-44, a Resolution Authorizing the Vacation of Part of Cherry Avenue and Second Street Southeast in Morrill’s Addition No. 1. Mayor Zylka seconded the motion for adoption. On a roll call vote; Ayes: Gosiak, Zylka, Hanfler, Liljegren, Knafla, Hanson, and Hircock. Nays: Lundberg. Council President Hanfler then declared said Resolution 2018-44 to have received the majority vote of the entire City Council and the same to have been duly passed, approved and adopted.

b. Lettings 1. Resolution 2018-45, Award Bid, Public Improvement 378A – Councilmember Lundberg introduced and moved for the adoption of Resolution 2018-45, a Resolution Awarding the Bid of $159,710.25 from Larson Excavating Contractors, Inc., Holdingford, for the Surface and/or Utility Improvements for Public Improvement 378A [Fifth Avenue Southeast]. Councilmember Liljegren seconded the motion for adoption. On a roll call vote; Ayes: Lundberg, Zylka, Hanfler, Liljegren, Knafla, Hanson, Hircock, and Gosiak. Nays: none. Council President Hanfler then declare said Resolution 2018-45 to have received the unanimous vote of the entire City Council and the same to have been duly passed, approved and adopted.

8. OLD BUSINESS a. Additional Work, Schaffer Construction, Rosenmeier House – Motion was made by Councilmember Liljegren, seconded by Councilmember Hircock to approve the additional work needed at the Rosenmeier house during the siding replacement totaling $2,573 from Schaffer Construction, Little Falls, to be charged to the Project. Ayes: Hircock Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

b. Resolution 2018-43, Call for Election, Sales and Use Tax, Community Center and Recreation Complex Project – Councilmember Knafla introduced and moved for the adoption of Resolution 2018-43, a Resolution Calling for an Election on a Sales and Use Tax for a City Community Center and Recreation Complex during the General Election being held on Tuesday, November 6, 2018. Mayor Zylka seconded the motion for adoption. On a roll call vote; Ayes: Zylka, Hanfler, Liljegren, Knafla, Hanson, Hircock, Gosiak, and Lundberg. Nays: none. Council President Hanfler then declared said Resolution 2018-43 to have received the unanimous vote of the City Council and the same to have been duly passed, approved and adopted.

9. NEW BUSINESS a. Civil Legal Services [City Attorney] Agreement, Flaherty and Hood, P.A. – Motion was made by Councilmember Gosiak, seconded by Councilmember Hircock to approve and authorized the execution of a Contract for Civil Legal Services [City Attorney] with Flaherty and Hood, P.A., St. Paul. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

b. Recommendation, Housing and Redevelopment Authority, Policy No. 55, Housing and Redevelopment Authority Loan Interest Apartment Loans – Motion was made by Councilmember Hircock, seconded by Councilmember Lundberg to accept the recommendation of the Housing and Redevelopment Authority and adopted Policy No. 55, Housing and Redevelopment Loan Interest Apartment Loans, as amended. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

c. Recommendations, Planning Commission 1. Conditional Use Permit, Two Story Addition, CHI/St. Gabriel’s Hospital – Motion was made by Councilmember Hanson, seconded by Mayor Zylka to accept the recommendation of the Planning Commission and approved the conditional use requested by CHI/St. Gabriel’s, 815 Southeast Second Street, to allow for an approximate 18,000 square foot, two-story expansion of the hospital, based on the findings of fact and conditions listed in the August 15, 2018, Zoning Administrator report, and to include the condition that the landscape plan be completed as presented. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

2. Rezone to Multi-Family Residential District R-3 – Motion was made by Councilmember Gosiak, seconded by Councilmember Lundberg to table action on the rezoning request by CHI/St. Gabriel’s Hospital, 815 Southeast Second Street, until September 4, 2018, for further discussion. Ayes: Hircock, Gosiak, Lundberg, Zylka, Hanfler, Liljegren, Knafla, and Hanson. Nays: none. Motion carried.

d. Utility Service Partners, Inc., Marketing Agreement – Motion was made by Councilmember Gosiak, seconded by Councilmember Liljegren to approve and authorize the execution of a Marketing Agreement with Utility Service Partners Private Label, dba Service Line Warranties of America to provide a service line warranty and other similar products to residents with the City’s endorsement. Ayes: Hircock, Gosiak, Zylka and Knafla. Nays: Lundberg, Hanfler, Liljegren and Hanson. Motion failed.

11. ANNOUNCEMENTS a. Mayor Zylka thanked the Police Chief and the Police Department for their efforts.

b. Councilmember Gosiak received a complaint regarding no restrooms at Our Lady of Lourdes’ playground and received a request that the City install a restroom at their site.

The Minnesota Board of Firefighter Training and Education (MBFTE) is pleased to notify you that your fire department has been awarded, under the Round 11 (FY19) training reimbursement program, the amount of $6,765.00. Those fire departments within the boundaries of Sourcewell's (formerly NJPA) Region 5 will also receive an additional award of $167.00 per firefighter in training reimbursements. Both training reimbursement awards are for MBFTE approved training conducted between July 1, 2018 and June 30, 2019; Award funds MUST be spent on the approved MBFTE list of reimbursable classes (see the list of approved reimbursable classes at www.mbfte.org ).

The Round 11 (FY19) training reimbursement program is based on a "per firefighter" amount for all fire departments in Minnesota. The MBFTE had requested current rosters and the number of firefighters on departments throughout the state. Your Round 11 reimbursement was based on the reported "number of firefighters" in your department multiplied by the "per fir�fighter" rate of $205.00 to equal your award. If your department failed to report the number of firefighters to MBFTE, your MBFTE award amount is $2,050.00.

In order to process your reimbursement award you must:

1. Complete and sign the Request for Reimbursement form on the MBFTE website athttp://www.mbfte.org/ReimbursementForm.aspx and remit by August 1, 2019. Your firedepartment is encouraged to send in your Request for Reimbursement Form(s) anytime during theJuly 1, 2018-June 30, 2019 fiscal year.

EMSRB and is not primarily reimbursed through an EMS Association is eligible for reimbursement

with proper documentation.

3. Mail, fax, email, or upload the Request for Reimbursement Form and supporting documentation, or

have your training provider submit your information to the MBFTE for direct payment to them if

your department has an award balance that is equal to or more than the amount of the invoice.

The funds will be disbursed upon receipt of the signed, completed form, along with the proper supporting documentation. You will not receive a check in the mail; your reimbursement will be electronically deposited into the account that corresponds to the tax identification number provided on the Request for Reimbursement Form. RESOLUTION 2018-46

RESOLUTION ADOPTING ASSESSMENT ROLL, PUBLIC IMPROVEMENT 378 2018 PUBLIC IMPROVEMENT PROJECTS

WHEREAS, pursuant to proper notice duly given as required by law, the City Council for the City of Little Falls, Minnesota, has met, heard and passed upon all objections to the proposed Assessment Roll for Public Improvement 378.

NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Little Falls, Minnesota:

1. Said proposed assessment roll for Public Improvement 378, a copy of which is filed with theOffice of the City Administrator and made a part hereof as Exhibit A, is accepted and shallconstitute the special assessments levied against the lands named herein, and each tract of landtherein included is hereby found to be benefited by the proposed improvement in the amount ofthe assessment levied against it.

2. The following procedure for payment will be used: the principle amount of such assessmentshall be payable in equal annual installments extending over a period of fifteen (15) years, thefirst installment to be payable on or before the first Monday in January, 2018. Installmentsdeferred for any reason shall bear interest at the rate of four (4%) percent per annum from the1st day of November, 2018, until the 31st day of December, 2019. To each subsequent installmentwhen due shall be added interest for one year on all unpaid installments. Provided, however,that persons over sixty-five (65) years of age or handicapped may apply, if qualified, for thedeferral of special assessments as provided in Little Falls City Code, Chapter 2, Section 2.04.

3. The owner of any property so assessed may, at any time prior to certification of theassessment to the County Auditor, as herein provided, pay the whole assessment against anyparcel with interest accrued to the date of payment to the City Administrator, and may at anytime thereafter, pay the City Administrator the entire amount of the assessment remainingunpaid with interest accrued to December 31 of the year in which such payment is made.

4. The City Administrator shall forthwith transmit a certified duplicate of this assessment to theCounty Auditor to be extended on the proper tax lists of the County, and such assessment shallbe collected and paid over the same manner as other municipal taxes.

TITLE OF THE ITEM FOR CONSIDERATION: Ditch Cleaning, West Side Industrial Park

BACKGROUND: The West Side Industrial Park was platted in 1976 with ditches to convey the storm water within the development and ultimately east to the Mississippi River. Since then, little has been done to maintain the drainage throughout the Industrial Park. Grass and saplings have grown in the ditch which causes the water to backup and creates problems for adjacent property owners.

Unfortunately, the City’s equipment is too small to efficiently clean the ditch. For this reason, staff requested quotations for ditch cleaning services from Knife River, Eagle Construction and Kimman Dirt Diggers. Only two quotations were received: Eagle Construction at $19,900; and Kimman Dirt Diggers at $35,140. Staff is recommending Eagle Construction be awarded the project.

ACTION REQUEST: The City Council accept the recommendation of the Public Works Director and award the low quotation of $19,900 from Eagle Construction, Little Falls, the ditch cleaning project in the West Side Industrial Park, to be charged to the Stormwater Improvement Fund.

WHEREAS, the City of Little Falls owns and operates the Little Falls/Morrison County Airport; and

WHEREAS, the United States Department of Transportation, Federal Aviation Administration through the Minnesota Department of Transportation, Office of Aeronautics, provides funding for improvements and/or equipment, excluding land acquisition, for said Airport through grant funding.

NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Little Falls hereby authorizes the execution of a United States Department of Transportation, Federal Aviation Administration Grant Agreement for Airport Improvement Project No. 3-27-0048-019-2018; and

WHEREAS, the Sponsor has submitted to the FAA a Project Application dated April 23, 2018, for a grant of Federal funds for a project at or associated with the Little Falls/Morrison County-Lindbergh Field Airport, which is included as part of this Grant Agreement; and

WHEREAS, the FAA has approved a project for the Little Falls/Morrison County-Lindbergh Field Airport (herein called the “Project”) consisting of the following:

“Construct (design only) crosswind Runway 18/36 (2855' x 60')”

which is more fully described in the Project Application.

NOW THEREFORE, According to the applicable provisions of the former Federal Aviation Act of 1958, as amended and recodified, 49 U.S.C. § 40101, et seq., and the former Airport and Airway Improvement Act of 1982 (AAIA), as amended and recodified, 49 U.S.C. § 47101, et seq., (herein the AAIA grant statute is referred to as “the Act”), the representations contained in the Project Application, and in consideration of (a) the Sponsor’s adoption and ratification of the Grant Assurances dated March 2014,and the Sponsor’sacceptance of this Offer; and, (b) the benefits to accrue to the United States and the public from theaccomplishment of the Project and compliance with the Grant Assurances and conditions as hereinprovided.

THE FEDERAL AVIATION ADMINISTRATION, FOR AND ON BEHALF OF THE UNITED STATES, HEREBY OFFERS AND AGREES to pay ninety (90) percent of the allowable costs incurred accomplishing the Project as the United States share of the Project.

This Offer is made on and SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS:

CONDITIONS

1. Maximum Obligation. The maximum obligation of the United States payable under this Offer is $174,309.

The following amounts represent a breakdown of the maximum obligation for the purpose of establishingallowable amounts for any future grant amendment, which may increase the foregoing maximumobligation of the United States under the provisions of 49 U.S.C. § 47108(b):

$0 for planning $174,309 airport development or noise program implementation; and, $0 for land acquisition.

2. Period of Performance. The period of performance begins on the date the Sponsor formally accepts thisagreement. Unless explicitly stated otherwise in an amendment from the FAA, the end date of the periodof performance is 4 years (1,460 calendar days) from the date of formal grant acceptance by the Sponsor.

The Sponsor may only charge allowable costs for obligations incurred prior to the end date of the period ofperformance (2 CFR §200.309). Unless the FAA authorizes a written extension, the sponsor must submit allproject closeout documentation and liquidate (pay off) all obligations incurred under this award no laterthan 90 calendar days after the end date of the period of performance (2 CFR §200.343).

The period of performance end date does not relieve or reduce Sponsor obligations and assurances thatextend beyond the closeout of a grant agreement.

3. Ineligible or Unallowable Costs. The Sponsor must not include any costs in the project that the FAA hasdetermined to be ineligible or unallowable.

4. Indirect Costs - Sponsor. Sponsor may charge indirect costs under this award by applying the indirect costrate identified in the project application as accepted by the FAA, to allowable costs for Sponsor directsalaries and wages.

5. Determining the Final Federal Share of Costs. The United States’ share of allowable project costs will bemade in accordance with the regulations, policies, and procedures of the Secretary. Final determination ofthe United States' share will be based upon the final audit of the total amount of allowable project costsand settlement will be made for any upward or downward adjustments to the Federal share of costs.

6. Completing the Project Without Delay and in Conformance with Requirements. The Sponsor must carryout and complete the project without undue delays and in accordance with this agreement, and theregulations, policies, and procedures of the Secretary. Per 2 CFR § 200.308, the Sponsor agrees to reportto the FAA any disengagement from performing the project that exceeds three months. The report mustinclude a reason for the project stoppage. The Sponsor also agrees to comply with the assurances whichare part of this agreement.

7. Amendments or Withdrawals before Grant Acceptance. The FAA reserves the right to amend or withdrawthis offer at any time prior to its acceptance by the Sponsor.

8. Offer Expiration Date. This offer will expire and the United States will not be obligated to pay any part ofthe costs of the project unless this offer has been accepted by the Sponsor on or before September 27,2018, or such subsequent date as may be prescribed in writing by the FAA.

9. Improper Use of Federal Funds. The Sponsor must take all steps, including litigation if necessary, torecover Federal funds spent fraudulently, wastefully, or in violation of Federal antitrust statutes, ormisused in any other manner for any project upon which Federal funds have been expended. For thepurposes of this grant agreement, the term “Federal funds” means funds however used or dispersed bythe Sponsor, that were originally paid pursuant to this or any other Federal grant agreement. The Sponsormust obtain the approval of the Secretary as to any determination of the amount of the Federal share of

such funds. The Sponsor must return the recovered Federal share, including funds recovered by settlement, order, or judgment, to the Secretary. The Sponsor must furnish to the Secretary, upon request, all documents and records pertaining to the determination of the amount of the Federal share or to any settlement, litigation, negotiation, or other efforts taken to recover such funds. All settlements or other final positions of the Sponsor, in court or otherwise, involving the recovery of such Federal share require advance approval by the Secretary.

10. United States Not Liable for Damage or Injury. The United States is not responsible or liable for damageto property or injury to persons which may arise from, or be incident to, compliance with this grantagreement.

11. System for Award Management (SAM) Registration And Universal Identifier.

A. Requirement for System for Award Management (SAM): Unless the Sponsor is exempted from thisrequirement under 2 CFR 25.110, the Sponsor must maintain the currency of its information in theSAM until the Sponsor submits the final financial report required under this grant, or receives the finalpayment, whichever is later. This requires that the Sponsor review and update the information at leastannually after the initial registration and more frequently if required by changes in information oranother award term. Additional information about registration procedures may be found at the SAMwebsite (currently at http://www.sam.gov).

B. Data Universal Numbering System: DUNS number means the nine-digit number established andassigned by Dun and Bradstreet, Inc. (D & B) to uniquely identify business entities. A DUNS numbermay be obtained from D & B by telephone (currently 866–705–5771) or on the web (currently athttp://fedgov.dnb.com/webform).

12. Electronic Grant Payment(s). Unless otherwise directed by the FAA, the Sponsor must make each paymentrequest under this agreement electronically via the Delphi eInvoicing System for Department ofTransportation (DOT) Financial Assistance Awardees.

13. Informal Letter Amendment of AIP Projects. If, during the life of the project, the FAA determines that themaximum grant obligation of the United States exceeds the expected needs of the Sponsor by $25,000 orfive percent (5%), whichever is greater, the FAA can issue a letter amendment to the Sponsor unilaterallyreducing the maximum obligation.

The FAA can also issue a letter to the Sponsor increasing the maximum obligation if there is an overrun inthe total actual eligible and allowable project costs to cover the amount of the overrun provided it will notexceed the statutory limitations for grant amendments. The FAA’s authority to increase the maximumobligation does not apply to the “planning” component of condition No. 1.

The FAA can also issue an informal letter amendment that modifies the grant description to correctadministrative errors or to delete work items if the FAA finds it advantageous and in the best interests ofthe United States.

An informal letter amendment has the same force and effect as a formal grant amendment.

14. Air and Water Quality. The Sponsor is required to comply with all applicable air and water qualitystandards for all projects in this grant. If the Sponsor fails to comply with this requirement, the FAA maysuspend, cancel, or terminate this agreement.

15. Financial Reporting and Payment Requirements. The Sponsor will comply with all federal financialreporting requirements and payment requirements, including submittal of timely and accurate reports.

16. Buy American. Unless otherwise approved in advance by the FAA, the Sponsor will not acquire or permitany contractor or subcontractor to acquire any steel or manufactured products produced outside the

United States to be used for any project for which funds are provided under this grant. The Sponsor will include a provision implementing Buy American in every contract.

17. Maximum Obligation Increase For Nonprimary Airports.In accordance with 49 U.S.C. § 47108(b), asamended, the maximum obligation of the United States, as stated in Condition No. 1 of this Grant Offer:

A. May not be increased for a planning project;

B. May be increased by not more than 15 percent for development projects;

C. May be increased by not more than 15 percent or by an amount not to exceed 25 percent of the totalincrease in allowable costs attributable to the acquisition of land or interests in land, whichever isgreater, based on current credible appraisals or a court award in a condemnation proceeding.

18. Audits for Public Sponsors. The Sponsor must provide for a Single Audit or program specific audit inaccordance with 2 CFR part 200. The Sponsor must submit the audit reporting package to the FederalAudit Clearinghouse on the Federal Audit Clearinghouse’s Internet Data Entry System athttp://harvester.census.gov/facweb/. Provide one copy of the completed audit to the FAA if requested.

19. Suspension or Debarment. When entering into a “covered transaction” as defined by 2 CFR §180.200, theSponsor must:

A. Verify the non-federal entity is eligible to participate in this Federal program by:

1. Checking the excluded parties list system (EPLS) as maintained within the System for AwardManagement (SAM) to determine if the non-federal entity is excluded or disqualified; or

2. Collecting a certification statement from the non-federal entity attesting they are not excluded ordisqualified from participating; or

3. Adding a clause or condition to covered transactions attesting individual or firm are not excludedor disqualified from participating.

B. Require prime contractors to comply with 2 CFR §180.330 when entering into lower-tier transactions(e.g. Sub-contracts).

C. Immediately disclose to the FAA whenever the Sponsor (1) learns they have entered into a coveredtransaction with an ineligible entity or (2) suspends or debars a contractor, person, or entity.

20. Ban on Texting While Driving.

A. In accordance with Executive Order 13513, Federal Leadership on Reducing Text Messaging WhileDriving, October 1, 2009, and DOT Order 3902.10, Text Messaging While Driving, December 30, 2009,the Sponsor is encouraged to:

1. Adopt and enforce workplace safety policies to decrease crashes caused by distracted driversincluding policies to ban text messaging while driving when performing any work for, or on behalfof, the Federal government, including work relating to a grant or subgrant.

2. Conduct workplace safety initiatives in a manner commensurate with the size of the business, suchas:

a. Establishment of new rules and programs or re-evaluation of existing programs toprohibit text messaging while driving; and

b. Education, awareness, and other outreach to employees about the safety risks associatedwith texting while driving.

B. The Sponsor must insert the substance of this clause on banning texting while driving in all subgrants,contracts and subcontracts.

21. Exhibit "A" Property Map. The Exhibit “A” Property Map is incorporated herein by reference or issubmitted with the project application and made part of this grant agreement.

22. Employee Protection from Reprisal.

A. Prohibition of Reprisals –

1. In accordance with 41 U.S.C. § 4712, an employee of a grantee or subgrantee may not bedischarged, demoted, or otherwise discriminated against as a reprisal for disclosing to a person orbody described in sub-paragraph (A)(2), information that the employee reasonably believes isevidence of:

i. Gross mismanagement of a Federal grant;ii. Gross waste of Federal funds;

iii. An abuse of authority relating to implementation or use of Federal funds;iv. A substantial and specific danger to public health or safety; orv. A violation of law, rule, or regulation related to a Federal grant.

2. Persons and bodies covered: The persons and bodies to which a disclosure by an employee iscovered are as follows:

i. A member of Congress or a representative of a committee of Congress;ii. An Inspector General;

iii. The Government Accountability Office;iv. A Federal office or employee responsible for oversight of a grant program;v. A court or grand jury;

vi. A management office of the grantee or subgrantee; orvii. A Federal or State regulatory enforcement agency.

3. Submission of Complaint – A person who believes that they have been subjected to a reprisalprohibited by paragraph A of this grant term may submit a complaint regarding the reprisal to theOffice of Inspector General (OIG) for the U.S. Department of Transportation.

4. Time Limitation for Submittal of a Complaint - A complaint may not be brought under thissubsection more than three years after the date on which the alleged reprisal took place.

5. Required Actions of the Inspector General – Actions, limitations and exceptions of the InspectorGeneral’s office are established under 41 U.S.C. § 4712(b)

6. Assumption of Rights to Civil Remedy - Upon receipt of an explanation of a decision not to conductor continue an investigation by the Office of Inspector General, the person submitting a complaintassumes the right to a civil remedy under41 U.S.C. § 4712(c).

23. Co-Sponsor. The Co-Sponsors understand and agree that they jointly and severally adopt and ratify therepresentations and assurances contained therein and that the word "Sponsor" as used in the applicationand other assurances is deemed to include all co-sponsors.

24. Design Grant. This grant agreement is being issued in order to complete the design of the project. TheSponsor understands and agrees that within 2 years after the design is completed that the Sponsor willaccept, subject to the availability of the amount of federal funding identified in the Airport CapitalImprovement Plan (ACIP), a grant to complete the construction of the project in order to provide a usefuland useable unit of work. The Sponsor also understands that if the FAA has provided federal funding tocomplete the design for the project, and the Sponsor has not completed the design within four (4) yearsfrom the execution of this grant agreement, the FAA may suspend or terminate grants related to thedesign.

WHEREAS, the City of Little Falls and the County of Morrison, jointly own and operate the Little Falls/Morrison County Airport; and

WHEREAS, the City of Little Falls and County of Morrison wish to improve the Airport by adding a crosswind runway; and

WHEREAS, portions of the Little Falls/Morrison County Airport’s hazardous area lie outside of the territorial limits of the City of Little Falls but within the limits of Morrison County and the Township of Little Falls; and

WHEREAS, the City of Little Falls and County of Morrison wish to reestablish the Joint Airport Zoning Board; and

WHEREAS, both the City and County shall appoint two members, not of their elected governing bodies, to the Joint Airport Zoning Board; and

WHEREAS, both the City and County wish to extend an invitation to Little Falls Township to appoint members to the said Joint Airport Zoning Board as the hazardous area lies within Little Falls Township; and

NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Little Falls, and Commissioners of the County of Morrison reestablish the Joint Airport Zoning Board, with two members being appointed by each governing body, not including any member of either governing body, pursuant to Minnesota Statute 360.063, Subdivision 5, and all other applicable laws, and further extends to Little Falls Township, an invitation to appoint two members to said Joint Airport Zoning Board, not from their governing body; and

BE IT FURTHER RESOLVED, that the Chairperson of the Joint Airport Zoning Board shall be appointed by the members of the Board from its members; and

BE IT FURTHER RESOLVED, that said Zoning Board shall administering and enforcing zoning laws for the areas surrounding the airport and the protection of the airport and the public.

WHEREAS, the City Council of the City of Little Falls has dedicated Paul Larson Memorial Drive as part of the Great River Road system; and

WHEREAS, the State of Minnesota, Department of Transportation is proposing to reconstruct Trunk Highway 27 through the corporate limits of the Little Falls; and

WHEREAS, said reconstruction will include the placement of concrete medians and additional safety measures on Trunk Highway 27, including the removal of left turning traffic from Paul Larson Memorial Drive onto Trunk Highway 27; and

WHEREAS, the City of Little Falls wishes to remain a part of the Great River Road system.

NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Little Falls that Lindbergh Drive from Ninth Avenue Northwest to the southerly corporate limits be named Great River Road; and

BE IT FURTHER RESOLVED, that Paul Larson Memorial Drive be removed as a segment of the Great River Road system.

WHEREAS, the City of Little Falls proposes to improve Trunk Highway 27 with surface and/or utility improvements; and

WHEREAS, in conjunction with this project the City of Little Falls is proposing to improve the following areas with complete grading, curb, gutter and bituminous surfacing, sanitary sewer mains, sanitary sewer service lines, watermains, water service lines, storm sewer, and related appurtenances thereto, on:

o Thirteenth Street Southwest between Broadway and First Avenues Southwest; ando On Eleventh Street Southwest between Broadway and First Avenues Southwest; ando On Seventh Street West between First Avenue Southwest to approximately 225 feet

northerly of Broadway Avenue; ando On Lindbergh Drive South between Broadway Avenue to a point approximately 185 feet

southerly of Broadway Avenue; ando On Kidder Street Northeast between Broadway Avenue and Bay Street; and

WHEREAS, these project areas are all staff initiated projects with no petitions for said improvements being received; and
