EXECUTIVE SUMMARY

The Australian real estate industry has had little significant change to its business model for many decades. New agencies and sales systems have emerged yet there has been limited impact on old-style work practices that deliver poor service and expensive outcomes to both vendors and buyers alike.

Sales techniques of the incumbent franchises continue to include over-quoting property values to gain the client, promises of non-existent buyers ready to purchase, and removing the vendor from the process of presenting the home and negotiating the price. This has led to a real reduction in value for the vendor and an undermining of the reputation of the industry.

Vendors are actively seeking alternative processes for selling their properties so Hello developed a viable alternative business model,

which will be disruptive to the industry, has been tested and proven and is now operating in NSW, South Australia, Victoria and soon will launch in Queensland.

The Hello model features a fixed-fee service for the Client to sell their own property supported by a dedicated Hello mentor utilising the very latest Best Practice professional real estate services. The Hello system puts the property preparation, marketing and sale process clearly in the hands of the property owner resulting in significant savings, less time on market and achieving the best price for their property.

The Hello sales system makes available to the Client all of the tools that real estate agents currently use such as house stylists, professional photography; signage; multiple website listings; live call centre telephone answering; high quality brochure and sales

aid production; plus, a Valuation by a licensed valuer, all current on-market and recent sales data; contracts; conveyancing and settlement services.

To deliver these services Hello developed a unique small business model that is based on ‘partnerships’ through Licensing as an alternative to franchising which are called ‘Satellite Business Units’ (SBUs) that operate within a clearly designated area under the terms of the license. The licensing model is rolling out plus many applications are being negotiated in the 4 current states in which Hello is licensed as well as Tasmania, ACT and WA. The licensing model was chosen, as it is a more inclusive business arrangement, which reflects the ‘Open & Transparent’ culture that Hello is promoting to clients. Licensees are treated with the same level of respect and inclusiveness.

TARGET MARKETHello’s services are designed to cover the whole spectrum of the market from low cost sales to premium properties. Clients’ ages vary greatly, however, the early adopters are people who have experienced selling with traditional real estate agents in the past. They are people who fully appreciate the value in having someone support them during the sale process and the savings that can be achieved using the Hello system.

The Hello model also offers builders, developers, renovators and investors a dedicated, hands on licensed real estate sales agent to handle the pre-sale and sale phase of their project development or the sale of investment property. This service features full transparency with all communications – both telephone enquiries and email contacts – being forwarded to the Client.

THE OPPORTUNITY The Real Estate Market is rapidly changing, Vendors and Buyers are demanding alternatives, agents are being forced to embrace new technologies and franchise agencies are now outnumbered 3-1 with over 10,000+ independent agents in Australia now representing the major force in real estate sales.

Growing consumer dissatisfaction with the real estate industry, and limited changes to the business model for decades has provided this market opportunity. Vendors are more experienced in transacting property and do not wish to pay the inflated industry rates of commissions and fees. Trust in the real estate industry is at an all-time low with the latest Roy Morgan Research rating agents as untrusted by 24 out of every 25 Vendors. Buyers have more up to date information on the market and real recent sales data than ever before so they are looking for alternatives. At the other end of the market - the DIY operators are offering limited ‘List on the Net’ services however they do not provide the mentoring services that are a major advantage in the Hello system across the entire real estate transaction process.

Bob has two main passions in life: starting successful companies and thoroughbred horses. He introduced KFC, Pizza Hut, Sizzler

and Lone Star Steakhouse & Saloon to Australia. In his spare time, he built a 280ha family farm that raises thoroughbred

horses. As the Chairman of Hello Real Estate, he’s happy to share his wealth of franchisee and business knowledge, not to mention

a few good equine stories.

James has over 20 years in advertising and marketing, working across Europe, Asia and the Americas. As a business growth

expert, he’s worked with and helped some of the biggest brands in the world – Google, HSBC, Unilever, Bayer, GE and Sony.

PHILIP HORANFOUNDER, DIRECTOR

Phil brings over 30 years of property experience to the Hello team. His career has taken him across Australia, Malaysia and the Middle East where he has worked on a range of projects

including residential construction and renovations, subdivisions, residential investment, tourism and commercial development.

Trish is Hello Real Estate’s licensee who brings a wealth of leadership and property development experience to the team. Since inception, Trish has helped develop the customer service

Matthew has over 25 years experience in general management and strategic advisory positions in the IT and Telecommunications industry across Europe, the USA and Asia. Matthew is a Fellow of the Chartered Institute of Management Accountants. In 2000 he

relocated to Australia and has worked with such companies as Perot Systems (US), British Telecom (UK), EDS (US) in Senior Management

and Executive positions. He brings to Hello a wealth of hands-on experience in building high value companies, M&A, commercial

negotiation and corporate re-structuring along with proven business development, strategic planning and implementation skills.

JASON BUCKLEYADVERTISING ADVISOR TO THE BOARD,

After receiving his ACA, Jason quickly rose to CFO of Leo Burnett Australia. He then moved to Asia for Beacon Communications and

Leo Burnett, seizing new opportunities and growing the agency into one of the largest operations across the world. Today Jason

is the CEO for Y&R ANZ and has successfully returned the agency to double-digit margin growth. He’s advisor on the board of Hello

THE PACKAGE

1. A FULLY INCORPORATED COMPANY WITH CURRENT 10 YEAR HELLO LICENSE AGREEMENT

Hello Real Estate operates through satellite business units (SBU). Each SBU has its own license and geographic territory defined by postcodes. Shareholding in the company (which is subject to a Shareholders Agreement) will be 70% to yourself (or a nominated approved entity, such as a family or unit trust) & 30% to be held by Hello Business Systems Pty Ltd. You will be the sole director of the company and as such you will have full decision-making and management control.

Also available are various different format SBU’s, which focus on Home Buyers (for the investor market) and New & Off The Plan Property Sales. Talk to us if this is of interest.

2. ROLE OF THE SATELLITE BUSINESS UNIT (SBU)

The licensed SBUs engage Clients and deliver the service of guiding them through the process of selling their own property, from the valuation all the way through to conveyancing and settlement. These services are delivered by our trusted partners and it is the SBU’S role to step them through the process. Hello’s Proprietary customer relationship management system ‘EVOLVE’ is cloudbased and has integrated all the partners into one system - to make managing each client straightforward and clear. Each SBU Owner has the option to employ Mentors who are all trained as experienced professionals. The SBUs are also supported by Hello Business Systems Pty Ltd (HBS). HBS operates the overall

business, bank accounts, payment services and commission services, and administers agreements with the Clients. SBUs are not required to set up a ‘street-front’ office, they can work just as well from their own homes and remain mobile.

3. FULL TRAINING IN THE HELLO SYSTEM

A full training and on-going support package is provided. Your training includes client servicing, sales, local area marketing, operations and administration. Provide your clients with: valuations, home styling, photography, floor plans, brochures, internet uploading, signage, online offers and auctions, contracts, call centre, conveyancing and settlement. At all times our Senior Corporate Mentors work directly to support you, enabling you to grow your business. The Hello system involves a

Sales Manual, Operations Manual, Domains list, complete documentation system for transacting a sale, online CC facility, referral system, a fee finance system and a signage system.

4. CERTIFIED REAL ESTATE ‘SALES CERTIFICATE COURSE

You will require a genuine interest in empowering and supporting people to be in control of their own property sale. Previous real estate sales experience could be an advantage but is not necessary as we provide full training in all aspects of the business. Hello provides a certified real estate sales certificate course as part of our training package. An interest in real estate is essential, as is a desire to help and assist others.

5. WHY LICENSE RATHER THAN FRANCHISE?

The Chair of Hello is in the Franchise Hall of Fame. The founder of Hello spent 6 years as Chair of the Franchisors Association of SA. Hello has chosen a licensing model as it is a more collaborative route. Hello’s SBU owners are partners in an incorporated company and this allows more autonomy and encourages collaboration with Hello. Hello’s 30% equity is non-dividend bearing.

6. REFERRAL & LEAD GENERATION PARTNERSHIPS & PROGRAMS

Customers find their way to Hello through an extensive program of referral platforms and business and referral partnerships. Hello is targeting a market of over 500,000+ properties sold each year in Australia. SBU’s need less than 2% of the local market to be very successful. Our lead generation occurs through:

Hello’s own Lead Generation Platforms - high volume, targeted leads

Affiliate Partnerships - leveraging partner lists and cross marketing mutual benefits

Targeted Communication Campaigns with a consumer and market focus- driven by advertising agency Young & Rubicam (www.gpyr.com.au), one of the world’s largest creative advertising agencies.

7. UNIQUE HELLO LOCAL AREA MARKETING PROGRAM

Hello has a local area marketing package and dedicated national advertising campaign. SBU licensees will have direct website interconnectivity to the Hello website and also the major real estate Portals including realestate.com.au and domain.com.au.

Advertising layouts and material including radio adverts, internet ads for local use and templates are provided they’re available to all SBU’s.

Marketing materials including opening stock of stationery, flyers, business cards, letterhead, client manuals, presentations and folders are provided to all new SBU licensees

Hello has developed and owns its own proprietary signage system featuring a unique high quality, fully moulded sign system that can be recycled and used for numerous properties, these signs are supplied, installed and removed by our dedicated signage team.

8. HELLOCONNECT CREATES UNIQUE BUYER EXPERIENCE

The buyer’s experience is unique to Hello. Each Hello listed house has a HelloConnect Wi-Fi ‘hotspot’ to deliver location specific content to all mobile devices. The hotspot provides a range of 100m from the home. The buyer registers once and the system

auto sends SMS and emails to customers who have registered to the Wi-FI hotspot. Once registered, a buyer gets access to a branded ‘Landing’ page on their mobile with property and location information, videos and Images, Floor Plans, Contact Details, Links to Hello Property Specific web pages as well as information on other Hello properties in the area. At the completion of the inspection a buyer can receive the contract, plans, and even choose to bid via the Hello Bid n Buy platform if they are interested. The buyer can save a copy of all content to their phone or other mobile device.

9. ONGOING SALES/MARKETING & MANAGEMENT SUPPORT

SBU Owners have access to Hello resources, which include marketing, business expertise, training and ongoing advice. Hello also encourages interaction

between all SBU Owners, making them part of a larger team, and provides local area marketing as well as overall ongoing brand development and customer awareness programs. This support system enables SBU Owners to offer a uniform product and to benefit from bulk buying initiatives and national contracts – something that they would not be able to do on their own. Regular video and voice calls and in-person meetings add to the overall support available to the SBU Owners that they would not have if they were operating on their own.

10. 50% FINANCING AVAILABLE THROUGH THE HELLO & NAB RELATIONSHIP

If you are interested in taking on an SBU license but don’t have the immediate funds - talk to us. Our relationship with NAB means you can receive 50% financing for your SBU license.

My most memorable mentoring moment was assisting Tricia of Glenalta with the sale of her property. Tricia was a

little scared at the thought of talking to potential buyers.

At her first open people were streaming in the door in quick succession. I took their details to assist, then pointed out

Tricia standing in her kitchen. After greeting the first few buyers I turned

to look at her and she had the biggest smile on her face and was enjoying the

entire experience.

Tricia felt so comfortable with the process that she handled the next open the following day, on her own, without my assistance. By the end of the 2nd

inspection we had 4 written offers and achieved a price over the actual asking

price. Happy seller and happy buyer.
