I. Introduction A. Project Background Hocking Hills State Park is the most visited state park in Ohio, and the second most popular travel and tourism destination in Ohio for visitors of all ages. The state park features the natural areas of Old Man’s Cave, Ash Cave, Cedar Falls, Cantwell Cliffs, Lake Logan and Rock House, featuring terrain and scenery unlike any other in Ohio. In addition to this unique tourism anchor, the local area provides other outdoor attractions including hiking, mountain biking, archery, canoe and kayaking, zip lines, rock climbing and is supported by unique restaurants, galleries and retail experiences. In August of 2017, Conde Nast Traveler’s identified Hocking Hills State Park as one of the “Most Beautiful Places in Every State” and prior to this Fodors.com included the Hocking Hills in their picks for top “Under-the-Radar Vacation Destinations.” To understand the current visitors for the Hocking Hills area, in 2014 the Hocking Hills Tourism Association undertook a survey of the 43,000 subscribers of their e-newsletter. The survey participation rate of those who opened the e-mail was 32%. Key findings from this survey were:

• Age Demographic: 54% of current subscribers were between the ages of 50 to 68, and more than 25% were between the ages of 39 to 50 years.

• State of Residence: 76% of respondents were from Ohio.

• Primary Reason for Travel: Family vacation (58%) adventure travel (47%) and romantic getaway (40%).

• Favorite Hocking Hills Activities: Hiking (88%), relaxing (74%) and shopping (28%).

ODNR is building a new visitors center at Hocking Hills State Park (the “Visitors Center”), scheduled to open to the public in December 2018. The Visitors Center will include restrooms, interpretive and informational displays as well as a small retail area for souvenirs. ODNR will be promoting trail safety in the display area, to include suggested outerwear for hiking and recreating in the Hocking Hills. The following project (the “Project”) entails providing seasonal displays of clothing, footwear, accessories and outdoor gear appropriate for recreating at the Hocking Hills State Park either on land or on the water (the “Merchandise”), to be displayed on two (2) mannequins (one male and one female), all of which will be provided by the person or entity submitting the winning sponsorship proposal and entering into an agreement with ODNR (the “Winning Bidder” or “Sponsor”). The Winning Bidder will display its Merchandise on the mannequins and may, as well, display printed or electronic information about the Merchandise. The display may include information on where to purchase the Merchandise (store locations, websites, etc.). The Winning Bidder will NOT make sales of the Merchandise at the Visitors Center. No display shall convey an

endorsement by ODNR or express a favorable opinion by ODNR about the quality, value, or effectiveness of a particular product, service, company or organization. B. Qualified Bidders Qualified bidders are individuals or organizations demonstrating experience and expertise in documented, successful retail, catalog and online sales with a working knowledge of outdoor recreation in Ohio. C. Sponsorship Agreement Award and Duration One sponsorship agreement will be awarded contingent upon approval by the chief of the ODNR Division of Parks and Watercraft. The Winning Bidder will be required to enter into an agreement with ODNR in a form substantially the same as Attachment A. The sponsorship agreement shall be in effect, commencing on or about October 15, 2018 through December 31, 2019. The Visitor Center is scheduled to open to the public in January 2019. II. General Requirements for Proposals and Requirements of the Project The Winning Bidder must, at a minimum, meet all the following bidder and Project requirements.

A. General Requirements for the Bidder 1.Submit a proposal including a defined approach to perform all requirements and propose sponsorship amount as defined in the Proposal Format (V). 2. Document previous experience with retail sales and knowledge of outdoor recreation in Ohio.

B. Requirements of the Project The services that the Winning Bidder and its staff will provide are summarized as follows: 1. Provide two mannequins displaying appropriate Merchandise for the four seasons and printed or electronically displayed information regarding the Merchandise, and from which the public can learn how to purchase the Merchandise. 2. The Winning Bidder will be required to display the Merchandise listed in Attachment D hereto. The Winning Bidder will be required to ship and/or deliver the Merchandise to

the Visitors Center and either dress the mannequins or provide instructions to ODNR as to how the mannequins shall be dressed and the Merchandise displayed. The Winning Bidder will provide directions on how to return or dispose of Merchandise displayed for the previous season. III. ODNR Involvement A. ODNR Obligations ODNR shall:

1. Provide Winning Bidder with a space in the Visitors Center large enough for the display of two (2) mannequins.

2. ODNR will participate either in meetings or telephone discussions with the Winning Bidder during which planned coordination of mannequin outfitting will be discussed and reported on by the Winning Bidder. 3. ODNR will dress the mannequins and display Merchandise as directed by the Winning Bidder. ODNR shall return or dispose of Merchandise displayed in the previous season in accordance with the Winning Bidder’s instructions.

IV. Display Approval Process A. The Winning Bidder will submit the following to ODNR: mannequins, merchandise and signage. Any printed materials or signs for display will require ODNR official’s written authority before ordering, printing and/or distributing. V. Proposal Format Proposals shall be submitted with an original and four (4) copies containing the following sections. A. Proposal Cover Sheet 1. Bidder name, address and federal tax identification number. 2. Bidder contact person, telephone number, fax number and e-mail address. B. Table of Contents C. Technical Proposal (to include) 1. Profile of the Bidder

a. A description of the bidder, including requested information under Section II, A. General Requirements of the Bidder. b. A description of the bidder's experience in retail sales and outdoor recreation in Ohio. c. Identification and qualifications of key personnel and their responsibilities for the Project.

2. Project Implementation (to include)

a. A description of how all the requirements specific to the Project will be implemented, including each item under Section II, B Requirements of the Project. b. Location of principal office from which the work on the Project is to be performed/coordinated. c. Identification of the key personnel expected to work on the Project. d. Identification of any anticipated difficulties in meeting the Project specifications and description of proposed solutions. For example, if the bidder does not sell an item to be displayed on the mannequin, identify the item and how the item will be supplied (bidder will purchase from another provider, etc.)

3. Required Forms and Statements (to include)

a. Signed Attestation Statement (Attachment B) indicating a commitment to execute a contract within 30 days after the Winning Bidder is notified of selection. Failure of the Winning Bidder to execute a contract with ODNR within this time frame shall be grounds for ODNR to cancel the award of the contract to the Winning Bidder, select another bidder and/or re-open the bidding process.

D. Sponsorship Proposal 1. Indicate the monetary sponsorship payment (one-time per contract sponsorship amount) to be paid to ODNR for the exclusive right to display the Merchandise on mannequins in the Visitors Center. Total Points Available: 100 50 Points completeness and clarity of proposal, including:

• Previous relevant experience • Qualifications and experience of Project personnel • Overall quality of technical proposal

50 Points amount of sponsorship payment VII. ODNR is under no obligation to pay any costs incurred in the preparation of proposal submissions or in the implementation of the Project. B. ODNR reserves the right to reject any and all proposals where the bidder fails to meet the terms and conditions of the RFP, including, but not limited to, standards, specifications and requirements, or where the response to the RFP contains significant inconsistencies and/or inaccuracies. C. ODNR reserves the right to reject, in whole or in part, all proposals, where ODNR, taking into consideration factors including, but not limited to, experience and success rate in retail sales, marketing, advertising, public relations, a working knowledge of outdoor recreation in Ohio, sponsorship payment amount, and the results of the evaluation process, has determined that award of a contract would not be in the best interest of ODNR or the State of Ohio. D. ODNR may cancel and/or re-issue the RFP, in whole or in part, when the services offered are not in compliance with the requirements, specifications, and terms and conditions set forth in the RFP, or the sponsorship payment amount is considered to be low in comparison with existing market conditions, or it is determined that award of a contract would not be in the best interests of ODNR and/or the State of Ohio. E. ODNR reserves the right to waive minor defects and to provide bidders with the opportunity to correct material defects when no prejudice to the rights of other bidders or to the public will result. Bidders shall be afforded fair and equal treatment regarding any clarification and/or correction. F. ODNR reserves the right to amend or withdraw the RFP any time prior to the award of a contract. The bidder may withdraw a response to the RFP any time prior to the award of a contract.

G. All products, which result from the proposed contractual agreement, will be the sole property of ODNR. H. All bids will be considered firm and in the event a contract is entered into as a result of this solicitation, the Winning Bidder will be required to fulfill the contractual obligations at the amount quoted in the fee proposal. I. Pursuant to Section 149.43 of the Ohio Revised Code, the proposal may be considered a public record and be released upon request. J. ODNR may, from time to time as it deems appropriate, communicate specific instructions and requests to the Winning Bidder concerning the performance of its obligations described in the RFP and/or the contract. Upon such notice and within ten (10) days after receipt of instructions, the Winning Bidder shall comply with such instructions and fulfill such requests to the satisfaction of ODNR. It is expressly understood by ODNR and the Winning Bidder that these instructions and requests are for the sole purpose of ensuring satisfactory completion of the work described in the RFP and/or contract or any part thereof. All such instructions and requests shall be communicated to the Winning Bidder by ODNR’s designated representative. K. ODNR reserves the right not to award a contract under this RFP. L. ODNR reserves the right to select Winning Bidder based on the compatibility and propriety of the bidder with the Project and with the mission and goals of ODNR.

ATTACHMENT A AGREEMENT

This Agreement, made and entered into as of this first day of ________, 2018, by and between

the Ohio Department of Natural Resources, Division of Parks and Watercraft (hereinafter

“ODNR”) and ________________________________________ (hereinafter the ”Sponsor”).

WITNESSETH

WHEREAS, the Director of Natural Resources may enter into a cooperative or contractual

arrangement with any individual, agency, organization, or business entity to assist ODNR in

funding a program or project of ODNR, its divisions, or its offices through securing, without

limitation, donations, sponsorships, marketing, advertising, and licensing arrangements pursuant

to Section 1501.02 of the Revised Code; and

WHEREAS, ODNR may accept donations of money, equipment, material, and services that

benefit the department pursuant to Ohio Administrative Rule 1501-4-01; and

WHEREAS, ODNR may solicit sponsorships of money, materials, or services for department

programs or projects pursuant to Ohio Administrative Rule 1501-4-02; and

WHEREAS, ODNR wishes to contract for sponsorship to promote park opportunities and

hiking safety in Ohio; and

WHEREAS, Sponsor is an individual or entity engaged in the retail sales of outdoors and hiking

clothing, footwear, accessories and outdoor gear (the “Merchandise”); and

WHEREAS, ODNR is desirous of engaging Sponsor to assist in the administration and

implementation of the Hocking Hills Trail Safety Sponsorship Program; and

WHEREAS, Sponsor is willing to provide financial support and seasonal Merchandise to

ODNR on the terms and conditions set forth herein;

NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE PREMISES AND THE

MUTUAL CONVENANTS AND AGREEMENTS HEREIN CONTAINED, ODNR AND

SPONSOR AGREE AS FOLLOWS:

I. NATURE OF SPONSORSHIP

A. Sponsor hereby agrees to sponsor, and ODNR agrees to accept the Sponsor’s

sponsorship of, the Hocking Hills Trail Safety Program.

B. The Sponsor will be required to provide one male and one female mannequin dressed

in approved, seasonally appropriate apparel and gear for display. The Sponsor will ship

or deliver Merchandise to the Visitors Center and either dress the mannequins or provide

instructions to ODNR as to how the mannequins shall be dressed and the Merchandise

displayed, as well as provide directions on how to return or dispose of Merchandise

displayed for the previous season.

C. The Sponsor shall produce and display with the mannequins promotional material

regarding the Merchandise. All such promotional materials shall be submitted to the

ODNR Division of Parks and Watercraft’s Communication and Education Manager for

approval prior to distribution or publication. The promotional material provided by

Sponsor shall also provide information from which the public can learn how to purchase

the Merchandise.

D. No display shall convey an endorsement by ODNR or express a favorable opinion by

ODNR about the quality, value, or effectiveness of a particular product, service, company

or organization.

III. TERM OF SPONSORSHIP

This Agreement shall become effective as of the date that it is signed by the Director of Natural

Resources (the “Effective Date”). This Agreement shall expire on _______________ (the

“Termination Date”). Upon the request of Sponsor, received by ODNR no later than ninety (90)

days prior to the Termination Date, ODNR, at its sole discretion, may renew this Agreement for

a subsequent one (1) year term.

IV. FINDINGS FOR RECOVERY

Sponsor affirmatively represents and warrants to ODNR that it is not subject to a finding for

recovery under Section 9.24 of the Revised Code, or that it has taken appropriate remedial steps

required under Section 9.24 of the Revised Code, or otherwise qualifies under that section.

Sponsor agrees that if this representation and warranty is deemed to be false, the Agreement shall

be void ab initio as between the parties to this Agreement, and any funds paid by ODNR

hereunder shall be immediately repaid to ODNR, or an action for recovery may be immediately

commenced by ODNR for recovery of said funds.

V. SPONSORSHIP PAYMENT TO ODNR

For exclusive right to dress mannequins with appropriate seasonal Merchandise pursuant to this

Agreement, or any renewal thereof, Sponsor agrees to pay ODNR $__,000 for each year this

Agreement remains in effect. The first Sponsorship Payment shall be paid within ten (10) days

of the date this Agreement is executed by the Director of Natural Resources (the “Effective

Date”). During any renewal term hereof, the Sponsorship Payment shall be made on the

anniversary of the Effective Date.

VI. EXPENSES

Sponsor shall be responsible for any and all expenses it incurs in its performance of this

Agreement.

VII. TERMINATION

If Sponsor fails to perform any of the material terms and conditions of this Agreement, notice of

such violation shall be sent to Sponsor in accordance with the provision of Article XVIII. If such

violation is not corrected within thirty (30) days after communication of such notice by ODNR,

the ODNR may terminate this Agreement.

VIII. NON-DISCRIMINATION

A. In the hiring of employees for the performance of work under the Agreement or

any subcontract, Sponsor, and its subcontractors, will not for reasons of race, color,

religion, sex, age, handicap, national origin or ancestry, discriminate against any citizen

of this state in employment of a person qualified and available to perform the work to

which the Agreement relates.

B. Sponsor, its subcontractors, and any person acting on behalf of the IC or its

subcontractors shall not in any manner discriminate against, intimidate, or retaliate

against any employee hired for the performance of work under this Agreement on

account of race, color, religion, sex, age, handicap, national origin or ancestry.

IX. RECORD KEEPING REQUIREMENT

During the term of this Agreement, or any subsequent renewal, and for three (3) years after its

expiration or termination, Sponsor shall maintain and keep records of all its activities under this

Agreement in a manner consistent with generally accepted accounting procedures.

Documentation to support each transaction shall be filed in a manner allowing it to be readily

located. All records or duplicates shall be maintained in the state of Ohio and shall be made

available to ODNR or its authorized representative upon request.

X. PERSONNEL

A. Sponsor shall act as an independent contractor in carrying out the services under

this Agreement. All personnel provided by Sponsor to carry out the services

rendered under this Agreement shall be the sole obligation and responsibility of

Sponsor. Nothing in this Agreement shall be construed to mean that personnel

provided by Sponsor to carry out the terms of this Agreement to be employees,

agents or servants of the ODNR.

B. Sponsor shall obtain, at its own cost, workers compensation insurance for all

personnel working under its direction pursuant to this Agreement.

C. Sponsor agrees that it will use its best efforts to ensure that all its employees,

while working on state property, will not purchase, transfer, use or possess illegal

drugs or alcohol, or abuse prescription drugs in any way.

XI. ASSIGNMENT

Sponsor shall not assign this Agreement without the prior written approval of ODNR.

XII. SEVERABILITY

Each provision hereof shall be separate and independent and the breach of any such provision by

ODNR shall not discharge or relieve Sponsor from its obligations to perform each and every

covenant hereunder. If the provisions herein or the application to any person or circumstance

shall to any extent be found invalid or unenforceable, the remaining provisions applicable to

persons or circumstances other than those to which it is invalid or unenforceable, shall not be

affected thereby, and each provision hereof shall be valid and enforceable to the extent permitted

by law.

XIII. WAIVER

The waiver by ODNR or Sponsor, or the failure of either party to take action with respect to any

breach of any term, covenant, or condition herein contained shall not be deemed to be a waiver

of such term, covenant, or condition, or subsequent breach of the same, or any other term,

covenant or condition contained herein.

XIV. INDEMNIFICATION

A. Sponsor agrees to indemnify and hold harmless ODNR, its members, officers, and

employees for damages, costs, losses, or any other claims arising from the services

performed under this Agreement or any subsequent renewal thereof. Sponsor shall

reimburse ODNR for any judgments rendered against the ODNR for Sponsor’s activities.

Sponsor agrees to defend ODNR against any such claims or legal actions if called upon

to do so.

B. Sponsor shall indemnify and hold harmless ODNR for any and all claims for

injury or damages resulting from infringement of trademarks or copyrights arising out of

this Agreement, or any renewal thereof, not caused by the acts or omissions of ODNR, its

employees or agents.

XV. Non-Appropriation and OBM Certification Performance by ODNR under this Agreement may be dependent upon the appropriation of funds

by the Ohio General Assembly. Therefore, in accordance with R.C. § 126.07, it is understood

that ODNR’s funds are contingent on the availability of such lawful appropriations by the Ohio

General Assembly. If the Ohio General Assembly fails at any time to continue funding for the

payments due hereunder, this Agreement is hereby terminated as of the date that the funding

expires without further obligation of ODNR.

XVIAtt. ENFORCEMENT

A. This Agreement and any claims arising in any way out of this Agreement shall be

governed by the laws of the state of Ohio. Any provision of this Agreement

prohibited by the laws of Ohio shall be deemed void and of no effect. Any

litigation arising out of or relating in any way to this Agreement shall be brought

only in a court of competent jurisdiction in Franklin County, Ohio and Sponsor

hereby irrevocably consents to such jurisdiction.

B. Sponsor agrees to comply with all applicable federal, state, and local laws in the

performance of services hereunder. Sponsor accepts full responsibility for

payment of applicable taxes including, without limitation, unemployment

compensation, insurance premiums, social security, income taxes or any other

payroll deductions required for all personnel working under the direction of

Sponsor pursuant to this Agreement.

C. In no event shall ODNR be liable for any indirect or consequential damages

including loss of profits, even if ODNR knew or should have known of the

possibility of such damages.

D. This Agreement constitutes the entire agreement between the parties and any

changes or modifications to this Agreement shall be null and void and of no effect

unless in writing signed by both parties.

XVI. SERVICE/RENEWAL

All notices, demands, requests, consents, approvals, and other instruments required or permitted

under this Agreement shall be in writing and shall be deemed to have been properly delivered

when hand-delivered or sent by U.S. registered or certified mail, return receipt requested,

postage prepaid,

Each party shall have the right from time-to-time to specify its address with respect to this

Agreement any other address in the United States of America upon giving fifteen (15) days

written notice to the other party as provided above.
