    Progress under the 2006 strategy

    We made strong progress against our key objectives.

    Mobile phone usage has grown significantly, partly offsetting price declines.

    We met key operating costs and capital expenditure targets.

    We increased our exposure to emerging markets.

    Our revenue share from non-core mobile or total communication services grew, due tosignificant data revenue growth and an increased fixed broadband presence.

    We refined our portfolio of businesses and disposed of several non-core assets.

    We maintained a disciplined approach to our capital structure. This proved right for thebusiness and returned a significant level of cash to shareholders.

    Consumers have an increasing choice of converged communication offers fromestablished mobile and fixed line operators, as well as newer entrants. They includehandset manufacturers, internet-based companies and software providers.

    Mobile virtual network operators (which lease network capacity from mobile companies)are becoming more common.

    Regulators continue to press for lower mobile termination rates and roaming prices.These areas together account for around 17% of our revenue.

    Strategic focus in 2009

    Our strategy is now focused on four key objectives:

    Operational performance

    Total communications

    Emerging markets

    Capital discipline

    Drive operational performance

    Value enhancement

    We will drive operational performance through customer value enhancement (whichreplaces revenue stimulation) and cost efficiency. Value enhancement involvesmaximising the value of our existing customer relationships, not just the revenue.We will move away from unit pricing and unit-based tariffs to propositions that delivermuch more value to our customers in return for greater commitment, incremental

    penetration of the account or more balanced commercial costs.This will require a more disciplined approach to commercial costs to ensure ourinvestment is focused on those customers with higher lifetime value.We are confident that by targeting our offers, we can deliver more value to our customersand have a better financial outcome for Vodafone.

    Cost reduction

    Cost efficiency requires us to continue to deliver scale benefits by optimising operatingand capital expenditure.Across the Group we have a significant number of cost programmes, which we expect toreduce current operating costs by approximately 1 billion per annum by the 2011financial year.This will offset the pressures from cost inflation and the competitive environment andenable investment in revenue growth opportunities.As a result, on a like-for-like basis, we are targeting broadly stable operating costs inEurope and for operating costs to grow at a lower rate than revenue in ACE (Africa andCentral Europe) and APME (Asia Pacific and Middle East) between the 2008 and 2011financial years.Capital intensity is expected to be around 10% over this period in Europe and to trend toEuropean levels in emerging markets over the longer term.

    Pursue growth opportunities in total communications

    Mobile data

    Weve made significant progress on mobile data, with annualised revenue of 3 billion.This is still a large opportunity, with the penetration of data devices relatively low inEurope and almost nil in emerging markets.

    Enterprise

    We have a strong position in core mobile services and weve built a solid presence in 18months in multi-national accounts through Vodafone Global Enterprise.We will make the most of this strength to expand our offerings into the broader enterprisecommunications market locally. This means serving small and home offices (SOHOs)and small-to-medium enterprises (SMEs) with shared platforms and services, supportedby our local sales forces.

    Broadband

    We will adopt a market-by-market approach focused on the service, rather than thetechnology. It will be targeted at enterprise and high value consumers as a priority.

    Execute in emerging markets

    Delivery in existing markets

    We are represented in most of the key emerging markets where significant growth isexpected in the coming years.Our main focus now is on execution in these markets, particularly in India, Turkey andour African footprint, following ouragreement to acquire control of Vodacom

    Selective expansion and cautious approach

    We will also try to maximise the mobile data opportunity. There are few potential largenew markets of interest to us and we will be cautious and selective on future expansion.

    Strengthen capital discipline

    We remain committed to our low single A rating target, which we consider to beappropriate in the current environment and comfortable with our liquidity position.Our focus is on generating 5 billion to 6 billion free cash flow generation per annumand ensuring appropriate investment in our existing businesses.

    Shareholder returns

    We will aim to improve returns to shareholders, primarily by increasing dividends. InNovember 2008, the Board adopted a progressive dividend policy, where dividendgrowth reflects our underlying trading and cash performance.

    Our priorities are to: invest in existing businesses expand in the growth areas of mobile data, enterprise and broadband acquire, where appropriate, new spectrum to support voice and data traffic growth.After investing in existing business and returns to shareholders, we will consideropportunities to reshape the portfolio. Our current capital structure implies that anysignificant acquisition would likely need to be funded through portfolio disposals.

    History and DevelopmentThe Company was incorporated under English law in 1984 as Racal Strategic Radio Limited(registered number 1833679). After various name changes, 20% of Racal Telecom Plc capitalwas offered to the public in October 1988. The Company was fully demerged from RacalElectronics Plc and became an independent company in September 1991, at which time itchanged its name to Vodafone Group Plc.

    Since then, the Group entered into various transactions, which consolidated the Groups positionin the United Kingdom and enhanced its international presence. The most significant of thesetransactions were as follows:

    The merger with AirTouch Communications, Inc., which completed on 30 June 1999.The Company changed its name to Vodafone AirTouch Plc in June 1999, but thenreverted to its former name, Vodafone Group Plc, on 28 July 2000.

    The acquisition of Mannesmann AG, which completed on 12 April 2000. Through thistransaction the Group acquired subsidiaries in Germany and Italy, and increased theGroups indirect holding in SFR.

    Through a series of business transactions between 1999 and 2004, the Group acquired a97.7% stake in Vodafone Japan. This was then disposed of on 27 April 2006.

    On 8 May 2007, the Group acquired companies with interests in Vodafone Essar for$10.9 billion (5.5 billion), following which the Group controls Vodafone Essar (see note

    28 to the Consolidated Financial Statements).

    Other transactions that have occurred since 31 March 2005 are as follows:

    11 May 2005 France: Following a transaction completed by the Groups associatedundertaking, SFR, the Groups effective shareholding in Neuf Cegetel became 12.4%.

    31 May 2005 Czech Republic and Romania: 79.0% of the share capital of MobiFon S.A.(MobiFon) in Romania and 99.9% of the share capital of Oskar Mobil a.s. (Oskar) in the

    Czech Republic were acquired for $3.5 billion (1.9 billion). In addition, the Group assumedapproximately $1.0 billion (0.6 billion) of net debt.

    18 November 2005 India: Acquired a 5.60% interest in Bharti Airtel and on 22 December 2005acquired a further 4.39% interest in Bharti Airtel. Total consideration for the combined 10.0%stake was Rs. 67 billion (858 million).

    5 January 2006 Sweden: Sold Vodafone Sweden for 970 million (660 million).

    20 April 2006 South Africa: Increased stake in Vodacom Group (Pty) Limited (Vodacom) by15.0% to 50.0% for a consideration of ZAR15.8 billion (1.5 billion).

    24 May 2006 Turkey: The assets of Telsim Mobil Telekomunikasyon (Telsim) wereacquired for $4.67 billion (2.6 billion).

    29 June 2006 Greece: The Groups interest in Vodafone Greece reached 99.9% following apublic offer for all outstanding shares.

    3 November 2006 Belgium: Disposed of 25% interest in Belgacom Mobile SA for 2.0 billion(1.3 billion).

    25 November 2006 The Netherlands: Groups shareholdings increased to 100.0% following acompulsory acquisition of outstanding shares.

    3 December 2006 Egypt: Acquired an additional 4.8% stake in Vodafone Egypt bringing theGroups interest to 54.9%.

    20 December 2006 Switzerland: Disposed of 25% interest in Swisscom Mobile AG forCHF4.25 billion (1.8 billion).

    9 May 2007 India: A Bharti group company irrevocably agreed to purchase the Groups 5.60%direct shareholding in Bharti Airtel (see note 29 to the Consolidated Financial Statements).

    3 December 2007 Italy and Spain: Acquired Tele2 Italia SpA and Tele2 TelecommunicationsServices SLU from Tele2 AB Group for 775 million (537 million).

    11 December 2007 Qatar: A consortium comprising Vodafone and The Qatar Foundation wasnamed as the successful applicant in the auction to become the second mobile operator in Qatar.

    19 May 2008 Arcor: The Group increased its stake in Arcor for 474 million (377 million)and now owns 100% of Arcor.

During the last few years,Vodafone Group has entered into arrangements with network operators in countries where theGroup does not hold an equity stake. Under the terms of these Partner Market Agreements, the

    Group and its partner operators co-operate in the development and marketing of global productsand services, with varying levels of brand association.

    At 31 December 2009, based on the registered customers of mobile telecommunications venturesin which it had ownership interests at that date, the Group had 333 million customers, excludingpaging customers, calculated on a proportionate basis in accordance with the Company'spercentage interest in these ventures.

    The Company's ordinary shares are listed on the London Stock Exchange and the Company'sAmerican Depositary Shares ('ADSs') are listed on the NASDAQ Stock Market. The Companyhad a total market capitalisation of approximately 71.2 billion at 12 November 2009.

    How do you make the move?

    Porting your mobile number to Vodafone is easy.

    Choose a plan and sign up onlineOr go to a Vodafone Retail store and complete the following three easy steps:

    1. Go to your nearest Vodafone retail store and sign anauthorisation form.We will ask you to sign a form to confirm that you are authorised to port your number from yourcurrent service provider. For example, if your phone is a company phone, you'll have to get theperson who is authorised to change service providers to transfer the connection into your namefirst.

    2. Choose a new Vodafone On Account or Prepay plan.Our Vodafone representatives will also help you choose either a Prepay or On Account plan thatbest suits your needs. You will need to agree to either the Vodafone Prepay or Vodafone OnAccount Terms and Conditions depending on which plan you choose and if you sign up to an OnAccount plan you'll also need to have a credit check.

    You may also need a new mobile depending on the network that you are porting from. We havea huge range of world-class mobiles from the leading manufacturers, and some fantastic deals tomake them easy to afford.

    If you're joining Prepay you will need an active Vodafone Prepay SIM card. If you don't alreadyhave one you can purchase and activate a connection pack from one of our Vodafone retailstores.

    3. Tell them that you and your mobile number want to portto Vodafone!Make sure you bring in the following with you, so that our store representative can port youover:

    For users of an existing prepaid service - your mobile number and currentmobile.

    Things you need to know:

    The port takes approximately three business hours from the time theVodafone representative has started the port. Your Vodafone representative

    should advise you on a time they expect the port to be complete.

    During the port there will be a 30 minute period where you may not be ableto rely on all mobile services. For example you will be able to make calls withVodafone but not receive calls. You'll know the process is complete when youreceive a TXT from us to your Vodafone mobile letting you know you areactive on the Vodafone network.

    Hours that you can port your mobile number to Vodafone are Monday -Friday, 9am - 5pm, so if the Vodafone representative starts your port over at5pm, it may take until the next business day morning to complete theprocess.

    Following porting, your access to and use of some services may differ fromthose available to 021 customers.

    If you have moved your number from On Account to Prepay or Prepay to OnAccount you will be unable to do Mobile Number Transfer or Transfer of Titlein the future.

    Switching plans

    As well as being able to move your mobile number from another service provider to Vodafone,you can also switch your Vodafone Prepay mobile number to a Vodafone On Account plan, orvice versa.
