TERMS OF REFERENCE FOR CONSULTING SERVICES

Detailed Engineering and Design Services for the

Road Rehabilitation of President Diosdado Macapagal Boulevard (PDMB), Asean Avenue and J.W. Diokno (Bay) Boulevard, Parañaque City, and Construction of

New Road at Superblock B, Central Business Park (CBP) – 1, Island A, Pasay City

I. INTRODUCTION

The Philippine Reclamation Authority (PRA) intends to engage the services of local design consultancy firms for the Preparation of Detailed Engineering and Design Services for the Road Rehabilitation of President Diosdado Macapagal Boulevard (PDMB), Asean Avenue and J.W. Diokno (Bay) Boulevard, Parañaque City, and Construction of New Road at Superblock B, Central Business Park (CBP) – 1, Island A, Pasay City.

II. BACKGROUND

A. President Diosdado Macapagal Boulevard (PDMB) is roughly 5.10 km road comprising the stretch from Buendia Avenue Extension (Sta. 0 + 000) in Pasay City going down south to Pacific Avenue (Sta. 5 + 106.86) in Parañaque City. Three (3) contractors/ project proponents were engaged in the completion of this road in year 2002, namely: 1. J. D. Legaspi Construction (2.34 km.); 2. SM Land Inc. (1.52 km.), and, 3. R-1 Consortium, Inc. (1.24 km).

Inclusive components of the PDMB road are three (3) connecting bridges, namely: Macaraeg Bridge, Libertad Bridge and the Eva Macapagal Bridge which were built similarly by the proponents. PDMB was opened to the motoring public in 2005.

Since then, different sections of PDMB received some sort of “preventive maintenance”

and periodic shallow patch repairs to maintain its usefulness. In October 2015, a portion of the road (Southbound from Sta. 2 + 331 to Sta. 3 + 503, or roughly 1.17 km. constructed by R-1 Consortium) had undergone 50mm scraping and subsequent 50mm Hot-Mix Asphalt overlay after patch repairs.

B. Asean Avenue is roughly 1.50 km stretch service road starting from Roxas Blvd. and going west towards the Solaire Resort & Casino (Pasay-Manila Bay area). Periodic shallow patches on some portions were also undertaken on this road for upkeep and maintenance.

C. J.W. Diokno Boulevard (formerly Bay Blvd.) is roughly a 2.00 km road starting from the

Diokno-Libertad Bridge going south traversing the SM MOA Rotunda and Diokno-Redemptorist Bridge up to the Diokno - Asean Ave. intersection. Only light vehicles are allowed to pass through this road and few patching activities have been carried out for maintenance and upkeep.

D. The Internal Road at Superblock-B, Central Business Park – Island A in Pasay City, is roughly 120.00 m length and a Road Right-of-Way (ROW) of 15 m. This is a proposed secondary road which will connect Pearl Drive and Coral Way Drive on both ends.

E. All three (3) roads are built on lands reclaimed since the 1980s. The PDMB and J.W. Diokno Blvd. traverse CBP-I Islands A, B&C, CBP-II, and Asiaworld, which are

reclaimed lands that are collectively about 610 hectares; and the Asean Avenue is in CBP 1 Islands B&C. The new internal road will also be built in the reclaimed land of CBP-I Island A.

F. A feasibility study included in the Integrated Framework Plan of the Boulevard 2000

determined and established the viability of the rehabilitation and construction works. The study projected an increasing traffic volume which will affect the transportation access into the reclaimed site. It is therefore necessary to address any potential access limitations that will reduce the capacity of its roads.

G. The next appropriate step is the conduct of detailed engineering design, which is the

main output expected from this consultancy services.

III. SCOPE OF SERVICES

The Consulting Services required under this Terms of Reference shall be the preparation of detailed engineering and design for the PROJECT: a) road rehabilitation of PDMB (from Libertad Bridge to the boundary of CBP-II and Asiaworld only), Asean Avenue and J.W. Diokno Blvd., all located in Parañaque City, to improve their capacity to accommodate buses and trucks; and b) construction of New Road at Superblock B, CBP-1, Island A, Pasay City. To ensure the attainment of the objectives of this engagement, the CONSULTANT shall provide the following services, but not limited to:

A. PDMB, Asean Avenue, and J.W. Diokno Boulevard

1. To make interpretation of the Terms of Reference (TOR) in general.

2. Observation of existing pavement condition. This includes identification of the type, amount, severity, and location of surface distresses, such as rutting, fatigue, cracking, etc.

3. In addition to the survey of the surface distress, perform soil investigation and

laboratory testing program using Minimum Test Requirements for roads (DPWH or AASHTO, for that matter), to verify or identify the cause of the surface distress. The locations for the tests should be selected following the distress survey to assure that all significant pavement conditions are represented. The proposed locations for the tests are shown in Annex “A”. A reimbursable cost representing the amount of the actual laboratory tests that will be conducted must be stated by the CONSULTANT in its financial proposal.

4. Recommend corrective actions based on sound engineering practice using the latest DPWH Standard Specifications.

5. Prepare detailed engineering and design based on recommended corrective

actions for each phase of work. 6. Prepare the Technical Specifications that must comply with the latest DPWH

Design Standards and must include the descriptions of the work items, material requirements, construction requirements and methods, methods of measurements, and basis of payments. The sampling, testing and inspection requirements, and production and delivery requirements, shall be included in the specifications of applicable work items.

7. Prepare the Bill of Quantities (BOQ), Cost Estimates (including Unit Price Analysis based on DPWH (D.O. 197, Series of 2016) format, Construction Schedule & S-curve and Implementation Planning.

8. Prepare the Design and Laboratory Reports that were mentioned in III.A.3 hereof; 9. Prepare requirements for a Construction Safety and Health (COSH) Program for

the project being considered: a. Prepare all applicable design data and calculations on all aspects of work; b. Prepare Monthly Progress Reports indicating, but not limited to, the percentage

of accomplishment of the CONSULTANT, and the updates and accomplishments of the activities the CONSULTANT undertook for a particular month. The monthly reports will also include the problems encountered by the CONSULTANT in conducting its activities, its recommendations and solutions provided, coordination meetings attended and their outcomes; and a log of correspondences;

c. Prepare Project implementation schedule for the construction management and

supervision of the project; d. Provide on-call services during the pre-construction and the construction stages

of the Project at no cost to PRA; and, e. Provide technical assistance in the modification of the plans that may arise

during the implementation of the Project at no cost to PRA. 10. Provide Bid/ Tender Documents pursuant to the latest edition of Philippine Bidding

Documents (PBD) for Infrastructure Projects of the Revised IRR of RA 9184.

B. Internal Road at Superblock B 1. Provide and guarantee the highest quality of detailed engineering consulting

services required to do civil works design, topographic survey, geo-technical investigation, detailed engineering design, technical specifications, unit price analysis and cost estimates, construction drawings and bidding documents, environmental and social impact assessments.

2. Undertake the following activities, but not limited to:

a. Collection and Review of Existing Data and Documents b. Relocation, Topographic and Parcellary Survey c. Structural/ Facilities/Utilities Survey d. Geo-Technical Investigation/ Engineering Survey e. Detailed Engineering Design

i. Road Pavement Design ii. Drainage Design iii. Street Lighting Design

3. As a result of the survey works in III.B.2, the CONSULTANT shall provide, but not

limited to, the following information:

a. Contour plan in 1-m intervals b. Monumenting of boundary corners

4. Provide the detailed plans and drawings which shall include, but not limited to, the

following:

a. Cover Sheet b. Key Plan, Project and Vicinity Map c. Location Map d. Plan and Profile Sheets with all topographic information within survey corridor e. Typical Cross Sections f. Construction Details g. Cross Sectional and Elevation Views h. Drainage Plan / Water Supply Plans and Profile and Cross-Section Details i. Minor Drainage Structure Drawings j. Pavement Structure Drawings/Details k. Road Signs and Pavement Markings/Details l. Power Supply and Street Lighting Details m. Utility Relocation Maps n. Ancillary Works / Miscellaneous Details

i. Detailed Cross-Sections ii. Parcellary and Lot Plans iii. Drawing Index iv. Summary of Quantities v. Other necessary plans.

5. Provide quantity calculations, cost estimates and Unit Price Analysis (UPA) using

DPWH Unit Price Analysis (D.O. 197 Series of 2016) format.

6. Provide Technical Specifications that shall comply with the latest DPWH Design Standards and shall include the descriptions of the work items, material requirements, construction requirements and methods, methods of measurements, and basis of payments. The sampling, testing and inspection requirements, and production and delivery requirements, shall be included in the specifications of applicable work items.

7. Provide Bid/ Tender Documents pursuant to the latest Edition of Philippine Bidding

Documents (PBD) for Infrastructure Projects of the Revised IRR of RA 9184.

8. Provide requirements for Construction Safety and Health (COSH) Program for the Project.

9. Provide manpower and equipment utilization program, construction schedule and

S-Curve.

10. Provide all other reports that may be required by PRA.

IV. RESPONSIBILITIES OF CONSULTANT

The CONSULTANT shall perform the design services to the highest standards of professional and ethical competence and integrity. In general, the primary roles and responsibilities of the CONSULTANT will be as follows:

A. The result of design services should fulfill design criteria standards.

B. The result of design services should accommodate the limitations expressed by the

Owner including the requirement of this TOR such as in the aspect of payment, work schedule and the quality of works to be designed.

C. The result of design services shall fulfill the regulations, standards technical guidance

of civil works that are generally in effect.

V. OUTPUT OF DESIGN ACTIVITIES

The output of design activities undertaken by the CONSULTANT shall consist of reports presented in a systematic manner and shall contain the following: A. DRAFT FINAL REPORT

The Detailed Engineering Design shall consist of the following:

1. Detailed engineering design drawings for each item of work; 2. Technical Specifications; 3. Bill of Quantities and Cost Estimates for each item of work; 4. Unit Price Analysis (on DPWH format) for each item of work; 5. Program of Work; 6. Construction Schedule and Cash Flow with S-curve; 7. Design Report covering all engineering disciplines; 8. Minimum requirements for a Construction Safety and Health Program for the project

being considered; and, 9. Tender documents in accordance with the Revised IRR of RA 9184 (5 th Edition of

PBD for Infrastructure Projects) These documents should be submitted in one (1) original and two (2) copies and one (1) electronic copy in CD and/or other forms of electronic copies. All drawings shall be printed in scaled A3 size. The Draft Final Report should be submitted to PRA thirty (30) calendar days on or before the end of the assignment.

Note: Comments on the Draft Final Report will be prepared and discussed between the CONSULTANT and the Owner. The period of preparation of comments by the Owner shall be excluded in the duration of the CONSULTANT’s assignment.

B. FINAL REPORT

The Final Report should be submitted to the Owner on or before the 75th day of assignment as the result of Draft Final Report that has already been discussed and approved by the Owner.

These documents should be submitted in one (1) original and six (6) copies and one (1) electronic copy in CD and/ or other forms of electronic copies. All drawings shall be printed in scaled A-1 size Mylar tracing paper signed and sealed by the designing engineer. 1. Detailed engineering plans and drawings on one original A-1 size Mylar Sheet and

ten (10) other copies in white print. The drawings shall be prepared using at least 2018 AutoCAD format signed and sealed by respective design engineer/ professional.

2. Detailed engineering design calculations (i.e., Road, Water, Drainage and Electrical

Designs), including geo-technical survey reports to conform to the latest design parameters and criteria for each scope of works and shall be signed and sealed by the design engineer/ professional.

3. One (1) original and ten (10) other copies of the detailed unit cost estimates using

DPWH format, unit price analysis, technical specifications and tender documents in A-4 size quality paper and prepared using MS Office.

4. Draft drawings for submission to PRA for review or in support of progress payments

shall be submitted in two (2) sets of A-3 size quality paper. All other documents for submission to PRA for review or in support of progress payments shall be submitted in two (2) sets of A-4 size quality paper.

5. Bi-monthly Progress Reports indicating, but not limited to, the percentage of

accomplishment of the CONSULTANT, the updates and accomplishments of the activities the CONSULTANT undertook for a particular two (2) week period. The bi-monthly reports will also include the problems encountered by the CONSULTANT in conducting its activities, its recommendations and solutions provided, coordination meetings attended and their outcomes, and a log of correspondences.

6. Project implementation schedule for the construction management and supervision

of the project. 7. All plans and documents related to this detailed engineering design services shall

become the property of PRA.

VI. DESIGN PROCESS / DURATION OF SERVICES

A. In the process of design services to produce the outputs required, the CONSULTANT should prepare a schedule of periodic meetings with the Owner.

B. In the implementation of the tasks, the CONSULTANT should always consider that the work time schedule is fixed.

C. The design aspect of the contract shall be completed within seventy-five calendar days (75 c.d.) from the effectivity date of the contract, exclusive of the period for comments on the Draft Final Report.

VII. DESIGN INPUT

A. INFORMATION

1. To implement the tasks, the CONSULTANT should collect additional information/ data apart from the information provided by the Owner.

2. The CONSULTANT should check the validity of information to be used in the

implementation of his tasks. 3. The faults of design work as the result of lack of information shall be the

responsibility of the CONSULTANT.

B. KEY STAFF QUALIFICATIONS The CONSULTANT shall be an engineering design firm duly registered with the SEC or DTI, owned and managed by professionals qualified to undertake work in the fields of engineering and allied services. The CONSULTANT must have at least ten (10) years of experience in similar or related works to the PROJECT.

C. KEY PERSONNEL The CONSULTANT should provide personnel who fulfill the requirements to implement the services, based on the scope of services or the level of complexity of the works. The personnel required for this design activities shall consist of the following:

1. Team Leader (Project Manager/ Civil Engineer)

Team Leader should be a licensed Civil Engineer and have a minimum ten (10) years of similar experience as Team Leader / Construction Manager.

The tasks of the Team Leader are the following:

a. To plan, coordinate and control all activities and personnel involved in this

work to ensure the satisfactory and timely completion of the services;

b. To prepare implementation guidance in the stage of data collection, processing, and final presentation of the whole services; and,

c. To plan and implement all activities covering design of structure and give input

to the other experts related to the design services.

2. Senior Structural Engineer

Sr. Structural Engineer should be a licensed Civil Engineer with certification from any Government of the Philippines certifying body as Structural Engineer and have a minimum five (5) years of similar experience. The tasks of the Sr. Structural Engineer are to plan and implement all activities covering road design and give input to the other experts related to design services.

3. Senior Geotechnical Engineer

Sr. Geotechnical Engineer should be a licensed Civil Engineer and have a Masters’ Degree in Geotechnical Engineering and have a minimum five (5) years of similar experience.

The tasks of the Sr. Geotechnical Engineer are to plan and implement all activities covering geotechnical/soil investigation and give input to the other experts related to design services.

4. Quantity/ Cost/ Specifications Engineer

Quantity/Cost/Specifications Engineer should be a licensed Civil Engineer and have a minimum five (5) years of similar experience in the field of quantity survey and cost estimation and specifications writing. The tasks of the Quantity/ Cost/ Specifications Engineer are to plan and implement all activities covering technical specifications, bill of quantities and cost estimates and give input to the other experts related to design services.

5. Civil Works/Drainage Engineer

Civil Works/Drainage Engineer should be a licensed Civil Engineer and have a minimum five (5) years of similar experience. The tasks of the civil works/drainage engineer are to plan and implement all activities covering design of civil works, water supply and drainage works and give input to the other experts related to design services.

6. Professional Electrical Engineer

Professional Electrical Engineer should be a licensed Professional Electrical Engineer and have a minimum five (5) years of similar experience. The tasks of the Professional Electrical Engineer are to plan and implement all activities covering electrical lay-outs and design of road electrical system and give input to the other experts related to design services.

To summarize, the CONSULTANT shall employ and provide the following qualified and experienced key personnel:

VIII. EQUIPMENT AND FACILITIES

The CONSULTANT shall provide all office space, supplies, materials, transportation and other incident expenses required for the services described herein.

IX. SERVICES, FACILITIES AND DATA TO BE PROVIDED BY THE OWNER

Assistance in the retrieval of original design drawings, design reports and other data for examination and/or copying in the archives of PRA.

X. DURATION OF SERVICES

A. Inception Report – to be submitted five (5) calendar days from receipt of the Notice to

Proceed (NTP) in one (1) original and two (2) copies containing the detailed work

program and methodology for approval of PRA.

B. Progress reports – to be submitted thirty (30) calendar days from receipt of the NTP and every month period thereafter, in one (1) original and two (2) copies showing the progress of the consultancy work vis-à-vis the detailed work program submitted in the inception report.

C. The draft or preliminary report, and the final report which also includes specifications,

requirements for Construction Safety and Health Program (COSH) Program, plans and other required documents, shall be delivered within forty-five (45) c.d. and seventy-five (75) c.d., respectively, from receipt of the Notice to Proceed.

D. Except for the on-call services stipulated under III.A.9.d that has to be rendered on a

later date, the consulting services required for the detailed engineering design must be completed within seventy-five (75) c.d. from issuance of Notice to Proceed.

XI. APPROVED BUDGET FOR THE CONTRACT

The Consulting Services for the Detailed Engineering and Design Services for the Road Rehabilitation of President Diosdado Macapagal Boulevard (PDMB), Asean Avenue and J.W. Diokno (Bay) Boulevard, Parañaque City, and Construction of New Road at Superblock B, Central Business Park (CBP) – 1, Island A, Pasay City, have an Approved Budget for the Contract (ABC) of TWO MILLION SIX HUNDRED SIXTY-NINE THOUSAND EIGHT HUNDRED FOURTEEN AND 00/100 PESOS (₱ 2,669,814.00), inclusive of VAT and all other applicable government taxes.

XII. MODE OF PAYMENT

In consideration of the services required under this TOR, payment to the CONSULTANT shall be made in the following manner:

A. Thirty percent (30%) of the Total Contract Price upon submission of the draft drawings,

technical specifications, cost estimates, unit price analysis, tender documents, technical reports indicated in Item 2.c, manpower and equipment utilization program, construction schedule and S-Curve, and all other reports that may be required by PRA.

B. Thirty percent (30%) of the Total Contract Price upon submission of the complete set of

approved plans, technical specifications, cost estimates, unit price analysis, tender documents and technical reports.

C. Thirty percent (30%) of the Total Contract Price shall be released under the following

conditions:

1. Issuance of Certificate of Completion of the design by PRA. 2. Submission of the Final Report by the CONSULTANT. 3. Submission of the CONSULTANT of a Sworn Statement that it shall provide on-call

services during the bidding and construction of the Project at no cost to PRA. E. The remaining ten percent (10%) shall be released after completion of the construction

of the Project. After Issuance of the NTP and upon request of the CONSULTANT, mobilization expense in an amount equivalent to fifteen percent (15%) of the REMUNERATION COST may be given as advance payment to the CONSULTANT, subject to the posting, submission, and acceptance by the PRA of an irrevocable standby letter of credit of equivalent value from a commercial or universal bank and confirmed by PRA. RECOUPMENT OF THE ADVANCE PAYMENT shall be computed at twenty percent (20%) of the progress billings to be submitted by the Consultant from effectivity of this contract until the advance payment has been fully set off.

XIII. SELECTION OF CONSULTANT

The procurement of the consulting services, including its processes, requirements for eligibility, bid proposal structure and evaluation by the Infrastructure Bids and Awards Committee of the PRA, shall be governed by RA 9184, otherwise known as the Government Procurement Reform Act, and its Implementing Rules and Regulations and amendments. Eligibility of prospective bidders shall be checked using non-discretionary “pass/fail” criteria. Shortlisting of eligible consultants will be done based on the following criteria: experience of the consultant, qualification of personnel and current workload. Only a maximum of five (5) eligible

bidders shall make up the shortlist. The evaluation procedure to be adopted for shortlisted bidders shall be Quality-Cost Based Evaluation (QCBE). The OWNER shall indicate the numerical weights to be allocated for the Technical and Financial Proposals.

XIV. NEGOTIATION OF CONSULTANTS CONTRACT

The negotiation of the CONSULTANT's contract will be based on the Technical and Financial Proposals submitted by the CONSULTANT. CONSULTANT’s contract will be negotiated on staff month cost (time-rate) basis plus direct reimbursement for out-of-pocket expenses. Staff month costs will be negotiated for each staff position for which services are anticipated.

XV. CONTRACTUAL ARRANGEMENTS

The contract for consulting services will be between the PRA and the CONSULTANT. Payment for services will be made by PRA The contract for construction will be between the PRA and the contractor. PRA shall assign a Project Engineer (PE) who will act as the official representative of PRA.

XVI. CONSULTANTS PERFORMANCE

The CONSULTANT will be held responsible for all engineering work to the full extent as provided by Philippine laws and codes of professional practice. The PRA will closely monitor the performance of the CONSULTANT and rate the quality of their professional work in carrying out their contract. This rating will serve as a basis for selecting CONSULTANTs for future contracts under this program.

XVII. EVALUATION CRITERIA

The mode of evaluation of bids shall be Quality-Cost Based Evaluation Procedure.

XVIII. RESPONSIBILITY OF THE CONSULTANT

A. The CONSULTANT shall be responsible for the initial presentation of the plans with the

personnel of the Contractor and to resolve any errors noticed thereon.

B. The CONSULTANT shall be required to assist the PRA in making decision about any change orders that may occur during construction with respect to the Design Plans.

XIX. AUTHORITY'S RESPONSIBILITY

A. The PRA shall provide the CONSULTANT promptly as needed with all available data related to the project.

B. The PRA shall promptly act on matter presented by the CONSULTANT for the PRA’s decision that could affect the schedule of the services and submittals.

1. Eligibility Criteria

1.1. The following persons/entities shall be allowed to participate in the bidding for

Consulting Services:

(a) Duly licensed Filipino citizens/sole proprietorships;

(b) Partnerships duly organized under the laws of the Philippines and of which at least sixty percent (60%) of the interest belongs to citizens of

the Philippines;

(c) Corporations duly organized under the laws of the Philippines and of which at least sixty percent (60%) of the outstanding capital stock belongs to citizens of the Philippines;

(d) Cooperatives duly organized under the laws of the Philippines; or

(e) Persons/entities forming themselves into a joint venture, i.e., a group of two (2) or more persons/entities that intend to be jointly and severally responsible or liable for a particular contract: Provided, however, That Filipino ownership or interest thereof shall be at least sixty percent (60%). For this purpose, Filipino ownership or interest shall be based on the contributions of each of the members of the joint venture as specified in their JVA.

1.2. When the types and fields of Consulting Services involve the practice of professions regulated by law, those who will actually perform the services shall be Filipino citizens and registered professionals authorized by the appropriate regulatory body to practice those professions and allied professions specified

in the EDS.

1.3. If the Request for Expression of Interest allows participation of foreign consultants, prospective foreign bidders may be eligible subject to the conditions stated in the EDS.

1.4. Government owned or –controlled corporations (GOCCs) may be eligible to participate only if they can establish that they (a) are legally and financially autonomous, (b) operate under commercial law, and (c) are not attached agencies of the Procuring Entity.

2. Eligibility Requirements

2.1. The following eligibility requirements, together with the Eligibility Documents Submission Form, shall be submitted on or before the date of the eligibility check specified in the Request for Expression of Interest and Clause 5 for purposes of determining eligibility of prospective bidders:

(a) Class “A” Documents –

Legal Documents

(i) PhilGEPS Certificate of Registration and Membership in accordance with Section 8.5.2 of the I.R.R., except for foreign bidders participating in the procurement by a Philippine Foreign Service Office or Post, which shall submit their eligibility

Technical Documents

(ii) Statement of the prospective bidder of all its ongoing and completed government and private contracts, including contracts awarded but not yet started, if any, whether similar or not similar in nature and complexity to the contract to be bid, within the relevant period provided in the EDS. The statement shall include, for each contract, the following:

(ii.1) the name and location of the contract;

(ii.2) date of award of the contract;

(ii.3) type and brief description of consulting services;

(ii.4) consultant’s role (whether main consultant, subconsultant, or partner in a JV)

(ii.5) amount of contract;

(ii.6) contract duration; and

(ii.7) certificate of satisfactory completion or equivalent document specified in the EDS issued by the client, in

the case of a completed contract;

(iii) Statement of the consultant specifying its nationality and confirming that those who will actually perform the service are registered professionals authorized by the appropriate regulatory body to practice those professions and allied professions in accordance with Clause 1.2, including their respective curriculum vitae.

(b) Class “B” Document –

If applicable, the Joint Venture Agreement (JVA) in case the joint venture is already in existence, or duly notarized statements from all the potential joint venture partners in accordance with Section 24.1(b) of the I.R.R. of R.A. 9184.

2.2. The eligibility requirements or statements, the bids, and all other documents to be submitted to the BAC must be in English. If the eligibility requirements or statements, the bids, and all other documents submitted to the BAC are in foreign language other than English, it must be accompanied by a translation of the documents in English. The documents shall be translated by the relevant foreign government agency, the foreign government agency authorized to translate documents, or a registered translator in the foreign bidder’s country; and shall be authenticated by the appropriate Philippine foreign service establishment/post or the equivalent office having jurisdiction over the foreign bidder’s affairs in the Philippines. The English translation shall govern, for purposes of interpretation of the bid.

2.3. Prospective bidders may obtain a full range of expertise by associating with individual consultant(s) and/or other consultants or entities through a JV or subcontracting arrangements, as appropriate. However, subconsultants may only participate in the bid of one short listed consultant. Foreign Consultants shall seek the participation of Filipino Consultants by entering into a JV with, or subcontracting part of the project to, Filipino Consultants.

3. Format and Signing of Eligibility Documents

3.1. Prospective bidders shall submit their eligibility documents through their duly authorized representative on or before the deadline specified in Clause 5.

3.2. Prospective bidders shall prepare an original and copies of the eligibility documents. In the event of any discrepancy between the original and the copies, the original shall prevail.

3.3. The Eligibility Documents Submission Form shall be signed by the duly authorized representative/s of the Bidder. Failure to do so shall be a ground for

the rejection of the eligibility documents.

3.4. Any interlineations, erasures, or overwriting shall be valid only if they are signed or initialed by the duly authorized representative/s of the prospective bidder.

4. Sealing and Marking of Eligibility Documents

4.1. Prospective bidders shall enclose their original eligibility documents described in Clause 2.1, in a sealed envelope marked “ORIGINAL – ELIGIBILITY DOCUMENTS”. Each copy thereof shall be similarly sealed duly marking the envelopes as “COPY NO. ___ - ELIGIBILITY DOCUMENTS”. These envelopes containing the original and the copies shall then be enclosed in one single envelope.

4.2. The original and the number of copies of the eligibility documents as indicated in the EDS shall be typed or written in ink and shall be signed by the prospective bidder or its duly authorized representative/s.

4.3. All envelopes shall:

(a) contain the name of the contract to be bid in capital letters;

(b) bear the name and address of the prospective bidder in capital letters;

(c) be addressed to the Procuring Entity’s BAC specified in the EDS;

(d) bear the specific identification of this Project indicated in the EDS; and

(e) bear a warning “DO NOT OPEN BEFORE…” the date and time for the

opening of eligibility documents, in accordance with Clause 5.

4.4 Eligibility documents that are not properly sealed and marked, as required in the bidding documents, shall not be rejected, but the bidder or its duly authorized representative shall acknowledge such condition of the documents as submitted. The BAC shall assume no responsibility for the misplacement of the contents of the improperly sealed or marked eligibility documents, or for its premature opening.

5. Deadline for Submission of Eligibility Documents

Eligibility documents must be received by the Procuring Entity’s BAC at the address and on or before the date and time indicated in the Request for Expression of Interest and the EDS.

6. Late Submission of Eligibility Documents

Any eligibility documents submitted after the deadline for submission and receipt prescribed in Clause 5 shall be declared “Late” and shall not be accepted by the Procuring Entity. The BAC shall record in the minutes of submission and opening of eligibility documents, the Bidder’s name, its representative and the time the eligibility

documents were submitted late.

7. Modification and Withdrawal of Eligibility Documents

7.1. The prospective bidder may modify its eligibility documents after it has been submitted; provided that the modification is received by the Procuring Entity prior to the deadline specified in Clause 5. The prospective bidder shall not be allowed to retrieve its original eligibility documents, but shall be allowed to submit another set equally sealed, properly identified, linked to its original bid marked as “ELIGIBILITY MODIFICATION” and stamped “received” by the BAC. Modifications received after the applicable deadline shall not be considered and shall be returned to the prospective bidder unopened.

7.2. A prospective bidder may, through a letter of withdrawal, withdraw its eligibility documents after it has been submitted, for valid and justifiable reason; provided that the letter of withdrawal is received by the Procuring Entity prior to the deadline prescribed for submission and receipt of eligibility documents.

7.3. Eligibility documents requested to be withdrawn in accordance with this Clause shall be returned unopened to the prospective bidder concerned. A prospective bidder that withdraws its eligibility documents shall not be permitted to submit another set, directly or indirectly, for the same project. A prospective bidder that acquired the eligibility documents may also express its intention not to participate in the bidding through a letter which should reach and be stamped by the BAC before the deadline for submission and receipt of eligibility documents.

8. Opening and Preliminary Examination of Eligibility Documents

8.1. The BAC will open the envelopes containing the eligibility documents in the presence of the prospective bidders’ representatives who choose to attend, at the time, on the date, and at the place specified in the EDS. The prospective bidders’ representatives who are present shall sign a register evidencing their attendance.

In case the submitted eligibility envelopes cannot be opened as scheduled due to justifiable reasons, the BAC shall take custody of the said envelopes and reschedule the opening on the next working day or at the soonest possible time through the issuance of a Notice of Postponement to be posted in the PhilGEPS website and the website of the Procuring Entity concerned.

8.2. Letters of withdrawal shall be read out and recorded during the opening of eligibility documents and the envelope containing the corresponding withdrawn eligibility documents shall be returned unopened to the withdrawing

prospective bidder.

8.3. The eligibility documents envelopes and modifications, if any, shall be opened one at a time, and the following read out and recorded:

(a) the name of the prospective bidder;

(b) whether there is a modification or substitution; and

(c) the presence or absence of each document comprising the eligibility documents vis-à-vis a checklist of the required documents.

8.4. The eligibility of each prospective bidder shall be determined by examining each bidder’s eligibility requirements or statements against a checklist of requirements, using non-discretionary “pass/fail” criterion, as stated in the Request for Expression of Interest, and shall be determined as either “eligible” or “ineligible.” If a prospective bidder submits the specific eligibility document required, he shall be rated “passed” for that particular requirement. In this regard, failure to submit a requirement, or an incomplete or patently insufficient submission, shall be considered “failed” for the particular eligibility requirement concerned. If a prospective bidder is rated “passed” for all the eligibility requirements, he shall be considered eligible to participate in the bidding, and the BAC shall mark the set of eligibility documents of the prospective bidder concerned as “eligible.” If a prospective bidder is rated “failed” in any of the eligibility requirements, he shall be considered ineligible to participate in the bidding, and the BAC shall mark the set of eligibility documents of the prospective bidder concerned as “ineligible.” In either case, the BAC chairperson or his duly designated authority shall countersign the markings.

9. Short Listing of Consultants

9.1. Only prospective bidders whose submitted contracts are similar in nature and complexity to the contract to be bid as provided in the EDS shall be considered for short listing.

9.2. The BAC shall draw up the short list of prospective bidders from those declared eligible using the detailed set of criteria and rating system to be used specified in the EDS.

9.3. Short listed consultants shall be invited to participate in the bidding for this

project through a Notice of Eligibility and Short Listing issued by the BAC.

10. Protest Mechanism

Decision of the Procuring Entity at any stage of the procurement process may be

questioned in accordance with Section 55 of the I.R.R. of R.A. 9184.

The similar contracts above-mentioned must have been completed by the consultancy firm within the last five (5) years from the deadline of the opening and receipt of bids. Accomplished either in the Philippines or abroad. In case of joint venture, the similar contracts must have been completed by any of the joint venture partners within the period mentioned.
