COURSE OUTLINE CONTEMPORARY BUSINESS LAWS
Course: PGDM-Marketing Semester: 1st Term (6th batch students)

Contemporary Business laws is a supportive course in PGDM. It helps students to
understand the legal implications of their decisions and also equip them to take necessary
precaution in the business to avoid litigation.
Moreover, students, after entering into corporate world, have to fulfill legal requirements
on their personal as well as professional front. The course Contemporary Business laws
equip students with necessary skills to deal with this.
It covers Business as well as Corporate Laws. The course will be taught through different
methods of teaching. The pedagogy includes Lectures, Student Presentations,Discussions, Case discussion, mock legal proceedings.
Since this is a half credit course, the entire syllabus will be taught within 16 sessions.
Pre-Read: Students are expected to come to class with necessary preparation. Concerned
text book/Material will be supplied to students

Introduction to Law-The Indian Contract Act 1872-Essentials of a valid contract-
Discharge of a Contract-Breach and Remedies for Breach of Contract -Law of Agency-
Sale of Goods Act of 1930- Sale and agreement to sell conditions and warranties.
Unit -2Company Law- Formation of a Company-Board composition and Powers-
Meetings-Membership- Directors- Shares & debentures. Company Management

Continuous Evaluation Pattern:
1. Quizzes: Two Quiz tests will be conducted and the performance is evaluated for20 Marks
2. Student Presentations: Students are asked to make presentation/submit
assignements on some of the topics and their performance is evaluated for 10
marks
3. Case Presentations: Case Laws will be discussed which carry 10 marks.4. Student participation in the class room: Class Room participation is evaluated
from the beginning of the course and performance will be evaluated for 5 Marks
Students are required to adhere to the deadlines, failing which proportionately marks will
be reduced.
GUEST LECTURES:
Two Guest Lectures will be arranged during the above sessions depending upon the
convenience of the guest.
Work Set outside the Class Hours:
Students have to spend required time for preparing the topic, power point
presentation and most importantly for discussion and Q & A sessions. The
Pedagogy is student centric learning. The role of the faculty is that of a facilitator
and students have to learn on the basis of self study, through interaction with thepeers and with the guidance of the faculty.
