BACKGROUND

Bangladesh is one of the most vulnerable countries in the world to climate change risks. According to median predictions of General Circulation Models (GCM), Bangladesh will be 1.5 degree Celsius warmer and 4 percent wetter by 2050, however with stronger seasonal variations. Natural disasters of some kind almost every year, mainly during monsoon season, either by upstream river floods and or by coastal cyclones from the Bay of Bengal. Typically, high rainfalls during monsoon season – resulting in full-flowing floods of upstream rivers (which the country has no control to regulate beyond its boundary) - often times coincide with impeding high tides of the sea, results in extensive inundation on the floodplains that cost Bangladesh average of one percent of GDP each year (World Bank 2010).

The Government of Bangladesh (GOB) has received grants from Green Climate Fund (GCF) and KfW for the Climate Resilient Infrastructure Mainstreaming (“CRIM”) project. The Project Executing Agency (“LGED””Employer”/”PEA”) is the Local Government Engineering Department (“LGED”). LGED is the technical arm of the Ministry of Local Government, Rural Development and Cooperatives of the Government of Bangladesh (“LGRDC”). It is mandated with planning and implementation of local level rural, urban and small scale water infrastructures.

The German Development Cooperation is supporting Bangladesh with a main emphasis on “Climate Change-Adapted Urban Development (“CCAUD”), in particular through investments in climate change-adapted urban infrastructure (including basic infrastructure in urban poor areas), capacity development at local and national levels as well as with mainstreaming of climate change in all relevant processes, such as urban development planning, project audits, and strategy development. KfW and LGED have been cooperating since 1988, with a total of 12 development projects (bilateral German funding over EUR 122.7 million, all grant) and maintain a successful and professional relationship of mutual trust. This project represents a new level of inter-institutional cooperation between KfW and LGED.

The GCF is starting its contribution towards adaption to climate change in Bangladesh. This is the first project funded by the GCF in Bangladesh. GCF approved the CRIM project at the November 2015 GCF Board meeting as the fourth GCF project ever approved since the creation of the Fund in 2010 . KfW is the Accredited Entity for the GCF-funded CRIM project.

LGED now intends to procure Consultancy Services for the Design, Management and Supervision of the main infrastructure measures of CRIM (the “Services”). The Services will be split into two contracts according to the two relevant project components and their separate funding sources, GCF and the German Financial Cooperation via KfW.

OBJECTIVES OF THE SERVICES

1. Overall objective of the CRIM project (paradigm shift objective, impact)

The overall objective of the CRIM project is the achievement of an increased climate-resilient sustainable development. Climate-related risks to sustainable development in Bangladesh are significantly reduced, as critical infrastructure and its users become less exposed to climate hazards, are less susceptible to climate change-related impacts and are more resilient in the face of disaster.Furthermore, the expected respective overall impacts are:a) Increased resilience and enhanced livelihoods of the most vulnerable people, communities

and regions b) Increased resilience of infrastructure and the built environment to climate changec) Expected increase in generation and use of climate information in decision-making

2. Specific objective of the CRIM project (outcomes at project level)

Key outcome of the CRIM project will be the systematic integration of climate change adaptation into decision-making regarding infrastructure planning, supervision and maintenance at LGED in Bangladesh, through the establishment of a Climate Resilient Local Infrastructure Centre (CReLIC), a Centre of Excellence and institutional think tank that is fully integrated into LGED structures and backed-up by pilot investment schemes. Through investment in pilot climate resilient infrastructure, the project will directly enhance adaptive capacities of more than 134,000 people.Summarized, the expected CRIM project outcomes are the following:a) Strengthened institutional and regulatory systems for climate-responsive planning and

PROJECT DESCRIPTION, COMPONENTS & ORGANISATION

The CRIM Project is targeting three of the country’s most vulnerable and poor coastal districts of Bangladesh: Satkhira, Barguna, and Bhola. It integrates climate change adaption systematically into decision-making procedures for infrastructure planning, supervision and maintenance at LGED. The project has an overall volume of 80 million USD. The GCF provides a grant of 40 million USD. Through KfW, the German Financial Cooperation provides parallel co-financing of about 12 million EUR (equivalent to 15 million USD). The Government of Bangladesh´s counterpart contribution is an equivalent to 25 million USD.

The CRIM Project is split into four Components. Within Component 1 “Institutional Development”, the project will establish within the LGED the “Climate Resilient Local Infrastructure Centre (“CReLIC”)”, a national centre of excellence to gather, develop, and share climate resilience infrastructure knowledge. The CReLIC shall be established as a permanent unit within LGED and serve as a think tank and knowledge hub to mainstream climate resilience into all LGED activities. The centre will trigger a step-wise institutional learning process all over the LGED infrastructure portfolio and pilot innovations directly in LGED operations through investments in rural and urban pilot infrastructures in three of the country’s most vulnerable and poor coastal districts: Bhola, Barguna and Satkhira.

Within Component 2 “Pilot Climate Resilient Rural Infrastructure”. the CRIM Project shall build 45 new multipurpose cyclone shelters with innovative design in climate change aspects and rehabilitate 20 existing shelters to a climate-proof standard in the three project districts (Districts Bhola, Barguna and Satkhira) in parallel. The newly built shelters shall follow an innovative state-of-the-art multi-purpose design and will be used as schools throughout the year. The CRIM Project will also improve 82 km of critical access roads to these rural shelters to ensure access during extreme weather and to enhance the adaptive capacities of local communities.

Under Component 3 “Pilot climate-resilient urban infrastructure measures in the City of Satkhira” (Satkhira Purashava/Municipality), the CRIM Project foresees improvements to drainage, flood protection, sanitation, water supply, and transport infrastructure, with priority given to the most vulnerable such as the inhabitants of city slums.

Table 1 below gives an illustrative overview of the various CRIM Project components and the respective financing sources. The Services procured under this tender shall be delivered in relation to the infrastructure measures supported under Component 2 and 3. Under Component 3, project-related capacity building and training is also expected. The Services are part of the overall project management, which is elaborated in Component 4 and which also includes the institutional development consulting (subject of a separate consultancy).

The four project components are closely interlinked. The linkage between institutional development (Component 1) and pilot infrastructure (Components 2 and 3) in one project ensures that (i) mainstreaming is facilitated in a way that is operationally realistic and practicable and that (ii) a comprehensive institutional and sustainable institutional impact is reached by covering both main operational pillars of LGED: Rural and urban infrastructure.

With regard to the pilot rural infrastructure component (Component 2) in Bhola, Barguna and Satkhira districts, the objectives are considered as achieved if at the end of the project:

a) At least 45 new cyclone shelters have been built;

b) At least 20 existing cyclone shelters have been rehabilitated or improved; and

Through investment in pilot climate resilient infrastructure, the project will directly enhance adaptive capacities of more than 134,000 people.

Component 3: Pilot Climate Resilient Urban Infrastructure

Under the CRIM Project Component 3 pilot, climate-resilient urban infrastructure measures in the City of Satkhira (Satkhira Purashava/Municipality), such as improvements to drainage, flood protection, sanitation, water supply, and transport, are supported with priority given to the most vulnerable such as the inhabitants of city slums. An overview of planned measures is provided in Annex 4.

The objectives of Component 3 are considered as achieved if at the end of the project the following indicators are fulfilled:

a) Number of people with access to climate resilient urban infrastructure increased to 50.000 people (baseline: 0)

b) Number of people suffering from climate-related interruption of access to public infrastructure and services (e.g. access to transport, drinking water or sanitation) reduced by 10.000 people (baseline: 40.000 in 2015)

c) Number of people exposed to flooding/waterlogging reduced by 1.000 people (baseline: 3.000 people in 2015)

There are separate indicators for the Satkhira training measure (see Annex 4).

Component 4: Project Management

In addition to ensuring an effective and efficient implementation of all components the project, the project management shall be in charge of supporting LGED´s Project Director in establishing the project implementation structure into a permanent LGED structure by the end of the Project drawing on results from Component 1.

3. SCOPE OF CONSULTING SERVICES

3.1. General Considerations The Services of the Consultant shall be performed in close coordination and cooperation with the Employer / PEA and KfW. The Consultant's tasks and responsibilities have been described below as detailed as possible. However, the Consultant shall bear in mind that the list of tasks and activities shall not be considered as a complete and exhaustive description of the Consultant's duties and responsibilities. Rather, the Consultant shall, in cooperation with and with the approval of PEA and KfW, to verify critically the scope of Services indicated and adapt his concept accordingly wherever he deems necessary according to his own professional judgement and the knowledge he will acquire during preparation of his proposal. In case the Consultant deems it necessary to amend the proposed consultancy scope already at Request for Proposal stage, according inputs shall be provided in the critical analysis of the Terms of Reference section of the Technical Proposal. The Consultant’s approach to the Services shall be creative, well-grounded, tailor-made for the particular challenges in the target rural and urban areas and the Bangladeshi context, flexible and results oriented, and shall bear the expected innovative elements.

The consultancy (the “Services”) shall assist LGED to design, manage and supervise the main infrastructure components of CRIM, while ensuring compliance with the policies / guidelines of GOB, KfW and GCF. Design, Management and Supervision (“DMS”) services are to be rendered for climate resilient rural infrastructure (Component 2 – disaster shelters , with finance from GCF) and climate resilient urban infrastructure (Component 3 – drainage, roads etc., with finance from KfW).

During the implementation of the Services, other consultants and advisors may provide services to him for this project. It is the duty of the Consultant to coordinate his activities with the operation of others relevant to the Project. It is to be ensured that the proposed standards, system, methods, etc. are compatible as much as possible and to avoid duplication of effort. It is expected that Consultants will maintain professional ethics, standards and integrity while performing their jobs for the Project.

3.2. Cooperation with LGED LGED - through the Project Director (PD) – is overall responsible for managing the Project. Within the LGED organizational network, specific local engineering / management tasks are usually handled at / delegated to the local district and sub-district (Upazila) level. For this project, LGED is planning a PMU in Dhaka and PIUs in each of the project districts (see later for details).

The DMS Consultant is being contracted by LGED (Employer) to support and assist according to these ToR and will be integrated into the overall Project organization, both in Dhaka and in the field.

DMS Consulting staff will work closely with the LGED Engineering staff in the PMU, and PIU as well as other LGED staff at Upazila level. Detailed roles and procedures for working together

efficiently and effectively will be further developed and defined at the start of the project in the Project Management Handbook/Manual.

The Consultant’s local site offices will likely be close to or in one or more of the relevant LGED district or Upazila offices (if space is available). The Consultant's planning and site staff will thus be able, and expected to cooperate and liaise closely in the daily execution of the Services with any staff assigned by LGED to the Project, and vice versa.

With their intimate knowledge of their area and similar projects implemented, local LGED staff will be key in ensuring the quality of the designs and of the construction works and that the overall Project is managed correctly to LGED and KfW standards.

The DMS Consultant will, in the construction phase have the responsibilities of the “Engineer” as per the FIDIC pink book standard conditions of contract (Multilateral Development Bank harmonized edition). This encompasses responsibility for site supervision, the quality of works, certifying payment certificates, material testing etc. The “Engineer” reports to the Employer.

In the construction stage local LGED Staff will have the role of Employer or Employer’s representatives. Employer ownership at local level is ensured both through the wide Employer powers and authority as defined in the contract and by the broader project remit of the Engineering experts in the PIU to manage and closely control the performance and quality of all the contracts.

3.3. Implementation via two consulting contracts The Services will be implemented through two separate consulting contracts, as follows:

The Consultant is required to submit one Technical and Financial Proposal for all Components. However, two separate staffing schedules, task assignments and statement of costs for Contract I and Contract II will be required. The Contracts will also be denominated in different currencies (USD for Contract I/EUR for Contract II).

3.4. Consultant’s main tasks The Consultant shall perform the following tasks, but not limited to:

tendering and evaluation of proposals, contracting for works, goods and services, construction supervision in the role of “the Engineer” as defined in the FIDIC pink book standard conditions of contract (Multilateral Development Bank harmonized edition), including KfW Special Conditions of Contract.

3.4.2. Environmental and Social Impact Assessment and Management

The project shall be executed within the “Project’s Environmental and Social Management Framework” set out in the Environmental and Social Considerations for the proposed GCF-Funded Investment Measures in accordance with the Sustainability Guidelines of KfW Development Bank for the Climate Resilient Infrastructure Mainstreaming (CRIM) Project, Bangladesh (https://www.kfw-entwicklungsbank.de/PDF/Download-Center/PDF-Dokumente-Richtlinien/Nachhaltigkeitsrichtlinie_EN.pdf)

3.4.3. Effective project management and quality assurance

The envisaged Consulting Services include effective project management and quality assurance while supporting the Employer/PEA in achieving the project’s performance criteria.

3.4.4. Support to Governance improvement and Capacity Development / Training

The Consulting Services requested for Component 3 (the CCAUD Satkhira project component) encompasses consulting services to support Governance Improvement and Capacity Development (“GICD”) of Satkhira Pourashava / Municipality including the development and implementation of a Capacity Development Plan with respective trainings.

The Consultant’s specific tasks for both the GCF funded Component 2 and KfW Component 3 are outlined in the following two sections.

Component specific tasks include:

3.4.5. Component 2: Pilot Climate Resilient Rural Infrastructure

Develop and optimize innovative shelter designs to suit local conditions, to reflect best practices from previous and ongoing projects, and to provide a long-lasting and appropriate function both as school and as shelter;

Identify and assess the exact locations of the multi-purpose cyclone shelters to be newly constructed and / or rehabilitated with GIS mapping, taking due account of local climate related risks/circumstances ;

Identify specific rehabilitation requirements for existing cyclone shelters to be rehabilitated under the Project;

Ensure application of the Environmental and Social Management Framework for the design, construction and operation stages at the identified locations, with a particular focus on the potential requirement of resettlements and proper health and safety arrangements on site;

Procurement Rules and KfW "Guidelines for Procurement of Goods, Works and associated Services in Financial Cooperation with Partner Countries and in compliance with international environmental and social standards

Liaise with Institutional Consultant (CRIM project component 1) and review other past and ongoing projects for lessons learning from other projects already realised, as well as permanently improve based also on the continuous assessment of the own project execution (own lessons learnt);

Develop, apply and enforce project related quality assurance systems and procedures to manage all stages of implementation, taking into account the remote nature of many of the shelter sites and the high sustainability requirements of the project (i.e. ensuring close contact with sites, digital transfer and storage of project data, and options for distance monitoring);

Fully supervise construction works, including certifying contractor payment; Seek engagement of local stakeholders in ensuring quality and sustainability of

subprojects e.g. by having local site observers“, involving school committees etc. Ensure quality control and perform materials testing; Assist Employer (LGED) with Project financial management (LGED); jointly manage Disposition Fund with the Employer s; Comply with the ToR regarding the Simplified Direct Disbursement Procedure, where

used (as defined in Annex 7 of the Separate Agreement and to be provided to the successful bidder) ;

Ensure appropriate level and quality of Project Management including quality assurance (QA) system and digital information platform taking into account the reporting requirements of LGED, KfW and GCF.

Ensure the Project’s timely completion to the required standard (project management);

3.4.6. Component 3: Pilot Climate Resilient Urban Infrastructure

Carry out any necessary further studies to develop the existing design concepts (in particular with regard to storm drainage, water supply and slum studies) as a basis for detailed design, including preparation of measures in the second batch (concept subprojects); (excerpts of relevant study in Annex 4)

Prepare Sub project Appraisal reports (SPAR) and incorporate climate risk issues in the SPAR;

Liaise with Institutional Consultant (Component 1) and review other past and ongoing projects for lessons learnt from other projects already realised, as well as permanently improve based also on the continuous assessment of the own project execution (own lessons learnt);

Develop, apply and enforce project related quality assurance systems (analogue to comp 2) and procedures to manage all implementation stages, bearing in mind the high sustainability requirements of the project (e.g. the need to minimise disruption caused by the measures in an urban environment, the distance between site activities and LGED Dhaka, and the range of measures (ensuring close contact with site, digital transfer and storage of project data, options for distance monitoring etc.);

Further development and specific application of the ESIA findings for the design, construction and operation stages;

Assist LGED and Satkhira municipality in the tender and evaluation processes; Ensure Supervision of construction works in the role of the Engineer and Engineer’s

Representative and certify contractors payment; Ensure Quality control and perform materials testing; Seek engagement of local stakeholders to ensure the quality and sustainability of

subprojects Jointly manage with PMU/PIU disposition fund; Assist for Project financial management with the Employer (LGED and Satkhira

Municipality); Support Governance Improvement and Capacity Development (GICD), specifically by

providing capacity development / trainings to Satkhira municipality in the areas of municipal finances, planning, project management, Operation and maintenance and Environmental, Social health and Safety aspects.

Collect baseline data for purposes of the monitoring of performance criteria for the capacity building component (Annex 4);

Sign jointly withdrawal applications; Comply with the ToR regarding the Simplified Direct Disbursement Procedure ; Ensure Project Management including QA system and digital information platform

taking into account the reporting requirements of LGED and the financing source (KfW) ;

Identifying income generating infrastructure for sustainability of Satkhira municipality.

Ensure the Project’s timely completion to the required standard (project management);

3.5. Consultant’s Environmental, Social, Health and Safety Task Summary ( C omponent 2 and 3 separately)

The Consultant shall perform the detailed tasks related to managing Environmental, Social, Health and Safety (ESHS) impacts and risks as described below according to national regulations and applicable international standards required by GCF and KfW.

Furthermore, while performing the Services for both project Components 2 and 3 the Consultant shall assist the Employer, in among others, but not limited to, the following:

Carry out an Environmental and Social Impact Assessment (ESIA) including a Stakeholder Engagement Plan (SEP) proportionate to the potential risks and impacts of the individual projects and commensurate with its nature, size and location according to World Bank Environmental and Social Safeguards and World Bank Group General and sector-specific EHS Guidelines as well as KfW Sustainability Guidelines (Applicable E&S Standards);

Implement Environmental and Social Management Plans (ESMP) for the construction and for the operation phases of the projects in compliance with Applicable E&S Standards as specified in the Project documents;

Prepare and implement Resettlement Policy Framework (RPF) and if necessary Resettlement Action Plans (RAP) in compliance with Applicable E&S Standards;

Ensure that the measures and actions are implemented diligently and completely as set out in the Applicable E&S Standards;

Report progress to confirm compliance with Applicable E&S Standards;

4. Task Details and Methodology

Bidders are generally expected to develop and present their own detailed project methodology to deliver the Services in line with the requirements of the Terms of Reference. The following section provides more details to individual tasks and outlines a possible model. Simply repeating this text in the technical offer will lead to significant deduction of points in the evaluation of the Technical Proposal.

4.1. Design and Tender Preparation

4.1.1. Inception Phase Upon commencement of the consultancy services a joint Kick-off Meeting among the Employer/ PEA, the Consultant, KfW and other stakeholders shall be held. The services of the Consultant shall start with a thorough evaluation of available data, information and planning documents as well as from a critical review of the approved preparatory/ feasibility studies and other available studies (i.e. ESIA, ESMP, RAP) in order to trace critical issues, clarify key problems and compare actual current situation to the ToR.

The Consultant shall develop / propose and implement project quality assurance systems and procedures to manage all implementation stages, taking into account of the remote nature of many of the shelter sites and the high sustainability requirements of the project, i.e. ensuring close contact with sites, digital transfer and storage of project data, and options for distance monitoring (distance / remote monitoring system). In addition, the training programme for Satkhira and any specific project related training of project contractors needs to be developed.

Key deliverables:

MoM Kick-off Meeting Inception Report including the Distance/Remote Monitoring System, and the

Capacity Building Plan for Satkhira Pourashava, QA system etc. Inception Workshop

4.1.2. Revision /actualisation of baseline (including additional preparatory studies for further subprojects (Component 3 only))

The Consultant shall validate and update the baseline data, assumptions, projections and proposals of the existing feasibility and preparatory studies, as well as the existing Disaster Shelter database, in order to confirm and / or adapt the measures identified that are the object of this project and update the conceptual planning if necessary.

Component 2: For the multipurpose cyclone shelters, the Consultant shall validate the criteria for identification of the 81 eligible locations for new shelters and 29 eligible shelters for rehabilitation. The Consultant shall also systematically investigate and propose improvements to existing typical multipurpose cyclone shelter standard designs, taking into account innovative elements based on lessons learned and experiences gained from LGED and non LGED projects, multi-purpose usage of the building elements, space distribution, new and/or traditional and

environmental friendly materials, climate risk, exposure to cyclones, adaption to the particular local conditions, optimized water storage and supply, as well as the inclusion of renewable energies for power supply, among others. Site specifics with justification, relevant socio- economic data will be put together in subproject appraisal reports (SARs)

Component 3: For the pilot urban infrastructure measures, the validation shall be based on the measures identified and proposed in the Preparatory Study for the CCAUD – Satkhira component prepared with Satkhira City Administration (Satkhira Pourashava/Municipality) and LGED in a consultation and participatory approach. The Consultant shall support the PEA and Satkhira Pourashava/ Municipality in the final selection, agreement and prioritization of the pilot urban infrastructure measures to be implemented.

Report on identification/justification of eligible locations for new shelters and selection of eligible shelters for rehabilitation

Study report on proposed design improvements for innovative multipurpose cyclone shelters

Subproject Appraisal Reports (SARs), outlining the specifics of each site (reason for location, affected population, proposal for new construction or rehabilitation, user needs, multi-purpose including schools, etc.)

4.1.3. Detailed Design The details of the design documents shall be worked out based on the approved Feasibility Studies or the Preliminary Design Reports (updated standard designs) and include specific ESHS aspects, as required for a qualified execution and transparent tender process for Works and Goods ensuring value for money. The documents shall be composed of a comprehensive design report, supportive annexes and all required design, layout and structural drawings presented in an appropriate scale and to an appropriate degree of detail and a cost estimate per Component.

The Consultant shall carry out, among others, and depending on the type of infrastructure the following

4.1.3.1. Preparatory works: Topographic surveys in the sites of the future works, through longitudinal profiles

complemented by cross sections, and / or ground plans with contour lines. Review, validate and complete basic information.

Geotechnical investigations, testing, and necessary interpretations. Investigations and / or complementary studies that the Consultant considers necessary

and opportune to propose for the purpose of the final designs of the measures foreseen,

4.1.3.2. Design and Calculations: Preparation of architectural/ structural/ hydraulic/ electro-mechanical/ etc. design and

calculations for the works and equipment.

The final designs shall suit local conditions and reflect best practice from previous and ongoing projects. They shall comply with international as well as national norms and standards, and be consistent with all relevant environmental and social safeguards.

The final designs should take into account evaluations of projects previously carried out by either LGED or other institutions (lessons learned). Results shall be presented in a coherent form, with calculations indicating the methodology or the computer programs applied, and plans, technical specifications and execution schedules, in such a way that it can be verified by independent experts. In general, the designs shall be prepared in accordance with the applicable regulations in Bangladesh, considering also international norms and regulations. The structural designs for the new constructions shall define the final dimensions of all the details and any other element necessary for the realization of the civil works, including critical construction stages. They shall also determine the qualities and quantities of construction materials, the location of expansion, construction and contraction joints, establish the construction procedures to follow for the implementation of the works, size or propose the type of formwork to be used. If applicable, the designs shall include hydro-mechanical equipment, valves, manoeuvring devices, control, measurement and safety and electrical installations.

4.1.3.3. Drawings Preparation of corresponding drawings to execution level.

The presentation and detail of drawings (execution standard) shall be discussed and agreed with the Employer and KfW.

4.1.3.4. LGED support Support to the Employer for preparation of the required documents for obtaining the

required permits such as construction permits, water rights, environmental permits, land availability, right of way, etc., as applicable.

4.1.3.5. Cost estimates Preparation of a confidential cost estimate per component including a descriptive part

presenting the assumptions taken and assessments made for calculating the unit rates;

4.1.3.6. Elaboration of a procurement concept

taking into consideration local/ regional/ international construction capacities and interest; proposals for contract packaging;

4.1.3.7. Elaboration of a suitable implementation concept and a suitable time schedules

Key deliverables, separate for Component 2 and 3:

Detailed design reports for the individual measures/ subprojects including all outputs of the detailed tasks above.

These reports shall include digitalized drawings and detailed descriptions. They will be reviewed and commented on by KfW before moving to the tendering stage.

4.1.4. ESHS related activities & deliverables in the detailed design phase (separate for Component 2 and 3)

Develop and incorporate relevant Environmental and Social Impact Assessment/ Environmental and Social Management Plans (ESIA/ESMP) aspects in compliance with Applicable E&S Standards in the Detailed Design and time-schedules;

Preparation of site specific ESIA, ESMP and Resettlement Policy Frameworks (RPF) in compliance with Applicable E&S Standards based on the “Environmental and social considerations for the proposed GCF-funded investment measures in accordance with the sustainability guidelines of KfW development bank” (Annex 5).

4.1.5. Preparation of Tender Documents for the Procurement of Works and Goods The tender documents shall be prepared in accordance with Country’s Procurement Rules and KfW “Guidelines for Procurement of Goods, Works and associated Services in Financial Cooperation with Partner Countries”. The respective current valid version of KfW’s Standard Bidding Documents for Procurement of Works and Goods, including the standard ESHS requirements shall apply. The KfW “Toolbox Sustainable Procurement” and “Sustainability Guidelines” shall be also taken into consideration. It is possible to apply for a two-stage or a single-stage bidding process. The single-stage bidding process foresees a post-qualification instead of prequalification and tendering in two stages. The tasks described hereafter refer to the two-stage bidding process with prequalification.

At an early stage, an initial set of model documents shall be prepared to allow sufficient time for comments and approvals by the Employer and KfW. The tender documents shall be submitted to the PEA and KfW for comment in due course prior to publication of the invitation to tender. The bidding period shall be fixed in a way that allows the bidders sufficient time to prepare their bids, according to KfW Procurement Guidelines. The National electronic e-Government Procurement (e-GP) system of the Government of Bangladesh operated by the CPTU may be used for national competitive bidding as long as it complies with the “Guidelines for Procurements of Goods, Works and associated Services in Financial Cooperation with partner Countries, and with prior No Objection by KfW.

Contracts for civil works above USD 2 million shall be awarded by way of international competitive bidding (ICB). Civil work contracts below USD 2 million may be awarded by national competitive bidding. Foreign companies registered in Bangladesh shall not be excluded from NCB. Contracts for goods and all other services shall be awarded by way of ICB. If justified and with prior No Objection by KfW, contracts for goods and other services below USD 500,000 may be awarded by way of NCB, and below USD 100,000 through solicitation of offers.

The following may be assumed for the number and size of tenders

Component 2: around three (3) works contracts – ideally one (1) per district – or perhaps according to exposure location / building type

Component 3: Around eight (8) to ten (10) works contracts in the urban area of Satkhira according to discipline/ subproject

The documents must allow the contracting of all the works and the acquisition of equipment and materials of the project in accordance with the regulations in force in Bangladesh.

Key deliverables, separate for Component 2 and 3:

Model and specific tender documents for approval of LGED and KfW for all infrastructure and goods tenders in Components 2 and 3.

4.1.6. ESHS related activities & deliverables during Preparation of Tender

Documents phase (separate for Component 2 and 3)

Define the qualification criteria, evaluation grid and minimum requirements for technical, financial and ESHS capacity of the bidders. Criteria should be commensurate with the assignment requirements and shall not be formulated in a manner unnecessarily restricting the competition. (The qualification criteria can be a combination of minimum criteria for exclusion if not fulfilled and quantifiable criteria awarding scores for certain qualifications);

Tailor the Applicable E&S Standards to the specific individual contract requirements; Include costs for staff, measures and works related to the implementation of required ESHS measures in the overall cost estimation and in the Bill of Quantities. As appropriate, this may include ESHS supervisors and managers, ESHS liaison officers in charge of relations with external stakeholders and project affected people, equipment related to ESHS tasks (e.g. for transport, computers, communication);

Adjust the specific requirements for ESHS including preparation of ESMP and sub-plans in the Tender Documents accordingly.

4.1.7. Assistance during Tendering The Consultant shall support the PEA in the bidding and awarding of works and supplies, including publications, consultations, the evaluation of offers and the preparation of recommendations for contracting.

The evaluation of bid prices shall be based on the analysis of unit rates and shall clearly communicate and proof up to what extent the rates offered represent market rates. Any major deviation from the market rates shall be duly explained.

The PEA’s professional technicians will carefully verify the technical and economic plausibility of the offers with the support of the Consultant. Afterwards, the Consultant shall elaborate the respective adjudication proposal.

The tendering process shall be carried out preferably in two distinct steps: Prequalification and Bidding. The Consultant shall support the PEA in preparing the prequalification document for each tender as well as the Tender Documents for the work of the contractor.

Once the proposal for the award of contract has been approved by the PEA and with non-objection from KfW, the Consultant will compile the works and/or supply contract based on the bidding documents. Furthermore, the Consultant shall assist the PEA during the contract negotiations with the respective contractors and / or suppliers.

The Consulting Services with regard to tendering and contracting for construction contracts include the following tasks and activities:

Assistance in establishing overall and detailed implementation and tendering schedules Advice on contract packaging for construction works and supply of goods

Review all documents needed for prequalification and tendering procedures with regard to supply of goods and construction measures

Assistance to evaluation of prequalification and tender documents Assistance in contract negotiations Support PEA with the checklist for KfW regarding the award of contracts

4.1.7.1. Prequalification Process In case of a two-stage bidding process, Prequalification of bidders will be carried out as a first stage. Subject to the decision on the procurement concept, this stage might partially or completely overlap with Stage 1.Activities:

Preparation of advertisement for invitations to prequalify; ensure that the procurement notices are advertised on the website Germany Trade and Invest (www.gtai.de) and in at least Two newspaper of national circulation in the Employer’s Country and Central Procurement Technical Unit (CPTU) in the official gazette, or on a widely used website or electronic portal with free national and international access (such as www.dgmarket.com);

Assistance to the Employer in promptly responding to requests for clarifications from bidders;

Assistance to the Employer in evaluating the applications according to the pre-defined criteria and proposing a short list of qualified firms;

Assistance to the Employer in preparing an Evaluation Report in accordance with the relevant reporting requirements of KfW.

4.1.7.2. Tender Process With regard to Tendering and Contracting of works and goods, the Consultant shall assist the Employer in finalizing the final tender documents ready for publishing, and in organizing the whole tendering process for construction and supply including the preparation of pre-bid meetings if necessary.Activities:

Assist the Employer in preparing and implementing the pre-bid meeting(s); Ensure that ESHS specific issues are emphasized and inform that upon contract award,

the successful Bidder must comply with the agreed Code of Conduct; Assist the Employer in promptly responding in coordination with the Employer and

KfW to requests for clarifications from bidders.

4.1.7.3. Bid Evaluation Process, Contract Negotiations and Award The Consultant shall support the Employer in awarding Construction Contracts through assistance during evaluation of bids and contract negotiations with regards to technical, financial and ESHS aspects:Activities:

Assist in tender opening procedures and advice during tender evaluations according to Country’s Procurement Rules and KfW’s Guidelines for Procurement of Goods and Works;

Assist the Employer in evaluating the bids according to the pre-defined criteria; Assistance to the Employer in preparing an Evaluation Report in accordance with the

relevant requirements of KfW. Ensure that the report is transparent and sufficiently informative instead of merely stating “complied”, “yes” or “no”;

Assist the Employer in preparing the agenda for any contract discussions and assistance to the Employer during the same, including preparation of minutes of meeting;

Provide assistance to the Employer in preparing contract documents including all annexes.

Assist the Employer in informing the unsuccessful bidders.

4.1.7.4. ESHS related tasks during Bid Process, Contract Negotiations and Award phase

Determine whether the bidder is substantially responsive (i.e. without deviation, reservation or omission) to KfW´s ESHS requirements as specified in the valid version of KfW´s Standard Bidding Documents for the Procurement of Works and Goods and has provided suitable references. This includes the assessment of the Bidder’s proposed ESHS Methodology, Management Strategies and Implementation Plans, the suitability of the Code of Conduct as well as the availability of suitably qualified ESHS specialists among their key personnel and their references, required to manage the key ESHS risks of the project;

Check that all relevant ESHS aspects are duly covered in the Contract. Further, contractually ensure that the Contractor shall not commence any Works unless the Consultant is satisfied that appropriate measures are in place to address ESHS risks and impacts.

4.1.8. Supervision of Construction Works and Supplies The Project Supervision includes general and Site Supervision of Works, the preparation of initial operation activities, continuous project management and monitoring, periodic reporting and participation in the preliminary acceptance. General and Site Supervision of Works shall be performed on a continuous basis.

For the purpose of calculating required resources (personnel, offices, transport, etc.) needed to carry out the required services, the Consultant shall make the following assumptions:

Component 2Up to 65 multipurpose cyclone shelter rural construction sites during peak time managed under three (3) to four (4) construction contracts

Component 3About eight (8) to ten (10) construction contracts for the urban climate resilient infrastructure are envisaged

Activities: Coordination and liaison with the Employer, Contractor(s) and other relevant institutions

including:o Organisation of regularly site-meetings with the Contractor(s), the Employer’s

representatives and other key-stakeholders concerned to be held on a weekly / bi-weekly / monthly basis depending on the specific needs;

o Preparation and circulation of minutes of meetings;

Carry out all tasks and activities of “the Engineer” and the Engineer´s Representative in accordance with the conditions of contract (FIDIC pink book) including among others:

o Contract and claim management;o Control of the validity of the Contractor’s documents such as insurance policies,

o Testing and approval of materials and equipment;o Ensure that the Contractor is only using material in compliance with the technical

specifications and works requirements;o Time and expenditure control;o Review, verification and approval of the Contractor’s invoices and issuance of the

corresponding "Payment Certificates" to the Employer;o Reporting on project progress and risks in accordance with the reporting

requirements of KfW;o Assistance to the Employer in dealing with any variation orders to the Works

Contract;o Ensuring visibility (i.e. project signs with source of funding, etc.) according to

donors’ requirements;o Review of the Contractor’s reports, shop drawings; as-built drawings, operation

manuals, maintenance plans, etc.;o Supervise the Contractor’s testing and commissioning of the constructed works.o Preparation of a snag list and assistance to the Employer in the preparation of

schedule, Defect Correction certificate & Project Completion Report. Examine whether the arrangements applicable to the disbursement procedure agreed

between the Employer and KfW, which are to be submitted to the Consultant, are fulfilled;

Observance of the Contractor’s compliance with all contractual ESHS standards in accordance with KfW’s requirements (see below) .

The assistance in this respect includes the general supervision of works, the supervision of works on site and participation in the preliminary acceptance of works. After completion of works, the Consultant shall assist in the compilation of the Project Completion Report summarising works and activities performed as well as time and expenditure schedules.

The Consultant shall support the PEA in monitoring the execution of the contracts, with the construction supervision beginning on the date set in the letter of commencement to the contractor and ending with the submission of the Certificate of Completion.

ESHS related activities in Supervision phase (among others):

Ensure the Contractor complies with all contractual stipulations relating to E+S requirements;

Inform the Contractor that relevant sub-works shall not commence prior to the PEA and Consultant´s approval and satisfaction of appropriate measures in place to address ESHS risks and impacts;

Approve after due revision Contractor’s [Project Area] Environmental and Social Management Plan (PA-ESMP) and, during the execution of the works, instruct the Contractor to update the PA-ESMP if it becomes necessary. The revised version shall highlight the new elements incorporated in the document;

Supervise the Contractor’s implementation of the PA-ESMP and report semi-annually on compliance of the Contractor with the ESMP and ESHS Works Requirements (see periodic reporting template); This includes health and safety performance and conformance with labour and working condition standards. In case of severe ESHS violations (and in particular OHS risks to life), the Consultant shall suspend (sub-)works until the Contractor has rectified the situation;

Document any Contractor’s non-compliance, review and approve Contractor’s proposals for remedial action/s and their timeframe for implementation and follow-up on correction/remediation;

Follow up on the results of any inspections or audits by labour, health and safety or environmental regulatory authorities;

Check if the Contractor provides instructions and trainings to workers, Subcontractors and Suppliers (in particular those for major supply items) to assure that they understand their respective ESHS requirements and that the Contractor complies with the Code of Conduct;

Advise the Contractor on the ESHS risks and impacts of any design change proposals and the implications for compliance with ESIA, ESMP, consent/permits and other relevant project requirements;

Review the Contractor’s monthly progress reports, and check if detected nonconformitiesare documented and analysed and are addressed by corrective actions; Documentation shall include a digital photograph and with captions to provide a visual illustration, explicitly indicating the location, date of inspection and the non-conformity in question;

Follow-up on the resolution of any complaints or grievances in relation to ESHS; Inform the Employer on any ESHS related situation that might arise which could

jeopardize the successful completion of the Project. Reflect such situations in the periodic reporting;

Supervise that non-conformities are addressed through measures adapted to the severity of the situation and which include but are not limited to the suspension of (sub-)works and/or of payments in accordance with the contract.

Key deliverables: Progress Reports in line with the stipulated reporting requirements

4.1.9. Assistance during Defects Notification Period and Closure of Project The assistance during the Defects Liability Period (DLP) and Closure of Project, after the issuance of the Taking Over Certificate, shall address all post-construction activities up to the final acceptance of works through the Performance Certificate. The Consultant shall carry out inspections during the DLPin order to ensure the execution of all remedial works by the Contractor, to be held regularly or if appropriate at specific intervals depending on the specific needs. Prior to Project Completion, the Consultant shall check that also all EHSH related tasks of the Contractor are completed and the areas of activities have been reinstated by the Contractor. On expiry of theDLP, the Consultant shall assist the Employer in issuing a Certificate confirming that the constructions/installations were completed successfully in accordance with the specified performance level (Performance Certificate). During Closure of the Project, the Consultant shall also prepare a Project Completion Report and the Final Project Report for each Project.

4.2. Other main tasks

4.2.1. General Coordination and Financial Administration The Consultant together with the Employer shall be jointly responsible for the financial management of the project. The Consultant shall control the invoices presented by Contractors and Suppliers based on the contracts of supplies and services awarded in order to verify that the billed supplies and services have been made, that they are payable and that all the required documents have been duly presented. The Consultant shall send the corresponding "Payment Certificate" to the Employer. The documents to be submitted will cover, for example, current advance and performance guarantees in accordance with the KfW model, insurance policies and transport documents. The Consultant will keep all the relevant documents and will have them available to the Employer and KfW for inspection.

The Consultant shall verify the compliance with the disbursement procedure agreed between the Employer and KfW. If the aforementioned conditions are met, the Consultant shall certify it on the disbursement request document that the PEA will send to KfW.

The Consultant shall assist the Employer in preparing a detailed time, cost, and financing schedule, regularly updated for the proper technical and financial implementation of the Project. This schedule shall be prepared on basis of the total cost and financing plan. Such schedule is to show, by deadlines and amounts, the intended chronological interrelation of the Project activities and the resulting financial requirements. If any deviation from such schedule becomes necessary during the implementation of the Project, a revised schedule shall be prepared in cooperation with the Employer for submission to KfW.

4.2.2. Management of Disposition Funds The Consultant shall administer two Disposition Funds on behalf of the Employer according to the “Supplementary Conditions of KfW for Payments under the Disposition Funds Procedure”, and as defined in the respective Annexes of the Separate Agreements to be provided to the successful bidder which include the operation/process details and mandatory definitions. Two Disposition Funds shall be established. One Disposition Fund shall be linked to the Component 2 and the other to Component 3.

For this purpose, the Consultant shall, among others:

For each of the two Disposition Funds, open a trust account / trust accounts, which shall bear interest;

Ensure, that payments to contractors are being done according to the relevant supply and service contracts and establish an adequate internal control system e.g. for the release of payments;

Keep records of all disbursements effected out of the Disposition Funds according to the supply and service contracts financed out of the disposition fund and the cost categories agreed upon;

Support the Employer in establishing requests for replenishments of the Disposition Funds in order to maintain an adequate liquidity position;

Establish the statements of expenditures to be sent to KfW as evidence of the use of funds together with supporting documents e.g. bank account statements;

Ensure a periodical audit of the Disposition Funds by an independent auditor on the basis of Terms of Reference provided by KfW;

Inform the Employer and KfW immediately if relevant problems occur.

Precondition for the use of the disposition fund procedure is the availability of a SeniorFinancial Management Specialist at PMU/PMO level and a Project Accountant.

The Consultant together with the Employer shall be jointly responsible for the management of the disposition funds.

4.2.3. Development of project quality assurance systems and procedures A digital project platform shall be established as part of the Quality Assurance system to be implemented. This will be used throughout the projects´ implementation for the exchange and review of information, drawings, programs, calculations, tender documents, etc. Each project will be required to regularly upload reports, photos, test results, etc. via smart phones or laptops to the platform. Local observers each of the two Component´s project sites (e.g. teachers) shall also be integrated into this system.

4.2.4. Involvement of local communities in the design process and site supervision The Consultant shall support the Employer in the conception and implementation of appropriate means for achieving the valuable involvement of local communities and stakeholders in the design process as well as in during the site supervision. The selection and prioritisation of the pilot infrastructure measures to be implemented with the project shall be a result of a consultation and participatory approach. The Consultant shall support the Employer in this consultation and participatory approach for selecting, determining and prioritising of the infrastructure measures to be implemented.

Furthermore, in order to enable and ensure the involvement of the local communities theConsultant shall also:

Assist the PEA in developing and implementing a grievance mechanism, satisfactory to KfW, which is accessible to the general public and in particular to Project affected persons, and to the workforce engaged in Project implementation who have been directly affectedby the adverse impacts of the Project, including environmental and social safeguards. The grievance and complaints mechanism shall be held throughout the lifetime of the Project and shall be the primary mechanism to handle such grievances and complaints.

The Consultant shall assist the PEA in informing KfW regularly about the implementation of the grievance mechanism mentioned above (e. g. amount of new,

resolved, pending complaints and any resolution, management etc.), information to be included in the quarterly performance reports.

Assist the Employer to, prior to construction of any new multi-purpose cyclone shelters under CRIM project component 2, and prior to construction of any substantial pilot urban infrastructure measure under CRIM project component 3, in carrying out stakeholder consultations for the proposed construction and putting in place a plan for continuing stakeholder engagement.

Assist the Employer and Satkhira Pourashava with the inclusion of participatory monitoring, involving communities and local stakeholders, including civil society organizations, at all stages of the Project cycle and from the beginning.

4.2.5. Coordination with the Ministry of Primary and Mass Education of Bangladesh (Component 2 only )

For Component 2, the Consultant shall assist the PEA with the preparation of all documents needed for seeking and obtaining the approval by the Ministry of Primary and Mass Education of Bangladesh to the construction of the multipurpose cyclone-shelters constructed and or rehabilitated as well as in seeking agreement that the Ministry of Primary and Mass Education takes over the ownership and future operation and maintenance of the shelters. The Consultant’s assistance shall include early involvement of the Ministry of Primary and Mass Education of Bangladesh, already in the conception and design phases prior to the construction (e. g. satisfaction of educational demand, site selection, design, distribution, sizing, etc.).

4.2.6. Interlinkage with the Institutional Development Project Component The Consultant shall support the Employer and Satkhira Pourashava in ensuring the interlinkage with the CReLIC (CRIM Project Component 1 “Institutional Development”) with regard to

the establishment of the knowledge management system; the development and adaptation of Guidelines, Standards, and Procedures, the provision of communication, consultation and training, as well as the initiation of the development of a permanent institutional structure, and thus

contributing to the envisaged iterative institutional learning approach.

The Consultant shall liaise with the CReLIC (CRIM Project Component 1) from the very beginning of the provision of his services, taking into account that at the beginning of the provision of his services, the CReLIC will still be in the initial phase of development and implementation.

4.2.7. Support to Governance Improvement and Capacity Development (GICD) – (Component 3 only)

The Consulting Services requested for the CRIM project component 3 (CCAUD SatkhiraPhase I) encompasses consulting services to support Governance Improvement and Capacity Development (GICD) of Satkhira Pourashava / Municipality including the development and implementation of a Capacity Development Plan with respective trainings. The Consultant shall develop during the Inception Phase a comprehensive and effective Capacity Building Plan for

Satkhira Pourashava to enable strengthening its capacities to fulfil the project performance criteria and to implement and ensure sustainability of the Project measures (Annex 4).

After approval of the Capacity Development Plan through KfW, the Consultant shall implement the respective capacity development measures including trainings.

The Consultant shall bear in mind that this Capacity Building Plan as well as the requestedDesign, Management and Supervision (DMS) consulting services shall be interlinked with theInstitutional Development measures to be implemented with CRIM project component 1.A balanced mix of training events and on-the-job training in close interaction with the ClimateResilient Local Infrastructure Centre (CReLIC), once established under CRIM projectComponent 1, shall be ensured.

4.2.8. Other Training (both contracts) The Consultant shall conduct on the job training LGED staff at the field level and, whenever appropriate, for contractors to ensure quality as per required by GCF, KFW and GOB. Contents of the training could include EMP implementation, gender issues, construction safety and climate change effects on infrastructure planning and construction.

4.2.9. Considering activities of other donors towards adaption to climate change While planning and performing the Service, the Consultant shall consider programs, activities and initiatives of other donor and development organisations currently active in Bangladesh in the context of adaption to climate change and related fields and similar sectors.

4.2.10. Lists of Goods and Services The Consultant shall support the Employer and respectively also Satkhira Pourashava in preparing the list of the goods and services to be financed from the Financial Contribution on the basis of the contracts concluded for such goods and services.

If any project measures are to be executed on force account and no contracts have been concluded, the Consultant shall support the Employer and respectively also Satkhira Pourashava in preparing, in lieu of the contracts, a schedule of the measures planned, broken down by main cost categories ("schedule of force-account measures"). Costs incurred for general administration in connection with force-account work must not be included in said schedule of force-account measures.

4.3. Monitoring of the project impact The Consultant shall support the Employer and respectively also Satkhira Pourashava to establish a monitoring and evaluation system based on the Indicators referred to the project objectives (Annex 4).

The Consultant shall provide in their proposal a set of additional indicators that may be used for monitoring and evaluation purposes, to determine whether project aims have been met. Such indicators should enable both the Consultant and the Employer and respectively also Satkhira Pourashava to assess the impact of the CRIM project.

5. REPORTING

In general, the reporting requirements are an essential part of proper and transparent contract and project monitoring. As such, any report must be elaborated and quality-assured in a way that both senior and executive levels of the contracting parties are provided with concise, reliable, sound and relevant data and analysis. A qualified presentation with maps, tables, graphs and photographs is preferred over long narrative elaborations.

The minimum reporting requirements (structure, contents, etc.) are presented in this section. Further details on the contents and formats such as titles of the reports, number of copies, and differing delivery dates shall be discussed and agreed with the Employer/PEA and KfW in advance.

The Consultant will submit the below mentioned reports in the English language. The executive summary of the final versions of the reports shall be prepared also in Bangla language. All reports shall be presented in A4 format. Plans and drawings shall be presented in A3 format. All documents (reports and drawings) shall be provided in digital format (e.g. Word, Excel, AutoCAD format) and additionally converted into PDF-format. Time for comments and approval shall be up to four (4) weeks after submission. Final reports shall be submitted two (2) weeks after receiving comments on the draft.

5.1. Project Inception Report The Project Inception Report for both CRIM project Components 2 and 3 shall include a verification of the baseline of outcome indicators and shall be submitted no later than three months after signature of the DMS consulting services contract.

The Project Inception Report shall include the Capacity Development Plan for CRIM project Component 3 (pilot urban infrastructure measures, Satkhira Pourashava).

5.2. Quarterly Progress Reports (QPR)

The Quarterly Progress Reports shall contain the key activities undertaken during the months of the reporting period and planned activities for the following quarter, in particular the progress of the Project against the logical framework, including updates on the indicators, as well as on the development of all other important general conditions including environmental and social performance, topics of occupational health and safety and labour conditions, community relations and grievances which may have occurred, and on the development of all other important general conditions including safeguards monitoring reports.

5.3. Annual Performance Reports (APR)

The 4th quarterly report of each year for the CRIM Project will be an Annual Performance Report (APR) based on the GCF reporting template provided in Annex 6. The APR must be submitted

by KfW to GCF on an annual basis for the period ending on 31 December and will cover all components of the Project. The Consultant shall support the Employer and KfW in preparation of the APR, in particular, but not limited to, through preparation and presentation of relevant data inputs as required by KfW. Upon request, the Consultant shall also support the drafting process. The first APR will be submitted following the end of 2019.

5.4. Two Performance Audit Reports for CRIM Project Component 3 Both performance audit reports shall be undertaken by a reputable A-listed Chartered Accounting consulting firm before Mid-Term and before closing of the Project.

5.5. Mid-Term Report for CRIM Project Component 2 The mid-term review for CRIM project Component 2 shall be conducted of the overall performance of the respective Project component and the permanent institutionalization of CReLIC approximately at the end of the first three years of implementation. Prior to this review, a technical and financial performance audit will be carried out by a A-listed Chartered accounting firm.

5.6. Project Completion Report for CRIM Project Component 2 The project completion report on the CRIM project component 2 measures carried out, including a summary of the project activities, results, achievements against indicators, failures, deficiencies, lessons learnt and the final financial situation shall be submitted after the end of the Implementation Period of the pilot rural infrastructure measures of CRIM project component 2.

5.7. Project Completion Report for CRIM Project Component 3 The project completion report on the CRIM project component 3 measures carried out, including a summary of the project activities, results, achievements against indicators, failures, deficiencies, lessons learnt and the final financial situation shall be submitted within six months of the physical completion and commissioning of the pilot urban infrastructure measures of CRIM project component 3.

5.8. Timing of other deliverables The Consultant shall submit to the Employer in line with the agreed project implementation plan all documents, reports and studies to be prepared while performing his tasks, such as Key Deliverables specified in Section 3 s well any other further report requested and agreed with the Employer and KfW.

6. LOGISTICS AND EMPLOYER SUPPORT

6.1. Employer support

6.1.1. General In general, the Employer shall facilitate all staff permits, authorisations and licenses required for performance of the Consultant’s services in Bangladesh. The Employer shall assist the

Consultant in customs clearance of all equipment, materials and personal effects to be imported for the purpose of the execution of the works.

6.1.2. Counterpart staff provided by the Employer (LGED)

The Employer will provide the following personnel to implement the project:

LGED / GOB will provide about 11 numbers of counterpart personnel for Project Management Unit (PMU) like Project Director, and Executive Engineer who have the graduation degree in civil engineering. It will also provide Assistant Engineers who have the graduation degree in civil engineering. In addition to that they will be supported by the Assistant Engineer, Monitoring Officer, Accounts Officer, Sub-Assistant Engineer and other technical staff.

The Executive Engineer at District levels will be supported by approximately 39 numbers of staff(s) including Sub-Assistant Engineer, Accountant, and other technical staff.

The Upazilla Engineer at the Upazilla level will be supported by Sub-Assistant Engineer, and other technical staff.

6.1.3. Data to be provided by the Employer

LGED / GOB will provide the Consultants with all available data on:

All relevant, recently completed studies related to the Project;

Design manuals, standard designs of roads and structures, standard specifications as reference materials, road traffic data, equipment data, LGED’s Unit Rate Analysis and Unit Rates etc.;

Maps of the country and its road network; and

Cost data on recent construction projects.

6.2. Logistics

The Consultant shall arrange at his own cost for transportation and the necessary office equipment including communication facilities separately for both Contracts, taking into account the different logistics requirement – one with construction sites mainly in rural remote areas of the three coastal districts, and the other with urban infrastructure within the City of Satkhira.

For both Component 2 and 3 the Consultant shall arrange at his own expense for adequately furnished offices and the necessary office equipment, including communication facilities, means of transport and any other expenditure for the entire project duration and all project components.

To align with the proposed Employer structure for Component 2, it is expected that the Consultant will need to entertain office space at each of the three (3) related LGED district

facilities. The size and remoteness of the project area and number and locational spread of individual sites under Component 2 are an obvious challenge for site supervision logistics and for ensuring quality and durability of the works. Sufficient staff in the field and suitable project management systems will be required to ensure optimal presence time on-site and effective oversight of the works.

For Component 3, the measures to be realised (urban roads and drains, water supply, solid waste, slum improvements) are quite wide ranging, and in some cases significant study and preparation time will be required to ensure adequate preparedness for launch of the tenders. Because the measures are bundled at one urban location (Satkhira Purashava/ Municipality) the site supervision logistics are simpler. However, having this volume of works at one location also entails certain challenges which the Consultant´s logistics concept needs to address. Efficient coordination between the various building sites will be mandatory to execute the services in a manner compliant with the TOR and minimise disruption to the local population. Component 3 also links further investment with municipality performance targets. The related training to be provided to the municipality will therefore be of great importance.

Satkhira Purashava has a fully equipped and furnished meeting room (the “Climate Change Adaption Learning Centre”) located inside its headquarters which can be made available by Satkhira Pourashava for the expected capacity building trainings as well as for project related meetings.

During the project period, the Consultant shall be responsible for: Provision of related office equipment, office supplies, hardware and software equipment

in order to make the office fully operational Provision of suitable number of vehicles Provision of suitable number of mobile phones Provision of appropriate equipment for site recording (digital camera/videos) All necessary communication expenses (fax, email, phone, etc.) Provision of secretarial and translation services Any cost incurred in document reproduction and printing The Consultant shall be entirely responsible for all accommodation and insurances

required for his staff in Bangladesh throughout the duration of the services including transport from and to the site and to the country of origin.

The Consultant shall be responsible for his own working equipment and vehicles and the related costs are deemed to be included under his fees.

In the construction phase the Consultant shall also establish and run material testing stations for all construction sites. The quality of the testing stations will require to be regularly independently verified by an accredited organization.

In the Technical Proposal, the Consultant shall present and justify the details of the logistics structure planned for the execution of the services.

6.3. Inland transport Consultants are requested to develop their own cost-efficient transport concept. From preliminary estimates of the Employer, a fleet of four (4) 4x4 all-terrain vehicles, twelve (12) cars/small jeeps, twenty-four (24) motorbikes and six (6) boats/vessels could be required by the Consultant´s staff. However, the Consultant shall present an own assessment of transport requirements and present the rationale for the underlying assumptions and rationale in the Technical Proposal, which will be measured against the requirement of minimum on-site presence and effective oversight of the works for both Component 2 and 3.

The costs for transport shall be quoted as separate reimbursable items to be reimbursed upon presentation of the procurement decision(s) based on at least three (3) quotations and the respective invoice(s). The vehicles shall be handed over to the Project after completion of the Services.

7. TIME SCHEDULE AND IMPLEMENTATION PLAN

7.1. Time Schedule It is envisaged that Consultants services will commence around April 2019, with project completion in April 2024, of which around 2 years are estimated for the design and tendering stages, around 3 years for the construction stage, and one year for the defects and notification period.

The anticipated duration of the assignment for each of the two Consulting Services Contracts including defects and notification periods is as follows:

8. STAFFING

8.1. General staffing requirements

The Consultant must demonstrate suitably qualified and experienced experts among its key personnel, who have the appropriate level of academic and professional qualifications and experience gained in similar projects and countries to recognize and to deliver with respect to both, the technical requirements and the Environment, Social, Health and Safety (ESHS) aspects.

The services are to be provided by a team of qualified and experienced international and regional / local long-term assignment experts, complemented if deemed necessary with the support of short-term experts. Likewise, the Consultant shall assign national specialists with experience in project management, contracting companies and knowledge of current legal provisions that will be applied in the project.

In order to carry out the final studies and designs, the Consultant will, as much as possible, involve the Employer’s personnel in the cabinet and field work, promoting the improvement of the professionals and technicians and guaranteeing the integration of the personnel of the Employer as well as the technology transfer.

8.2. Range of required expertise

The team shall be composed of international and local experts. The Consultant shall, depending on the respective requirements of the two Project Components, propose an extended team with long- and short term staff with the following expertise:

Civil and Hydraulic engineering (e.g. for concept and final designs of municipal drainage network , including O+M, and in checking selection of the optimal locations of the new cyclone shelters)

Architecture and structural engineering, e.g. for the concept, design improvements, layout and structural design of the multipurpose cyclone shelters

Mechanical/electromechanical engineering, e.g. for water supply, water pumps, lighting and electrical supply to buildings

Road and pavement design, specifications, measurements, costs and budgets at constructive level

Surveying, and geotechnical engineering for topographic and ground investigations Urban Planning – in particular for Component 3 Environmental and social safeguards to apply World Bank Safeguards Sociology / Socio economics (for reporting, indicators, liaison with local communities,

including gender issues) Procurement and Contract Management of goods, works and associated services, and in

accordance with current Bangladeshi rules and KfW guidelines, in particular versed with procurement and contract management under FIDIC conditions

One Expert may cover one or more of the above stated expertise. The Consultants are free to propose additional expertise and/or adaptions to the indicative set-up in his team subject to available guidance within a team headed by senior professional staff.

The suggested Expert Months (EM) are based on effective months on project and do not include leave. EMs are generally assumed to be in Bangladesh. Certain planning / design measures such as drawings, designs and reviews may be delivered from the Consultant´s home office.

The Consultant is free to propose an alternative structure (more economic, more efficient, etc.) based on his professional judgment and know-how. The feasibility of the staffing proposal will receive particular attention in the evaluation process and have a prominent role in the evaluation

of the Consultant´s methodology. Bidders finding the optimal balance between the necessary onsite requirements and an optimized staffing structure will be considered better than Bidders just repeating the Staffing proposed in these TOR.

In the Technical Proposal, the Bidder shall clearly assign the experts and the respective expert months (EM) deemed necessary for each expert position separately for each CRIM Project Component 2 and 3 respectively as each will be executed under a separate contract.

Upon according request by LGED and KfW during contract negotiations, individual Key Experts deemed inadequate and/or not compliant with the requirements of the Terms of Reference shall be replaced with an adequate candidate. LGED and KfW reserve the right to reject an alternative candidate presented until requirements of the Terms of Reference for the specific Key Expert profile are complied with.

8.5. Civil Site Observers

For purposes of support in the daily monitoring of implementation progress of supported infrastructure measures, the Consultant shall appoint Civil Site Observers. While an engineering background would be useful, it is primarily important that the Observer is literate and able to use a smart phone. In the case of cyclone shelters the work could be done e.g. by a teacher. These Civil Site Observers shall be equipped with basic IT equipment (smart phone) and be responsible for providing simple daily reports including photographic material from the construction sites. The Civil Site Observers shall for instance report OHS incidents to the Consultant. For purposes of preparation of the proposal, Bidders shall assume a minimum of one Civil Site Observer per site. They would not replace a comprehensive site supervision nor be expected to be permanently on site, but rather provide a complementary daily short report on activities. They should also serve as a contact person to the local community.

8.6. Backstopping services

The Consultant shall make available backstopping services as part of its internal QA system. Backstopping services shall be able to provide qualified replacement for key experts in case of bottleneck situations and/or short-time non-availabilities, in particular for experts and expertise involved on-site and quality control and assurance. For backstopping, senior experts with a minimum professional experience of ten (10 years shall be proposed.

9. Performance measurement

The Consultant’s performance of the Services will be measured by the following indicators as per the Annual Plan of Operation (APO):
