SUBJECT: Purchase of two LifePak 15’s

DISCUSSION: Please review the attached material regarding the trade in of two Lifepak 12 cardiac monitors toward the purchase of two Lifepak 15 monitors. An offer was presented to us by our vendor which included a $6,000 per unit trade in value toward the purchase of two new monitors. The trade in offer was for a limited time and expired on December 31, 2018. A zero percent interest offer was also included so the balance could be paid off after May 1, 2019 interest free. The Lifepak 12 monitors were beyond their serviceable life and the replacement of the monitors was planned for 2019-2020.

RECOMMENDATION: It is my recommendation to approve the attached contract with an expenditure of $39, 602.64 after May 1, 2019.

AN ORDINANCE APPROVING AN AGREEMENT TO FINANCE THE PURCHASE OF LIFEPAK SYSTEMS FOR THE CITY’S FIRE DEPARTMENT

WHEREAS, the City’s Fire Department is in need of two new Lifepak cardiac monitoring systems, as the current two Lifepak 12 systems are past their useful life; and

WHEREAS, the City’s Fire Department has received a quote on two new Lifepak 15 cardiac monitoring systems (the “Lifepak 2015 Systems”) from Physio-Control Inc., which includes an offset of $12,000 on the overall cost as trade-in value for the Fire Department’s current Lifepak 12 systems; and

WHEREAS, the replacement of the Lifepak systems were not planned by the Fire Department until the City’s 2019-2020 fiscal year, and thus the funding for the replacement of the Lifepak Systems has not been included in the Fire Department’s budget for the current 2018-2019 fiscal year; and

WHEREAS, Physio-Control Inc., in conjunction with Flex Financial, a division of the Stryker Sales Corporation, has offered to provide the Lifepak 2015 Systems to the City at total cost of $39,602.64 under a financing arrangement whereby the City will make a one-time payment after May 1, 2019, to Flex Financial while paying no interest under the terms of the financing arrangement, as specified in the Quote and Short Form Sales Agreement set forth in “Exhibit A”, attached hereto and incorporated by reference; and

WHEREAS, the proposed financing arrangement with Flex Financial will allow the Fire Department to fund the purchase of Lifepak 2015 Systems from the Fire Department’s budget for the upcoming 2019-2020 fiscal year; and

WHEREAS, the City has the authority to enter into the proposed financing arrangement as provided under the Local Government Debt Reform Act (30 ILCS 350/1, et seq.), and the financing terms of the proposed financing comply with the Illinois Bond Authorization Act (30 ILCS 305/0.01, et seq.); and

WHEREAS, the City Council hereby finds that it is in the best interests of the City to acquire the Lifepak 2015 Systems from Physio-Control Inc. under the financing arrangement offered through Flex Financial as provided herein;

NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF EAST PEORIA, TAZEWELL COUNTY, ILLINOIS, THAT:

Section 1. The above recitations are found to be true and correct.

Section 2. The purchase of the Lifepak 2015 Systems as provided in Exhibit

A from Physio-Control Inc. under the financing arrangement offered through Flex Financial is hereby approved.

Section 3. The Mayor, or his designee, is hereby authorized and directed to

enter into a contract with Physio-Control Inc. for the Lifepak 2015 Systems at a cost not to exceed $39,602.64 pursuant to the financing arrangement offered through the Flex Financial as provided in Exhibit A under such terms and conditions as the Mayor in his discretion deems appropriate; provided, however, that the City shall have no obligation under the terms of this Ordinance until an executed original of such agreement has been delivered to Physio-Control Inc. and Flex Financial.

Section 4. The Mayor, or his designee, is hereby further authorized to

execute any additional required supporting documentation in relation to the financing arrangement with Flex Financial for the purchase of the Lifepak 2015 Systems as provided in the Short Form Sales Agreement set forth in Exhibit A.

Section 5. This Ordinance is in addition to all other ordinances on the subject and shall be construed therewith excepting as to that part in direct conflict with any other ordinance, and in the event of such conflict, the provisions hereof shall govern. Section 6. This Ordinance shall be in full force and effect from and after its passage and approval in the manner provided by law.
