Mazaya Real Estate Development is a “Qatari Public Shareholding Company”, established on 10 January 2008 with a capital of QR 1 Billion. It was established under Article No.68 of the Law No. 5 of 2002 concerning the issuance of commercial companies, and according to the terms and conditions of the Memorandum of Associa-tion of the company and its Articles of Association. The establishment of the company was approved under a de-cision by his Excellence Minister of Business and Commerce No. 22 of 2008. The Articles of Association was fur-ther amended in accordance to Law No. 11 of 2015. The company’s shares were listed on the Qatar Stock Ex-change on the 17 October 2010. On July 17, 2019 the capital was split to become 1,157,625,000 Shares equiva-lent to QR 1,157,625,000 (1 QR per Share) from 115,762,500 Shares equivalent to QR 1,157,625,000 (10 QR per Share).

The company operates in agreement with the provisions of the Islamic law, and specializes in such real estate investment and development as: the establishment of residential, commercial and industrial compounds, real estate studies and consulting, contracting, maintenance, brokerages and commission agencies, property-related commercial and real estate representation, marketing, buildings and facilities management, mechanical and electrical equipment and appliances, import and export related to company purposes, and investment of compa-ny funds as a form of effective management of the company’s liquidity at the discretion of the Board of Directors, and any other activities or purposes as subsequently determined by the General Meeting of the company to the extent permitted under the Qatari regulations and laws in force and effect.

Sidra Housing Village contains 1165 residential units covering an area of 145,000 square meters, developed by Mazaya Real Estate Development for Qatar Foundation for Education and Science under Build-Operate-Transfer scheme (BOT) for a period of twenty-one (21) years.

The contract started on April 1, 2019, and the tenant moved by May 2019. The project is financed through on Islamic facility, where the management is consid-ering restructuring the debt to support the cash flow of the company.

Mazaya Real Estate Development Company developed Tala Residential Com-pound specifically for Qatar National Convention Center staff housing, which was delivered in the fourth quarter of 2012.

The project was completed under a memorandum of understanding between Mazaya Real Estate Development Company and Qatar Foundation for Education, Science and Community Development, including an exclusive lease with the Foundation for 10 years from the date of project completion.

Tala Residential Compound consists of 346 residential units, the compound also includes health club equipped with the latest sports equipment, swimming pool, various sports activities and service facilities.

The project is mortgaged to one of the local Islamic bank, and the company man-agement is currently considering rescheduling to increase cash flow.

Due to the steady increase in the construction of shopping malls, the company commenced reassess the project features and structure in order to ensure the highest and most appropriate return for the company and shareholders. We have request Qatari Diar, the main developer of Lusail, to change the concept of the project from a shopping mall to a unique project with various activities such as (Bazaar, a unique health club, hotel services, water games, health center, restau-rants and cafés), and we obtained the initial approval of the idea from Qatari Diar and getting the final approval from Qatar Foundation is in process (as the owner of the land) to start the process of licenses required to proceed with implementa-tion. This idea is unique in Qatar and the region and will create new and distinc-tive content.

Mazaya Real Estate Development Company owns Gloria Hotel located in the heart of the Qatari Capital (Doha), very close to the Corniche Street. The Four-Star Gloria Hotel consists of 17 floors, two lower grounds, one ground and fourteen floors which contains 167 rooms including suites. The hotel also has a large mul-ti-use ballroom for weddings, parties and conferences that accommodates more than 200 people.

The hotel provides comfort services for guests and visitors through the health club, swimming pool, restaurants and cafés inside the Hotel.

The hotel is currently closed for maintenance, renovation and refurbishment in order to meet the latest requirements in the hotel industry of its category. The Hotel will be inaugurated in its new characteristic at a date that will be an-nounced in due course.

The company is currently studying the merger with Al Bandary, a leading company in Doha’s real estate market, to acquire only income generating assets through capital increase, after compliance with the applicable laws.

The Company is currently undertaking the necessary financial and legal studies related to the merger, which are based on the acquisition of income generating properties that contribute to increasing the profitability of the company and increasing the return on capital.
