Part 1 Development/ Business Description

1.1 The Film Production Industry

Fingal Studios is preparing a five year business plan for the last couple of months to develop a studio in the fingal area , We have the largest population of 250,000 in Ireland and the youngest growing between the ages of 18-35yrs this opportunity will develop our economy in Fingal with growth in employment, tourism and transport. Fingal, Northside of Dublin is gifted with the best historic castles and houses and fantastic landscapes and sweeping shorelines that run the whole way along a cinematic coastline. We also have various towns from contemporary to period we have industry and easy access to and from Airport andboth M1 and M50, this presents an enormous opportunity to capitalise on an, as yet, virtually untapped sector of the independent film and television marketplace in Fingal.

Since we developed the Fingal Film Festival over 4 years ago we have gone from strength to strength expanding every year to this year we have opened a full-time office in Swords plus 2 full time staff and 4 part-time staff we are a not for profit organization that cater for emerging film makers We also work with all of the localmedia colleges around the area and host many workshops throughout the year.

From this a Fingal Film Commission business plan has been formed over the last 6 months and has been submitted to the various funding organizations in Fingal part of this business plan is a Fingal Studio.

Fingal County Council and Fingal Leader Partnership plus the Local Enterprise board. A major part of the Fingal Film commission five year business plan is to build a studio facility in Fingal that will cater for large scale National and International film productions.

Fingal Studios will capture a share of this market place by providing a sophisticated climate controlled studio ensuring the highest quality film results. Both Local and International Producers will take advantage of this new stage.

Our business is to provide a facility to these film makers that will simplify their life,our studios will provide this and more. Considering that this market place consists of clients from around the world who are all seeking studio facilities that create the least problems for them our location and studios will provide this convenience.

Ireland as a destination is well positioned within the International market and continues to be a destination for producers. As we are virtually minutes from Dublin Airport our location enhances / provides further enticement for these producers to locate here. Ireland as we know is also a great place to locate due to the ongoing efforts of the Governments to attract investment through section 481tax incentives. The production industry itself also stimulates employment in other sectors including distributors, exhibitors, broadcasters, retailers, hoteliers, and caterers.

1.2 Mission Statement

To create a premiere multimedia production studio and post production facility that producers of any size will find artistically satisfying and cost efficient.

1.3 Vision Statement

To excel in providing a premier destination for all producers within the film industry, resulting in perpetual growth of our stages and the local artistic sub economy.

1.4 Our Business

The Fingal Studio business is to rent studio (stage) space and pre production and post production office space to any producer of film both National and International. Rents are established by contracts and are secured through formal lease agreements.

We are a new entry in the market and as such we are providing a unique alternative to film producers for film production. These alternatives include items such as:a. A new Dublin location,b. New state of the art production facilities,c. Post production facilities on site,d. Proximity to Dublin Airport and the main North / South Motorways.e. Locations in Fingal vary from period to contemporary one of the finest areas

in Ireland for locations that have never been promoted

The founding Presenter of this proposal Liz Kenny has spent over 20 years in the film and TV industry. Over this time period she has seen many aspects of the film production industry firsthand and from this has created a tremendous vision on what is required in the industry. Not just for the producer of film but also the post production, distribution of the final product and the affect it will have on the local artistic community.

Dave Byrne creative director with Fingal Film Festival and founder of this proposal has spent 15 years as a producer / director in documentary. He also built and managed a North Dublin Studio for a number of years prior to going freelance developing projects, working at the Fingal film festival plus developing the Fingal film commission proposal. Having produced a slate of productions for TG4 and RTEand facilitated studio based productions for companies such as Tyrone

Productions, Moonlight Productions, SinAwil, and many more, Dave has the expertise required to bring the concept of a studio facility to fruition.

Fingal Studios will be available for use to all producers of film, from large entertainment companies to small independents. Producers will be drawn from the local area, nationally and internationally from around the world. Why and howwill they come? Fingal Studios has a clear understanding on the needs of the producers during and after the filming process to ensure a superior final product. The studios design being purpose built and not some old renovated building enhances the producers ability to control quality and thereby reducing costs or at the very least controlling the cost of the production.

It maybe a cliché to state “if you build it they will come” but in the case of FINGAL STUDIOS there is a direct parallel with this statement. Producers of film are a tight intertwined community always looking for an edge for their next project and the best place to film in. To jump start this obsession FINGAL STUDIOS through an associated enterprise will link in with a new entity, The Fingal Film Commission, who will be promoting Fingal Internationally and in turn will attract film companies to the studio facility.

1.5 Product line

Land and site characteristics

Whilst a suitable property for this proposal has not been established, we envisage the following:

a. The property is located within minutes of Dublin Airport / M1 and M50. A suitable location would be somewhere in the fingal area

b. Property will be secured to ensure safety, privacy and is located within minutes from both Swords and Balbriggan Garda Stations, with the comfort ofknowing that the nearest Hospital is 10 minutes away.

1.6 Market Position

FINGAL STUDIOS position within the market place will be to establish itself as the premier purpose built studio complex in North Dublin / Fingal. As these studios are all clear spans and provide ceiling heights of 50 feet they will ensure that the producer has flexibility during the production process ensuring superior film footage and excellent quality. The characteristics encountered during the film production are directly related to the final product and ultimately the success of the film distribution, a FINGAL STUDIOS production ensures the quality from the onset.

1.7 Pricing Structure

The pricing schedule is determined by the studio space required, by the size of thearea used, (square footage) and the time the producer needs to film the project. Pricing is then determined on a daily, weekly, monthly or other satisfactory time element. This is the base rental rate for the studio and a similar charge is used for the post production offices.

All other services and utilities are charged as they occur or are required. Utilities are metered and are charged back to the tenant with an appropriate surcharge added for office staff.

These rates charged on the type and size of the studio being rented; smaller ones tend to charge more per square foot than the larger 15,000 square foot and up studios. Another factor is the ceiling height and the building characteristic, all of which relate back to the rental fee. FINGAL STUDIOS will be marketed at €2.40 persquare foot per month which is within the mid to high quartile of the rent spectrum for larger floor space studios.

All other rental rates will be within the mid range of the rent spectrum and are reflective of the local competitive market space available.

Another part of the pricing model is based on incentives offered through our government departments. These tax based incentives are through section 481.

Although FINGAL STUDIOS has no control over the future of these programs, they do provide an incentive to build film production studios, which are highly sought after by International film companies. The following is a brief description of these programs.

Tax Incentives – SECTION 481 –

A initiative for Co Productions and overseas producers

Section 481 of the Taxes Consolidation Act 1997 as amended ("Section 481") was introduced to promote the Irish film industry by encouraging investment in Irish made films which make a significant contribution to the national economy and theExchequer. The scheme is a fiscal incentive to taxpayers as it allows tax relief in film projects certified under the Act. Further provisions are included in Regulationsmade by the Revenue Commissioners, with the consent of the Ministers for Finance and Arts, Sport and Tourism on 12/09/2008.

Historically, investors could invest up to 66% of the production cost for films up to IR£4 million (€5,078,950) and 55% of production in excess of IR£5 million (€6,348,690) with a maximum investment of €15 million. The Finance Act 2006 provided that the amount that could be invested in any one film was raised to 80%of the cost of production, capped at €35 million.

In 2008 however, the Irish government introduced new welcomed measures to strengthen this tax incentive even further. The amount which can be invested depends on "qualifying expenditure" ie. total spend by the production on Irish goods, services and facilities including the cost of EU cast and crew working in the State. The new improvements mean the ceiling on qualifying expenditure for any one film is increased from €35 million to €50 million. By virtue of SI No 97 of 2009 [Finance (No 2) Act 2008 (Commencement of Section 28(1) ) Order 2009], individuals buying shares in a special purpose film or television production company may now individually invest up to €50,000 under the scheme in any year of assessment, an increase of €18,250 over the previous cap of €31,750. More importantly these investors may now claim 100% tax relief on their investment as opposed to the previous 80%. This means that for each investor the available tax relief in cash terms has nearly doubled from €10,414 to €20,500. These changes result is a large increase in the producers net benefit available to each Section 481project as projects may now derive a benefit of up to 28% of their qualifying expenditure.

Process

The process for Section 481 Investment has not differed:

Section 481 Company

Firstly, the producer is required to establish a special purpose company (the Section 481 Company) specifically for producing each film project. This is known as a Qualifying Company. The Qualifying Company does not have to be an Irish Company, but the Section 481 legislation requires that it has to be tax resident and carrying on a trade in the State, and so in practice it always is an Irish Company. Guidelines from the Revenue Commissioners require details of the track records of the directors of the Section 481 company (who must both be resident in Ireland) in terms of their experience in Irish film and television production. The Company must exist solely for the purposes of production and distribution of only one film ensuring that the funding is clearly targeted for same.

Certification

A Certificate from the Revenue must be applied for and obtained. The application for a Section 481 Certificate is normally made at the early stages of pre-production for a live action feature film or live action drama TV series or approximately 8 weeks to 3 months prior to the commencement of full animation drawings in relation to animation TV series. The Certificate will only begranted when the Revenue is satisfied that the film is a Qualifying Film and that the production satisfies the necessary criteria. The Department of Arts, Sport and Tourism have an input into the procedure in that they validate the cultural content of film projects submitted for certification. The contribution it will make to the development of the film industry and the promotion and expression of Irish culture are key parts in this certification process.

The film must be a feature film or a television drama, animation production or creative documentary. It cannot be a commercial, game show, reality show or soap etc. A detailed form, showing the financial and other arrangements, and in particular showing the identities and nationalities of the personnel, the level of qualifying expenditure and the proportion which this forms of the total budget, must be completed and submitted, together with a diagram showing the financing structure, deal memos for the non-Section 481 funding, the agreementcommissioning the Section 481 Company to carry out the Irish production work on the film and a distribution agreement which provides that, in return for the grant of rights by the Section 481 Company, it will be paid an advance which is payable to the investors under the defeasance method below. If the film is a co-production, the draft Co-Production Agreement, must also be submitted.

Section 481 Fundraising

Once the letter of full application issues the Irish producers usually approach oneor more of the local service providers in relation to fundraising for Section 481. The role of which is to be satisfied that the feature film or television series is properly financed and that the amount they need placed in the bank's defeasance account to secure the return to the Section 481 investors is available. Completion guarantees are normally required for feature films and where feature films or television series are backed by Hollywood studios or othersubstantial entities some comfort is sought from them that the film or television series will be completed and delivered.

The Section 481 funding is invested in the Section 481 Company in return for an allotment of shares to the Section 481 investors nominee company. Approximately 12 months after the initial investment of the Section 481 monies into the Section 481 Company's bank account and provided delivery and acceptance of the film has taken place, the money in the defeasance bank account is paid over to the Section 481 company as the return for the investors either by way of redemption of their shares out of a fresh issue or by a liquidation of the company. Either way the investors obtain a return on their investment which is usually slightly more than the cost of their investment after you take into account the tax break they receive from the government. This results in a small profit for them thus the reason they invest.

The legislation requires that the investment be made at the risk of the investors. This turns on the fact that delivery of the film is vital to the investor as otherwisethe tax relief is lost (the "Delivery Risk") and also their concern that their return is not adversely affected as a result of unpaid creditors in the Section 481 Company (the "Credit Risk").This transaction whereby the Section 481 investors invest their funding in return for the lodgement in the defeasance account has to happen before principal photography / principal animation drawings commences or 25% of the cost of production of the film is incurred. Usually it takes place shortly after the Section 481 Certificate issues and all documents are usually completed and signed at that stage.

It is important to note that the Section 481 Company does not own any rights in any projects they are involved in the production of nor do they own the materials created arising from the relevant production. All rights belong to the relevant commissioning company. Also the investor service providers normally insist that no charges or security are taken over the Section 481 Company apart from charges in favour of completion guarantors as these are for the benefit of both the other financiers of the film or television series and also the investors themselves.

Compliance

After the film or television series has been delivered the Section 481 Company has to prepare very detailed audited accounts and is required to make a detailedreport to the Revenue Commissioners in relation to compliance with the Section 481 Certificate. The Revenue Commissioners have been known to raise detailed queries of Section 481 production companies in relation to compliance and are currently auditing a number of companies in relation to same.

Example

There is no doubt the amendments are to be warmly welcomed. As aforementioned, projects may now enhance their Section 481 net benefit by a substantial margin, an increase somewhere in the order of 8% of eligible expenditure.

By way of example, a project with a budget of €6,250,000 and with qualifying expenditure of 80% of that figure would result in maximum fundraising of €5,000,000. Based on the assumption that the Section 481 investors now receivethe same return on their net cash funding as under the previous scheme, a project which generated a net benefit of 21% under the old regime shall now generate an enhanced net benefit of 29%. These percentages vary on different projects based upon the overall scale (on larger projects where fixed transaction costs will reduce in proportion to funds raised, higher returns should sustainable) however the general enhancement should be visible on all projects.

Another benefit from the producer's perspective its that in order to secure, e.g. €5,000,000 of the Section 481 investment the amount of upfront cash needed tobe sourced from other financiers in order to fund the bank defeasance requirement will reduce quite substantially. This is particularly beneficial to lower-budget projects.

Conclusion

Since 1992 the numbers in the Irish film and television industry have grown from1000 directly employed to 6000 by 2008. The benefits of high levels of film and television production in Ireland include increased international investment in theeconomy, increased employment in the sector, positive spin-off effects for promoting Ireland as a tourist location and the improvement of Ireland as an industrial location for all aspects of creative endeavours. The current Section 481incentive extends to 2012 and these recent amendments serve to restore Ireland's stance as one of the most attractive global locations for international producers.

Part 2 The Market

2.1 Customers

The reality of the Irish feature film market base is that it is very small. However, current market research in Irish film and television indicates a specific and growingneed for production facilities. Though Irish film studios rarely – if ever – have budgets en par with most Hollywood fare, Irish production facilities are frequently and increasingly preferred by International Production Companies to their own established studios.

At the same time, Ireland’s lucrative provisions for cheaper production facilities have managed to generate a respectable influx of International capital investment in the Irish film industry as a readily accessible alternative to the ever-increasing high cost of doing business out of elsewhere.

That visitation of prosperity can tie up several Irish production facilities for monthsor even years at a time, causing an ever-increasing need for more diverse and fullyoperational production facilities.

Although relationships between private companies and Local Authorities council departments is generally good, interaction between them is ad hoc and requires on-going goodwill from all parties. There is a general and peripheral recognition ofthe importance of the film industry from these council departments, and, there is also general agreement amongst role players that more mechanisms should be put in place to streamline the services to the industry.

2.2 Main Competitors

The current and almost complete vacancy of studio production facilities within theimmediate Fingal region and its surrounding areas places FINGAL STUDIOS at a ground-breaking opportunity to be at the cusp of a major economic/creative growth and development phase for the local/regional economy while already within the established Irish film/television industry.

In its initial phase as a multimedia production facility, FINGAL STUDIOS will be in the unique position to premiere and maintain that distinction by assisting regional film makers with the only localised facilities outside of the greater Dublin area.

As mentioned earlier in this report outside Dublin remains as the largest area for film production in Ireland. FINGAL STUDIOS main competitors. The pricing model and the additional tax incentives to produce film in the Irish market are

advantages that a producer will seek. In addition to these cost saving facts a producer will also have an extreme cost advantage for the ancillary services required during production. These would include housing costs for crew and cast, food services and transportation costs.

2.3 Sales Projections

All sales projections are exclusively based on operating the studio as a landlord. These projections are based on a rental of floor space on a per square foot basis with the tenants paying for all of the utilities incurred during productions.

FINGAL STUDIOS stages will be marketed at €2.40 per square foot per month which is within the mid to high quartile1 of the rent spectrum for larger floor spacestudios.

Part 3 Product Development and Costs3.1 Labour

People required for the studios to operate efficiently would be no more than eightfull time personnel, consisting of management, Technical, Maintenance and Security personnel. These labour numbers are low as the tenant provides their own staff during their occupancy.

Labour required for the production of film and post production work is under the control of the tenant (producer) and is either found from within the local market place or imported in from around the world. FINGAL STUDIOS will facilitate in finding suitable lodging for the labour but will not be involved in contracting or hiring any external labour components.

3.2 Normal Operating ExpensesExpenses for the studio are substantially covered through the tenant lease as they are drawn on a triple net lease basis.

3.3 Capital RequirementsCurrently the capital requirements is for 75% of the total costs of procuring and upgrading the facility. 25% we can raise through private and local authority funding.

Part 4 Sales and Marketing

4.1 SalesAt present we do not have any presales on lease agreements as the primary hurdle being that the studio has not been built. Once the studio has been built andis operational a strategy is already being implemented and funded to bring this facility to the International market.

4.2 Marketing

The purpose and goal of Fingal Studios marketing initiative will be to:

a. attract independent production companies to the region,

b. foster production of original material for domestic consumption,

c. facilitate commercial television and feature film productions,

d. promote a distribution and exhibition of films and television programs,

e. advertise support of creative needs required during postproduction,

The marketing strategy for FINGAL STUDIOS’ will be based on cost effective promotions geared towards generating interest and awareness in the studio’s production and post-production capabilities; billed as easily accessible alternativesin close proximity to Dublin Airport, M50, M1 and 15 minutes from Dublin City Centre.

This initial thrust will include, but is not exclusive to, the procurement of representation on the radio, paid advertisements (in industry trades and media publications), regular media updates (press releases) publicised on our own commercial website, and most importantly through recommendations derived from our clients.
