REPORT OF THE BOARD

FINDINGS AND ORDER

1. Hearhm Date and Place: This matter came on for final hearing before the Vbginia Gas and OilBoard (herein "Board") at 9:00 a.m on March 18, 2003 at the Southwest Virginia HigherEducation Center on the campus of Virginia Highlands Community College, Abingdon, VA.

2. Anuearances: Mark Swartz, Esq. of tbe firm Swartz and Stump L. C. appeared for the UnitOperator; and Sbamn Pigeon, Assistant Attorney General, was present to advise the Board.

Jurlsdtction and Notice: Pursuant to Va. Code 8 45.1-361.1er seq., and in particular Va. Code

g jl 45.1-361.21and 45.1-361.22, the Board finds that it has jurisdiction over the establishmentand maintenance of an escrow account, with tract subaccounts, for each of the'oalbed methane

gas drilling units established by the Board through its field rules that are subject to a Boardpooling order. Further, the Unit Operator is required to deposit, as applicable, those fundsspecified in Va. Code tj 45.1-361.21.D.,45.1-361.22.A.2,45.1-361.22.A.3an) 45.1-361.22.A.4into the applicable escrow tract subaccounts. The Board finds that: (I) while it docs not havejurisdiction to resolve conflicting claims to the ownership of the Coalbed Methane Gas producedby the Unit Operator flom wells located on Subject Drilling Unit, and (2) while it does not havejurisdiction to intcrprct agreemcnts by and between the Gas owners/claimantt snd/or the UnitOperators or to abridge or contravene thc provisions of such agreements, (3)~nant to Va. Codeg 45.1-361.22.A.5, the Board does have jurisdiction and authority to disburse funds &om theEscmw Account pmvided the Board has been pmvided with a final decision of a court ofcompetent jurisdiction adjudicating the ownership of coalbcd methane gss as bctwecn theconflicting claimants or an agrccment among all claimants owning conflicting estates in the tractin question or any undivided interest therein.

4.1.On April 28, 2000, the Board executed its order pooling all interests in the Subject DrillingUnit for tbe pmduction of occluded natural gas produced &om coalbeds and mck strataassociated therewith (herein "Gas") in accordance with the provisions of LI'a. Code tjtj 45.1-361.21 and 45.1-361.22 (herein "Pooling Order" ). The Pooling Order was file with theClerk of thc Cist Court of Buchanan County on May 3, 2000 in Dccd Book 506 at Page796. The Board designated pocahontas Gas partnership as the Unit Operator of the SubjectDrilling Unit. Thc Pooling Order was amended and supplemented by the Boanl'sSupplemental Order Regarding Elections executed on June 26, 2000 that ~ Sled with tbeClerk's Oifice on July 5, 2000 in Deed Book 509 at page 500 ("Supplemental Order" )~the Pooling Order and Supplemental Order are collectively referred to as "PoolingOrder" ).

4.2 To tbe extent claims to tbe Gas were in conflict, pursuant to Va. Code 6 45.1-361-22payments attributable to said conflicting claims/interests were ordered deposited by thc UnitOperator into the escrow account established by the Pooling Order (herein '~wAccount" ). According to the Pooling Order, the coal fee ownership of Trust and the oil and

gas fec ownership ofRescrvc in 633/763 of a 5.67-acre tract known as VGOB Tract 1A werein conflict and became subject to the escrow requirements of the Pooling Order

4.3 Tbe Unit Operator's Aifidavit Regarding Escmw and Supplemental Order dated July 11,2002, a copy of which is attached to and made a part hereof, states under oath:

'That after the pooling hearing held in the captioned matter, the Hurt McGuite Land Trustand Reserve Coal Properties entered into a royalty split agreement; that by the terms of saidagreement cscmw regarding the conflicting claims of the Hurt McGuire Lantj Trust andReserve Coal Properties is no longer rcquiredy

4.4 By lcttcr dated October 22, 2002, the Board gave notice to the Trust, Reserve, the UnitOperator and the Escmw Agent that on its own motion it would take the Aifidavit referred toin Paragraph 4.3 above under consideration at its hearing on November 19, 2(102 and considerwhether to amend the Pooling Order to: (1) provide for the disbursement of funds on depositin the Escmw Account attributable a 633/763 portion ofTract 1A to Trust and Reserve inaccordance with the terms of their split agreemcnt. Further, the Board ordered the UnitOperator to file with the Board a complete accounting of funds it has placed on deposit in thcEscmw Account.

4.5 Tbe Unit Operator filed thc attached accounting for Subject Drilling Unit's Escmw Accountwith the Board ("Accounting" ).

4.6 At its hearing on November 19, 2002, the Board approved disbursement of esprowed fundsattributablc to 633/763 ofTract 1A.

4.7 The Unit Operator discovered an error in testimony regarding parties to receitte disbursementand, aficr application to the Board and notification of aifccted parties, submitted correctedtestimony at the hearing on March 18, 2003. Conected affidavits and exhibitsi are attachedand made a part hereof.

5. Findinnsi

5.1.Va. Code 45.1-361.22.5provides:

The Board shall order payment ofprincipal and accrued interests, less escraw account fees,Pom the escrow account to conflicting claimants within thirty days ofreceipt ofnotiflcation of

(i) ajinal decision ofa court ofcompetentjurisdiction adjudicating the ownership ofcoalbedmethane gas as between them or (ti) an agreement among all claimants owning conflictingestates in the tract in question or any undivided interest therein. The amount to be paid to the

conjlicting claimants shall be determined based on the percentage ofownership interest ofthe

conflicting claimants as shown in the operator 's supplemental jiling made part of the poolingorder that established the escrow account, the operator's records ofdepoqtt s attributable tothose uucts for which funds are being requested, and the records of the escrow account forthe coalbed methane gas drilling unit. The interests of any cotenants wha have not enteredinto an agreement shall remain in the escrow account.

5.2 The Unit Operator hss certified and rcpresentcd to the Board that:

(I) Trust is thc sole owner of the coal estate underlying all of VGOB Tract IA of thc SubjectDrilling Unit;

(2) Reserve is the sole owner of oil and gas estate underlying 633/763 'of the 5.67 acrescomprising VGOB Tract IA of the Subject Drilling Unit;

(3) that together Trust and Reserve claim to have snd own, in the aggregate, the followingconflicting Gas myalty interest in Subject Drilling Unit by virtue of their respectiveownership interests in VGOB Tract 1A:

6. Reflcf Granted:

6.1.For the reasons set forth in Paragraph 4 and 5 above, and based upon the Accounting, thcEscrow Agent is ordered to, within 10 dave of receiut of this order. (1) disbthxe fifty percent(50%) of all funds attributable to 633/763 of VGOB Tract IA, being 17.8+85 percent offunds on deposit in the Escrow Account, to the Hurt McGuire Land Trust, c/o Charles Green,P. O. Box 1067, Bluefield, VA 24605, and (2) disburse fifty percent (50%) of all fundsattributable to 633/763 of VGOB Tract IA, being 17.804485 percent of funds on deposit inthe escrow account, to Rcscrve Coal Properties, P. O. Box 947, Bluefield, VA 24605.Further, because there are other owners in thc tract and unit who are subject to escrow underthe Supplemental Order, tbe Escmw Anent is directed to continue the Escmw Account for thesubiect tract and drillinu unit.

6.2. The Exhibits E and EE to the Pooling Order arc deleted in toto and replaced with the Exhtl>itE and EE attached to thc Affidavit. Further, the Supplemental Order filed iin this cause ishereby modified to delete the equiremmt that payments attributable to the Trust's andReserve's conflicting coalbed methane gas ownership interests in 633/763 of%GOB Tract IAbe deposited by the Unit Operator into the Escrow Account. To thc extent not specificallygranted hcrcin, any other or further relief is dcnicd.

Appeals of this Order are governed by the provisions of Va. Code tj 45.1-361.9which provides that

any order or decision of thc Board may bc appealed to the appropriate circuit court ahd that whenever acoal owner, coal operator, gas owner, gas operator, or operator of a gas storage field certificated by thcState Corporation Commission is a party in such action, the court shaB hear such apljcal dc novo.

9. Effective Date: This Order shall be olfactive on tbe date of its execution.
