TENDER DOCUMENT FOR PRINTING OF ANNUAL REPORT 2014-15

(FROM FSC CERTIFIED PRINTER ONLY )

Rural Electrification Corporation Limited (REC Ltd), a Government of India Enterprise, invites „e- Bids‟ from FSC certified printers only for printing of Shareholders and Deluxe Version of Annual Report for the year 2014-15. The scope of work and technical specifications are given in Annexure-1. The format for Techno-commercial Bid is placed at Annexure – 2 and that of Financial Bid at Annexure- 3.

Submission of Bid: 1. Bidders are hereby requested to submit their bids in the following format:-

a) EARNEST MONEY(EMD) to be sealed in a separate envelope super-scribed as

“Earnest Money” for "Printing of Annual Report for the year 2014-15" .

b) TECHNICAL BID & FINANCIAL BID are to be submitted through online mode only on website www.tenderwizard.com/REC. No other mode of submission of bid shall be

accepted under any circumstances.

2. The Earnest Money envelope addressed to DGM(Admin), Rural Electrification Corporation Ltd, Core–4, SCOPE Complex, 7 Lodi Road, New Delhi –110003 shall be dropped in the tender box, marked with name of work and placed at the main reception counter, ground floor of REC Office on or before due date & time specified in the bid.

3. Opening of Earnest Money &Technical Bids would take place simultaneously on the date & time of bid opening in the presence of the intending bidders or their Authorized Representatives who may wish to be present

4. The 'Technical Bids' received and opened shall then be evaluated by the Evaluation Committee of REC as per the Eligibility Criteria as mentioned under clause 15.0 of this document.

5. REC at an appointed place and time will open the 'Financial Bids' of all the technically qualified Bidders. The intimation of date, time and venue of the opening of 'Financial Bid' shall be informed separately through e-mail or fax to such bidders.

6. REC does not own any liability if the bids are not submitted within due date and time as per requirement.

7. EMD Envelope received after the due date and time or if submitted to any other place other than that mentioned above, shall not be considered and would be liable to be rejected without assigning any reason whatsoever. REC shall not be responsible for late receipt of the EMD Envelope submitted by any Bidder. The bidders may depute their authorized representatives at the time of opening of the bid.

8. REC reserves the right to extend the deadline for submission of bids by issuing an amendment in which case all rights and obligation of the REC and the bidders previously subject to the original deadline will then be subject to the new deadline.

9. Withdrawal or modification of a bid after submission of bids may result in the forfeiture of the EMD.

vii. Certificate from C.A. regarding infrastructure as per clause 15(e) of the tender document.

c. Financial Bid (online mode only): Financial bid as per enclosed Format in Annexure-3 II

11. The-bids will be received upto15:00 hrs on last date of receipt of bids.e-Technical bids of bidders who have submitted the valid & requisite EMD will be opened on the same date at15:30 hrs in the presence of their representatives of the bidders present.

12. The EMD of the bidder shall be forfeited a. If the bidder withdraws the bid during the period of bid validity b. In case of successful bidder fails to accept letter of award within the stipulated period

mentioned in letter of award, besides forfeiture of EMD, bidder shall not be considered for participation in any bidding process for next three years in REC.

13. The EMD of successful bidder shall be released without interest after submission of performance bank guarantee. The EMD of unsuccessful bidders will be returned after completion of bidding process without any interest after award of work.

14. The bid shall remain valid for a period of three months from the date of opening of the bids.

15. ELIGIBILITY CRITERIA

a) The Bidder should have valid PAN & VAT No.(Please upload copy)

b) The bidders must be FSC Certificated printer.(Please upload copy)

c) The Bidder should have average annual turnover of at least Rs.30 lakh for the last four

financial years ending March 2014.

Please upload copy of Balance Sheet, Statement of Profit& Loss or certificate from CA certifying the turnover for last for financial years

d) Bidder must have executed at least 1(one) order of similar work having minimum value of Rs.35 lakhs or 2(two) orders of similar work each of minimum value of Rs. 22 lakhs during

preceding 4 (four) years ending last day of month previous to the one in which bids are invited.

Similar work means printing of Annual Reports of reputed Organizations. Please upload

copy of certificate /work order regarding printing of annual reports.

e) Bidder must have at least (i) Four automatic high speed web printing machines including one multi colour automatic high speed web printing machine; (ii) One automatic folding machine; and (iii) One automatic gang/saddle/central stitching machine). Please upload Certificate from C.A. regarding infrastructure

16. RATES AND PRICES

Bidders should quote the rates through online mode only in the format given at Annexure-

3. Incomplete bids will summarily be rejected. The rates quoted by the bidder shall be valid

till the final completion of the job.

Applicable tax should be mentioned separately. Price quoted shall be firm and any variation

in rates, prices or terms during validity of the offer shall result in forfeiture of the EMD.

For variation in quantity, the rates quoted under “Additional Differential charges” in format-2 of Annexure-3 for Shareholder version and Deluxe version would be applicable for and up to ±20% quantity variation.

No additional freight or any other charges, etc, would be payable by REC. The rates

quoted shall also include the salvage value.

17. TERMS OF PAYMENT I) Printing of Annual Reports: Payment will be released within a fortnight after satisfactory

completion of work and receipt of bill separately for shareholders version and deluxe version along with as also the proof of dispatch.

II) Dispatch of Annual Reports:

1. If opted to dispatch the Annual Report through Franking by P&T: Payment shall be

released through DD/BC directly to the P&T Department. The agency shall coordinate with the P&T and Admin Division, REC for payment of dispatch of annual reports.

2. If opted to dispatch the Annual Report through pre-paid license by P&T: REC shall

provide the DD/BC to printer for depositing the amount in advance to P&T Department for obtaining pre-paid license. In such case printer shall print the license number issued by the P&T Department at the prominent place on the outer cover on all the annual reports

If the number of annual reports are more than the number of annual reports for which pre-paid license was obtained, the balance copy shall be dispatched through franking by P&T and payment shall be released as per (a) above.

III) Dispatch of Notice to AGM and Attendance Slip/Proxy Form: Notice for AGM with explanatory Statement & Attendance Slip/proxy form shall be dispatched compulsory through registered post of P&T department of GOI. Payment shall be released through DD/BC directly to the P&T Department. The agency shall coordinate with the P&T and Admin Division of REC for payment for dispatch of Notice of AGM & Attendance slip/proxy form.

18. LIQUIDATED DAMAGES FOR DELAY IN SUPPLY

Time is essence of the contract. The successful bidder must adhere to the time limit and

ensure delivery/services. Failure to supply all or part of the delivery/services on or before the

stipulated date/deficiency in service will entail pre-estimated pre-determined liquidated

damages equal to10% of the value of total contract price.

19. PERFORMANCE GUARANTEE

Within five working days after award of work, the successful bidder shall submit the performance bank guarantee of the amount equivalent to 10% of the award value. The performance Guarantee can be by way of Bank Guarantee in the prescribed format (Annexure-IV) from any Scheduled Commercial Bank having its branch at Delhi/ New Delhi or in the form of Bank Draft and in favour of “Rural Electrification Corporation Ltd.”

20. EVALUATION CRITERIA The responsive bid/s will be first evaluated on the basis of Eligibility Criteria as per

clause no.15 of the bid document. Financial bid/s of such bidders who meet the techno-

commercial parameters will thereafter be opened with due intimation and the bidder

quoting lowest consolidated rates offered at format-1 of Annexure-3 would be considered

for award of work.

21. CONCILIATION/ ARBITRATION

If any dispute(s) or difference(s) of any kind what so ever arise between the Parties (REC

and Contractor), the Parties hereto shall negotiate with a view to its amicable resolution and

settlement through a committee appointed by CMD, REC.

In the event no amicable resolution or settlement is reached between the parties (REC

and Contractor) within 30 days after receipt of notice by one party, then the disputes or

differences as detailed above shall be referred to and settled by the Sole Arbitrator to

be appointed by CMD, REC.

Notwithstanding the existence or any dispute or differences and/or reference for the

arbitration, the Contractor shall proceed with and continue without hindrance the

performance of the work under the contract with due diligence and expedition in a

professional manner and the payment due to the Contractor shall not be withheld on

account of such difference of arbitration proceedings unless such payment is a

subject matter of the arbitration.

The arbitration proceedings shall be in accordance with the prevailing Arbitration and

Conciliation Act, 1996 and Laws of India as amended or enacted from time to time.

The venue of the arbitration shall be New Delhi, India. The fee &other charges of Arbitrator

shall be determined by the arbitrator in terms of the Act and shall be shared equally

between the parties.

The arbitrator will give the speaking and the reasoned Award. The parties will not be

entitled to any pendente-lite interest during arbitration proceedings.

22. FORCE MAJEURE

In the event of either party being rendered unable by Force Majeure to perform any obligation required to be performed by them under the contract, the relative obligation of the party affected by such Force Majeure shall be suspended for the period during which such cause lasts.

The term “Force Majeure” as employed herein shall mean acts of God, War, Civil Riots, Fire directly affecting the performance of the Contract, Flood and Acts and Regulations of government of the two parties, namely REC and the Contractor.

Upon the occurrence of such cause and upon its termination, the party alleging that it has been rendered unable as aforesaid thereby, shall notify the other party in writing, the beginning of the cause amounting to Force Majeure as also the ending of the said clause by giving notice to the other party within 72 hours of the ending of the cause respectively. If deliveries are suspended by Force Majeure conditions lasting for more than 2 (two) months, REC shall have the option of canceling this contract in whole or part at his discretion without any liability at his part.

Time for performance of the relative obligation suspended by Force Majeure shall then stand extended by the period for which such cause lasts.

23. APPLICABLE LAW AND JURISDICTION

All matters connected with this shall be governed by the Indian law both substantive and

procedural,forthetimebeinginforceandshallbesubjecttotheexclusivejurisdictionofIndian Courts

at Delhi.

24. No alternative offer shall be considered.

25. REC reserves the right to annul the bidding process at any time prior to award of contract

including rejection of any or all bids after the same have been received, without thereby

incurring any liability to the affected bidder or any obligation to inform the affected bidder/s on the ground of REC's action.

26. REC reserves the right to accept/reject any bid and to cancel the bidding process at any time

and reject all bids, at any time prior to placement of order, without thereby incurring any liability.

27. Facilities Extended to MSME:

As per Directives of Govt. of India, following facilities has been extended to Micro, Small & Medium Enterprises (MSME units) registered with National Small Industries Corporation:-

1) Issue of Tender Sets free of cost.

2) Exemption from payment of Earnest Money.

3) Waiver of Security Deposit upto monetary limit for which the unit is registered; and

4) In case the participating MSMEs quoted price within the bond of L1+15% by allowing such MSME to supply up to 20% of the tendered value by bringing down their price to L-1 price. Out of this 20% minimum 4% shall be purchased from MSMEs owned by SC/ST, the quantity fixed for MSMEs shall be equally distributed among them as under:-

i) In case there is one bidder from MSME owned by General/SC/ST and its rates are

within 15% of the L-1 price, then entire 20% of the quantity shall be allocated to the said MSME owned by General/SC/ST provided the firm is agreed to lower their price at L-1 price.

ii) In Case there are four bidders from MSMEs and out of these four, one belongs to SC/ST, and their rates are within 15% of the L-1 price, then the 20% of the quantity shall be equally to all four MSMEs owned by SC/ST provided all are agreed to lower their price at L-1 price.

iii) In case there are nine bidders from MSMEs and out of these nine, one belongs to

SC/ST and their rates are within 15% of the L-1 price, then the 4% quantity shall be allocated to MSMEs owned by SC/ST and balance 16% of the quantity shall be equally allocated to other eight MSMEs provided all are agreed to lower their price at L-1 price”.

28. The time schedule for printing and dispatch of annual reports is given at clause no. 7 in

Annexure-1. The schedule given is tentative and indicative of the time limit. The time schedule for execution of works in the work order will be final & binding on the parties.

3. SAMPLE OF PAPER :

Specimen of sample of papers proposed to be used as per specification for shareholders and deluxe version are to be sent along with techno-commercial bid duly affixing the company seal thereon.

4. DISPATCH OF ANNUAL REPORTS TO SHAREHOLDERS:

Dispatch of Annual Report to shareholders has to be handled by the printer as per the time schedule given in clause 6 here under. The addresses of shareholders would be supplied by REC in soft copy well in advance of the time schedule. The dispatch of annual reports shall be handled by Printer with following two options to be decided by REC before final go head for printing of the shareholder version of annual reports: Option-I- Dispatch through Franking by P&T: Printer will dispatch the annual reports

duly pasting address-stickers after sorting, insertion, franking and actual dispatch through P&T.

Specified number of copies of shareholder version and deluxe version are also required to be supplied at Corporate Office, New Delhi as per numbers indicated by REC.

Option-2- Dispatch through Pre-paid license by P&T: For this option, Printer shall

obtained the pre-paid license from P&T and print the license number issued by the P&T Department at the prominent place on the outer cover on all the annual reports. Printer shall tender the annual reports to the conferenced post office duly sorted PIN Code wise and destination wise for dispatch of the annual reports.

If the number of annual reports are more than the number of annual reports for which pre-paid license was obtained, the balance copy shall be dispatched through franking by P&T as per option-I above.

If the number of annual reports are more than the number of annual reports for which pre-paid license was obtained, the balance copy shall be dispatched through franking by P&T and payment shall be released as per (a) above.

In both option printer shall coordinate with P&T department.

5. DISPATCH OF ANNUAL REPORTS TO REC:

Printer shall delivered/dispatch the annual reports of shareholder version (balance) and all deluxe version to REC offices as directed by REC. No separate payment shall be made for delivery of such annual reports.

6. DISPATCH OF NOTICE OF AGM AND ATTENDANCE SLIP/PROXY FORM TO

SHAREHOLDERS:

Notice of AGM with explanatory Statement & Attendance Slip/proxy form shall be

dispatched compulsory through registered post of P&T department of GOI. Printer will

dispatch the Notice of AGM and attendance slip/proxy form after sorting, insertion in the window envelope and dispatch through P&T by registered post. Payment shall be released by REC through DD/BC directly to the P&T Department.

Printer shall coordinate with P&T department.
