Conscious Business Leadership Awards Official Rules of Nomination

1. No Purchase Necessary; Nomination Instructions. NO PURCHASE OR PAYMENT OF ANY MONEY IS NECESSARY TO NOMINATE. A PURCHASE WILL NOT IMPROVE THE CHANCES OF YOUR NOMINEE WINNING.

Between 9:00 am Singapore Time (GMT+8) on 3rd March 2015 and 11:59 pm Singapore Time (GMT+8) on 25th March 2015 (the “Nomination Period”), you (the “entrant”) may nominate any individual currently employed as a chief human resources officer or HR Head (see Section 4 – Eligibility for details) including yourself, a coworker or a peer (“Nominee”) for a Conscious Business Leadership Award in one of four categories: (a) Management Maestro; (b) Talent Magnet; (c) Culture Champion; or (d) Loyalty Advocate using the website available at cblawards.com (the “Awards Site”) by submitting a written statement or “blurb” describing their qualifications in the applicable category as further described on the Awards Site.

All entries must meet the following criteria:

• You must get permission from your Nominee prior to submitting the nomination;

• Your nomination must not contain confidential information of any entity or individual;

• You will include a link to your Nominee’s LinkedIn profile in your nomination;

• Your nomination must be original, exclusively created and owned by entrant, and the entrant must have all rights necessary to post and submit the nomination; and

• Your nomination may only be submitted by uploading through the Awards Site.

Sponsor reserves the right to reject any nomination for any reason, in particular where a nomination has not been submitted via the Awards Site or where Sponsor believes that permission from the Nominee was not received.

2. Nomination Period. All entries must be received during the dates and times specified in the Nomination Period. Sponsor will select finalists based on criteria below – this is not a sweepstakes. Odds of a Nominee being named a Finalist or Winner (as defined below) depends on the number and quality of eligible entries received during the Nomination Period. Sponsor’s computer is the official time-keeping device for the Nomination Period.

3. Eligibility. In order to be eligible, each Nominee and each entrant must be (i) at least 18 years old and the age of majority in their jurisdiction of residence; (ii) a legal resident of Australia, New Zealand, Singapore, Malaysia, Indonesia, Philippines, Thailand, India, Hong Kong, Taiwan, Japan, or South Korea; (iii) work in an organization with 500 or more employees globally; and (iv) be the Head/VP/Chief Executive or similar within the HR function in Asia Pacific. Employees of Sponsor and its parent and affiliate companies as well

as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible as Nominees. Employees of companies to which jury members belong are also not eligible.

4. Prize. Sponsor will select 30 Nominees that will be named finalists (“Finalists”). Each Finalist will be awarded passes to TalentConnect Sydney with a special invite to the Leadership Summit at no cost (approximate value AU$695). From the Finalists, Sponsor will name four award winners (one in each category described above) (“Winners”).

5. Winner Selection. Finalist selection will take place on or about [30th March 2015]. Winner selection will take place on or about [5th May 2015 ]. Sponsor will notify Finalist within approximately ten (10) days following selection. Sponsor is not responsible for any delay or failure to receive notification for any reason. The Finalist or Winner must then respond to Sponsor within seven (7) days. Should a Finalist or Winner fail to respond to Sponsor, Sponsor reserves the right to disqualify that Finalist or Winner and select a new one.

Finalist and Winner(s) will be determined based on the following criteria:

• 50% - Achievement & Results

• 50% – Substantiation of qualification through links or written examples

• Review may use proof point of achievements like decks, documents, endorsements, etc. [Please do not submit confidential information of your company in these materials.]

6. Conditions of Participation; Reservation of Rights. By submitting a nomination for awards, you agree to abide by these rules and any decision Sponsor makes regarding the awards, which Sponsor shall make in its sole discretion.

7. Intellectual Property. Ownership of the pre-existing underlying intellectual property of the entrant remains the property of the entrant subject to Sponsor’s rights to reprint, display, reproduce, perform, use, and exhibit the nomination and materials and information submitted, for the purpose of administering and promoting the awards. Each entrant hereby warrants that any nomination and other materials and information provided by entrant are original with entrant and do not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity, moral rights or other intellectual property or other rights of any person or entity, and do not violate any rules or regulations. If the nomination or information or materials provided by entrant contain any material or elements that are not owned by entrant and/or which are subject to the rights of third parties, entrant represents he or she has obtained, prior to submission of the nomination and information or materials, any and all releases and consents necessary to permit use of the nomination and information and materials by Sponsor in the manner set forth in the Official Rules without additional compensation. Each entrant warrants that the nomination and materials and information provided do not contain information considered by entrant, its employer, or any other third party to be confidential.

8. Disclaimer, Release and Limit of Liability. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR YOUR PARTICIPATION IN THE AWARDS. BY ENTERING THE AWARDS OR RECEIPT OF ANY PRIZE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT AGREES TO RELEASE AND HOLD HARMLESS SPONSOR, AND ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND EACH OF THEIR RESPECTIVE PARENT COMPANIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY, ARISING OUT OF PARTICIPATION IN THE AWARDS OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE AWARDS; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE NOMINATION PROCESS OR THE AWARDS; (4) TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE AWARDS OR THE PROCESSING OF ENTRIES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT’S PARTICIPATION IN THE AWARDS OR RECEIPT OR USE OR MISUSE OF ANY PRIZE. The release against death and personal injury does not apply to the extent such release is not allowed by the laws of entrants respective countries. If for any reason an entrant's nomination is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another nomination in the awards, provided that if it is not possible to award another nomination due to discontinuance of the awards, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random winner selection from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In event that production, technical, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed Sponsor reserves the right to award only the stated number of prizes by a random winner selection among all legitimate, unawarded, eligible prize claims.

9. Privacy and Use of Information. Sponsor collects and uses the personal information you provide when you enter the awards for the purposes of administering the awards and prize fulfillment in accordance with its privacy policy, which may be found at http://www.linkedin.com/static?key=privacy_policy&trk=hb_ft_priv.

10. Governing Law; Disputes. THE AWARDS IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF CALIFORNIA, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN THE COUNTY OF SANTA CLARA. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, BY JUDICIAL ARBITRATION AND

MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN CALIFORNIA. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF SANTA CLARA, CALIFORNIA. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

11. Winners’ List. Individuals may request the names of the winners by submitting a self-addressed stamped envelope prior to 1st July 2015 months to LinkedIn Corporation, Conscious Business Leaders Awards Winner’s List Request, 2029 Stierlin Court, Mountain View, CA 94043.
