The class shall include instruction to assist students in preparation for Oracle Associate Certification exam and provide exam vouchers for both exams D85845 and D85847 required for Oracle OCA certification. Section 2 -Administrative Requirements: 1. PRICING

In case of an error in extension, unit price shall prevail. Vendors must use the attached Response Page, however a more detailed accounting of deliverables may be included.

2. EVALUATION AND AWARD

A. Evaluation and award shall be based on which acceptable vendor response is most advantageous to the State with price/cost being a primary consideration. The State

reserves the right to evaluate responses in any manner that will help us determine which response best meets the needs of the State. We reserve the right not to award any specific line item.

B. The State reserves the right to reject any or all quotes, to waive informalities and minor

irregularities (as determined by the State) in quotes received, and to accept all or any

portion of the quote if deemed in the best interests of the State. C. The State reserves the right to make one or multiple awards based on this solicitation. D. The State reserves the right to visit, inspect, witness, interview, or any other similar

form of investigation, on a pass/fail basis, for any proposed class, including but not

limited to materials, instruction or instructors. At the State’s discretion, if for any reason

in our opinion a vendor fails to meet our standards or the requirements of this solicitation, the State may resolve the situation by awarding a different vendor or negotiating an acceptable solution (such as replacing an unacceptable resource with an acceptable resource) with the original awarded vendor. It is also possible that we may deem it necessary to select another vendor because the original awarded vendor cannot accommodate our training schedule with the resources we desire. There is a distinct possibility that the money for some or all of the training is tied to very specific time

frames which cannot be changed. The State shall work to be flexible, but the deadlines for expending the money may control.

3. AGREEMENTS

The terms and conditions of OIT’s purchase order and the State of Colorado terms

and conditions apply to this procurement. Any exceptions to these terms shall not

be accepted. Any applicable grant terms are incorporated by reference.

4. SUBMISSION INSTRUCTIONS

Vendors must be registered on ColoradoVSS in order to download solicitation documents and information and to be considered responsive at the time of proposal submission. Vendors who have an interest may submit a proposal in accordance with the terms of the DOCUMENTED QUOTE. 6. DISCREPANCIES IN SOLICITATION Should the vendor find any part of the solicitation to be discrepant, incomplete or otherwise

questionable in any respect, vendor shall be responsible to call such matters to the attention of the purchasing agent immediately. Failure to do so shall be at the vendor’s risk. Amendments to this solicitation shall be official only if published on VSS. Vendors should not rely on verbal statements that alter this solicitation.

7. BRAND NAME

Where brand name/model number is specified, quote only this brand/model. If “or equivalent”

is stated, vendor may quote a substitute product that matches or exceeds the specifications

of the brand/model listed. Vendor must submit, with their response, sufficient information for the State to determine that such materials or equipment is of equivalent substance and form.

Samples of product(s), when required, must be furnished free of expense to OIT and if not destroyed by tests, vendor may request items be returned at vendor’s expense. OIT shall be the sole judge in determining quality, performance, and equivalency.

8. NEW PRODUCT All items quoted are to be new product (not used, remanufactured, refurbished, rebuilt, etc.)

and are not to contain components that are not newly manufactured, unless specifically stated otherwise in the solicitation.

9. PERFORMANCE/REMEDIES

Awarded vendor and its subcontractor(s) shall comply with the requirements as stated in this

solicitation. If the awarded vendor and or its subcontractor(s) fails to perform, OIT reserves the right to take remedial action (upon written notice), including canceling the original award, in whole or in part, for cause. Cause is defined as failure to meet the requirements stated in this solicitation, failure to correct deficiencies upon receipt of notice, or failure to maintain satisfactory performance after notice. Awarded vendor shall be responsible for the performance of its subcontractor(s).

10. RECIPROCAL PREFERENCE Per Colorado Revised Statutes, Section 8-19-101, a resident vendor shall be allowed a

preference against a non-resident vendor equal to the preference given or required by the state in which the non-resident vendor is a resident.

11. DOING BUSINESS IN COLORADO

A vendor wanting to do business in Colorado must register with the Colorado

Secretary of State in accordance with Colorado Revised Statute (CRS) 7-90-801. A

copy of the business entity’s Articles of Incorporation and/or Bylaws may be

requested by the State.

12. FEDERAL EMPLOYER IDENTIFICATION NUMBER (FEIN)

For the purpose of verifying the vendor’s registration to the ColoradoVSS system, the

vendor is required to provide their FEIN in their proposal. Additionally, vendors are

required to submit their FEIN prior to contract, or purchase order issuance, or

payment from the State of Colorado. A W-9, Taxpayer Identification form provided

by the State may be required. Only the awarded vendor is required to submit a W-9,

to the State upon request.

EXHIBIT A

PROJECT SCOPE OF WORK: ORACLE ASSOCIATE CERTIFICATION TRAINING SERVICES 1. Background:

The State of Colorado is seeking a vendor to provide on-site, in Denver, Colorado, Oracle Associate Certification Training Services to assist in training State government personnel in Oracle Database Architecture, Effective Management of an Oracle Database Instance and to provide students with the knowledge that will enable them to administer, install and upgrade Oracle Database 12c. The class shall include instruction to assist students in exam preparation for Oracle Associate Certification. Included in the cost, the awarded vendor will provide two (2) Oracle vouchers for exams (D85845 and D85847) to each student enrolled in the training in order for those students to test for Oracle OCA certification. Classes shall be held at a State owned or State leased facility within the Denver Metropolitan area unless otherwise agreed to in writing by the State. All classes shall include no less than ten (10) individuals. Additional trainings may be required as personnel leave the State and are replaced by new personnel and shall be held on a date and time mutually agreed upon by the awarded vendor and the State. All such additional training shall be provided by the awarded vendor at the same bid price and conditions as stated in this solicitation. The aggregate total of all purchases made by OIT relating to this solicitation shall not exceed $150,000.00.

EXHIBIT B INSURANCE REQUIREMENTS

A. The vendor shall obtain, at their expense, and maintain for the duration of the work, the following insurance coverage:

1. Workers’ Compensation Insurance as required by State Statute, and Employer’s Liability Insurance

covering all of vendor’s employees acting within the course and scope of their employment. 2. Commercial General Liability Insurance written on ISO occurrence form CG 00 01 10/93 or

equivalent, covering premises operations, fire damage, independent contractors, products and completed operations, blanket contractual liability, personal injury, and advertising liability with minimum limits as follows:

a. $1,000,000 each occurrence;

b. $1,000,000 general aggregate;

c. $1,000,000 products and completed operations aggregate; and

d. $50,000 any one fire.

If any aggregate limit is reduced below $1,000,000 because of claims made or paid, the vendor shall immediately obtain additional insurance to restore the full aggregate limit and furnish to the State a certificate or other document satisfactory to the State showing compliance with this provision.

3. Automobile Liability Insurance covering any auto (including owned, hired and non-owned autos) with a minimum limit as follows: $1,000,000 each accident combined single limit.

4. Professional Liability insurance with minimum limits of liability of not less than $ N/A.

B. The State of Colorado shall be named as additional insured on the Commercial General Liability and

Automobile Liability Insurance policies (leases and construction contracts will require the additional insured coverage for completed operations on endorsements CG 2010 11/85, CG 2037, or equivalent). Coverage required of the contract or will be primary over any insurance or self-insurance program carried by the State of Colorado.

C. The Insurance shall include provisions preventing cancellation or non-renewal without at least forty five (45)

days prior notice to the State by certified mail. D. The vendor will require all insurance policies in any way related to the contract and secured and maintained

by the vendor to include clauses stating that each carrier will waive all rights of recovery, under subrogation or otherwise, against the State of Colorado, its agencies, institutions, organizations, officers, agents, employees and volunteers.

E. All policies evidencing the insurance coverage required hereunder shall be issued by insurance companies

satisfactory to the State.

F. The vendor shall provide certificates showing insurance coverage required by this contract or purchase order to the State within seven (7) business days of the effective date of the contract or purchase order, but in no event later than the commencement of the services or delivery of the goods under the contract or purchase order. No later than fifteen (15) days prior to the expiration date of any such coverage, the vendor shall deliver the State certificates of insurance evidencing renewals thereof. At any time during the term of this contract or purchase order, the State may request in writing, and the vendor shall thereupon

within ten (10) days supply to the State, evidence satisfactory to the State of compliance with the provisions of this section.

G. Notwithstanding subsection A of this section, if the vendor is a “public entity” within the meaning of the

Colorado Governmental Immunity Act CRS 24-10-101, et seq., as amended (“Act’), the vendor shall at all times during the term of this contract maintain only such liability insurance, by commercial policy or self-insurance, as is necessary to meet its liabilities under the Act. Upon request by the State, the vendor shall show proof of such insurance satisfactory to the State.
