(‘ZS’) as a Business Technology Analyst Intern in our Business Technology group, to be based in our Pune office. As an intern, you will work directly with a project team, focusing primarily on one or more projects to give you a chance to learn about our firm. We hope that you give this opportunity with ZS serious consideration. ZS has a special culture of collaboration and innovation. We produce work of outstanding quality, and we focus on learning, self-improvement and expertise to achieve that result. If you elect to spend your internship with ZS, I think you will experience our innovation and growth as you learn and contribute to our projects. Salary: Your annual gross salary during your internship will be INR 375,000. All interns are paid on the last working day of every month. For salary details, please refer to Appendix 1. Provident Fund: When you begin employment with ZS, you will be enrolled in the Provident Fund program. The primary objective of this program is to provide retirement and pension support as per the Provident Fund Act, while reducing current tax exposure. As a participant, you will make 12% contributions on the first INR 15,000 of your monthly salary through payroll deduction; ZS makes a separate additional matching contribution to your account. You can opt for additional contributions to your Fund account through payroll deduction. In addition to components of the offer detailing direct compensation described above, this offer also includes elements describing non-cash benefits of employment with ZS. You will be eligible for the following benefits as of your start date with ZS. Benefits described are subject to taxes based on the prevailing government guidelines. Annual Leave and Holidays: We provide 25 days of paid annual leave per year, inclusive of privilege and casual leave, on a pro-rata basis. In addition, ZS has designated paid holidays and permits up to seven paid sick days per year, also on a pro-rata basis. Meals and Transportation: ZS provides meals during regular working hours and based on project needs. ZS also arranges shared daily commute transit for employees within defined geographic zones. For details please refer to Appendix 2. Broadband access: ZS will provide a broadband allowance of INR 1,500 per month through payroll. We will also reimburse a one-time ‘installation charge' of INR 500 against the receipt from your broadband service provider. We expect that you install a high-speed broadband connection at home to enable you to work remotely for project demands and recommend at least a 2.0 MBPS wired connection. ZS retains the right to conduct random audits to ensure appropriate use of the allowance. Relocation: We will provide relocation assistance to help you move closer to your ZS office. If you are relocating from another city, ZS provides the following support:

ZS will provide a one-time relocation allowance of INR 10,000 through the second month’s payroll. We expect you to arrange your own travel from your current base location to the ZS-provided accommodation and use this allowance against your travel expense. This internship allowance does not affect the relocation allowance (INR 60,000) mentioned in your full-time employment offer letter.

Upon your arrival, ZS will provide and direct pay up to 2 weeks (14 days) of twin (shared) temporary guest house accommodation. This internship guest house accommodation replaces the accommodation mentioned in your full-time employment letter; you will not receive additional accommodation.

Employment and Confidentiality Agreement: Our work at ZS often involves the use of confidential information of our clients, as well as the development and use of ZS proprietary software and processes. To start your internship with ZS, you are required to sign the agreement. Intern Orientation: ZS runs an orientation and training program for interns in the local office. This training program is designed to provide an overview of the problems you will solve and the skills you will develop as an intern. Start Date and Formalities: We propose a start date with ZS of 03 February 2020. The internship will last till 03 August 2020. Please ensure that you report for work on the date indicated. NATURE OF ENGAGEMENT You will be engaged as an Intern as a partial fulfillment of your course curriculum and imparted training so as to facilitate you to acquire proficiency, competency and work knowledge. During the period of training you will also be allowed to obtain hands on experience. 2. OBLIGATIONS AND RESPONSIBILITIES

a) During your training period, the Company expects you to undergo training in any Department/Section in which you are placed with high standard of initiative and efficiency. You shall devote yourself exclusively for undergoing training at the facility of the Company. You shall not take up any other work for remuneration or otherwise, whether full or part time, or work in an advisory capacity, or be interested directly or indirectly in any other trade or business during the training period without obtaining permission, in writing, from the Company.

b) You will be governed by the service Rules and Regulations as may be promulgated by the Company from time to time in relation to conduct, discipline and other matters in relation to trainees, which shall be applicable to you and shall bind you. You will not seek membership of any local or public bodies without first obtaining the permission from the Company.

3. DURATION OF TRAINING The duration of the training will be commencing from January 06,2020 to July 5,2020. On completion of training or expiry of the mentioned period hereunder, whichever is earlier, unless otherwise informed you will automatically stop attending the facility of the Company and your training hereunder will be deemed to have been completed.

4. Scholarship

You will be paid a consolidated scholarship of Rs. 30000 per month. 5. TRANSFER

Your services during training and thereafter is liable to be transferred in any of the associate concern of Synopsys (India) Pvt Ltd. depending on the need of the Company.

6. CONFIDENTIAL INFORMATION AND PROTECTION OF INTERESTS

You will not at any time, without the consent of the Corporate Vice President & Managing Director of the Company disclose or divulge or make public except on legal obligation any information regarding the company’s affairs or administration or research carried out whether the same may be confided to you or become known to you in course of the training. You will execute a suitable non-disclosure agreement which will continue to bind you even after the termination of the training provided hereunder.

If you conceive any new or advanced methods of improving processes/formulae/systems in relation to the operation of the Company, such developments will be fully communicated to the Company and will be and remain the sole right/property of the company.

7. TRADE SECRETS You will not keep in your possession nor bring to our organization any other organization’s information, materials, documents, floppies, charts and the like, containing any information which is or would be considered confidential or proprietary. Please also delete any and all such information from your personal computers and data banks. 8. TRAINING HOURS AND HOLIDAYS Normally your training timing would be that of the normal working hours of the Establishment where you are posted for the time being and the shift to which you are allotted. Weekly off days together with all National and Festival Holidays observed by the Establishment would be normally applicable to you. You may however, be called upon to

attend Training as and when deemed appropriate including on holidays. 9. OTHER AGREEMENTS You are required to execute the Employee Innovation and Proprietary Information Agreement and/or similar or other undertaking/Policy. Acknowledgements/Agreements that may be required to be executed from time to time. 10. VERIFICATION REPORT Your engagement will be subject to receipt of satisfactory report with regard to verification of your antecedents and the particulars furnished by you in your application and the information given at the time of interview. 11. MISCELLANEOUS You will abide by all Environment, Health, Safety and Security policies of the Company. You will appreciate that the Company shall not be liable for any injuries, etc., caused to you during the course of your interaction with the Company

and you hereby agree to indemnify the Company from the same. This engagement does not in any manner give rise to Contract of Service/Employment and you shall not have any rights whatsoever in this regard. During the course of your interaction with the Company you shall avoid any conflicts of interest with those of the Company. 12. TERMINATION During the above period, this contract may be terminated by either party without giving any notice or any reason thereof. On termination of the Contract you will immediately give up to the Company all correspondence, specifications, formulae, books, documents, market data, cost data, literature, drawings, effects or records, etc., belonging to the company or relating to its business and shall not make or retain any copies of these items. 13. RULES & REGULATIONS You will also comply and abide with all rules and regulations applicable to you as notified by the Management from time to time. (‘ZS’) as a Decision Analytics Associate Intern in our Business Consulting group, to be based in our Pune office. As an intern, you will work directly with a project team, focusing primarily on one or more projects to give you a chance to learn about our firm. We hope that you give this opportunity with ZS serious consideration. ZS has a special culture of collaboration and innovation. If you elect to spend your internship with ZS, I think you will experience our innovation and growth as you learn and contribute to our projects. Salary: Your annual gross salary during your internship will be INR 375,000. All interns are paid on the last working day of every month. For salary details, please refer to Appendix 1. Provident Fund: When you begin employment with ZS, you will be enrolled in the Provident Fund program. The primary objective of this program is to provide retirement and pension support as per the Provident Fund Act, while reducing current tax exposure. As a participant, you will make 12% contributions on the first INR 15,000 of your monthly salary through payroll deduction; ZS makes a separate additional matching contribution to your account. You can opt for additional contributions to your Fund account through payroll deduction. In addition to components of the offer detailing direct compensation described above, this offer also includes elements describing non-cash benefits of employment with ZS. You will be eligible for the following benefits as of your start date with ZS. Benefits described are subject to taxes based on the prevailing government guidelines. Annual Leave and Holidays: We provide 25 days of paid annual leave per year, inclusive of privilege and casual leave, on a pro-rata basis. In addition, ZS has designated paid holidays and permits up to seven paid sick days per year, also on a pro-rata basis. Insurance: ZS provides life insurance coverage in the amount of three times your annual gross salary, with ZS paying these premiums in full.

Meals and Transportation: ZS provides meals during regular working hours and based on project needs. ZS also arranges shared daily commute transit for employees within defined geographic zones. For details please refer to Appendix 2. Broadband access: ZS will provide a broadband allowance of INR 1,500 per month through payroll. We will also reimburse a one-time ‘installation charge' of INR 500 against the receipt from your broadband service provider. We expect that you install a high-speed broadband connection at home to enable you to work remotely for project demands and recommend at least a 2.0 MBPS wired connection. ZS retains the right to conduct random audits to ensure appropriate use of the allowance. Relocation: We will provide relocation assistance to help you move closer to your ZS office. If you are relocating from another city, ZS provides the following support:

ZS will provide a one-time relocation allowance of INR 10,000 through the second month’s payroll. We expect you to arrange your own travel from your current base location to the ZS-provided accommodation and use this allowance against your travel expense. This internship allowance does not affect the relocation allowance (INR 60,000) mentioned in your full-time employment offer letter.

Upon your arrival, ZS will provide and direct pay up to 2 weeks (14 days) of twin (shared) temporary guest house accommodation. This internship guest house accommodation replaces the accommodation mentioned in your full-time employment letter; you will not receive additional accommodation.

Employment and Confidentiality Agreement: Our work at ZS often involves the use of confidential information of our clients, as well as the development and use of ZS proprietary software and processes. To start your internship with ZS, you are required to sign the agreement. Intern Orientation: ZS runs an orientation and training program for interns in the local office. This training program is designed to provide an overview of the problems you will solve and the skills you will develop as an intern. Start Date and Formalities: We propose a start date with ZS of 03 February 2020. The internship will last till 03 August 2020. Please ensure that you report for work on the date indicated. This offer is subject to verification of original certificates of educational qualifications and other documents listed below. At the time of joining, you are required to bring the following:

Local Transport Service

Please find below details related to the daily shared transportation service which is a part of the non-cash benefits.

Local Transport Service We have broadly divided the Pune region into 3 zones. Please note that this list, while comprehensive, is by no means exhaustive. If you are planning to relocate to or are currently residing in Pune, we recommend that you find housing ideally within Zone 1 (the preferred locations), or within Zone 2 (other localities some distance away from the office). If you choose to live in one of the Zone 3 localities, you would need to come to the closest “pickup node" by a specific time, and ZS transport would be provided to bring you to the office from this location. This is the current transport arrangement and zoning, however do note that this arrangement may change in the future based on business needs.
