Aliza Gallo announced the Friends of theOakland Parksevent at the Rotunda tonight from5:30-8:30. She also announced the Inner CityAdvisors Breakfast on May 20th at which Pandoraas one of the fastest growing inner-citybusinesses. Oakland-based PSPrint, Numi andBlue Bottle Coffee were also included in thenational list.

Financial report Tori referred to the financial report on pages 12- Martin moved and

Giraud of BARTto get authorization to proceed

with the project. Andrew has received the first

round of designs and will send them to BART for

review. Once approval is granted, the planters

will be installed on the corner of 20th and

Broadway. The project will begin in LMUDA, as

they have the budget for it, and then the hope is

to add more in both districts as budqet allows.

Marco referred to page 18 of the agenda packetand reviewed the two requests from the city forshuttle funding. The initial request isfor $16K formeach district and the additional request isfor

$15K from each district to supplement expandedevening service.The recommendation from the OrganizationCommittee was to support the original request for$16K from each district.Michelle asked about ridership data and Alizaindicated that she could provide a report withthat information.Aliza thanked staff and ambassadors for theirassistance with the April marketing campaignthat resulted in a 300 + person increase inridership.

Neeta Puthanveetil voiced her perspective, as aresident of downtown Oakland, that she wouldlove to see the hours extended into the evening.She indicated that if the shuttle hours wereextended, residents of downtown that work inSan Francisco could actually use it to go out atnight. You cannot see an increase in ridershipunless the service isavailable.

intentionally waiting until the end of shift to breakin to cars, etc. Ted said that this illustrates theeffectiveness of the program.Per Marco's request, Ted recounted an incidentinvolving a stolen laptop and the commendableefforts of an off-duty security ambassador. Thelaptop was recovered after the ambassadornoticed suspicious behavior and reported it tothe on duty team leader who apprehended thesuspects after they were observed discarding thelaptop.

ARTICLE III

MEMBERS

The Corporation shall have no members, as that term is defined in Section 5056of the California Corporations Code ("Code"). Unless otherwise provided herein or inthe Code, any action which would otherwise require approval by the members shall

require only approval of the Board. All rights which would otherwise vest in the

members shall vest in the Board. Nothing in these Bylaws shall be construed as limiting

the right of the Corporation to refer to persons associated with it, who participate in anyactivities of the Corporation, as "members" even though such persons are not membersas defined in Section 5056 of the Code. Such persons shall be deemed to be

associated persons with respect to the Corporation as that term is defined in Section

5332 of the Code, and no such reference shall constitute anyone a member of the

Corporation.

ARTICLE IV

NOMINATIONS FOR THE BOARD OF DIRECTORS

ADDITIONAL REPRESENTATIVES

Section 1: Certain Definitions.

a. "Business Tenant" means a holder of a valid and fully paid City Business

Tax Certificate relating to an address located in the District.

b. Community at Large Representative" means a District resident, community

member, or a business tenant located within the CBD boundaries or an individual whomthe Board believes will further the public benefit purposes of the corporation ..

c. "District" shall mean the Downtown Oakland Community Benefit District in theCity California, formed pursuant to the City Business Improvement Management

District Ordinance (Oakland Municipal Code, Chapter 4.48) or successor legislation

adopted by the Oakland City Council.

d. "Election Meeting" means a meeting of the Board at which Directors are to

be elected.

e. "Property Owner" means the owner of any property, whether commercial,

institutional, civic, ecumenical or residential, located in District who is current on the

assessment payments relating to the CBD for such property."Property Owner

Director" means any Director (i) designated by a Major Contributing Owner pursuant toArticle V, Section (b) (i) or (ii) nominated by a non-major contributing property owner

and subsequently elected to serve as a Director by the Board.

Section 2 Nominations.

a. At least forty five (45 ) days before each Election Meeting, the President shallcause a notice to be delivered to each Property Owner or their designatedrepresentatives soliciting Director nominations. In addition to the Property Owner

Directors designated by Major Contributing Owners pursuant to Article V. Section 1(b),

each Property Owner that is not a Major Contributing Owner (or designatedrepresentative thereof) shall be entitled to submit one (1) nomination per Election

Meeting.

b. Nominations must be received by the President no later than fourteen (14)

days before the annual Election Meeting. Additional nominations may be submitted bythe Board at an Election Meeting.

c. Directors shall be elected in accordance with Article V, Section 1 of these

Bylaws.

d. Any notice required by this Section 2 may be delivered by U.S. mail, e-mail,

fax or personal delivery.

Section 3: Additional Representatives. Each Director may appoint additional

representatives who shall have the right to participate in Board discussions in anadvisory and non-voting capacity.

ARTICLE V

DIRECTORS

Section 1: Number and Qualifications and Terms.

a. Authorized Number. The authorized number of Directors of the Corporation

shall not be less than nine (9) nor more than twenty-five (25) until changed by

amendment of the bylaws.. The exact number of Directors shall be fixed from time to

time, within the limits specified in this Article V, Section 1, by the Board of Directors.

b. Director Board Composition .

(1) Any Property Owner, against whose property at least four and a half

percent (4 % %) of the total assessments for the District were levied within thepreceding year (a "Major Contributing Owner") shall have the right to nominate at

least two (2) Directors to the Board. Any Property Owner other than a MajorContributing Owner shall Director be entitled to nominate one (1) nominee, in

accordance with Article IV, Section 2, for the Board to consider electing as a Director atthe annual Election Meeting.

(2) From and after the date the District is established, of the authorizednumber of Directors, a minimum of two-thirds (2/3) shall be Property Owner Directors.

(3) All remaining Directors shall be referred to as "Community

Directors". Community Directors may be-Business Tenants, or Community at Large

Representatives, provided that at all times from and after the date the District isestablished at least one (1) Community Director shall be a non-property owning

Business Tenant.

c. Term. The term of office of each Director of the Corporation shall be two (2)

years and until his or her successor has been elected and qualified. The

Directors may be elected at any meeting of the Board. Each Director,including a Director elected to fill a vacancy, shall hold office until the

expiration of the term for which he or she was elected and until a

successor has been elected and qualified. A Director may succeed

himself or herself in office.

d. No Limit on Term. There shall be no limit to how many terms any individualmay serve on the Board.

Dear Downtown Oakland Community Benefit District Property Owner:

As you know, the Downtown Oakland Association has been delivering special benefit services toproperty owners within its boundaries since February 2009. These services have been funded

by the assessments generated by the Downtown Oakland Community Benefit District, which

was overwhelmingly approved by property owners in July 2008.

The Downtown Oakland Association is the non-profit public benefit corporation and District

Management Corporation which is under contract with the City of Oakland to disburse the

revenues of the CBD on behalf of the property owners in the district. The Association has been

operating since the Fall of 2008 with a volunteer Board of Directors and officers.

The annual Board of Directors nominations process is an open process and all interested

property owners are encouraged to participate.

Please keep in mind that in nominating yourselfto the Board, this is a working Board of

Directors. Volunteer Board members are expected to:

1. Actively participate in one of the Committees of the Board,

2. Help raise funds for the Board and its activities;

3. Support the goals and policies of the Board;

4. Attend all regular and Joint Board meetings;

We do not seek nominees to fill a seat, we seek active committed business and propertyowners who seek to rapidly improve the commerce, image and amenities of Downtown

Oakland.

ARTICLE III

MEMBERS

The Corporation shall have no members, as that term is defined in Section 5056

of the California Corporations Code ("Code"). Unless otherwise provided herein or inthe Code, any action which would otherwise require approval by the members shallrequire only approval of the Board. All rights which would otherwise vest in the

members shall vest in the Board. Nothing in these Bylaws shall be construed as limiting

the right of the Corporation to refer to persons associated with it, who participate in anyactivities of the Corporation, as "members" even though such persons are not members

as defined in Section 5056 of the Code. Such persons shall be deemed to beassociated persons with respect to the Corporation as that term is defined in Section

5332 of the Code, and no such reference shall constitute anyone a member of the

Corporation.ARTICLE IV

NOMINATIONS FOR THE BOARD OF DIRECTORS

ADDITIONAL REPRESENTATIVES

Section 1: Certain Definitions.

a. "Business Tenant" means a holder of a valid and fully paid City Business

Tax Certificate relating to an address located in the District.

b. Community at Large Representative" means a District resident, communitymember, or a business tenant located within the CBD boundaries or an individual whom

the Board believes will further the public benefit purposes of the corporation ..

c. "District" shall mean the Downtown Oakland Community Benefit District in the

City California, formed pursuant to the City Business Improvement ManagementDistrict Ordinance (Oakland Municipal Code, Chapter 4.48) or successor legislation

adopted by the Oakland City Council.

d. "Election Meeting" means a meeting of the Board at which Directors are to

be elected.

e. "Property Owner" means the owner of any property, whether commercial,institutional, civic, ecumenical or residential, located in District who is current on the

assessment payments relating to the CBO for such property."Property OwnerDirector" means any Director (i) designated by a Major Contributing Owner pursuant to

Article V, Section (b) (i) or (ii) nominated by a non-major contributing property ownerand subsequently elected to serve as a Director by the Board.

Section 2 Nominations.

a. At least forty five (45 ) days before each Election Meeting, the President shall

cause a notice to be delivered to each Property Owner or their designated

representatives soliciting Director nominations. In addition to the Property Owner

Directors designated by Major Contributing Owners pursuant to Article V. Section 1(b),each Property Owner that is not a Major Contributing Owner (or designatedrepresentative thereof) shall be entitled to submit one (1) nomination per ElectionMeeting.

b. Nominations must be received by the President no later than fourteen (14)

days before the annual Election Meeting. Additional nominations may be submitted bythe Board at an Election Meeting.

c. Directors shall be elected in accordance with Article V, Section 1 of theseBylaws.

d. Any notice required by this Section 2 may be delivered by U.S. mail, e-mail,fax or personal delivery.

Section 3: Additional Representatives. Each Director may appoint additional

representatives who shall have the right to participate in Board discussions in anadvisory and non-voting capacity.

ARTICLE V

DIRECTORS

Section 1: Number and Qualifications and Terms.

a. Authorized Number. The authorized number of Directors of the Corporationshall not be less than nine (9) nor more than twenty-five (25) until changed by

amendment of the bylaws.. The exact number of Directors shall be fixed from time to

time, within the limits specified in this Article V, Section 1, by the Board of Directors.

b. Director Board Composition.

(1) Any Property Owner, against whose property at least four and a halfpercent (4 % %) of the total assessments for the District were levied within thepreceding year (a "Major Contributing Owner") shall have the right to nominate at

least two (2) Directors to the Board. Any Property Owner other than a MajorContributing Owner shall Director be entitled to nominate one (1) nominee, in

accordance with Article IV, Section 2, for the Board to consider electing as a Director atthe annual Election Meeting.

(2) From and after the date the District is established, of the authorizednumber of Directors, a minimum of two-thirds (2/3) shall be Property Owner Directors.

(3) All remaining Directors shall be referred to as "Community

Directors". Community Directors may be-Business Tenants, or Community at LargeRepresentatives, provided that at all times from and after the date the District is

established at least one (1) Community Director shall be a non-property owning

Business Tenant.

C. Term. The term of office of each Director of the Corporation shall be two (2)

years and until his or her successor has been elected and qualified. TheDirectors may be elected at any meeting of the Board. Each Director,

including a Director elected to fill a vacancy, shall hold office until the

expiration of the term for which he or she was elected and until asuccessor has been elected and qualified. A Director may succeed

himself or herself in office.

d. No Limit on Term. There shall be no limit to how many terms any individual

may serve on the Board.

Hi Marco,

Treasury gave me some raw figures and I had to deduce the amount of the City's 1% fee which will come

out of the August disbursement since Treasury had not yet calculated final figuresfor the fee. So, a rough

estimate of the amounts to be wired to the district accounts later this week is $106,000 for Downtown and

$166,000 for Lake Merritt.

No word yet on when IT and Revenue staff will have the delinquency data ready, but Treasury made a

second inquiry today and is hoping to have it by end of this week.

Upon a thorough review of City of Oakland Permit Number ENMI1 0261 issued to the Lake

Merritt /Uptown & Downtown Oakland Community Benefit Districts, and the Condit ions of Indenture,

Exhibit A and Exhibit B, it appears that Hanging Flower Pots along Broadway are allowed, since they are

not explicitly prohibited. Therefore, the CBDs are allowed to hang Flower Pots on street poles located

along Broadway, subject to the same conditions and requirements, as the current permit.

The Districts and City staff have coordinated and reviewed the condit ions with Dan Clanton, Electrical

Supervisor, Public Works Agency, and he concurs that the current Permit satisfactorily covers the

responsibilit ies and condit ions to allow for hanging flower pots on Street Light poles along Broadway,

Therefore it is not necessary to amend or require a new permit for this activity; the current Permit covers

the interests of all part ies.
