Distressed M&A bedeutet, Unternehmen aus der Krise oder Insolvenz heraus unter hohem Zeitdruck zu verkaufen
Definition Distressed M&A
„Unter Distressed M&A verstehen wir Unternehmenskäufe und -verkäufe, die aufgrund einer Liquiditätskrise oder einer Insolvenz unter großem zeitlichen Druck und Mitsprache von wei-teren Stakeholdern bearbeitet werden müssen.“
Wesentliche Merkmale eines Distressed M&A-Prozesses
• Unterscheidung von Verkäufen in der Krise aber vor der Insolvenz und Verkäufen aus der Insolvenz heraus
• Deutlich schnellere Abwicklung ist notwendig (in Insolvenzfällen teils nur 8 – 10 Wochen)
• Viele einzelne Schritte und Abläufe müssen parallel angestoßen und abgearbeitet werden
• Gesetzliche Regelungen, wie bspw. Insolvenzordnung sind bedeutsam und müssen mit beachtet werden
• Interessen der einzelnen Stakeholder werden in der Krise deutlicher, da z.B. nicht genügend Masse vorhanden ist, alle Gläubiger zu bedienen
• Sicherung sinnvoller Arbeitsplätze und Werte eines Krisenunternehmens
• Chance für den Käufer günstig Technologien, qualifizierte Mitarbeiter oder Marktzugang zu erlangen

Rechtliche Rahmenbedingungen (D)
• Übertragung der Vermögensgegenstände (nicht das Unternehmen, eine entsprechende
Auflistung ist notwendig) auf einen anderen Rechtsträger. Der Rechtsträger des
Schuldnerunternehmens wird liquidiert. Demzufolge keine eigentliche Sanierung.
• Gläubigerbefriedigung aus dem Kaufpreis, zzgl. der Verwertung der nicht übernommenen
Gegenstände
• Nicht explizit in der Insolvenzordnung erfasst, aber §§ 160 Abs. 2 Nr. 1 und 163 InsO

• Asset Deal mit dem Ziel, das Unternehmen ganz oder in Teilen zu verkaufen, um einen
besseren Verwertungserlös zu erzielen
• Erfasst nicht die drei Ziele der IO (Gläubigerbefriedigung, Unternehmenssanierung und
Entschuldung), sondern günstigste Verwertung (§ 114a Abs. 4 IO), i.S.v. „zielführenste“
• Sanierung und Verwertungssperre
• Schuldner hat exklusives Recht, einen Sanierungsplan zu beantragen (in Deutschland kann
auch der Insolvenzverwalter einen Insolvenzplan ausarbeiten und zur Abstimmung
vorlegen kann, §§ 157 und 218 dInsO)
• Fazit: Schuldner hat Priorität für Sanierung seines Unternehmens
• Sanierungsplan mindestens 20% Quote an unbesicherte Gläubiger
• Verkauf des Unternehmens im Fall eines Sanierungsverfahrens ohne Eigenverwaltung
oder eines Konkursverfahrens des Veräußerers führt zur Beendigung der

Letter of Intent, LOI (1/2)
A letter of intent (LOI) stipulated the reason for the agreement and major terms and conditions. It indicates the responsibility of both parties while the agreement is in force. Major terms and conditions include the purchase price, a brief outline of the structure of the transaction, which may entail the payment of cash or stock for certain assets (share deal or asset deal), the assumption of certain target company liabilities and other financial conditions, earn-out agreement, description of due diligence process, exclusivity agreement, raps and warranties, time table, specifies the types of all additional required informations to be exchanged and milestones to the closing date.
The proposed purchase price may be expressed as specific Euro figure, as a range, or as a multiple of some measure of value, such as operating earnings or cash flow and an indication of an earn-out agreement. After due diligence performance both parties agree in the closing conditions the final purchase price after refining valuation.
Other standard conditions include an exclusivity agreement for a certain period, a time table referring due diligence process like duration and requirements, employment contracts for key target firm executives and an indicated date for signing the final contracts with closing conditions.
The LOI usually will terminate if the buyer and the seller do not reach an agreement by a certain date and who is paying legal and consulting fees. Depending on how it is written, the LOI may or may not be legally binding. A well-written LOI usually contains language limiting the extent to which the agreement binds the two parties. The LOI becomes the governing document for the deal that the potential acquirer can show to prospective financing sources.

Earn-Out agreement
An earn-out agreement is a financial contract whereby a portion of the purchase price of a company is to be paid in the future. Earn-outs tend to shift risk from the acquirer to the seller in that a higher price is paid only when the seller has met or exceeded certain performance criteria.
