The Circle of Excellence (“COE”) is our Company’s highest honor, comprised of an elite group of employeeswho have demonstrated the ability to consistently go above-and-beyond, inspire others and drive us to be anindustry-leading connected-screen media company.

Our business is fast-paced, challenging and constantly evolving. It takes a special type of person to thrive inthis environment, and this award is meant to honor those unique attributes that COE winners possess.

Each year, we sponsor an all-inclusive group trip for all of our COE winners and their guests (one guest perwinner). Winners have the opportunity to network with other COE peer winners, spend quality time with ourCompany’s leadership team and be honored for their achievements at a special awards ceremony.

A vital component of this program is its policy of being employee based and employee administered.

This is your program! We are proud to continue this tradition with you!

COE is an important part of our Company’s culture, and all markets must adhere to the following guidelineswhen nominating and selecting employees for COE. Any changes to the process must be approved theExecutive leadership team and Human Resources.

Nomination ProcessMarket/Business Unit Leader will form the COE Committee, comprised of a Chair + members from each major department. Previous winner(s) should be on the COE Committee.

All employees are invited to nominate a colleague in their respective business unit (see eligibility guidelines on page 3). Nomination surveys will be completed online.

Committee will review and select top three COE candidates.

Committee Chair will submit top three candidates to Market/Business Unit Leader (names in no particular order).

Market/Business Unit Leader and Department Heads determine winner and alternates

Market/Business Unit Leader must submit winner to their VP of Broadcast, Chief Digital Officer or other Corporate Dept. Executive for approval; Once approved, Market/Business Unit Leader will then submit selections to Talent Program team (see contact info on p 8).

One COE winner will be awarded for every business unit and digital entity. COE recipients will be announced at their local holiday party.

Who is eligible? All full-time employees who began working for the

company on or prior to January 1, 2015, that are not

members of senior management with department head status, and have not won COE within the past 5

years, are eligible to win COE.

If there are any questions regarding an employee’s eligibility, the COE Chair and Market/Business Unit

Leader should consult the Talent Program team.

Who should we nominate?Employees should nominate their peers based on the following criteria:

Exhibits commitment to furthering our goal of being an industry-leading connected-screen media company

Demonstrates our company-wide values

Exemplifies our leadership competencies

Embraces change, new technologies and enhanced procedures

Is action-oriented

Brings creative ideas of self and others forward

Fosters teamwork and works collaboratively

Makes sound judgments and is sought out by others for advice and solutions

Creates a climate where others want to do their best and gains trust and support of peers

About the CommitteesAssembling a COE Committee is an important first step in the COE process. The Market/Business Unit Leader is responsible for assembling the COE Committee and ensuring it meets these requirements:

Each Committee consists of a) A Committee Chair and b) Committee members (one of which must be the COE winner from the previous year)

Department Heads may not serve on the Committee

Committee members must be employed with the Company for at least one year

The Committee must change its members every two years

The Committee must consist of diverse job roles, representing all major departments The Committee must exhibit leadership skills and act as a catalyst for positive change

If a member fails to uphold the obligations of Committee membership, he/she may be removed from the Committee at the discretion of the Market/Business Unit Leader. If a Committee member is nominated for COE, they must remove themselves from the selection process.

Responsibilities of the Committee include:

Attend Committee planning meetings

Market the program to employees

Communicate the importance of the COE selection criteria to employees

Champion employees to complete nominations

Ensure fairness throughout the duration of the COE selection process Correct or report problems with the COE process by contacting the Committee Chair, and the Committee Chair informs the

COE Program Team Maintain awarded recipient confidential until official announcement

Trip Details

Our Company pays for the cost of the COE trip for the winner and their chosen guest, including airfare and passport application fees. If the winner or guest needs to apply for a passport, our Company provides a reimbursement form, which you may find on MG Community -> Human Resources page. The IRS treats employee prizes/gifts and awards as taxable income. Therefore the estimated value of your trip will be reported as taxable wages on your Form W-2. The Company does not want to diminish your well earned award and will reimburse you for the estimated additional taxes you will incur by including a supplemental tax payment (grossed up for the tax on tax) with the paycheck on which the trip is reported.

All travel arrangements will be made through our third party partner, Independent Travel Associates (“ITA”).

Within a few days of announcing the COE winner, ITA will reach out to the COE winner via phone and or email, and send a package containing trip details and other important information. Employees will be responsible for any additional expenses associated with the trip, including (but not limited to) extra days spent before or after the COE trip; travel detours; fees due to changes in travel arrangements; meals and alcohol that are not already included; ancillary expenses and room charges other than those charged during the actual COE sponsored events. Travel will be paid for only within the continental United States to the COE destination.

The COE winner must provide the travel agent with the guest name by their deadline.

Conditions & RequirementsOut of fairness to all employees, the following rules and regulations apply:

At no time will any cash substitutions be made in lieu of the trip.

Winners must be an active employee of the company at the time of the trip and a strong likelihood of continued employment.

COE recipients must attend the formal functions and dinner events.

COE recipients and guests must be available for the COE trip. No alternate dates will be provided.

If the winner is unable to attend, the first alternate will be notified.

Guests must be 21 years of age or older.

Q: When do I get to vote for my nomination?

A: The nomination period begins on Monday, November 2nd and ends

on Friday, November 20th. The online COE Nomination Survey can be

accessed on MG Community. If you have questions, please ask your

COE Committee Chairperson.

Q: Will I be notified if I was nominated?

A: No. Your COE Committee members will have knowledge of all

nominations but are required to keep all nominations confidential.

Q: How many winners per market and business unit will there be?

A: One. If your business unit has multiple locations, there will only be

one recipient.

Q: Do I have to use my personal/vacation time for the COE trip?

A: No

Q: How long is the trip?

A: 4 nights
