Request for Proposals from NGOs

UA1-2017-548

Mission: Ukraine

The International Organization for Migration (hereinafter called IOM) intends to engage qualified non-governmental organizations (NGOs) to submit expression of interest as Implementing Partners for the project aimed at self-employment and micro-entrepreneurship among population affected by the conflict in the East of Ukraine and Crimea.

The project will be implemented given the availability of funding.

IOM now invites NGOs from Kirovograd, Zakarpattia, Mykolaiv and Ternopil regions to submit Project and Budget Proposal on micro entrepreneurship among IDPs and local population, including conduction of trainings on mentioned issues and post training follow up.

Terms of reference include specific information on trainings and support of project beneficiaries. Budget should be submitted in EURO. Current exchange rate can be found via following the link: https://treasury.un.org/operationalrates/OperationalRates.php.

The Implementing Partners will be selected under the Quality/Cost-Based Selection procedures described in this RFP. The RFP includes the following documents:

The selection process of the project implementing partners will be carried out during the period defined after confirmation of funding, and may include a personal meeting with the staff of the organization in the IOM mission.

IOM reserves the right to accept or reject any proposal and to annul the selection process and reject all Proposals at any time prior to agreement award, without thereby incurring any liability to affected selection participants and Implementing Partners.

Instructions to Proponents

This Request for Proposal and the corresponding contract that will be signed as a result of this exercise shall be governed by this Instruction to Proponents (hereinafter referred to as the “Instruction”) and its Annexes.

1. Content of the Bidding Documents1.1 The following documents shall comprise the Official Request for Proposal documents

(hereinafter referred to as the “Documents”:a. Invitation to Bidb. Instruction to Proponents c. Annex 1 – Terms of Reference d. Annex 2 – Vendor Information Sheet and Code of Conduct for Supplierse. Annex 3 – Project Implementation Agreementf. Annex 4 – Technical Proposal Templateg. Annex 5 – Budget Proposal Template

1.2 Proponents are expected to fully read and examine the contents of all the Documents and must fully comply with all the requirements set forth in it. IOM reserves the right to reject any and or all bids that do not comply with any provision in the Document.

2. Scope & General Conditions of the Proposal2.1 IOM is inviting interested and qualified parties to submit proposals to implement

project on economic empowerment of IDPs and local residents, hereinafter referred to as the “Activities”.

2.2 The selected proponent, hereinafter referred to as the “Implementing Partner” shall perform the Activities according to the Terms of Reference (Annex 1) of this Document. The engagement between IOM and the Implementing Partner shall be covered with a Project Implementation Agreement using the Project Implementation Agreement template (Annex 3).

2.3 Proponents must ensure that they fully understand the terms and conditions set forth in Annexes 1 and 3 and agree to accept them in case they will be selected to provide the Activities.

2.4 IOM is not bound to accept any proposal and reserves the right to forego the selection process at any time prior to signing of the agreement, without incurring any liability to the proponent(s).

2.5 In case the proponent has an existing agreement with IOM, the proponents shall not be asked to sign an agreement that would be in conflict with their prior or current obligations to other IOM projects or that may place them in a position of not being able to carry out the responsibilities in the best interest of the IOM.

3. Eligible Proponents3.1 Proponents should be non-governmental organizations (NGO) registered with the

appropriate government agencies. Proponents must submit copies of their government registration documents.

3.2 As a minimum requirement, the proponents should have majority of their key professional staff have at least five years of relevant experience preferably gained in the location where the proponent intends to serve as IOM’s implementing partner. Preference will be given to proponents whose key professional staff are on permanent employment contracts or at least have a stable working relationship with the proponent.

3.3 Proponents shall submit the following documents to prove that they meet the minimum qualification as an organization and must submit proof that they have staff with the necessary credentials to be deployed in the project in case they are selected:

a. Vendor Information Sheet (Annex 2) – fully filled out, signed by authorized representative and stamped with the organization’s official stamp

b. List of similar projects implemented or currently implementing. List should include the following information: client company/organization, title of the project, value of the project, implementation period, name/mobile number/email address of the contract person with the client company/organization

c. Curriculum Vitae of staff who could potentially be deployed with the project 3.4 Proponents shall not be involved in terrorist act/criminal activities or associated with

individuals and/or entities associated with terrorist act/criminal activities. For this purpose, proponents shall not be included in the proscribed list of individuals and/or entities as contained in the 1267 Committee of the UN Security Council Counter Terrorism Committee (CTC).

3.5 The documentary evidence of the proponent’s eligibility to bid shall establish to IOM’s satisfaction. IOM reserves the right to ask the proponents to submit additional documents to enable IOM to fully evaluate the eligibility of the proponents.

4. Corrupt, Fraudulent, Collusive and Coercive Practices4.1 IOM requires that all IOM staff, proponents, manufacturers, suppliers or distributors,

observe the highest standard of ethics during procurement and execution of all agreements. IOM shall reject any proposals put forward by proponents or where applicable terminate their agreement, if it is determined that they have engaged in corrupt, fraudulent, collusive or coercive practices. In pursuance of this document, IOM defines, for the purposes of this provision, the terms set forth below as follows:a.“corrupt practice” means the offering, giving, receiving or soliciting directly or

indirectly any thing of value to influence the action of the Procuring/Contracting Entity in the procurement process or in agreement execution;

b. “fraudulent practice” is any acts or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, the Procuring/Contracting Entity in the procurement process or the execution of an agreement, to obtain a financial gain or other benefit to avoid an obligation;

c.“collusive practice” is an undisclosed arrangement between two or more Proponents designed to artificially alter the results of the tender procedure to obtain a financial gain or benefit;

d. “coercive practice” is impairing or harming, or threatening to impair or harm, directly or indirectly, any participant in the tender process to influence improperly its activities in a procurement process, or after the execution of an agreement.

4.2 IOM will reject a proposal for award if it determines that the Proponent recommended for award has engaged in corrupt, fraudulent, collusive or coercive practices in competing for the agreement in question.

5. Conflict of Interest5.1 IOM requires that all its contracts and agreements shall be devoid of any form of

conflict of interests. IOM staff is required to disclose their affiliation with any proponent before the evaluation of the proposals is conducted. Similarly, all proponents shall disclose any affiliation they or any of their staff may have with anyone working with IOM especially those who are affiliated with either the requesting program or the Procurement Unit of the mission. Failure on the part of the proponent to do such disclosure shall be construed as a violation to the ethical standards required from proponents for this Request for Proposal.

5.2 All proponents found to have conflict of interests shall be disqualified to participate in this Request for Proposal. Aside from the definition in 5.1 above, the following are considered form of conflict of interests:a. If any director, member(s) of the board or any other key personnel of a proponent

is/are also connected in any capacity, with another proponent;

b. If a proponent has direct access to information within IOM, whether through an IOM staff or any other source, that gives the proponent undue advantage over the other proponents;

c. If a proponent has connection with key IOM staff who has significant influence on the outcome of the evaluation of the proposals in response to this Call for Proposal;

d. If a proponent submits more than one proposal; ande. If a proponent who participated in the preparation of the terms of reference of this

Request for Proposal submits their own proposal.

6. Clarification Pertaining to the Request for Proposal Documents6.1 All clarification regarding any provision/item in the Request for Proposal document

should be sent in writing through to [email protected] attention: Iuliia Zavertana, at least 3 working days before the deadline of submission of the proposal. The subject of such email shall be “Clarification Request for UA1-2017-548”. IOM will respond in writing to requests for clarification received not later than 3 days before the deadline of the submission to proposals. IOM shall circulate to all proponents, the questions/clarification request and its answers.

7. Amendment of the Request for Proposal Documents7.1 At any time prior to the deadline for submission of proposals, IOM, for any reason,

whether at its own initiative or in response to a clarification requested by a prospective proponent, may modify this request for proposal documents by issuing amendment(s).

7.2 All prospective proponents who received the initial Request for Proposal documents will be notified of the amendment in writing and will be binding on them.

7.3 In order to allow prospective proponents reasonable time in which to take the amendment into account in preparing their proposals, IOM, at its discretion, may extend the deadline for the submission of proposals.

8. Cost of the Preparation of Proposals8.1 Proponents shall bear all costs associated with the preparation and submission of their

proposals. IOM shall not bear any responsibility and shall not be held liability for any cost the proponents may incur while preparing their proposals, regardless of the final outcome of the bidding process.

9. Official Language of the Call for Proposal Process9.1 English and Ukrainian shall be the official languages for this Request for Proposal

process. All Request for Proposal documents, proposals and correspondence shall be in English and/or Ukrainian.

9.2 The agreement that will be signed between the implementing partner and IOM as a result of this Request for Proposal shall be in English and Ukrainian. All implementing partner reports shall be in English and/or Ukrainian.

10. Technical and Financial Proposal Presentation and Official Currency 10.1 Proponents must submit both technical proposal and the corresponding financial

proposals. Proponents shall use the official technical proposal template (Annex 4) when preparing their technical proposal and the official budget proposal template (Annex 5) when preparing the corresponding budget proposal. The technical proposal should not include financial information.

10.2 The proponent shall fill out all the required information in the proposal template. Specifically, proponents are required to submit the following information about their organization:a. NGO Registration Dateb. NGO Scopec. Number of Members

d. Number of Employees (positions)e. Number of Invited Professional Staff (positions), including volunteers, trainers,

etc.f. NGO Staff Schedule: indicate governing and controlling bodies of the organization

and their staff (including the board)g. Number of Projects the NGO is currently implementing (specify the project,

project donor and budget)h. NGO Budget (at least for 2015 and 2016)i. NGO Donorsj. NGO Monitoring and Evaluation Systemk. NGO Current System of Financial Control and Authorized Signatories Matrix l. NGO Current Reporting Systemm. Resume of the Key Staff (Form PPF-3)

10.3 When preparing the budget proposal, proponents shall consider and observe the following:a. Take into account the requirements and conditions outlined in this Request for

Proposal. The Proposed budget of the project shall follow the Standard Form of the Project Proposal Budget (Form BPF-2).

b. The budget shall be presented per all trainings that NGO intends to conduct and should include all NGO costs: dissemination of information about the project, conducting trainings (including salaries of trainers, rent, meals etc), transfer of equipment to beneficiaries and monitoring / follow up of their activities. Follow up of beneficiaries envisages:

i. Assistance in the preparation of business plans or applications for vocational courses;

ii. assistance in purchasing equipment (sourcing, receiving invoices for equipment and coordinating the receipt and transfer of equipment to beneficiaries);

iii. transfer of assets to beneficiaries;iv. provision of advice to beneficiaries in conducting their self-employment

and business development; andv. monitoring and monthly reporting during the project.

c. The above cost item shall be calculated based on the estimated number of beneficiaries who require support: 20 people per training.

d. The proposed budget shall be valid for 45 calendar days. During this period, the proponent is expected to keep available the professional staff for the assignment. IOM will make its best efforts to complete negotiations and finalize the decision on the award within 30 calendar days. IOM may request to extend the validity of the proposal. The proponent however shall decide whether to grant the request or not without jeopardizing their change to submit another proposal to IOM again in the future.

e. The proposed budget and the corresponding agreement shall be in Euro (EUR). All payments however shall be in Ukrainian Hryvnia (UAH) by converting the invoice amount from EUR to UAH using the operational UN exchange rate at the time of payment.

f. The proposed budget shall not include funds for the grants of the beneficiaries.g. The proposed budget shall be signed by the proponent’s official representative and

shall to be stamped with the proponent’s official seal.h. Number of engaged personnel (assistants, consultants, trainers etc.) should be

determined by a respective NGO on the basis of trainings to be conducted and number of expected beneficiaries.

11. Period of Validity of the Proposals11.1 Proposals shall remain valid for a period of at least 30 days from the date of their

opening prescribed in this document. IOM reserves the right to reject any or all bids that do not comply with this requirement.

11.2 In exceptional circumstances, prior to expiry of the validity of the proposal, IOM may request the proponents to extend the period of validity of the proposal for another 15 days. The request and the proponents’ responses shall be made in writing.

12. Preparation and Submission of Proposal 12.1 Proponents shall prepare their technical proposal and the corresponding budget

proposal using the official templates provided by IOM. 12.2 Each proponent shall submit only one (1) proposal on project implementation in one

area. IOM reserves the right to reject any or all proposals from proponents who submitted more than 1 proposal.

12.3 As much as possible, both the technical and budget proposals shall not have hand-written corrections. In case of inevitable situation that a correction has to be made manually, the correction shall be counter-signed by the officer of the proponent who signed the proposal.

12.4 Proponent shall submit one original copy (i.e., printed, signed and stamped) and one electronic copy in pdf format of the technical proposal and the budget proposal.

12.5 The original printed copy of the technical and budget proposals along with the filled out Vendor Information Sheet (signed and stamped), government registration documents/permits and resume or curriculum vitae of the key officers/staff who will be deployed in the project, shall be placed inside a sealed envelope clearly marked “Proposal in Response to UA1-2017-548, Name of NGO” and submitted on or before 12:00, 29 September 2017 to:

IOM reserves the right to reject and or all of proposals received after the deadline.12.6 The electronic copy of the technical and budget proposals shall be submitted as an

attachment to an email address to the Project Evaluation Committee and sent to [email protected]. The subject of the email shall be: “Proposal in Response to UA1-2017-548, Name of NGO”. The email has to be sent on or before 12:00, 29 September 2017.

12.7 In case of any discrepancy between the printed and electronic copies of the proposal, the printed copy shall prevail.

12.8 The actual date and time of receipt of the hard copies of the technical and budget proposals shall be clearly written by the IOM staff who receive the proposal on the envelope containing the proposal. The date and time of receipt of the email containing the electronic copy of the proposal shall be the used as the actual date and time of receipt of the electronic copy of the proposal. In case of multiple emails containing the proposal, the date and time of receipt of the first email shall be the date and time of receipt of the proposal. IOM reserves the right to reject and or all of proposals received after the deadline.

12.9 IOM reserves the right to accept or reject any or all proposals, and to annul this Call for Proposal process any time prior to agreement award, without thereby incurring any liability to the affected proponents or any obligation to inform the affected proponents of the grounds for IOM’s action.

13. Evaluation of Proposals13.1 IOM Ukraine shall determine the proposal(s) that is/are most favorable to its

operation.

13.2 The entire evaluation process, including announcement of the results, shall be completed in not more than 21 (twenty one) calendar days after the deadline of proposals submission.

13.3 Proposals of proponents who fail to submit any of the technical requirements and provisions required in this Request for Proposal and the Terms of Reference, shall not be considered for evaluation.

13.4 The proposals shall be evaluated on a two-tier basis. The first tier will be the evaluation of the technical proposal and the second tier will be the evaluation of the budget proposal. The overall rating of a proposal shall consist of the result of the technical proposal evaluation (80%) and the result of the budget proposal evaluation (20%).

13.5 The technical proposals shall be evaluated on the basis of their responsiveness to the Terms of Reference, based on the criteria below:

13.6 Only proposals that achieve a score of 140 points in the first tier evaluation (technical proposal evaluation) shall be included in the second tier evaluation (budget proposal evaluation).

13.7 In evaluating the budget proposals, the Project Evaluation Committee shall first determine the completeness of the proposed budget and its compliance to the prescribed forms and presentation.

13.8 The Project Evaluation Committee shall check the accuracy of the computation. In case there are error in the computation, the Project Evaluation Committee shall correct the error and ask the proponent to confirm and accept the correction. Similarly, if there is a discrepancy between the budget in figures and in words, the Project Evaluation Committee shall ask the proponent to confirm the budget in presented in words. If the proponent refuses to accept the corrected budget and/or the budget in words, their proposal shall no longer be considered for further evaluation.

13.9 In case activities and items are mentioned in the technical proposal but there are no corresponding budget in the budget proposal, the Project Evaluation Committee shall assume that the budget required for the activities and items are included in other activity lines.

13.10 Budget proposals shall be evaluated based on their economy (50%) and feasibility (50%). The proposals shall be ranked on a graduated manner according to their level of economy and feasibility. The lowest feasible budget shall get the 50% for feasibility and 50% economy, resulting to a perfect score of 100%.

14. Negotiations 14.1 After the evaluation of the proposals, IOM may clarify any provisions in their

proposals with the proponents and if necessary, negotiate further any provision in the technical and budget proposals of the proponents. The aim of the negotiation is to reach an agreement on all points and sign a contract.

14.2 Negotiation will include: a) discussion and clarification of the project proposal and activities to be implemented within its frameworks; b) discussion and finalization of methodology and work program proposed by NGO; c) consideration of appropriateness of qualifications and pertinent compensation, number of labor months and the personnel to be assigned to the job, and schedule of activities (staff schedule); d) discussion on the materials, facilities and data, to be provided by IOM; e) discussion on the financial proposal submitted by the NGO; f) discussion and finalization of the reporting system (narrative and financial reports).

15. Award of Contract15.1 Proponents whose proposals are selected shall be informed of IOM’s decision to sign

agreement with them by issuing them a Notice of Award. Similarly, IOM shall inform proponents whose proposals are not accepted.

15.2 Proponents whose proposals are accepted by IOM shall commence the work after they have signed the Implementing Partner’s Agreement.

16. Confidentiality16.1 Information related to proposals evaluation and recommendations regarding projects

shall not be disclosed to NGOs that submitted Proposals or to other persons not officially related to the process. The undue use by any NGO of confidential information related to the process may result in the rejection of its Proposal and may be subject to provisions of IOM’s anti-fraud and corruption policy.

Annex 1 Terms of Reference

a) Introduction

Since July 2014 due to the events in the Eastern Ukraine and Crimea, IOM mission in Ukraine provides humanitarian assistance to IDPs and assists in enhancing economic potential of IDPs and hosting communities. Within the framework of this project a series of trainings will be conducted on developing microenterprise. Trainings will take place in the following regions: Kirovograd, Zakarpattia, Mykolaiv and Ternopil regions. Participants can be both internally displaced persons (75%) and host community members (25%).Partner organizations can apply to conduct one and more trainings, depending on their skills, resources and the number of potential participants in a given region.

Implementing partner has to be represented in the region it suggests to hold training in. Overall, it is planned to hold four micro entrepreneurship trainings.

The final decision on the geographical allocation of trainings will be taken by IOM based on the results of proposals evaluation and the availability of funding.

The period when it’s necessary to conduct first two-day trainings: 2-3 weeks after the project commencement (depending on the number of trainings).

Conducting second two days trainings: January 2018.

Conducting final one day trainings: March 2018.

The period to conduct beneficiaries case management (after the trainings) – till 30 April, 2018.

Mentioned schedule is tentative and can be changed.

b) GoalThe main goal is to assist people who were forced to move due to events in Crimea and Eastern Ukraine, as well as members of local communities, in obtaining new professional skills and knowledge development of small businesses in mentioned regions (number of local residents should not exceed 25% of total participants)

c) Description of project activities

Project participants: Internally displaced persons from Crimea or Eastern Ukraine or host community members wishing to expand their own businesses. When selecting the group, NGO should observe gender balance and the principle of non-discrimination. Age of participants: 18-59 y.o. At least 50% of participants should be women. The list must be approved by the IOM at least one week before the beginning of each training session.

Project contents:

1. Preliminary selection of trainees and forming of training groups (one group of 30 people). NGO conducts information campaign during 1-2 weeks to disseminate the information about the project and invite as many applicants as possible. The information campaign should include at least the following elements: dissemination of printed leaflets provided by IOM in local employment centers, social security offices, organizations that work with IDPs, putting them of information walls, internet, including social networks, etc. NGO should provide to IOM report on those activities, including photos.

2. Then the NGO estimates the potential of future participants in ensuring successful business and forms preliminary list of participants of the training submitted to IOM at least one week before the

training. Thus, the organization ensures efficient use of funds for conduction of training, which in turn will be expressed in the maximum number of participants applying for grant after defense of a business plan. Final decision on the list of participants is made by IOM and sent to the NGO. The NGO informs the applicants. Only persons who have running business and are registered as private entrepreneurs at least for six months, can apply to the microentrepreneurship trainings.

Persons who have received similar grants in the past cannot apply.

3. Trainings on micro entrepreneurship. Are held by trainers with relevant experience in entrepreneurship and conduction of trainings, including (but not limited to) the following topics: “How to find the best business idea,” “Understanding basics and secrets of professional skills,” “Preparation of business proposals.” Organizations shall submit detailed schedule, agenda and training content together with project proposal. Duration of the first training – 2 (two) days. The following 3 (three) days of training should be only for beneficiaries.

Training participants should be served a lunch and two coffee-breaks per day. Premises for trainings should correspond to the relevant standards, with proper furniture and equipment, be fit for the number of participants, Coffee-brake should be organized in a specially allocated space, separate from the space where the training takes place. The lunch should be ideally organized in a restaurant nearby. If that is not possible due to serious reasons, it is allowed to order catering. In that case the premises should be adequate.

4. Preparation of proposals (business plans) on micro entrepreneurship. After the training, participants work for up to 5-6 days, together with business coaches. The result of the work will be a proposal (business plan) on business development in the standard IOM form. This proposal will be a final request to IOM for a grant. Evaluation of proposals will be carried out by IOM and business coaches. Proposals should be available to IOM specialists for preliminary evaluation, comments and suggestions, not later than 2 days prior to the scheduled date of their defense (9 days after corresponding training). NGO representatives provide to participants IOM’s comments on their business plans.

5. Defense of proposals on grant (1 day for each group). Each participant presents its proposal individually to IOM committee.

6. Decision making on awarding participants and grant size. IOM specialists make decision on grant awarding, or provide their recommendations for a participant on business plan improvement. Maximum grant amount for a micro entrepreneurship beneficiary – up to 2150 Euro in hryvnias according to UN exchange rate on the day of awarding. Please note that the exact size of grant will depend on the type of activities proposed by a participant and will be defined during evaluation of business plans.

7. Purchase of equipment for beneficiaries: IOM purchases necessary equipment, according to IOM standards and requirements, including those of tender procedures, provides consultations to beneficiaries. NGO transfers purchased assets to beneficiaries, e.g. receives assets at post or delivery offices, if needed – ensures its short-term storage, prepares documents required by IOM.

8. Support of beneficiaries (case management):Support of beneficiaries involves tracking changes in employment status of a project participant, the dynamics in the implementation and development business during 15 months of the project. This includes telephone, e-mail or personal contact at least once a month at the NGO’s initiative.Report on beneficiaries support shall be submitted monthly in the form of monitoring questionnaires and journal of consultations (forms will be provided by IOM).

Personal monitoring of beneficiaries by IOM is planned once during the project in March-April 2018. The monitoring envisages personal visit by representatives of IOM and relevant NGO to the place where the assets are used. Transportation is provided by IOM. NGO is required to arrange agenda of the visits. Participation in those meetings is mandatory for the beneficiaries and is a condition for the participation in the project.

9. Two-three months after beneficiaries received their equipment and started using it, NGO conducts second two day training on micro entrepreneurship. The training is to go into depth of the issues related to business and entrepreneurship, taking into account challenges faced by the beneficiaries.10. Two-three months before the project end the NGO organizes final one day training on micro entrepreneurship. Trainers will be required to have experience in conducting trainings on similar topics, experience of own business, solid knowledge in finance, marketing, tax, accounting, sales through internet. NGO can invite different trainers for different topics. A trainer can be an employee of an NGO, or can be contracted (in that case registration of a private entrepreneur is required).

Size of final financial compensation that will be given to NGO depends on the number of grant beneficiaries.

Special conditions:1. The number of women participating in trainings must be at least 50%. Organization should

encourage introduction of entrepreneurship in the economy, which is beyond gender stereotypes.2. Involvement of ethnic minorities members or armed conflict veterans who meet selection criteria

to the project is required.3. The establishment of new jobs by project participants is encouraged.

d) Reports and work schedule

Duration of the project: 7 months. By this time, the organization has to conduct the agreed number of training sessions during the specified period of time in the specified locations, organize business plans defense sessions, provide assistance in procurement of professional tools/equipment with its further transfer to project beneficiaries, conduct project monitoring and provide narrative and financial reports.

Reports: Reporting should be provided in accordance with the conditions specified in the agreement on cooperation.The project should be implemented in coordination with project staff and other IOM specialists.

e) Data, materials, and/or resources, provided by IOM

IOM will provide methodological assistance on trainings conduction.IOM will provide a standard form of the list of training participants.IOM will provide financial reporting requirements.IOM will provide requirements and procedures on purchase of equipment.IOM will provide handouts for trainings (folders, pens, badges, notebooks, banners)

Finance 6.1. IOM agrees to provide financial support to the Implementing Partner in implementing [Name of the project] (the “Project”) from [start date of project] to [end date of project] in the maximum amount of [currency symbol] XXX (write figure in words) in accordance with the Budget attached to this Agreement and considered an integral part thereof.

6.2 Payment shall be made in instalments following receipt and approval of reports (*3) and verification by IOM of progress achieved as follows:

6.4 The Implementing Partner shall maintain financial records, supporting documents, statistical records and all other records relevant to the Project in accordance with generally accepted accounting principles to sufficiently substantiate all direct and indirect costs of whatever nature involving transactions related to the funds provided by IOM under this Agreement. The Implementing Partner shall make all such records available to IOM or IOM’s designated representative at all reasonable times until the expiration of seven years from the date of final payment, for inspection, audit or reproduction. On request, employees of the Implementing Partner shall be available for interview.

6.5. Any expenses not supported by the financial report shall be returned to IOM no later than the date of submission of the final report.

6.6 IOM shall be entitled, without derogating from any other right it may have, to defer payment of part or all of the financial support until the Implementing Partner has completed to the satisfaction of IOM the activities to which those payments relate.

Reporting (*5)

7.1 Financial reportAn interim financial report shall be submitted to IOM no later than [date (A)]. The interim financial report shall present how the contribution from IOM has been used from [date] to [date]. The final financial report shall be submitted to IOM no later than [date (B)] and shall cover the whole project duration.

7.2 Narrative reportAn interim narrative report shall be submitted to IOM no later than [date (A)]. The interim narrative report shall cover the activities performed and the results obtained by the Project from [date] to [date]. The report shall be analytical in approach, include a presentation of difficulties and shortcomings, and a discussion of possible remedies. The final narrative report shall be submitted to IOM no later than [date (B)] and shall summarise the whole Project and state to what extent the objectives of the Project have been achieved.

7.3 The Implementing Partner shall give IOM all information on the project and on the use of the resources provided by IOM that IOM may reasonably request in addition to information contained in the reports. The Implementing Partner shall also enable representatives of IOM to visit and study the various activities of relevance for the Project.

7.1 Фінансовий звітПроміжний фінансовий звіт повинен бути представлений МОМ не пізніше [дата (А)]. Виконавчий партнер повинен також надати можливість представникам МОМ відвідати та вивчити різні заходи, які мають відношення до Проекту.

WarrantiesThe Implementing Partner warrants that:a) It is an organization financially sound and duly licensed, with adequate human resources, equipment, competence, expertise and skills necessary to implement fully and satisfactorily, within the stipulated completion period, the Project in accordance with this Agreement;b) It shall comply with all applicable laws, ordinances, rules and regulation when performing its obligations under this Agreement;

c) In all circumstances it shall act in the best interests of IOM; d) No official of IOM or any third party has received or will be offered by the Implementing Partner any direct or indirect benefit arising from the Agreement or award thereof;

e) It has not misrepresented or concealed any material facts in the procuring of this Agreement;f) The Implementing Partner, its staff or shareholders have not previously been declared by IOM ineligible to be awarded agreements by IOM;g) It has or shall take out relevant insurance coverage for the period the Project is implemented under this Agreement;h) It shall abide by the highest ethical standards in the performance of this Agreement, which includes not engaging in any discriminatory or exploitative practice or practice inconsistent with the rights set forth in the Convention on the Rights of the Child;

i) It shall take all appropriate measures to prevent sexual exploitation or abuse of anyone by its employees or any other persons engaged and controlled by the Implementing Partner to perform any activities under this Agreement. In addition, the Implementing Partner shall refrain from, and shall take all reasonable and appropriate measures to prohibit its employees or other persons engaged and controlled by it from exchanging any money, goods, services at their disposal under this Agreement, for sexual favour or activities, or from engaging any sexual activities that are exploitative or abusive to any person.

j) The Price specified in clause 6.1 of this Agreement shall constitute the sole remuneration in connection with this Agreement. The Implementing Partner shall not accept for its own benefit any trade commission, discount or similar payment in connection with activities pursuant to this Agreement or the discharge of its obligations thereunder. The Implementing Partner shall ensure that any subcontractors, as well as the personnel and agents of either of them, similarly, shall not receive any such additional remuneration.

f) Виконавчий партнер, його персонал або акціонери раніше не проголошувались МОМ неприйнятними для укладання контрактів з МОМ;g) Він має або забезпечить відповідне страхове покриття на період впровадження Проекту в рамках цієї Угоди:h) Він буде дотримуватись найвищих етичних стандартів у процесі виконання цієї Угоди, що включає відмову від будь-якої дискримінаційної або експлуататорської практики, або практики, яка є несумісною з правами, передбаченими Конвенцією про права дитини;i) Він вживатиме усі необхідні заходи для запобігання сексуальній експлуатації або поганому поводженню з будь-яким з його співробітників або іншими особами, контрольованими та залученими Виконавчим партнером для виконання будь-якої діяльності в рамках цієї Угоди. Крім того, Виконавчий партнер утримуватиметься і вживатиме усі необхідні заходи щодо заборони своїм працівникам або іншим особам, залученим та контрольованим ним, від обміну грошей, товарів, послуг, які знаходяться у їх розпорядженні відповідно до цієї Угоди, на сексуальні послуги або дії, або від участі у будь-яких діях сексуального характеру, які є проявом експлуатації чи поганого поводження з будь-якою особою. j) Сума, зазначена в пункті 6.1 цієї Угоди є єдиною винагородою у зв’язку з цією Угодою. Виконавчий партнер не отримає на свою користь будь-якої комісійної винагороди, знижки або аналогічної оплати у зв’язку із заходами, що мають відношення до цієї Угоди або у зв’язку з виконанням своїх зобов’язань згідно з Угодою. Виконавчий партнер забезпечує, що будь-які субпідрядники, а також їхній персонал та агенти, також не отримують ніякої додаткової винагороди.

Dispute resolution Any dispute, controversy or claim arising out of or in relation to this Agreement, or the breach, termination or invalidity thereof, shall be settled amicably by negotiation between the Parties. In the event that such negotiation is unsuccessful, either Party may submit the dispute to arbitration. The arbitration will be carried out in accordance with the UNCITRAL arbitration rules. The arbitral award will be final and binding. (*6)

Врегулювання спорівБудь-які суперечки, протиріччя або вимоги, що випливають або пов’язані з цією Угодою, її порушенням, припиненням або недійсністю, будуть розв’язуватися шляхом дружніх переговорів між Сторонами. У випадку, якщо ці переговори не будуть успішними, будь-яка Сторона може передати суперечку на арбітражний розгляд. Арбітражний розгляд буде проведено у відповідності до регламенту ЮНСІТРАЛ. Рішення арбітражного розгляду буде остаточним та обов’язковим. (*6)

Delays/Non-Performance11.1 If, for any reason, the Implementing Partner does not carry out or is not able to carry out its obligations under this Agreement and/or according to the project document, it must give notice and full particulars in writing to IOM as soon as possible. On receipt of such notice, IOM shall take such action as in its sole discretion is considered to be appropriate or necessary in the circumstances.

11.2 Neither party will be liable for any delay in performing or failure to perform any of its obligations under this Agreement if such delay or failure is caused by force majeure, such as civil disorder, military action, natural disaster and other circumstances which are beyond the control of the party in question. In such event, the party will give immediate notice in writing to the other party of the existence of such cause or event and of the likelihood of delay.

Затримка/Невиконання11.1 Якщо з будь-яких причин Виконавчий партнер не виконує або не в змозі виконати свої зобов'язання за цією Угодою та/або відповідно до проектного документу, він повинен невідкладно письмово повідомити про це МОМ та вказати усі відповідні обставини. Після отримання такого повідомлення, МОМ вживатиме усі заходи, які вважатимуться доцільними або необхідними в таких обставинах, на власний розсуд.11.2 Жодна зі Сторін не буде нести відповідальність за будь-які затримки у виконанні або невиконання своїх зобов'язань згідно цієї Угоди, якщо така затримка або невиконання викликані форс-мажорними обставинами, такими як цивільні заворушення, військові дії, стихійні лиха та інші обставини, які знаходяться поза контролем відповідної Сторони. У такому випадку, Сторона повинна негайно повідомити у письмовій формі іншу Сторону про існування таких обставин або подій та про ймовірність затримки.

ConfidentialityAll information including personal information of the beneficiaries which comes into the Implementing Partner’s possession or knowledge in connection with this Agreement or the Project is to be treated as strictly confidential. The Implementing Partner shall not communicate such information to any third party without the prior written approval of IOM. The Implementing Partner shall comply with IOM Data Protection Principles in the event that it collects, receives, uses, transfers or stores any personal data in the performance of this Agreement. This obligation shall survive the expiration or termination of this Agreement.

КонфіденційністьУся інформація, у тому числі особисті відомості бенефіціарів, що потрапляють до Виконавчого партнера або стають йому відомими у зв’язку з цією Угодою, вважаються суворо конфіденційними. Виконавчий партнер не буде повідомляти таку інформацію будь-якій третій стороні без попередньої письмової згоди МОМ. Виконавчий партнер дотримуватиметься принципів захисту даних МОМ у випадках, якщо він збирає, отримує, передає або зберігає будь-які особисті дані у процесі виконання цієї Угоди. Ці зобов’язання залишаються в силі після завершення або припинення дії цієї Угоди.

Intellectual Property (*8)All intellectual property and other proprietary rights including, but not limited to, patents, copyrights, trademarks and ownership of data resulting from the Project shall be vested in IOM, including, without any limitation, the rights to use, reproduce, adapt, publish and distribute any item or part thereof.

15. Інтелектуальна власність (*8)Уся інтелектуальна власність, а також інші права власності, у тому числі, але не обмежуючись, патенти, авторські права, торгові марки і права власності на дані, отримані в рамках впровадження Проекту, належать МОМ, у тому числі, без будь-яких обмежень, права на використання, копіювання, адаптацію, публікацію та поширення будь-яких відповідних матеріалів або частин таких прав.

Indemnity16.1 The Implementing Partner shall at all times defend, indemnify and hold harmless IOM, its officers, employees and agents ("those indemnified") from and against all loss, costs, damages and expenses (including legal fees and costs), claims, suits and liabilities to the extent arising out of or resulting from the activities under this Agreement. IOM shall promptly notify the Implementing Partner of any written claim, loss, or demand for which the Implementing Partner is responsible under this clause.

16.2 This indemnity shall survive the expiration or termination of this Agreement.

Звільнення від відповідальності16.1 Виконавчий партнер завжди захищає та звільняє від відповідальності та збитків МОМ, співробітників, найманих працівників і представників МОМ від будь-яких втрат, витрат, збитків та оплати (включно з судовими зборами та витратами), позовів, судових розглядів та відповідальності, наскільки вони викликаються або виникають в результаті виконання цієї Угоди. МОМ оперативно інформує Виконавчого партнера про будь-які письмові позови, втрати або вимоги, за які згідно з цим пунктом відповідає Виконавчий партнер.16.2 Таке звільнення від відповідальності залишається в силі після завершення або припинення дії цієї Угоди.

advance by IOM. Any subcontract entered into by the Partner without approval in writing by IOM may be cause for termination of the Agreement.

18.2 In certain exceptional circumstances by prior written approval of IOM, specific jobs and portions of the activities may be assigned to a subcontractor. Notwithstanding the said written approval, the Implementing Partner shall not be relieved of any liability or obligation under this Agreement nor shall it create any contractual relation between the subcontractor and IOM. The Implementing Partner remains bound and liable under this Agreement and it shall be directly responsible to the IOM for any faulty performance under the subcontract. The subcontractor shall have no cause of action against IOM for any breach of the sub-contract.

Waiver Failure by either Party to insist in any one or more instances on a strict performance of any of the provisions of this Agreement shall not constitute a waiver or relinquishment of the right to enforce the provisions of this Agreement in future instances, but this right shall continue and remain in full force and effect.

SeverabilityIf any part of this Agreement is found to be invalid or unenforceable, that part will be severed from this Agreement and the remainder of the Agreement shall remain in full force.

Entirety This Agreement embodies the entire agreement between the parties and supersedes all prior agreements and understandings, if any, relating to the subject matter of this Agreement.

Termination22.1 This Agreement may be terminated by [X month’s] written notice to the other Party. However, where the Implementing Partner is in breach of any of the terms and conditions of this Agreement, IOM may terminate the Agreement with immediate effect.22.2 In the event of termination, IOM will only pay costs expended or legally committed in accordance with this Agreement up to the date of receipt of notice of termination, unless otherwise agreed. (*10) Other amounts paid in advance will be returned to IOM within 7 days from the date of termination.

Final clauses 23.1 This Agreement will enter into force upon signature by both Parties. It will remain in force until completion of all obligations of the Parties under this Agreement unless terminated earlier in accordance with clause 22.

23.2 Amendments may be made by mutual agreement in writing between the Parties.

23.3 The languages of this Agreement are English and Ukrainian. The English version shall prevail in the event of any discrepancies between the two languages

Заключні положення23.1 Ця Угода вступає в силу з моменту її підписання обома Сторонами. Вона залишається в силі до виконання усіх зобов'язань Сторін в рамках цієї Угоди, якщо її дія не буде припинена раніше відповідно до пункту 22.23.2 Поправки можуть бути внесені у письмовій формі за взаємною згодою між Сторонами.21.3 Мовами цього Договору є англійська та українська. У випадку розбіжностей між двома версіями, англійській версії надаватиметься перевага.
