May 2019 Dear Exhibitor: It is that time again to think about the Arizona State Escrow Association’s Annual Conference. This year our conference will be held on Saturday, July 20th at the Wigwam Resort in Litchfield Park, Arizona. The exhibitor packages are new this year and include a great many opportunities for you. An “Exhibitor/Vendor Sponsored Cocktail Reception” will be held to give you an opportunity to meet and interact with the attendees for the evening on Saturday, July 20th. We will also have 15-20 minute breaks during the conference to allow attendees to visit your booths. We will provide all attendees with a game card, which they must present to each Exhibitor for a sticker as acknowledgement of their having visited your booth; we will provide you with the stickers for use. I have attached the 2019 Exhibitor EXPO Contract for you to fill out, sign and return to the undersigned or above address so that we can plan the number of spaces we will need and reserve a booth space for you. 2019 EXHIBITOR EXPO CONTRACT Contract for Exhibit Space

We the undersigned, with the intent to be legally bound, hereby agree to reserve (rent) exhibit space to be used for display purposes at the Arizona State Escrow Association 2019 Exhibitor Expo to be held on July 20, 2019 at Wigwam Resort in Litchfield Park, Arizona. Space will be assigned on Saturday morning at 7:00am, unless otherwise stipulated by the Conference Chair. Payment must accompany contract in order to secure space. We understand that this contract for Exhibit Space will not be binding and in effect until full payment is received by the Arizona State Escrow Association (“Association”) and a signed copy of this contract is returned to us. All terms and conditions of the show are accepted by us (the exhibitor) and made a part of this contract; and we agree to comply with them, taking the space for display purposes under the terms and conditions set forth as attached to this contract. We also agree to sign the attached Insurance and Liability Waiver. ARIZONA STATE ESCROW ASSOCIATION 2019 EXHIBITOR EXPO CONTRACT

INSURANCE AND LIABILITY

Exhibitor hereby indemnifies and holds Association and its agents and Wigwam Resort harmless against any and all claims, demands and liabilities of personal injuries or property damage, which may be caused by the installation, maintenance or conduct of the exhibit.

Exhibitor hereby acknowledges it has its own liability insurance to cover any and all claims, demands and liabilities incurred during its participation in the 2019 Conference Expo. Proof of such insurance may be provided to Association upon the signing of the Contract. A. Association, its agents, Wigwam Resort shall not be responsible or liable for the loss of, or damage to, any of the property of the Exhibitor. Exhibitor shall, at its own expense, obtain the necessary insurance coverage with respect to loss by fire, theft, accident or other cause, if such protection is desired. B. In the event premises in which the exhibition is to be held are destroyed by fire, the elements or other calamity or other causes beyond the control of Association, so that the exhibition cannot be held, Association shall not be liable to Exhibitor except to the extent of returning any payment previously made. C. In the event the exhibition commences and cannot continue because of any circumstances beyond the control of Association, Association shall not be liable therefore except to the extent of returning to Exhibitor the difference between the total cost of the space, if any, referred to in the Contract and the cost of space for the period the exhibition was opened. The latter cost shall be calculated by dividing the total cost for the space provided for in the Contract by the number of hours the exhibit was scheduled to run and multiplying by the number of hours the exhibition was actually open.
