Background

LEHRN is a not-for-profit association of Human Capital Management Technology professionals and vendors. The organization has existed since 2009. LEHRN has grown each year in the number of participants and the in the amount and quality content of delivered. The LEHRN annual HR TECH EXPO and conference is the largest regional event HR tech event in the country.

As the LEHRN program and corresponding revenue stream has grown, so have the costs that drive that growth. Year-after-year LEHRN has wished to have greater resources to do more projects, to deliver more virtual content, to offer more training and educational content, and to grow its annual EXPO into a two-day event. LEHRN has more ideas and proposals from our members and friends than we have the staff and capital to deliver on those business prospects.

Background

Over the years, LEHRN has had discussions with other non-profit and for-profit companies talking about merger and acquisition (M&A) opportunities. Over this last summer, the LEHRN Board of Directors has listened to several proposals, which offer real and substantive ideas to be considered. As the discussions about M&A have become more serious, LEHRN has been surprised by additional offers from other potential partners.

LEHRN has the capacity to continue the path of reinvesting its limited financial resources to deliver increasing business value to its members and friends. However, LEHRN could speed and strengthen the delivery of its mission and service to HR Systems and Technology professionals by aligning with another organization that is positioned with more financial resources, a larger network of HR professionals, and that has a history of growing its programming to larger HR audiences in more locations.

Call for Action

Under the LEHRN Articles of Incorporation and the LEHRN Association by-laws, the members must approve a resolution to permit the organization to merge or be acquired. THE LEHRN Board of Directors therefore gives the following 10-day notice to its members that beginning on November 13th, a 2-day voting period will commence ending at noon Central Standard Time on November 15th. All LEHRN members on our membership list will be contacted by email to vote on the following resolution:
