Antitrust Compliance Guidelines

I. General It is NERC’s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC’s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC’s antitrust compliance policy is implicated in any situation should consult NERC’s General Counsel immediately.

II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions):

• Discussions involving pricing information, especially margin (profit) and internal cost information and participants’ expectations as to their future prices or internal costs.

• Discussions of a participant’s marketing strategies.

• Discussions regarding how customers and geographical areas are to be divided among competitors.

• Discussions concerning the exclusion of competitors from markets.

• Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

• Any other matters that do not clearly fall within these guidelines should be reviewed with NERC’s General Counsel before being discussed.

III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC’s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss:

• Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities.

• Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system.

• Proposed filings or other communications with state or federal regulatory authorities or other governmental entities.

• Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings.

Parliamentary Procedures Based on Robert’s Rules of Order, Newly Revised, 1990 Edition

Motions Unless noted otherwise, all procedures require a “second” to enable discussion.

Notes on Motions Seconds. A Motion must have a second to ensure that at least two members wish to discuss the issue. The “seconder” is not recorded in the minutes. Neither are motions that do not receive a second. Announcement by the Chair. The Chair should announce the Motion before debate begins. This ensures that the wording is understood by the membership. Once the Motion is announced and seconded, the Committee “owns” the motion, and must deal with it according to parliamentary procedure.

Revisions. Technically, revisions to the main motion are accomplished by the Amend procedure. However, immediately after making the motion, and before it is announced by the Chair, another member may ask that the motion be revised. If the original “motion -maker” agrees to the revision, then the revised motion will be the one debated. The original “seconder” need not be consulted, because the original “motion-maker” plus the “reviser” constitute a motion and a second.

Administrative A meeting of the Resources Subcommittee (RS) was held on April 23–24, 2014 in Charlotte, North Carolina. The agenda and attendance list are attached as Exhibits A and B, respectively.

Resources Subcommittee Chair Gerry Beckerle presided and Larry Kezele announced that a quorum was present, read the applicable Notice of Public Meeting and acknowledged the NERC Antitrust Compliance Guidelines. The subcommittee reviewed and revised the RS Organization and Assignments, the RS Roster, and the RS Survey Contacts.

January 22–23, 2014 Meeting Minutes The subcommittee approved the January 22–23, 2014 meeting minutes.

Resources Subcommittee Action Item List The RS reviewed, revised and updated the action item list, which is affixed as Exhibit C.

Resources Subcommittee Confidentiality Agreement Larry Kezele reviewed the list of those individuals that have signed the RS confidentiality agreement.

Working Group and Task Force Reports 1. Frequency Working Group Chair Sydney Niemeyer reported that the FWG met on April 23, 2014

and reviewed the master frequency event list for January and February 2014 for the Eastern,Quebec, Western and ERCOT Interconnections. He also reported that there is an error in theFrequency Response Standard Form 1.9a with regard to the use of variable bias.

2. Inadvertent Interchange Working Group Chair Tabitha Hernandez reported that the IIWG meton April 23, 2014 and discussed the following: 1) update on FRCC reporting to the NERC/CERTSInadvertent Tool, 2) a review of the Dissolving BA’s Inadvertent, NERC/CERTS Inadvertent ToolCleanup and NERC Tool Discrepancies whitepapers and 3) incorrect accumulative balances in theNERC tool. Future IIWG activities will include enhancements to the Inadvertent Interchangereporting tool and tool procedures documentation.

3. Operating Reserve Working Group Chair Beckerle reported that the ORWG has not met.

Chair Beckerle noted that the Operating Committee requested each of its subcommittees to review its scope in order to bring more uniformity or consistency across all OC subcommittee scope

documents. The OC last approved the Resources Subcommittee’s scope in December 2009. Chair Beckerle reviewed a proposed revision. The RS also reviewed the Interchange Subcommittee scope and decided to include a new function related to interchange scheduling as it impacts balancing and inadvertent interchange. Following a brief discussion, Brad Gordon moved to endorse the revised RS Scope (Exhibit D). The RS approved the motion.

2. Reliability Guideline: Generating Unit Operations during Complete Loss of Communications Larry Kezele reported that, at its December 10-11, 2013 meeting, the Operating Committee approved posting the draft Reliability Guideline: Generating Unit Operations during Complete Loss of Communications for a 45-day industry comment period. The reliability guideline was posted on January 15, 2014, with comments due by February 28, 2014. Vice Chair Blalock reported that at the subcommittee’s January 2014 meeting Sydney Niemeyer, Francis Monette, Brad Gordon, Tony Nguyen, Robert Rhodes, and Troy Blalock were tasked with reviewing the comments. He reviewed the comments received and proposed revisions to the reliability guideline.

Terry Bilke moved to endorse Reliability Guideline: Generating Unit Operations during Complete Loss of Communications subject to modification of the Interconnection generator frequency operating normal limits. The RS approved the motion. There were two abstentions made with comments during the RS approval of the motion. Those comments are recorded in Exhibit E.

3. Sharing Net Interchange Actual and Scheduled Data to Improve Reliability Don Badley and Terry Bilke reported that the WECC RC, on behalf of the Western Interconnection, and the MISO RC, on behalf of the Eastern Interconnection, have volunteered to create procedures and technology solutions that would lead to the development and implementation of an error checking matrix of BA interchange data for their respective Interconnections. These projects would have BAs share ICCP data with one Reliability Coordinator in their respective Interconnection. That RC would develop an error-checking matrix that could be reviewed if frequency was significantly off-schedule and the underlying cause is not known. The matrix could also be used if a BA's EMS were down as it would provide an alternate ACE calculation for the impacted RC and BA. BAs would share ICCP net interchange actual (by neighbor) and net interchange scheduled (total) data with the designated RC in their respective Interconnection and the designated RC would develop the error checking matrix. The RS will support the Operating Reliability Subcommittee as these projects move forward.

4. Eastern Interconnection Frequency Response Initiative Vice Chair Blalock reported that he provided an overview of the Eastern Interconnection Frequency Response Initiative to the Operating Committee at its March 2014 meeting. The OC fully supported the initiative and requested periodic updates as it moves forward. He also provided an overview of the status of the initiative and NERC’s efforts to establish a SharePoint site to store the generator data. He suggested that the RS host a webinar to explain the purpose and scope of the initiative. The RS is very supportive of conducting a NERC-wide webinar. Vice Chair Blalock will develop a draft webinar agenda. The webinar would be conducted on or about July 1, 2014.

5. Field Test to Reduce the Number and Depth of Time Error Corrections Terry Bilke summarized a proposal to reduce the number and depth of time error corrections (Presentation 1). For example, ERCOT recently widened the window before a time error correction is initiated from 10 seconds to 30 seconds. The 0.02 Hz offset could also be lowered to 0.01 Hz and

perhaps the duration of a scheduled time error correction could be extended. John Tolo reported that WECC has petitioned the North American Energy Standards Board to broaden its time error correction window from 5 seconds to 30 seconds. NAESB may act on WECC’s petition in the very near future. Chair Beckerle requested that the RS further consider this topic at its July 2014 meeting.

8. Data Sharing and Data Quality Don Badley reported that WECC has completed its data sharing and confidentiality policy and that Peak Reliability is also developing a new data confidentiality procedure.

9. BAL Reliability Standard Audit Worksheets Terry Bilke reported that the BAL RSAW review project should be placed on hold temporarily due to NERC personnel changes.

NERC Reliability Standards and Reliability Related Documents

1. Project 2007-12 (Frequency Response and Frequency Bias Setting) Implementation Larry Kezele reported that BAL-003-1 (Frequency Response and Frequency Bias Setting) was adopted by the NERC Board of Trustees on February 7, 2013 and filed at FERC on March 29, 2013. On July 18, 2013, FERC issued a notice of proposed rulemaking wherein FERC proposes to approve Reliability Standard BAL-003-1. On September 27, 2013, NERC filed Comments in response to the proposed rulemaking and on October 15, 2013, NERC filed Reply Comments. On January 16, 2014, FERC approved BAL-003-1. The compliance enforcement date of Requirements 2, 3 and 4 of BAL-003-1 is April 1, 2015, while the compliance enforcement date of Requirement 1 is April 1, 2016. NERC compliance and NERC legal are currently working to provide guidance and further documentation of the above dates.

Technical Considerations of Implementing BAL-003-1 a. Fixed and Variable Bias – The RS discussed the implementation of fixed and variable bias

given the requirements of BAL-003-1. Chair Beckerle requested adding an item to the RS’s action item list regarding the possibility of sending out a letter to the survey contacts regarding fixed and variable bias. Chair Beckerle tasked Tony Nguyen, Don Badley, Sydney Niemeyer, Mike Potishnak, Francis Monette and Tom Pruitt with requesting and reviewing Form 1’s for BAs using variable bias.

b. Test/Transition to the 0.9% Bias– Terry Bilke proposed that the RS sanction a three month field test wherein a sampling of BAs or an Interconnection implements a 0.9% bias. Sydney Niemeyer suggested that the RS find a small BA with a larger non-conforming load to participate in the field test. A BA that is using variable bias should also be included in the field test. Mr. Bilke suggested that the RS form a task force to provide documentation for use during the field test. The RS observed that on April 1, 2015 the 1.0% bias will shift to 0.9% in accordance with the BAL-003-1. The RS will monitor the technical implementation of the new bias and can propose recommendations to change the percent bias setting as needed.

2. Five-Year Review of Reliability Standards Don Badley reported that a 45-day comment period on the BAL Periodic Review Team’s recommendations to revise BAL-005 and BAL-006 was open through April 7, 2014. The PRT is developing responses to the comments received.

Resources Subcommittee Software Applications Frank Carrera, representing Electric Power Group (EPG), provided a status report of CERTS/NERC applications (Presentation 2). Maps in the Resource Adequacy application are being updated for release in May 2014 and the Inadvertent Interchange web site is being updated to include management functionality. He provided an overview of Frequency Management and Analysis application data issues. Mr. Carrera also provided highlights of the Interconnections annual reliability report. Interconnections 2013 Frequency Response Using Median and Regression and Primary Response Sustainability Carlos Martinez provided a comparison of median and regression methods and accuracy for estimating Interconnections frequency response using 2013 BAL-003 field test data and a definition of sustainability metrics for evaluating Interconnections’ early withdrawal statistics and performance during the 2013 BAL-003 field test (Presentation 3). Some of the observations and recommendations based on Mr. Martinez’s analysis include:

1. Recommendation: Continue using the median for estimating frequency response for BAL-003. Equivalent analysis and assessments should be done using BAL-003 field test data for years 2008 to 2012 and 2014.

2. Continue research, evaluation and report on metrics for capturing withdrawal conditions and its associated reliability risk with NERC staff and the RS.

Frequency and Control Performance and Time Error

1. Frequency Performance, Trends and Events and Time Error a. First Quarter Frequency and Time Error Performance Reports – Song Xue, EPG, reviewed the

preliminary WECC, Eastern, ERCOT and Hydro Quebec Interconnection frequency, control and time error correction performance reports (Presentation 4). The time error correction performance report was only available from ERCOT.

b. Western Interconnection Trends and Events John Tolo distributed the Western Interconnection year-to-date time error report by email following the RS meeting (Exhibit F).

c. Eastern Interconnection Trends and Events Brad Gordon reviewed the EI time error report (Presentation 5).

d. ERCOT Interconnection Trends and Events Sydney Niemeyer stated that EPG’s report captured ERCOT’s frequency, control and time error correction performance statistics.

NERC CONFIDENTIALITY AGREEMENT

FOR NERC RESOURCES SUBCOMMITTEE MEMBERS

This Confidentiality Agreement (“Agreement”), dated _______________, is between the North American Electric Reliability Corporation (“NERC”), and ____________________________________________________________________, a member of the NERC Resources Subcommittee (“RS Member”) (collectively referred to as “Parties”).

WHEREAS, NERC Compliance Monitoring and Enforcement Program collects, reviews, evaluates, and determines if the control performance data is acceptable or in violation of NERC reliability standards’ requirements; and

WHEREAS, NERC Resources Subcommittee, in accordance with the Resources Subcommittee Charter, is the NERC technical resource to support resolution of balancing resources and demand issues and interconnection frequency related issues by providing industry leadership and guidance on matters relating to balancing resources and demand issues and interconnection frequency related issues; reviewing balancing authorities’ control performance on a periodic basis; and addressing technical issues on Automatic Generation Control (AGC), Time Error Correction, Operating Reserves, and Frequency Response; and

WHEREAS, NERC staff and software vendors have established computer applications to collect, tabulate, and carry out the collection and analysis process for both the Compliance Monitoring and Enforcement Program and the NERC Resources Subcommittee; and WHEREAS, in order for the Resources Subcommittee to fulfill its charter, it is necessary for the Resources Subcommittee Members to have access to confidential control performance data and information from operating entities within NERC, and to be able to conduct open and unconstrained discussions among team members, The Parties therefore agree as follows:

1. The term “Control Performance Data” means all data and information that the operating entities within NERC regions have furnished or are furnishing to NERC in connection with the operating entities’ operations within the Bulk Power System, whether furnished before or after the date of this Agreement, whether tangible or intangible, and in whatever form or medium provided (including, without limitation, oral communications), as well as all information generated by the Compliance Monitoring and Enforcement Program.

2. The RS Member understands and agrees that the Control Performance Data is being made available solely for purposes of the work of the Resources Subcommittee and that the Control Performance Data shall not be used in any manner to further the commercial interests of any person or entity. The RS Member further understands and agrees that he or she will not disclose Control Performance Data to any person who has not signed this Agreement except:

a. as such disclosure may be required by law or judicial or regulatory order; b. in accordance with paragraph 5; or c. that a RS Member who is NERC or Regional Entity staff member may make

Control Performance Data available to the NERC or regional compliance program.

3. If the RS Member’s employing organization has signed the NERC Confidentiality

Agreement for Operating Reliability Data (“NERC ORD Agreement”), paragraph 2 shall not be deemed to prohibit RS Member from disclosing Control Performance Data to other employees of that organization, but only to the extent that “operating reliability” as defined in the NERC ORD Agreement is shared within the organization.

4. The Parties expressly agree that Control Performance Data shall otherwise only be disclosed through official releases and reports as authorized by NERC.

5. It shall not be a violation of this Agreement for the RS Member to discuss a specific balancing authority’s Control Performance Data with the specific balancing authority staff with the intent to improve the specific balancing authority’s Control Performance.

6. This Agreement shall be for the sole benefit of the parties hereto. This Agreement may be modified or waived only by a separate writing signed by the Parties. If any clause or provision of this Agreement is illegal, or unenforceable, then it is the intention of the Parties hereto that the remainder of this Agreement shall not be affected thereby, and it is also the intention of the Parties that in lieu of each clause or provision that is illegal, invalid or unenforceable, there be added as part of this Agreement a clause or provision as similar in terms to such illegal, invalid or unenforceable clause or provision as may be possible and be legal, valid and enforceable. This Agreement will be governed and construed in accordance with the laws of the State of New Jersey, except for any choice of law requirement that otherwise may apply the law from another jurisdiction. This Agreement shall have a term of five (5) years from the date hereof.
