ARTICLE I - NAME

The name of this organization shall be the Texas Radiological Society (“TRS” or “Chapter”), which is the Texas Chapter of the American College of Radiology (“ACR” or “College”).

ARTICLE II – PURPOSES /MISSION

The purposes of the TRS, as a chapter of the ACR, shall be to serve the specialty of radiology in Texas by advancing the science, education and practice of radiology; improve radiologic service to patients and the medical community; foster closer fellowship among radiologists; address the economics of radiology; and establish and maintain high medical and ethical standards.

ARTICLE III - AFFILIATION

The TRS is an affiliate of the ACR. The Code of Ethics of the ACR, as published in the College's most recent bylaws, is expressly adopted as the code of ethics of the TRS.

ARTICLE IV - MEMBERSHIP

Section 1 – Classes of MembershipThere shall be ten classes of members in the TRS: (1) Active Members, (2) Associate Members, (3) Fellows, (4) Members in Physics, (5) Associate Members in Physics, (6) Fellows in Physics, (7) Members in Training and Members in Training in Physics, (8) Honorary Members, (9) Retired Members and Fellows, and (10) Inactive Members and Fellows. 1.1 Active Members. An Active Member shall:

a. be a physician engaged in the practice of radiology (Diagnostic or Radiation Oncology), who is certified in radiology or one of its recognized branches by the American Board of Radiology, the American Board of Osteopathic Radiology or the Royal College of Physicians and Surgeons of Canada; or be a physician engaged in the practice of nuclear medicine, who is certified by a specialty board that is a member of the American Board of Medical Specialties or its Canadian equivalent;

b.have the right to vote, be appointed to committees and to hold office in the TRS;c.pay dues and assessments.

1.2 Associate Members. An Associate Member shall:a. be a physician who is engaged in the practice of radiology (Diagnostic or Radiation

Oncology) or nuclear medicine , who has completed an approved residency program in radiology or nuclear medicine, and who meets all the requirements of active membership except requirement (1.1)(a) of this section; (Certification)

b.have the right to be appointed to committees;c.not have the right to vote or hold office in the TRS;d.pay dues and assessments.

1.3 Fellows. A Fellow shall:

a. be an Active Member of the Chapter who has been duly elected to Fellowship by the Board of Chancellors of the ACR;

b.have the right to vote, be appointed to committees and to hold office in the TRS;c.pay dues and assessments.

1.4 Members in Physics. A Member in Physics shall:a. be a physicist engaged in the practice of radiological physics who is certified as a

physicist by the American Board of Radiology;b.have the right to vote, be appointed to committees and to hold office in the TRS;c.pay dues and assessments.

1.5 Associate Members in Physics. An Associate Member in Physics shall:a. be a physicist engaged in the practice of radiological physics who is not certified as a

physicist by the American Board of Radiology;b.have the right to be appointed to committees;c.not have the right to vote or hold office in the TRS;d.pay dues and assessments.

1.6 Fellows in Physics. A Fellow in Physics shall:a. be a Member in Physics of the Chapter who has been elected to Fellowship in Physics

by the Board of Chancellors of the College;b.have the right to vote, be appointed to committees and to hold office in the TRS;c.pay dues and assessments.

1.7 Members in Training and Members in Training in Physics. A Member in Training or a Member in Training in Physics shall:a.occupy a residency or fellowship position in radiology or in a radiologic subspecialty in

a department approved by the Accreditation Council for Graduate Medical Education or the American Osteopathic Association, or be a student in a formal approved educational program in medical physics;

b.shall, if a resident, be a member of the Resident Section of the TRS;c.have the right to be appointed to committees; d.not have the right to vote or hold office in the TRS; except the Chair of the Resident

Physician Section shall be a voting member of the TRS Executive Committeee.not be required to pay dues;

1.8 Honorary Members. An Honorary Member shall:a. be an individual who has made special contributions to the field of Radiology or

possesses special qualifications in fields associated with Radiology, but cannot fulfill the qualifications of active membership;

b.have been nominated for honorary membership by a TRS member or committee and approved by a 2/3 vote of the Executive Committee;

c.not have the right to be appointed to committees, to vote or to hold elective office;d.not pay dues or assessments or vote.

1.9 Retired Members and Fellows. A Retired Member or Fellow shall:a.be an Active Member, Associate Member, Fellow, Member in Physics, Associate

Member in Physics, or Fellow in Physics who has retired from active practice, whose written request for this status has been approved by the Executive Committee;

b.have the right to be appointed to committees;c.not have the right to vote or hold office in the TRS;d.not pay dues or assessments.

1.10 Inactive Members and Fellows. An Inactive Member or Fellow shall:a. be an Active Member, Associate Member, Fellow, Member in Physics, Associate

Member in Physics, or fellow in physics who is temporarily unable to continue the practice of radiology, and whose written request for this status has been approved by the Executive Committee;

b. not have the right to vote, be appointed to committees or hold office in the TRS;c.not pay dues or assessments.

Section 2 – Application for MembershipTwo methods exist for applying for initial membership in the TRS.2.1 Individuals seeking membership in both the TRS and the ACR.

a. The TRS has adopted the centralized membership system of the ACR. A prospective member shall request membership applications for both the TRS and the ACR. The applications and all supporting documents are returned to the ACR.

b. If all ACR criteria for membership are met, the applicant’s name is published for comment in the ACR Bulletin.

c. If no objections are received, the TRS application is sent to the Chapter Secretary for approval.

d. The ACR will collect all dues and forward the correct portion of the application and dues to the TRS.

2.2 Individuals seeking membership in the TRS only.a. The prospective member shall request a membership application from the Secretary

or Administrative office of the TRS.b. The completed application, all supporting documents, and a check for one year’s dues

shall be sent to the TRS Administrative office to be processed according to procedures established by the Executive Committee.

2.3 If membership in the TRS is denied by the Membership Committee, the applicant may file a written appeal to the Judicial Affairs Committee of the Chapter asking for a hearing within a 90 day period.a. If the appeal is denied, the applicant may appeal in writing for a hearing before the

Executive Committee. The reasons for denial will be presented by the Immediate Past-President of the Society, who serves as the Chair of the Judicial Affairs Committee.

b. The Immediate Past-President shall not vote on the Executive Committee’s decision regarding membership.

c. The decision of the Executive Committee shall be final.

Section 3 - Transferring Membership from another State Chapter3.1 Any member of the ACR wishing to transfer to the TRS from another state chapter must

contact the Secretary or Administrative Office of the TRS for proper forms so that procedures established by the Executive Committee may be followed.

3.2 All members transferring to the TRS from another state chapter must be approved by vote of the Executive Committee.

Section 4 – Termination of Membership4.1 A member who wishes to resign may do so by writing a letter of resignation to the

Secretary of the Chapter. 4.2 Any member of the TRS who is convicted of a felony or whose license to practice medicine

is revoked by a state licensing board shall automatically forfeit membership in the Society.

4.3 For lesser acts of malfeasance or ethical breaches, which might reflect discredit on the Chapter or for violations of the rules, regulations or principles of the Chapter, the TRS may censor an individual or revoke membership in the TRS. Delegations of such acts shall be brought to the Chair of the Judicial Affairs Committee. The Judicial Affairs Committee shall investigate the allegations and make a recommendation for action to the Executive Committee. The Executive Committee, upon a majority vote of those members present, shall make a recommendation for action to the membership as a whole. Final action shall be taken by a 2/3 vote of members present and voting at the annual business meeting.

ARTICLE V – SECTIONS OF THE TRS

Section 1 - Section of Radiation Oncology1.1 Membership in the Section of Radiation Oncology is open to those members of the TRS

who practice Radiation Oncology or who have a demonstrated interest in this specialty. Active participation in the affairs of the TRS is encouraged and is requisite for election to office in the Chapter.

1.2 The Section of Radiation Oncology has separate bylaws, which may augment but not replace the bylaws of the TRS.

1.3 Members of the Section on Radiation Oncology elect their own officers and define their own scientific programs, socioeconomic interests, and business.

Section 2 – Section of Medical Physics2.1 Membership in the Section of Medical Physics is open to those members of the TRS who

practice Radiation Physics or who have demonstrated interest in this specialty. 2.2 The Section of Medical Physics has separate bylaws, which may augment, but not replace

the bylaws of the TRS.2.3 Members of the Section of Medical Physics elect their own officers and define their own

scientific programs, socioeconomic interests and business.

Section 3 – Resident Physician Section3.1 All Members in Training of the TRS shall be members of the Resident Physician Section.3.2 The Resident Physician Section has separate bylaws, which may augment but not replace

the bylaws of the TRS.3.3 The Resident Physician Section elects its own officers. The Chair of the Section is a voting

member of the TRS Executive Committee.3.4 Members of the Resident Physician Section are encouraged to apply for Active Membership

in the TRS upon completion of training.

ARTICLE VI - OFFICERS

The officers of the TRS are the President, the President-Elect, the Immediate Past-President, the First Vice-President, the Second Vice-President, the Secretary, the Treasurer, the Chief Councilor, the Chair of the Section of Radiation Oncology, and the Chair of the Section of Medical Physics.

Section 1 – Election of Officers1.1 Election of officers, as well as election of Councilors and elected members of the

subsequent year’s Nominating Committee, shall occur at the annual business meeting.a. The Nominating Committee shall submit its list of candidates for approval to the

interim Executive Committee meeting.b. At least 30 days prior to the annual business meeting, the names of the nominees shall

be submitted to the voting members of the Chapter. This may be done either by mail or by posting the names on the TRS web site.

c. Nominations may be made from the floor at the annual business meeting for the positions of Second Vice-President, Councilor, Alternate Councilor or elected member of the subsequent year’s Nominating Committee.

d. Election is by a majority vote of the members present and eligible to vote at the annual meeting. A run-off between the two candidates receiving the most votes shall be held if no candidate receives a majority vote on the first ballot.

Section 2 – Terms of Office2.1 The President, President-Elect, First Vice-President, and Second Vice-President shall serve

one-year terms.2.2 The Secretary and Treasurer shall serve three-year terms and shall be eligible for reelection.2.3 The Chief Councilor shall be elected by the Councilors and shall serve a two-year term, but

may be re-elected at the pleasure of the Councilors (Article XIV, Sec. 5).2.4 The Vice Chief Councilor shall be elected by the Councilors and serve a two-year term, and

may be re-elected at the pleasure of the Councilors. In case of resignation of the Chief Councilor, the Vice Chief Councilor shall succeed the Chief Councilor until the next meeting of the Councilors.

2.5 The Chair of the Section of Radiation Oncology shall be elected according to the Bylaws of that Section.

2.6 The Chair of the Section of Medical Physics shall be elected according to the bylaws of that section.

2.7 The Chair of the Resident Physician Section shall be elected according to the bylaws of that section.

2.8 Elected officials shall take office at the end of the TRS business meeting at which they are elected. Elected Councilors and Alternate Councilors shall take office at the end of the next ACR annual meeting.

Section 3 – Progression of Officers3.1 Once elected, the Second Vice-President shall progress on a yearly basis sequentially

through the offices of First Vice-President and President-Elect to President. ARTICLE VII - DUTIES OF OFFICERS

Section 1 – President The President shall be the presiding officer of the TRS and shall perform all the duties that custom and parliamentary practice associate with the office of the President. The President shall:1.1 be a member ex-officio of all committees and shall act as Chair of the Executive Committee;1.2 fill any vacancies of appointed positions during his/her term of office.1.3 Within 30 days the new President will complete appointment of committees for the

following year and provide a list to the Secretary.1.4 In the absence of the President, or in his or her inability to act, the order of succession to the

duties of the office shall be as follows: President-Elect, First Vice-President, Second Vice-President.

Section 2 – President-ElectThe President-Elect shall be an ex-officio member of all committees and become acquainted with policies of the organization through the officers, standing committees, and those in charge of the specific activities.2.1 At the close of the annual business meeting, the President-Elect automatically becomes

President.2.2 The President-Elect shall be Chair of the Judicial and Governmental Council and shall

Chair the Legislative Committee.2.3 The President-Elect should specifically make efforts to maintain liaison with the incoming

Chairs of the Oncology, Medical Physics and Resident Physician Sections and their officers in order to function more effectively the following year.

2.4 In the absence of the President-Elect, the 1st Vice President shall fulfill these duties as well as those described under Section 4.

Section 3 – Immediate Past-PresidentThe Immediate Past-President shall be Chair of the Organizational Structure Council and shall be Chair of the Board of Trustees, the Judicial Affairs Committee, and the Nominating Committee.

Section 4 – First Vice-PresidentThe First Vice-President shall be Chair of the Educational Council and shall Chair the Program Committee.

Section 5 – Second Vice-PresidentThe Second Vice-President shall be Chair of the Member Services Council and shall conduct an active campaign to recruit new members in cooperation with the President and Secretary.

Section 6 - SecretaryThe Secretary shall be Chair of The Information Council. The Secretary shall:6.1 be responsible for recording and preserving the minutes of the proceedings of the

meetings of the TRS and of the Executive Committee and shall forward a copy of the minutes of each meeting of the TRS promptly to the headquarters of the ACR,

6.2 notify all members of the TRS of their appointments and shall keep a record of the membership of the TRS,

6.3 notify all members as to time and place of meetings and of any special business to be

brought before the TRS, and6.4 publish and distribute a roster of officers, committee members, other appointments and

general information to the membership.

Section 7 - TreasurerThe Treasurer shall be Chair of the Ways and Means Council. The Treasurer shall:7.1 receive all monies due the TRS and shall disburse such monies. 7.2 make a financial report to the TRS at each annual business meeting, to the Executive

Committee at its meetings, and shall supply reports more frequently to the President if requested.

Section 8 – Chief Councilor shall be Chair of the ACR Relations Council and the Vice Chief Council shall Chair the Practice Council.

Section 9 – Vacancy in OfficeVacancies occurring in any elected office, other than President (see above 1.4) shall be filled by a majority vote of the Executive Committee. If the Progression of Officers (Article VI section 3 above) is disrupted by illness, inability or unwillingness to serve, any vacancy except for President will be filled by a majority vote of the Executive Committee. A qualified individual will be chosen to serve any remainder of the current one year term. The remaining elected officers in the progression of officers will continue to progress in order and the nominating committee will then choose a new individual to assume the position of Second Vice President or Second Vice President and First Vice President if needed.

ARTICLE VIII – OTHER OFFICERS

Section 1 – HistorianThe Historian shall maintain a record of the historical events involving radiology in Texas, and do research into the history of the Chapter and its archives. The Historian:1.1 is appointed annually by the President.1.2 shall submit a report annually to the Secretary of the Chapter by recording the historical

events involving radiology in Texas during the past year.

ARTICLE IX – LIAISONS TO OTHER ORGANIZATIONS

Section 1 – Medicare LiaisonThe Society shall have two Medicare Liaisons, one for Diagnosis and one for Radiation Oncology, and an Alternate Liaison for each.2.1 The Liaisons shall keep up to date with changes in Medicare reimbursement and policies

and interact with the Medicare intermediaries. They shall keep the Executive Committee informed of changes in Medicare reimbursement and policy.

2.2 The Medicare Liaisons are appointed by the President and each serve two-year terms. At the end of the two-year term, they may succeed themselves in office.

2.3 The Alternate Liaisons for Diagnosis and Radiation Oncology are appointed by the President and succeed the Liaisons when a vacancy occurs.

Section 2 – Texas Medical Association (TMA) LiaisonThe TMA Liaison serves as liaison between the TMA and the TRS. The TMA Liaison:3.1 is appointed by the President for a two-year term. 3.2 serves as the Society’s representative to the TMA, attending the annual TMA Inter-Specialty

Society meetings. 3.3 informs the Executive Committee of the Activities of TEXPAC.3.4 reports to the Chairs of the Practice Council and the Judicial and Governmental Council.

ARTICLE X – GOVERNANCE

Section 1 - The Executive Committee – The Executive Committee shall be composed of the President, the President-Elect, the First Vice-President, the Second Vice-President, the Immediate Past-President, the Secretary, the Treasurer, the Chair of the Section of Radiation Oncology, the Chair of the Section of Medical Physics, the Chair of the Resident Physician Section, the Chief Councilor, and the Vice Chief Councilor.1.1 The President of the TRS shall preside at Executive Committee meetings. The President will

only cast a vote in decisions of the Executive Committee in the case of a tie.1.2 If the President is absent or incapable of action, the order of succession to the duties of the

office of President is President-Elect, First Vice-President, Second Vice-President.1.3 The Executive Committee shall meet in person or by electronic media as determined by the

President. 1.4 The executive Committee shall act for the TRS between regular business meetings of the

society and shall perform such duties as specified in the bylaws.

Section 2 – The Board of Governors – the Board of Governors shall be composed members of the Executive Committee, members of the Board of Trustees, Chairs of all standing Committees/Councils, as well as all Councilors and Alternate Councilors.2.1 The Board of Governors will meet at the Annual Meeting of the TRS and at any

scheduled interim meeting.

ARTICLE XI - COUNCILS

There shall be eight Councils: Judicial and Governmental Council, Education Council, Member Services Council, Organizational Structure Council, ACR Relations Council, Practice Council, Information Council, and Ways and Means Council. Each Council shall be comprised of committees with similar missions.

Section 1 - Council composition and terms – Each Council Chair shall be a member of the Executive Committee and each member of the Executive Committee, except the President, shall have responsibility for one of the Councils and the standing committees and Liaisons that are assigned to it.

ARTICLE XII – Board of Trustees

Section 1 – CompositionThe Board of Trustees shall be composed of the immediate Past-President and the preceding two living Presidents. The Board acts as a Senior Advisory Group to the Executive Committee, serves as the Judicial Affairs Committee, and awards Gold Medals.

Section 2 – Gold MedalThe Board of Trustees shall serve as the Gold Medal Committee. It may periodically award a Gold Medal to a chosen recipient at the time of the annual meeting of the TRS. Nominations for the Medal should be submitted to the Chair of the Board of Trustees. The following criteria and procedures shall prevail:

2.1 The award shall be for outstanding service to radiology and radiologists of Texas, or for meritorious scientific achievement that reflects credit upon radiology in Texas. This award is not intended for recognition of activities at the national level, but shall reflect the admiration and approval of the recipient’s peers within the TRS.

2.2 The award is not obligatory each year.2.3 The award should not be made posthumously, except when recipient has died following his

or her selection.2.4 The recipient shall have been a member of the TRS for at least ten years.2.5 A nominee shall currently be in good standing with the ACR and shall be certified by the

American Board of Radiology, the American Board of Nuclear Medicine or the American Board of Osteopathic Radiology.

2.6 Nominations shall be presented, in writing, to the Secretary at least four months prior to the date of any duly selected interim meeting or the date of the annual business meeting. The Executive Committee may nominate suitable candidates for such award on its own.

2.7 Approval of a nominee shall require a two-thirds vote of the Board of Trustees and the Executive Committee. No more than one nominee shall be approved for any one year except in unusual circumstances to be determined by the unanimous vote of the Executive Committee.

ARTICLE XIII – STANDING AND AD-HOC COMMITTEES

The President shall appoint Ad-hoc committees as necessary for the proper functioning of the TRS, in addition to the following standing committees. Each standing committee shall provide a written report to the President one month prior to the annual Executive Committee meeting. Unless otherwise specified by these bylaws, the Chairs of the committees shall be appointed by the President.

Section 1 - Legislative CommitteeThis committee should anticipate and review proposed legislation that affects the practice of radiology in the state.

1.1 The committee shall be composed of a Chair and three members. The Chair shall be appointed by the President and serve without specific limitation of term as long as his/her actions are deemed beneficial to the TRS. The three members shall be appointed by the President to serve staggered three-year terms. The committee may have at-large members as necessary to provide a broad perspective to the committee.

1.2The activities of the committee shall be overseen and approved by the President-Elect as Chair of the Judicial and Governmental Council.

Section 2 - Judicial Affairs CommitteeThis committee shall investigate charges of unethical conduct or malfeasance by a member of the TRS, as well as denials of membership by the Membership Committee, and shall transmit its recommendations to the Executive Committee of the TRS. 2.1 The Board of Trustees shall act as the Judicial Affairs Committee.2.2 The Immediate Past-President shall Chair the committee.2.3 A two-thirds vote of the Committee is required to move the recommendation for denial or

revocation of membership privileges to the Executive Committee, which decides the issue according to the provisions for discipline of the Bylaws of the ACR.

Section 3 - Program CommitteeThe Program Committee is composed of three individual subcommittees, the Diagnostic Radiology Program Committee, the Radiation Oncology Program Committee, and the Resident Program Committee. These committees are responsible for preparing the educational programs for the annual TRS meeting, and other efforts in continuing education as appropriate. The activities of each of the committees shall be overseen and approved by the First-Vice President as Chair of the Education Council.

3.1 Diagnostic Radiology Program Committee shall be chaired by the senior member of the committee.

3.1.1 The committee shall be responsible for constructing the annual Diagnostic Radiology Program and inviting selected speakers.

3.1.2 The committee shall be composed of three members who are appointed by the President to serve staggered three-year terms. The committee may have at-large members as necessary to provide a broad perspective to the committee.

3.2 Radiation Oncology Program Committee shall be chaired by the senior member of the committee.

3.2.1 The committee shall be responsible for constructing the annual Radiation Oncology Program and inviting selected speakers.

3.2.2 The committee shall be composed of three members who are appointed by the President to serve staggered three-year terms. The committee may have at-large members as necessary to provide a broad perspective to the committee.

3.3 Resident Program Committee shall be chaired by the Chair of the Resident Physician Committee

3.3.1 The committee shall be responsible for constructing the annual Resident Program and inviting selected speakers.

3.3.2 The committee shall be composed of the Chair of the Resident Physician Committee, the Chair of the Texas APDR, and the three Officers of the Resident Physician Section. The committee may have at-large members as necessary to provide a broad perspective to the committee.

Section 4 - Local Arrangements CommitteeThis committee shall work together with the Executive Director to help plan the meetings for the following three years.

4.1 The committee shall be composed of three members who are chosen based on their city of residence in relation to the site of the upcoming meetings. The members shall be appointed by the President to serve staggered 3-year terms; the senior member of the committee shall serve as the Chair with his/her city of residence coinciding with the site of the upcoming meeting

4.2 The activities of the committee shall be overseen and approved by the First Vice-President as Chair of the Education Council.

Section 5 - Resident Physician CommitteeThis committee shall act as a liaison to the Resident Physician Section of the TRS and shall help them prepare the resident program for the annual TRS meetings, as well as encourage and coordinate Members in Training to participate in the various projects and meetings of the TRS. The President shall appoint the Chair.

Section 6 - Membership CommitteeThis committee shall be responsible for monitoring membership and designing and executing a membership retention/recruitment plan. 6.1 The committee shall be composed of three members who are appointed by the President to

serve staggered three-year terms. The committee shall be chaired by the senior member. The committee may have at-large members as necessary to provide a broad geographic representation.

6.2 The actions of the committee shall be overseen and approved by the Second Vice-President as Chair of the Member Services Council.

Section 7 - Long Range Planning Committee7.1 This committee should prepare a three-year activity plan for the TRS and should annually

update this written plan to coordinate it with the goals and objectives of the TRS and the College.

Section 8 - Bylaws CommitteeThis committee shall annually review the bylaws of the TRS and submit any proposed changes to the Secretary so that such proposed changes can be submitted to the Executive Committee at least forty-five days prior to the annual business meeting, at which proposed amendments are voted upon.8.1 The committee shall review any proposals by the Executive Committee as to changes in

bylaws. 8.2 The specific proposed amendments shall be distributed to the membership of the Chapter by

the Secretary no less than thirty days prior to the annual business meeting, either by mail or on the TRS web-site.

Section 9 - Nominating CommitteeThis committee shall present nominations for the office of Second Vice-President, Councilors, Alternate Councilors, and members of the following year’s Nominating Committee to the annual business meeting.

9.1 The Nominating Committee shall be composed of the Board of Trustees and three members of the Chapter to be elected at the annual business meeting. No more than one elected member of the Nominating Committee shall come from any single Councilor District. The Past President shall serve as Chair.

9.2 The list of candidates selected by the Nominating Committee shall be presented to the interim fall meeting of the Executive Committee and shall be distributed to the membership no later than 30 days prior to the annual business meeting by mail or on the TRS web-site.

Section 10 – ACR Resolutions CommitteeThis Committee shall receive proposals for resolutions from the membership of the Chapter to be presented to the Council of the ACR at its annual meeting. The Committee shall draft these resolutions and present them to the Executive Committee for approval. The Chief Councilor shall serve as Chair. Members shall be appointed by the Chief Councilor in consultation with the President.

Section 11 - Fellowship CommitteeThis committee shall review the membership of the TRS annually for the purpose of nominating members to fellowship in the ACR. This committee should be composed of Fellows of the College. The Chief Councilor shall serve as chair of this committee, assuming that the Chief Councilor is a fellow of the ACR. If the Chief Councilor is not an ACR fellow, the chair shall be appointed by the President.

Section 12 - Nuclear Radiology Committee (Ad-Hoc Committee)The Nuclear Radiology Committee will be activated and appointed only when deemed necessary by the President. This committee when activated shall monitor the activities of state and federal nuclear regulatory agencies; respond for the TRS to requests for input on proposed changes in state and federal regulations and policies having to do with radiation; maintain surveillance of problem areas and socioeconomic issues relevant to the practice of nuclear medicine or nuclear radiology by radiologists, and report to the Chair of the Practice Council; provide guidance to the TRS Program Committee as to topics and speakers on nuclear radiology for the Annual Meeting; foster participation in the activities of the TRS by physicians practicing nuclear medicine or nuclear radiology. 12.1 This committee shall consist of three members, one of whom shall be appointed as Chair

by the President.12.2 The Chair shall represent the committee to the Executive Committee of the TRS.

Section 13 - Technologist Advisory Committee (Ad-Hoc Committee)The Technologist Advisory Committee will be activated and appointed only when deemed necessary by the President. This committee when activated shall assist organizations and individuals in projects and programs undertaken to advance radiologic technology.

Section 14 - Radiology Practice Committee (Ad-Hoc Committee)The Radiologic Practice Committee will be activated and appointed only when deemed necessary by the President. This committee when activated shall be charged with the duty of

assisting members of the TRS in the practice economics of radiology in accordance with the principles and policies of the ACR. This committee will also interface with third-party insurance carriers. When activated, the primary Medicare Liaisons shall serve as co-chairs.

Section 15 - Communications Committee This committee shall serve as a body to integrate information about radiology and communicate it to our members and the public in general; shall promote the specialty of radiology and enhance it in the eyes of the public; shall work with the public relations staff at Texas Medical Association and ACR and with the TRS Executive Committee to strengthen public awareness of radiology; shall enhance press awareness of the annual meeting; become aware of educational materials, films and videotapes and make offerings of exceptional quality known to the membership so that they may find use in local communities; shall coordinate a speaker's bureau; and shall prepare and publish on a regular basis the TRS newsletter, The View Box. The chair shall be appointed by the President and shall be the editor of The View Box.

Section 16 - Finance Committee This committee shall submit an annual budget for approval by the Executive Committee at the mid-year meeting. It shall also submit a financial report to the Executive Committee at both the annual and mid-year meetings. The committee shall be composed of the Treasurer, the President, the President-Elect, and the First Vice President. The Treasurer shall serve as Chair.

Section 17 – Information Technology CommitteeThis committee shall research and establish an independent server architecture for the TRS, and subsequently establish web-based software applications to simplify and streamline administration and improve collaboration within the TRS.   This committee will also help with the decision-making involved in the selection and purchase/rental of software and equipment such as LCD’s, computers, audience response systems, etc.

17.1 The committee shall be composed of a Chair and at least two other members who are appointed by the President. The term of office shall be for one year with reappointment at the discretion of the President. The committee may have at-large members as necessary to provide a broad perspective to the committee.

17.2 The actions of the Committee shall be overseen and approved by the Secretary as the Chair of the Information Council

Section 18 – Political Action CommitteeThis committee shall make all decisions regarding TRS Political Action Committee funding, administrative operations, and disbursement of funds.

18.1 The Committee shall be composed of a Chair, Treasurer, and three members specifically from the Legislative Committee for a total of five members. The Chair and Treasurer shall be appointed by the President and serve without specific limitation of term as long as his/her actions are deemed beneficial to the TRS. Membership on the Legislative Committee is not required but preferred for the Chair and Treasurer. The three remaining members shall be appointed by the President to serve staggered three-year terms. 18.2 The activities of the committee shall be overseen and approved by the President-elect as

Chair of the Judicial and Governmental Council.

ARTICLE XIV - COUNCILORS AND ALTERNATE COUNCILORS TO THE ACR

The TRS shall elect Councilors and Alternate Councilors to the Council of the ACR in such numbers and on terms authorized by the bylaws of the College and the rules and regulations of the ACR Council.

Section 1 - ElectionElection of Councilors and Alternate Councilors shall be by ballot at the annual business meeting of the TRS.1.1 The nominee for each vacant Councilor position who receives a majority of the votes cast

shall be declared elected.1.2 In case no candidate for a vacancy receives a majority of votes, a second ballot shall be

taken on the two candidates receiving the greatest number of votes.1.3 For each Councilor elected, the TRS shall elect, by the same procedure, an Alternate

Councilor.1.4 Councilors and Alternate Councilors must be Members of the College.

Section 2 – Terms of OfficeThe term of office of a Councilor shall be three years, or whatever term of office is prescribed in the current Bylaws of the ACR. Councilors are eligible to succeed themselves for one additional term of three years, but shall not be eligible for re-election to additional terms until a lapse of no less than one year; provided, however, that notwithstanding anything in this section to the contrary, the terms of any or all of the Councilors first elected under this article may be established at less than three years to insure that the terms of one-third of the Councilors or a number as near as practical so elected expire each year.2.1 Councilors shall be elected from each of the Council Districts as established by the

Executive Committee and approved by the Membership at the annual business meeting. In addition the Membership shall elect Councilors At Large to fill the remaining Councilor positions allocated to the TRS by the ACR.

2.2 A Councilor or Alternate Councilor shall take office at the close of the next annual meeting of the ACR following their election at the TRS annual business meeting.

2.4 Vacancies which occur during the term of the Councilor or Alternate Councilor shall be filled by the President.

Section 3 – Duties of CouncilorsThe Councilor's primary duty is to serve as a representative from the TRS in the Council of the ACR.3.1 The Councilors shall attend and participate actively in the meetings of the TRS and the

ACR; shall familiarize themselves with the activities and problems of radiology at the local and national levels; shall act as liaisons between the TRS and the ACR and shall stimulate preparation of resolutions from the TRS for presentation to the ACR Council.

Section 4 – Alternate Councilors

The Alternate Councilors shall help the Councilors in the performance of their duties and accompany them to meetings of the TRS and the College. The Alternate Councilor shall be prepared to act for the Councilor whenever necessary.4.1 The term of office of an Alternate Councilor shall be one year; Alternate Councilors shall

be eligible to succeed themselves. An Alternate Councilor shall be eligible at any time to be elected Councilor for a full three-year term.

Section 5 – Organization of CouncilorsAt the annual business meeting of the TRS, after the Councilors have been elected, the Councilors shall meet and elect a Chief Councilor. The Chief Councilor shall:5.1 chair the Councilors at all meetings and caucuses they may have;5.2 be responsible for the planning of the new Fellow’s dinner held each year at the annual

meeting of the ACR to honor new Fellows;5.3 perform all other duties set out by the Bylaws.5.4 The Chief Councilor is elected to serve a two-year term but may be re-elected at the

pleasure of the Councilors.5.5 The Chief Councilor may not serve concurrently as a member of the ACR Steering

Committee.5.6 The Councilors shall elect a Vice Chief Councilor, who assists the Chief Councilor in all

duties. The Vice Chief Councilor serves in place of the Chief Councilor should the Chief Councilor be absent or unable to act.

ARTICLE XV – MEETINGS OF THE TRS

Section 1 – Annual Business MeetingThe annual business meeting shall be held in conjunction with the Scientific and Postgraduate Program at a time and place to be determined by the Executive Committee at least two years in advance of the meeting. The time and place of the meeting shall be posted on the TRS web-site by the Secretary as soon as they are decided.1.1 A quorum of the Chapter at the annual business meeting is fifteen voting members.1.2 The agenda of the annual business meeting of the TRS shall be established by the President

and shall be posted on the TRS web-site at least thirty days prior to the meeting.1.3 The annual business meeting of the TRS shall be open to all radiologists, but only Active

Members, Fellows, Members in Physics, and Fellows in Physics of the Chapter may vote.

Section 2 – Meetings of the Board of Governors and Executive CommitteeThe Board of Governors of the TRS shall meet at least twice annually. One meeting shall be held immediately prior to or during the Annual Meeting. The second interim meeting shall be held at least one month prior to the annual meeting of the ACR. The Executive Committee will meet as needed as determined by the President.2.1 Notice of Board of Governors Meetings is to be posted on the web page at least thirty days

prior to the meeting.2.2 The meetings of the Board of Governors are open to members of the TRS, although only

members of the Board may vote.2.3 Notice of Executive Committee Meetings is to be posted on the webpage at least twenty-

one days prior to the meeting.2.4 The Meetings of the Executive Committee are open to members of the TRS, although only

Executive Committee members may vote.2.5 Special Meetings of the Executive Committee may be called by the President by phone or

other electronic notice of at least 3 days prior to the meeting. 2.6 A quorum for the Executive Committee is at least six members.2.7 The Executive Committee may go into a closed, executive session under exceptional

circumstances by a two-thirds vote of the Executive Committee.

Section 3 – Special Meetings of the TRS Special meetings of the TRS may be called by the President at the request of one-half of the members of the Executive Committee, at the request of thirty Active Members, Fellows, Members in Physics, Fellows in Physics, or at the request of the Council of the American College of Radiology. Notice of the time, place, and purpose of special meetings of the TRS shall be posted on the TRS web-site at least thirty days prior to the meeting.3.1 No business may be transacted at the Special Meetings except the specific business for

which the Special Meeting was called.

ARTICLE XVI - DUES AND ASSESSMENTS

1.1 All Active and Associate Members, Fellows, Members in Physics, Associate Members in Physics, and Fellows in Physics shall pay dues or assessments in an amount based upon a budget prepared by the Executive Committee and approved by the Members at the annual meeting.

1.2 Members in Training, Members in Training in Physics, Honorary, Retired, and Temporarily Inactive Members shall not pay dues or assessments.

1.3 Members-in-Training or Members-in-Training-in-Physics become members of the Society on completion of their training period. They are not billed for the remainder of the year in which they finish their training, nor are they billed for the following 1-year billing cycle.

1.4 Assessments may not be levied on dues-paying members except upon recommendation of the Executive Committee and approval by a majority vote at the annual business meeting of the TRS, notice of such recommendation having been given to the membership at the web-site no fewer than 30 days prior to the annual business meeting.

1.5 Names of members in arrears in payment of dues or assessments shall be referred to the Executive Committee for action.

ARTICLE XVII – RATIFICATION AND AMENDMENTS OF THE BYLAWSSection 1 – RatificationThese Bylaws become effective only upon ratification at a regular annual business meeting of the TRS by an affirmative vote of two-thirds of the voting members present. They must have been presented to the voting membership at least thirty days prior to the meeting by mail or on the TRS web-site.

Section 2 – AmendmentAmendments to these bylaws may be made at any annual business meeting of the TRS by an affirmative vote of two-thirds of the voting members present.2.1 Any proposed amendment must have been provided to the Bylaws Committee at least

ninety days prior to the annual business meeting. The Bylaws Committee may edit the bylaw for form but not content.

2.2 The Bylaws Committee shall present the proposed bylaw or bylaw-change to the Executive Committee at least thirty-five days prior to the annual business meeting.

2.3 An affirmative vote of two-thirds of the Executive Committee is necessary to forward the proposed bylaw or the proposed bylaw change to the voting membership of the annual business meeting.

2.4 The bylaw or bylaw change shall be posted on the TRS web-site at least thirty days prior to the annual business meeting.

2.5 Any amendment so adopted shall not be contrary to requirements for TRS status in the ACR and shall be immediately forwarded to the College for its records.

Section 3 – ConcordanceNothing in these bylaws or in any amendment to the bylaws may in any ways alter the status of the TRS as a Chapter of the ACR. Provision of these bylaws may augment but not replace the bylaws of the ACR.
