29th North American International Auto Show (NAIAS) 2018 to be held at Cobo Center in
Detroit, Michigan on January 14-28, 2018. This is our 34th year with the Detroit Auto
Dealers Association (DADA) and we are grateful for your support.
As General Contractor for the NAIAS 2018 we have enclosed the information and forms
you will need to have a successful show. Please read this manual carefully to ensure
that you meet the deadline dates for the various services you will require. Return each
form to the address indicated on that form. Phone orders will not be accommodated.
Please refer to the enclosed calendar for information regarding Installation and
Dismantle Dates, Press Week, Supplier Preview Days and Charity Preview. Contact CSS
for your installation date.

The NAIAS secures dates with Cobo Center for the installation and dismantle of this
event. Additional days may be purchased if your stand requires them, subject to
availability. The NAIAS will be billing all early move-in and extended move-out charges
for the 2018 NAIAS. Please contact Andrea Trudeau, [email protected], for rates
and availability.
Early move-in charges begin when your lighting company or any other vendor servicing
your stand enter the hall. The extended move-out charges end when your complete
exhibit space is empty, including your lighting. The cost is calculated on a daily basis
and divided evenly among all exhibits occupying the hall that day.

at the 2018 NORTH AMERICAN INTERNATIONAL AUTO SHOW.

Now therefore, in consideration of the mutual covenants set forth herein, the parties agree as follows:
Exhibiting Firm has authorized and accepted Display House as its agent to handle Exhibiting Firm's display
for the Show and to receive and pay CSS' invoices for services. This Agreement must be completed,
signed, and returned to CSS no later than two (2) weeks prior to the first move-in day in order for third party
billing to be accepted. All parties must sign this Agreement indicating acceptance or request for third
party billing will be denied. This Agreement includes CSS' invoices for all services rendered in conjunction
with Exhibiting Firm's participation in the Show, including but not limited to rental furniture, booth cleaning,
drayage, labor, carpet, and signs whether ordered by Exhibiting Firm, Display House, or other third parties.
CSS shall issue the invoices to Display House. Payment shall be made by Display House within 14 days after
each invoice is issued. In the event that for any reason Display House does not remit payment of CSS’
invoices by the date required, such invoice(s) shall be submitted to Exhibiting Firm for immediate payment.
Payments must be made in U.S. Funds. Invoices may be paid by cash, certified, company or traveler's
check, VISA, MasterCard or American Express. Payment by Exhibiting Firm to Display House shall not
discharge Exhibiting Firm's obligations under this Agreement
SIGNATURES ARE REQUIRED ON THE NEXT PAGE OF THIS DOCUMENT.

In consideration of the services to be rendered by CSS pursuant to this Agreement, Exhibiting Firm
absolutely, unconditionally, and irrevocably guarantees prompt payment when due as required by CSS'
invoices for all services rendered in conjunction with Exhibiting Firm's participation in the Show (collectively
the "Indebtedness"). Exhibiting Firm shall reimburse CSS for all costs, attorney fees incurred, and other
expenses at any time expended or incurred by CSS in collecting or attempting to collect the Indebtedness
or in enforcing this Guaranty. Unless and until the Indebtedness is paid in full, Exhibiting Firm waives any and
all claims and rights of subrogation, contribution, indemnity, and exoneration against Display House or any
other person liable for payment of all or any part of the Indebtedness. Exhibiting Firm waives notice of the
acceptance of this Guaranty; presentment, protest, notice, demand, or action with respect to any default
in payment of the Indebtedness and with respect to any default by Exhibiting Firm in its obligation under this
Guaranty; and any right to require CSS to sue Display House or any other person obligated with respect to
the Indebtedness. The validity and enforceability of this Guaranty shall not be impaired or affected by any
act or omission by CSS with respect to the Indebtedness. Exhibiting Firm waives any and all defenses,
claims, and discharges that Display House may have with respect to the Indebtedness, except the defense
of payment in full by Display House to CSS.
This agreement shall be governed by and interpreted according to the laws of the State of Michigan. Any
litigation commenced based upon this Agreement shall be commenced in the Circuit Court for the County
of Oakland, State of Michigan, or in the appropriate lower District Court in said county, or in the U.S. District
Court for the Eastern District of Michigan, and the parties hereby consent to such personal jurisdiction.
This Agreement contains the complete agreement of the parties as to the subject matter hereof, and
supersedes all previous understanding, negotiations, and proposals with respect to such subject matter.
This Agreement may not be altered, amended, or modified except in writing signed by a duly authorized
representative of the parties hereto.

Convention & Show Services, Inc. requires pre-payments from all exhibitors. You will receive a deposit schedule prior to
the installation. If you have not received a deposit schedule within 2 weeks of your scheduled installation date, please
contact CSS to obtain a deposit schedule. Orders for labor and services will not be honored if the required deposit
payments are not made timely and in whole unless prior arrangements have been requested and approved by CSS.
This may result in a delay of your move-in. We require your complete credit card information even if you are paying by
check or bank transfer.
Exhibitors requesting third parties to pay their invoice must complete and submit the Authorization for Third Party Billing

LIMITATIONS OF CONVENTION & SHOW SERVICES, INC. LIABILITY AND RESPONSIBILITY
Convention & Show Services, Inc. shall be referred to as CSS below.
A. CSS shall not be responsible for damage to uncrated materials, materials improperly
packed, or concealed damage.
B. CSS shall not be responsible for loss, damage, theft, or disappearance of exhibitor’s
materials after same have been delivered to exhibitor’s booth and left unattended.
C. CSS shall not be responsible for loss, damage, theft, or disappearance of materials
before they are picked up from exhibitor’s booth for re-loading after show. Bills of lading
covering outgoing shipments, which are furnished to CSS by exhibitors, will be checked
at time of actual pickup from booth and corrections made where discrepancies occur.
D. CSS shall not be responsible for any loss, damage, or delay due to fire, acts of God,
strikes, lockouts, or work stoppages of any kind, or for any cause beyond its control.
E. CSS’ liability shall be limited to the physical loss or damage to the specific article which is
lost or damaged and in any event CSS’ maximum liability shall be limited to $.30 per
pound per article with a maximum liability of $50.00 per item and $1,000.00 per shipment,
whichever is less.
F. CSS shall not be liable to any extent whatsoever for any actual, potential, or assumed
loss of profits or revenues, or for any collateral cost, which may result from any loss or
damage to an exhibitor’s material which may make it impossible or impractical to exhibit
same.
G. The consignment or delivery of a shipment to CSS by an exhibitor, or by any shipper to or
on behalf of the exhibitor, shall be construed as an acceptance by such exhibitor
(and/or other shipper) of the terms and conditions set forth in this bulletin.
ORDER FOR DRAYAGE SERVICES
We hereby authorize Convention & Show Services, Inc. to handle our shipment(s) in accordance
with the information set forth above in the “Limits of Liability” section of this form and we further
agree to the following:
a. We accept the responsibility for the payment of CSS’ charges in connection with the
handling of our shipments as set forth above and we guarantee payment to CSS in the
event that any third party who acts in our behalf shall fail to pay such charges within 30
days after the close of the show.
b. We agree to the “Limitations of Convention & Show Services’ Liability and Responsibility”
set forth above.
c. We agree that CSS’ liability shall be limited to any loss or damage which results solely
from CSS’ negligence in the actual physical handling of the items comprising our
shipment(s), and not for any other type of loss or damage.

d. With particular reference to subparagraphs b and c of the above, we agree, in
connection with the receipts, handling, storage, and re-loading of our materials at the
convention site (as distinct from CSS’ warehouse) that CSS will provide its services as our
agent, and not as bailee or shipper. If any employee of CSS shall sign a delivery receipt,
bill of lading, or other documents, we agree that CSS will do so as our agent and we
accept the responsibility therefore.
e. Relative to outgoing shipments after the show, we recognize that there will be a lapse of
time between the completion of packing and the actual pickup of our materials from
our booth for loading onto a carrier, and that during such time our shipment will be left
unattended in our booth. We agree that CSS shall not be responsible for any loss or
damage during such period, and we authorize CSS to adjust the quantities of items on
any bill of lading left by us with CSS to conform to the actual count of such items in the
booth at the time of pickup.
f. We agree, in the event of a dispute with CSS relative to any loss or damage to any of our
materials or equipment, that we will not withhold payment of any amount due to CSS for
drayage or any other services provided by CSS as an offset against the amount of the
alleged loss or damage. Instead, we agree to pay CSS within 30 days from the close of
the event for all such charges, and we further agree that any claim we may have
against CSS shall be pursued independently by us as a completely separate transaction
to be resolved on its own merits.
g. In order to expedite removal of materials, CSS shall have authority to change designated
carriers if such do not pick up on time. Where no disposition is made, materials will be
taken to CSS’ warehouse awaiting exhibitor’s shipping instructions, and exhibitor will be
charged accordingly.
h. CSS is not liable for exhibitor freight left on the show floor after the show closing deadline.
It is exhibitor’s responsibility to complete accurate paperwork for shipping and to ensure
exhibitor’s freight is properly labeled. If exhibitor freight remains on the floor after the end
of dismantle, CSS has the right to remove the exhibitor’s freight. CSS is authorized by the
exhibitor to proceed in the manner chosen by the exhibitor on the Order of Material
Handling Services/Straight Bill of Lading, if one has been completed, or otherwise to ship
exhibitor freight at the discretion of CSS and at the exhibitor’s expense. CSS shall incur no
liability for such shipment. CSS retains the right to dispose of customer goods without
liability if they are left on the show floor unattended without labels, or are not correctly
labeled.

The advance warehouse will begin accepting shipments on October 31, 2017. Warehouse
receiving hours are Monday through Friday, 8:00 a.m. to 4:00 p.m. EST. The cost for pre-show
storage is $28.15 per CWT with a 200-pound minimum per shipment to include receipt of freight
at the warehouse, storage, and transportation to Cobo Center. There will be an additional
charge for labor to unload your freight when it arrives at Cobo Center. It is the responsibility of
the Exhibitor to order the labor to unload the freight prior to delivery to Cobo Center. Refer to
the Teamster/Ironworker Labor Order form for the associated costs and order form.

RENTAL AGREEMENT
This Rental Agreement (“Agreement”) is entered into this _______, day of ___________, 20___ by and between Convention & Show Services, Inc., a Michigan corporation, of 1250 John A. Papalas Drive, Lincoln Park, Michigan 48146 (“CSS”), as lessor,
and_______________________________________of__________________________________________________________(“Customer”), as lessee.
Preliminaries A. CSS’s obligations under this Agreement are pre-conditioned, in part, upon its timely receipt of the Rental Request Form and insurance certificates required by this Agreement. B. Subject to the terms and conditions of this Rental Agreement, CSS rents to Customer, and Customer rents from CSS, the personal property (the “Equipment”) described on any Rental Request Form that is a part of this “Agreement” and any Equipment as may hereafter be described on additional Rental Request Forms and/or on Daily Equipment Rental Forms, sample copies of which two forms are attached to this Agreement as Exhibits 1 and 2, respectively. CSS and Customer agree as follows: 1. Customer Responsibilities. a. Acceptance. Customer’s receipt and possession of Equipment constitutes Customer’s acknowledgement that it has inspected the Equipment and accepts the Equipment in good condition, working order and repair as adequate, sufficient, and proper for the purposes for which it was intended. Customer’s use of the Equipment constitutes a full and complete acceptance of the terms and conditions of this Agreement. Customer also agrees that the terms and conditions of all Rental Request Forms and Daily Equipment Rental Forms are made a part of this Agreement they being incorporated herein by this reference.
b. Operation. Customer shall use the Equipment only for the purposes for which it is intended. Customer warrants that: 1) it and its appropriate personnel will read and comply with all the safety instructions including but not limited to the Aerial Work Platform operator’s responsibilities instruction sheet on the reverse of Exhibit 1 to this Agreement; 2) it has received and reviewed the Operator’s Manual for the Equipment and understands the proper and safe operation and intended use of, and the maintenance requirements for, the Equipment; 3) no person shall use or operate the Equipment if the operating instructions and/or safety/warning labels are missing, damaged, or in any way obscured; 4) its operators have been properly trained, and, if applicable, licensed in the safe and proper operation and intended use of the Equipment; 5) it will insure that all fluid levels (water, oil, etc.) are properly maintained and that tires are inflated to recommended pressures at all times when Equipment is in use; 6) it will operate all Equipment at all times in full compliance with all applicable laws, rules and regulations; 7) it is responsible for any damage to the Equipment and any other related damages or injuries incurred during transport of the Equipment by Customer; 8) it will not allow any third parties to have possession of or to operate the Equipment; and 9) it will not use the Equipment in connection with any hazardous substances without CSS’s prior written consent. Customer also agrees to return all Equipment with all fuel tanks full or be charged the prevailing refueling rate to refill tanks. Customer is responsible for the security and condition of the Equipment from time of delivery until the Equipment is picked up by CSS.
c. Maintenance and Repairs. Customer is responsible for any damage including, but not limited to, paint over spray to the Equipment, while in its possession or care, except for reasonable wear and tear. Without limiting the foregoing, Customer is responsible for any losses or damage to Equipment that occurs while being rigged, hoisted, or transported by the Customer or its subcontractor or agents. Customer shall not make, or allow anyone else to make, any alteration to the Equipment without CSS’s prior written consent. If the Equipment is returned in a damaged or inoperable condition, Customer shall pay to CSS the prevailing rental rate for periods during which the Equipment shall remain unavailable for rent. If the Equipment cannot be repaired to the same condition as when first delivered to Customer, Customer shall pay the replacement value, i.e. the Fair Market Value, for the Equipment. Customer is fully responsible for the Equipment until it is picked up by CSS.
d. Risk of Loss and Insurance. Customer shall bear all risk of loss or damage to each item of rental Equipment. Customer will provide CSS with certificates of insurance evidencing the following forms of coverage with insurance companies satisfactory to CSS in form and content:
i) Customer is responsible for carrying commercial general liability insurance, with limits not less than $1,000,000 Each Occurrence and $2,000,000 in the aggregate for bodily injury and third party property damage including products and completed operations. Such coverage shall include a waiver of subrogation and name CSS as an additional insured. Such coverage shall be endorsed to provide coverage on a primary basis over other insurance. ii) Customer is responsible for carrying automobile liability insurance, Hired Car Liability, with not less than $1,000,000 Combined Single Limit. Such coverage shall name CSS as an additional insured. iii) Customer is responsible for providing property insurance covering the replacement [Fair Market Value] cost of the Equipment rented. Such coverage shall name CSS as an additional insured and shall cover all losses and damages on an “all risk” or “special perils” form including flood coverage. Customer hereby assigns to Company all proceeds from such insurance, conveys an equitable lien in said proceeds, and directs any insurer directly to pay such proceeds directly to Company and authorizes Company to endorse any drafts or checks for such proceeds. iv) Customer will provide CSS with certificates of insurance as evidenced above with the current coverage in types and amounts and from companies satisfactory to CSS. Sample certificates with regards to subparagraphs 1(d)(i) and 1(d)(iii) above are attached as Exhibits 3 and 4. These insurance requirements are intended to cover the indemnity obligations under section “9” of this Agreement.
e. Compliance with Laws; Taxes. Customer shall comply will all laws, rules, regulations, and orders relating to the operation of the Equipment, and shall pay all legal assessments, taxes, sales or use taxes or any other public charges, either local, municipal, state or federal which may be levied on the Equipment while in possession of or used by Customer.
f. No Liens. Customer shall not file or grant a voluntary lien or security interest in the Equipment and Customer shall not suffer an involuntary lien on the Equipment. When used for contracted work, Customer shall furnish CSS with a landlord’s or mortgagee’s release, which shall permit CSS to remove the Equipment from such real property at any time during the term of, or after the expiration of, the Agreement. g. Location of Equipment, Levy; Inspection. Customer shall immediately, on CSS’s request, inform CSS of the exact location of each specific item of Equipment covered by this Agreement and shall immediately notify CSS if anyone attempts to levy upon the Equipment, or if the Equipment becomes liable for seizure, and Customer shall indemnify CSS against all loss and damages caused by any such action. CSS shall have the privilege, at all times, of entering any job, building, or location where the Equipment is being used, for the purpose of inspection, and reserves the privilege of removing the Equipment immediately if it is being overloaded or taxed beyond its capacity or in any manner abused, neglected, tampered with or involved in any accident. h. Payment. Customer shall pay the rental amount in accordance with the terms specified on the rental invoices, together with charges for all services furnished by and all damages and sums due to CSS under this Agreement. Interest shall be charged at a rate of one and one-half (1 ½) percent per month, or portions thereof, from date of the invoice, on all amounts not paid when due. Customer’s obligation to pay all rentals due under this Agreement shall not be affected by Customer’s inability to use the Equipment for any reason whatsoever. i. Accidents. Customer agrees to immediately notify CSS about any accidents involving the Equipment or damage to the Equipment from any cause whatsoever, and to preserve the Equipment and the accident scene until such time that CSS has completed its investigation. CSS reserves the privilege and right of removing the Equipment immediately if it is being overloaded or taxed beyond its capacity or in any manner abused, neglected (including manufacturer required inspections), tampered with or involved in an accident. In the event of any damage, theft or accident involving the Equipment, Customer shall immediately notify CSS by phone, with additional notice in writing within 24 hours of the occurrence. Failure to do so will result in Customer’s indemnification of NES regardless of the cause of the accident. Customer shall also be required to provide CSS with all information, including claims, law suits, and proceedings, collected subsequent to the accident and shall cooperate with CSS in all manners connected with any claims or suits.

2. Subletting or Assignment. Without the express prior written consent of CSS, no item of Equipment shall be sublet, assigned, loaned to or operated by other parties, or removed from the location specified on any Rental Request Form or Daily Equipment Rental Form covered by this Agreement. 3. Title. Title to the Equipment shall not be impaired by the Customer. The Equipment shall remain, “personal property”, notwithstanding any use of the Equipment, or a part of the Equipment, on real property or improvements. 4. Termination of Rentals. Each individual rental shall remain in force until this Agreement is terminated as to each such item of rental Equipment by: i) Customer, having properly returned the Equipment to CSS in good repair and in good operating condition; or by, ii) CSS, demanding the return of that Equipment. 5. Default and Remedies. In the event Customer fails to keep and/or perform any covenant or obligation hereby imposed upon or assumed by Customer or otherwise breaches any term or provision of this Agreement, CSS may, without notice to Customer, at any time, terminate and rescind this Agreement and any other Agreement between the parties, and without notice or demand and with or without legal process, CSS my retake and retain possession of the Equipment for its own sole use and benefit, for which purpose it shall be lawful for CSS to go upon any property or to enter into any building where the Equipment may be situated and take, remove, and carry away the Equipment without being deemed to be trespassers. By taking possession of the Equipment, CSS shall not waive or relinquish any other rights, remedies, actions or causes of action to which it may be entitled by virtue of Customer’s breach of this Agreement or otherwise. Customer will pay all costs and expenses, including reasonable attorney’s fees, incurred by CSS in the collection of amounts owed to CSS and/or recovering possession of the Equipment. 6. Warranties. a. Limited Warranty. CSS warrants to Customer that CSS has the right to rent the Equipment and that the Equipment conforms in all material respects to the description stated in this Agreement. On written notice from Customer that Equipment does not conform in all material respects to such description, CSS shall have the right to cure such defect. b. Other Warranties. The warranties set forth above are solely for the benefit of Customer. No warranty, representation, or any other undertaking in this Agreement shall inure to the benefit of any third party. The warranties set forth above are in lieu of all other warranties, express or implied, which are hereby disclaimed by CSS, and which are expressly waived by Customer, including without limitation any warranty or merchantability or fitness for a particular purpose, either expressed or implied, statutory or otherwise. There is no warranty or representation that the Equipment is fit for the Customer’s particular use, or that it is free of latent defects. Customer acknowledges that CSS is not a manufacturer of the Equipment and Customer hereby waives any and all claims for damages for breach of warranty against CSS, including, but not limited to, claims for injury, property damage, parts, labor, delay or business interruption by Customer or third parties. 7. Limitation of Liability. CSS shall not be liable to Customer, its affiliates or any third party for any damages in excess of amounts actually paid by Customer to CSS hereunder, or for any special, consequential, exemplary, punitive or incidental damages (including lost or anticipated revenues or profits relating to the same), arising from any claim relating to this Agreement. Customer’s sole remedy for any failure or defect in the Equipment shall be the termination of the rental charges at the time of failure, provided CSS is timely notified of such failure and the Equipment is returned to CSS within 24 hours. Customer acknowledges and agrees that such remedy shall not be deemed or alleged by Customer to have failed of its essential purpose, at either law or in equity. Customer agrees that its sole remedy for any and all breaches or other causes of action arising under this Agreement shall be limited as provided in this Section 7. 8. Limited Damage Waiver. Customer acknowledges that CSS’s policy on limited damage waiver was explained at the time of entering into this Agreement. Customer acknowledges that it is responsible for the Equipment and that any limited damage waiver entered into is not insurance. 9. Indemnity; Assumption of Risk. Customer agrees to fully indemnify and hold harmless CSS, and its directors, officers, employees, advisors, controlling persons, affiliates and agents against any and all costs, claims, demands, or suits, pending or threatened (including costs of defense, attorney’s fees, expert witness fees, investigation and all other costs of litigation) for any and all bodily injury, death, destruction, property damage, or any other cost, damages or loss, regardless of whether such injury, death, destruction, damage or loss is caused in whole or in part by negligence, which in whole or in part, arise out of, result from, or relate to the use, operation, condition, (including without limitation latent or other defects and whether or not discoverable by Customer or CSS) or presence of the Equipment by Customer or condition or presence of the Equipment with Customer. Customer agrees that the Equipment is, by virtue of its size and nature, potentially dangerous. Operation of the Equipment will expose the Customer, its authorized operators and any other persons in proximity to the Equipment to risk (all such individuals are referred to herein as a “Person at Risk”). These risks, including serious bodily injury or death, cannot be completely identified, quantified, minimized, prevented or eliminated. Customer, on behalf of itself and all Persons at Risk, accepts and fully assumes any and all risks and the possibility of personal injury, death, disability, property damage or loss resulting from operation of the Equipment regardless of who is operating it while it is subject to this Agreement and hereby agrees to fully indemnify and hold harmless CSS and its directors, officers, employees, advisors, controlling persons, affiliates and agents against any and all such costs, claims, demands, or suits, pending or threatened (including costs of defense, attorney’s fees, expert witness fees, investigation and all other costs of litigation resulting from such personal injury, death, disability, property damage or loss). The indemnities and assumptions of liability contained in this paragraph shall continue in full force and effect notwithstanding the termination of this Agreement, whether by expiration of time, by operation of law or otherwise. Customer shall give Lessee prompt notice of any claim or liability hereby indemnified against. 10. Computation of Rental Amount. a. Definition. Minimum charge shall be one full day. A week’s rental period comprises seven consecutive days - Monday through Sunday during move-in and Sunday through Saturday for the move-out. Days in excess of one week are charged at the daily rate. The minimum rent shall be payable in all events for the entire term and until the Equipment is returned to CSS, without regard to the time during which Equipment may have been used or operated. 11. Master Lessor. Customer acknowledges that the Equipment rented to it herein may be leased by CSS from a third party (the “Master Lessor”) pursuant to a master lessor agreement, and that notwithstanding anything to the contrary contained in this Agreement, Customer’s interest in any such master lease and the Equipment shall be subordinate to the rights of the Master Lessor, and its successors and assigns, including but not limited to the right of the Master Lessor to take possession of the Equipment upon default of CSS under the master lessor agreement. Notwithstanding anything to the contrary contained in this Agreement, Customer waives, and agrees that it will not assert against the Master Lessor, or its successors or assigns, any defense, set-off, recoupment, claim or counterclaim which Customer may at any time have against CSS for any reason whatsoever. 12. Severability. If any provision herein, or any remedy provided herein, shall be found invalid under any such applicable law, statute, or regulation, such provision shall be modified to the extent necessary to comply with such law, and all of the remaining provisions hereof, including all provisions regarding remedies, shall be given effect in accordance with the intent hereof. 13. Entire Agreement; Amendment and Waiver. This Agreement and all exhibits attached hereto and incorporated herein by reference, together with Rental Request Forms and Daily Equipment Rental Forms, now and hereafter properly completed and accepted by the parties, contain the entire agreement between the parties with respect to the subject matter and supersede any previous understandings or agreements, whether written or oral, with the exception of any credit agreement between CSS and the Customer. conditions contained in any document issued by Customer shall apply. Additionally, CSS’s act of delivering Equipment to Customer (or any other similar act by CSS) shall not be deemed an acceptance of any terms and conditions other than those set forth in this Agreement. This Agreement may be amended or any provision of this Agreement may be waived only if such amendment or waiver is set forth in writing executed by a duly authorized representative of CSS. 14. Further Assurances. Customer agrees to execute and deliver such other documents and to take all such actions as CSS, its successors, assigns or other legal representatives may reasonably request to affect the terms of this Agreement and the execution and delivery of any and all documentation as may be required. 15. Governing Law. CSS and Customer agree that it is their intention and covenant that the internal laws of the state of Michigan, without regard to conflict of laws principles, shall govern this Agreement. 16. Notices; Time; Waiver. All notices shall be written, delivered in person, by facsimile, or by first-class mail, postage prepaid, to the other party at its address on the front of this Agreement or to such other address as may be specified to the other party by written notice. Time is of the essence. No delay or omission to exercise any right, power or remedy accruing to CSS upon any breach or default by Customer under this Agreement shall impair any such right, power or remedy of CSS, nor shall any such delay or omission be construed as a waiver of any breach or default, or of any similar breach or default thereafter occurring; nor shall any waiver of a single breach or default be deemed a waiver of any subsequent breach or default. Any provision of this Agreement prohibited by law shall be ineffective to the extent prohibited without invalidating the remaining provisions hereof. 17. Force Majeure. CSS will not be liable for its failure to perform hereunder, including but not limited to, delivery delays, or for any damage arising out of or due to contingencies beyond its reasonable control, including but not limited to work stoppages, delivery or operational deficiencies, failures, or breakdowns, acts of God or the Public Enemy, fires, floods, wars, sabotage, riots, civil strife, accidents,, labor disputes, lockouts or shortages (whether or not such are within CSS’s ability to settle), any governmental laws, ordinances, rules, regulations, action or inaction (whether valid or invalid including, but not limited to, priorities, requisitions, allocations and price adjustment restrictions), delay or inability to obtain supplies, raw materials, energy, products, equipment or transportation, and any other similar or different contingency. CSS shall have the right upon written notice to not rent during the period of such contingency, all or any portion of the Equipment to be rented during such period, whereupon the total quantity of the Equipment to be rented hereunder shall be reduced by the quantity so omitted. If due to any such contingency CSS is unable to supply the total demands for any Equipment to be rented hereunder, CSS will have the right to allocate its available supply among its customers in such manner and CSS shall deem to be fair and equitable. In no event will CSS be obligated to purchase equipment from other than its regular sources of supply or obtain equipment from any other party in order to enable it to supply equipment to customers hereunder nor will CSS be liable or responsible for any costs or increased costs incurred by the Customer renting Equipment from any other party. 18. Delivery/Execution of Agreements. Customer acknowledges and agrees that this Agreement and other agreements between the Customer and CSS may be delivered by electronic transmission, such as by facsimile transmission, pdf or other imaging, email or other method, and that any such electronic delivery shall be given the same force and effect for all purposes, as an original manually executed and manually delivered agreement or document. Customer additionally agrees to such electronic delivery of invoices, notices and other documents and agreements. Also, this Agreement may be executed in any number of counterparts and all counterparts shall be construed together and shall constitute but one agreement. RESPONSIBILITIES OF OPERATORS Basic Principles: The information in the standard must be supplemented by good judgment, safety control and caution in evaluating each situation. Since the operator is in direct control of the aerial platform, conformance with good safety practices in this area is the responsibility of the operator. The operator must make decisions on the use and operation of the aerial platform with due consideration for the fact that his own safety and the safety of other personnel in the platform are dependent on those decisions. Manuals: The operator shall be aware that the operating and safety manuals, including the manual which defines the responsibilities of dealers, owners, lessors, lessees, users and operators are stored on the aerial platform and the location where they are stored. The operator shall be familiar with the manuals stored on the aerial platform and consult them when questions arise with respect to the aerial platform. Pre-Start Inspection: Before use each day or at the beginning of each shift, the aerial platform shall be given a visual inspection and functional test including but not limited to the following:
a) Operating and Emergency Controls b) Safety devices c) Personal protective devices d) Air hydraulic and fuel system(s) leaks e) Cables and wiring harness f) Loose or missing parts g) Tires and wheels h) Placards, warnings, control markings and operating manual(s) i) Outriggers, stabilizers, extendible axles and other structures j) Guardrail system k) Items specified by the manufacturer
Training: The operator shall be trained on the same model of aerial platform or one having operating characteristics consistent with the one to be used during actual work-site operation. Under the direction of a qualified person, the trainee shall operate the aerial platform for a sufficient period of time to demonstrate proficiency and knowledge in the actual operation of the aerial platform. Care shall be taken to ensure the area of such operation has a minimum of obstacles and is conducive to training. Only properly trained and authorized personnel shall be permitted to operate the aerial platform. Before Operation: Before being authorized to operate the aerial platform the operator shall have:
a) Been instructed by a qualified person in the intended purpose and function of each of the controls. b) Read and understood the manufacturer’s operating instruction(s) and user(s) safety rules, or been trained by a
qualified person on the contents of the manufacturer’s operating instruction(s) and safety rules. c) Understood by reading or by having a qualified person explain all decals, warnings and instructions displayed
on the aerial platform. Work Place Inspections: Before the aerial platform is used and during use, the operator shall check the area in which the aerial platform is to be used for possible hazards such as, but not limited to:
a) Drop-offs or holes b) Bumps and floor obstructions c) Debris d) Overhead obstructions and high voltage conductors e) Hazardous locations f) Inadequate surface and support to withstand all load forces imposed by the aerial platform in all operating
configurations g) Wind and weather conditions h) Presence of unauthorized personnel i) Other possible unsafe conditions
Hazardous Locations: It shall be the responsibility of the user to determine the hazard classification of any particular atmosphere or location according to ANSI/NFPA 505-1987. Page 1 of 2

Hazardous Locations: Aerial platforms operated in hazardous locations shall be approved and of the type required by ANSI/NFPA 505-1987. During Operation: The aerial platform shall be used in accordance with this standard. The operator shall ensure the following before each elevation of the platform:
a) Ensure the aerial platform is operated on a surface within the limits specified by the manufacturer. b) Ensure the outriggers, stabilizers, extendible axles or other stability enhancing means are used as required by
the manufacturer. c) Ensure that guardrails are installed and access gates or openings are closed per manufacturer’s instructions. d) Ensure the load and its distribution on the platform and any platform extension(s) are in accordance with
manufacturer’s rated capacity for that specific configuration. e) Ensure there is adequate clearance from overhead obstructions. f) Ensure that the minimum safe approach distances (M.S.A.D) to energized power lines and parts are
maintained. g) Ensure all personnel in the platform are wearing fall protection devices and other safety gear as required at all
times. Personnel Footing: Personnel shall maintain a firm footing on the platform floor while working therein. Use of planks, ladders, or any other devices on the aerial platform for achieving additional height or reach shall be prohibited. Reporting Problems or Malfunctions: The operator shall immediately report to his supervisor any problems or malfunctions of the aerial platform which become evident during operation. Any problem or malfunctions that affect the safety of operation shall be repaired prior to continued use. Altering Safety Devices: Altering or disabling of interlocks or other safety devices shall be prohibited. Modifications: Modifications or alteration of an aerial platform shall be made only with prior written permission of the manufacturer. Capacity Limitation: Rated capacities shall not be exceeded when loads are transferred to the platform at any height. Driving on Slopes: The aerial platform shall not be driven on grades, side slopes or ramps exceeding those for which the aerial platform is rated by the manufacturer. Travel Speed: Under all travel conditions, the operator shall limit travel speed according to conditions of ground surface, congestions, visibility, slope, location of personnel and other factors causing hazards of collision or injury to personnel. Precaution from other Moving Equipment: When other moving equipment or vehicles are present, special precautions shall be taken to comply with local ordinances or safety standards established for the workplace. Warnings such as, but not limited to, flags, roped off areas, flashing lights and barricades shall be used. Elevated Driving Requirements: Before and during driving while the platform is elevated, the operator shall:
a) Maintain a clear view of the path of travel. b) Maintain a safe distance from obstacles, debris, drop-offs, holes, depressions, ramps and other hazards to
ensure safe elevated travel. c) Maintain a safe distance from overhead obstacles.
Unauthorized Use: The operator shall implement means provided to protect against use by unauthorized person(s). Misuse as a Crane: The aerial platform shall not be used as a crane.

If an exhibitor plans to use a company other than Convention & Show Services, Inc. for their carpenter labor the EXHIBITOR ONLY must complete and mail copies of this form to Show Management and Convention & Show Services, Inc. by October 30, 2017. Use of outside drayage contracting, electrician or plumbing service is not permitted. All exhibit and display work is done by union personnel. There are six unions working exhibit events: Teamsters / Ironworkers, Carpenters, Electricians, Plumbers, and Stagehands. The following guidelines will help you in preparing your exhibit to conform to union jurisdictions. Adherence to these guidelines can save you a substantial amount of money.
CSS SERVICE CONTRACTORS:
Teamster/Ironworker:
Teamsters perform material handling of freight and the delivery, set-up, and tear-down of contractor rental furniture. Ironworkers perform machinery installations and the erection and dismantling of metal for multi-level displays. For the NAIAS, the Ironworkers will assist the Teamsters in the performance of freight material handling activities.
Carpenter:
Handle carpentry and the unpacking, erection and dismantling of exhibit booths consisting of the layout of fabrication. Assembling and erection of all displays made of wood, metal, plastic, composite board or any other substitute material, the covering of the same with any type of material, the installation of pipe and drapery, the handling of informational signage, and the framing, erecting, and prefabrication of all roofs, partitions, floor and ceiling applications.
COBO INSIDE SERVICE CONTRACTORS:
Stagehand:
Handle stage and lighting set-up for, but not limited to, press events, shows, and theatrical style events. This shall include theatrical rigging, cued lighting, theatrical lighting, video lighting, projection, audio, electronic show equipment (i.e. audio, cameras, switches, etc.) props, and scenery.
Electrician:
Handle all electrical work which includes supplying power lines to your booth, making connections when “hard” wiring and/or electrical harnesses are required, and installing lighting that is not a built-in integral part of the exhibit booth other than two single bulb individual fixtures.
Plumber: Handle all plumbing work such as compressed air, water or drain, or natural gas.
If you encounter any difficulty with labor, or if you are not satisfied with the work performed, please report this to the CSS Service Desk or Show Management. This is better than communicating directly with the labor.

12 Hour Shift Work Rules and Regulations
These regulations apply to the Carpenters, Teamsters, and Ironworkers only.
• 12-hour shift work consists of two twelve hour shifts. The day shift is 7:00 a.m. to
7:00 p.m. and the night shift is 7:00 p.m. to 7:00 a.m.
• CSS requires a two-day notice when shift work is needed to ensure that the
labor will be available.
• CSS requires a two-day notice when shift work will be completed.
• You must guarantee a minimum of two (2) consecutive days of shift work unless
prior arrangements have been made.
• Each shift receives two 15 minute breaks and two 45-minute meal breaks. The
meal break consists of a 15-minute clean-up time and 30-minute meal. All of
these breaks and meals will be charged to the exhibitor.
Straight Time: Monday through Friday, the first 8 hours worked
Overtime: Monday through Friday, after the first 8 hours, all day Saturday
Premium Time: Sundays and Holidays

Convention & Show Services, Inc. and Cort Trade Show Furnishings are the sole
providers of all rental furnishings for the 2018 North American International Auto Show
On the following pages, you will find the order forms for the rental of standard furnishings,
accessories, and specialty rentals. Outside furniture distributors will not be allowed on the show
floor. If there is a special item you are looking for to furnish your space that is not included in the
offerings from CSS or Cort, please contact CSS. We understand the importance of your design
space and we will work with you to make sure you get exactly what you are looking for. Many
exhibitors are unaware of our vast knowledge of local and national rental suppliers. We look
forward to working with you. Please read below for the rules and regulations regarding rentals.
CSS Standard Furnishings and Accessories
The rates listed include delivery on straight time, usage during requested time frame, and
removal on straight time. Items delivered or removed during overtime or premium time hours
will be charged an additional 40% per item. Please refer to the LABOR RATE SCHEDULE on
page 36 in this manual for the ST/OT/PT hours. Items cancelled before delivery will be charged
50% of the original price and 100% of the original price once item has been delivered. All
cancellations are subject to a 50% cancellation fee. All claims or discrepancies must be settled
with a CSS representative on show site.
Cort Tradeshow Event Furnishings
Exhibitors are responsible for the payment of Drayage Services utilized in the delivery and
removal of custom furniture ordered through Cort Furniture.
Convention & Show Services, Inc. will coordinate with exhibitors and Cort Furniture to finalize all
delivery and removal dates and times. CSS will order and direct all Teamster/Ironworker Labor
used for the delivery and removal of Cort Furniture allowing for a more efficient process.
Drayage charges are assigned based on labor usage. Charges will be issued on a separate
work order and will be in accordance with the rates found on the Teamster/Ironworker Labor
order form. A deposit for drayage charges must be made prior to delivery/removal of Cort
Furniture. Please refer to the Payment Policy on page 13 of this manual and submit it with a
copy of your Cort Furniture order. CSS will determine a deposit from your submitted order. The
final invoice will be based on the actual hours worked and any credit or balance due will be
adjusted accordingly.

Any requirements you may have that do not pertain to a Press
Conference or Meeting Room can be found elsewhere in this manual.
All Press Conference chairs must be ordered through Convention & Show
Services, Inc. Outside distributors will not be allowed on the show floor.
Orders must be received two weeks prior to press week. CSS cannot
guarantee order fulfillment if placed after Monday, December 18, 2017.

GUIDELINES – NAIAS 2018 Meeting Rooms
1. Use the link below to order the following for meeting rooms: Keys Cobo Center’s Tables/Chairs Internet Electrical (use of existing convenience wall outlets is at no additional cost) Vacuuming (when meeting room is being used for exhibits)

2. Electrical carts and fork lifts are strictly prohibited inside meeting rooms and on Level 4.
3. Carpet must be protected at all times during move-in/out.
4. Crate storage inside meeting rooms is not permitted.
5. Please do not block the Life Safety devices (i.e. strobes, emergency lighting, and exit signage).
6. All doors must be kept free and clear at all times.
7. There are no ceiling hang points.
8. All detailed floor plans must be submitted to Event Manager for approval at least 4 weeks prior to the set up.
9. Nailing, taping or gluing materials to walls, floor or other surfaces, as well as to any piece of Cobo Center equipment such as lecterns, tables, staging, etc. is strictly prohibited.
10. Wireless internet is available throughout the building as a complimentary service. It is intended primarily for Cobo Center attendee’s personal use and not for meeting programs. Wired internet access is available from Cobo Center in each meeting room for a nominal fee. Please visit Cobo Center’s online order system for details.

Convention & Show Services, Inc. and Cort Trade Show Furnishings are the sole providers of all rental
furnishings for the 2018 North American International Auto Show
On the following pages, you will find the order forms for the rental of standard furnishings,
accessories, and specialty rentals. Outside furniture distributors will not be allowed on the show
floor. If there is a special item you are looking for to furnish your space that is not included in the
offerings from CSS or Cort, please contact CSS. We understand the importance of your design
space and we will work with you to make sure you get exactly what you are looking for. Many
exhibitors are unaware of our vast knowledge of local and national rental suppliers. We look
forward to working with you. Please read below for the rules and regulations regarding rentals.
CSS Standard Furnishings and Accessories
The rates listed include delivery on straight time, usage during requested time frame, and
removal on straight time. Items delivered or removed during overtime or premium time hours
will be charged an additional 40% per item. Please refer to the LABOR RATE SCHEDULE on
page 36 of this manual for the ST/OT/PT hours. Items cancelled before delivery will be charged
50% of the original price and 100% of the original price once item has been delivered. All
cancellations are subject to a 50% cancellation fee. All claims or discrepancies must be settled
with a CSS representative on show site.
Cort Tradeshow Event Furnishings
Exhibitors are responsible for the payment of Drayage Services utilized in the delivery and
removal of custom furniture ordered through Cort Furniture.
Convention & Show Services, Inc. will coordinate with exhibitors and Cort Furniture to finalize all
delivery and removal dates and times. CSS will order and direct all Teamster/Ironworker Labor
used for the delivery and removal of Cort Furniture allowing for a more efficient process.
Drayage charges are assigned based on labor usage. Charges will be issued on a separate
work order and will be in accordance with the rates found on the Teamster/Ironworker Labor
order form. A deposit for drayage charges must be made prior to delivery/removal of Cort
Furniture. Please refer to the Payment Policy on page 13 of this manual and submit it with a
copy of your Cort Furniture order. CSS will determine a deposit from your submitted order. The
final invoice will be based on the actual hours worked and any credit or balance due will be
adjusted accordingly.

Shipping & Storage
Exhibitor press materials for NAIAS 2018 will be delivered directly to exhibitor booths and/or
to a storage area.
Pre-show Storage
Exhibitor press material shipments must arrive at the CSS warehouse no later than January 2,
2018.
The CSS warehouse receives shipments Monday through Friday, 8:00 a.m. to 4:00 p.m. EST.
The cost of pre-show storage is $28.15 per cwt. with a 200-pound minimum per shipment.
There will be an additional charge for labor to unload your freight when it arrives at Cobo
Center. It is the responsibility of the Exhibitor to order the labor to unload the freight prior to
delivery to Cobo Center. Refer to the Teamster/Ironworker Labor Order form for the
associated costs and order form.
Delivery Services
It is the responsibility of CSS to unload all materials and deliver them to their destination.
Federal Express, UPS, and similar delivery services can only deliver to the dock and are
prohibited from making deliveries to specific locations within Cobo Center.

agreement, you are required to keep our property insured against loss by fire, theft, and other risks included in the
standard form of "all risk" insurance naming us as additional insured” and “loss payee.” In the event of such a loss, you
agree to promptly reimburse us for the replacement cost of such property and claims for all losses and injuries caused
by such property. Intentional abuse is excluded from coverage of the damage waiver and loss coverage and a filed
police report must be produced for coverage to apply. Unless you have accepted our Damage Waiver Coverage, you
will be responsible for the costs resulting from damage to our property including service and repair charges. Damage
Waiver Coverage does not extend to misuse or intentional abuse.

At CSS we are dedicated to providing a safe atmosphere for our clients and employees. We
are providing these safety tips as helpful reminders to exhibitors that safety is a concern for all of
us. During the move-in and move-out you are faced with conditions that resemble a
construction zone. By keeping these safety guidelines in mind, you will be helping to keep
yourself as well as those around you safe. If you are aware of any CSS personnel acting in an
unsafe manner, please report it immediately to the CSS service center or CSS management so
that we can correct the problem.
• Only authorized personnel and employees are allowed on the show floor, all others are
prohibited.
• Wear closed toe shoes.
• Keep your eyes open for scooters and forklifts. The drivers of these vehicles may not be
able to see you.
• Stay clear of dock areas, trucks, and trailers. These areas can be particularly dangerous.
• Keep aisles free and clear of any and all debris.
• The operation or use of all motorized lifts and motorized material handling equipment for
the installation and dismantle of exhibits is NOT permitted by exhibitors or by their
exhibitor appointed contractors (EAC).
• Use a ladder, not a chair. Standing on chairs, tables and other rental furniture is unsafe
and can cause injury to you or to others. These objects are not designed to support your
standing weight.
• Practice good housekeeping and clean up or report spills.
• CSS complies with all MIOSHA and OSHA regulations.
• CSS trains and certifies all equipment operators.
• We have regular safety walkthroughs and compliance assessments from outside safety
consultants.
• We provide all employees with a safety manual providing all information and rules in
regard to our safety policy. A copy is available for your review at our customer service
center.
CSS maintains an onsite safety manager. Contact the Service Desk at 313.259.7632 for
assistance.
We are striving for zero tolerance on safety infractions. Thank you for your assistance in helping
to create a safe, efficient work environment for all of us.

Any and all claims against CSS or its personnel for any and all damage must be
reported to CSS’ office/administrative staff immediately. Please contact the CSS
Service Desk for assistance at 313.259.7632. Any claims not reported within 24
hours of occurrence will not be accepted. Further, any claim for damaged
material(s) must be inspected by CSS’ office/administrative staff and a report
filed prior to the material(s) leaving the facility or changing hands or the claim
will not be accepted. When a claim is filed, you will receive a copy of the
report. If a report is not provided, please see a customer service representative
at the service center to assure a report has been filed and obtain a copy for
your records. CSS will not accept any claims for damage if there is not a report
on file.

Constructing a show of this size generates a lot of rubbish. Cobo Housekeeping
has employees on the floor during the installation and dismantling to sweep up
and dispose of small items. Large items must be disposed of in a dumpster.
Dumpsters must be ordered through CSS. We ask that you place your dumpster
order 24 hours in advance. Orders received for the same day cannot be
guaranteed.
Please do not place your trash in someone else’s dumpster. This causes
unnecessary friction between you and your neighbor. If you are using someone
else’s dumpster you will incur the cost for that dumpster.
Any trash left on the show floor or the dock that CSS has to discard will be the
responsibility of the exhibitor. Exhibitors will be charged for the dumpster and
the labor to load the dumpster.

Empty Crates & Containers
There is no storage of any kind on the docks at any time. Please make arrangements for
your crates and empty containers to be removed, stored, and returned after the show.
Exhibitors and/or display houses will be charged accordingly for any materials left on the
dock that CSS has to move.
Construction Floor Space Usage
During the installation and dismantle floor space is limited, therefore all crates, truss, etc.
must be confined to your assigned booth space. Table and circular saws, lathes, grinders,
sanders, and other power equipment may not be set up and/or operated in the aisles or
unprotected areas. Any exhibitor and/or display house that is occupying unauthorized floor
space outside their assigned booth space will be charged additional fees for the removal
of their properties. Please contact CSS if you need additional space for short-term storage
during the construction process.
Aisle Carpet Installation
Aisle carpet installation will begin the evening of Friday, January 12, 2018 and conclude the
early morning of January 15, 2018. A CSS representative will inform each exhibitor and/or
display house the dates CSS will be installing around their assigned booth space.
Keep Clear “No Freight/Fire Aisle”
All aisles designated “No Freight/Fire Aisle” must be kept clear of crates and exhibit
materials during move-in and move-out. These aisles are required for emergency access
throughout the hall and are used to expedite freight and empty crate moving.
Literature Storage
Literature, plastic bags, etc., will be stored in a location within Cobo Center deemed by
CSS. Exhibitors have two options:
1. Store all materials that you need for the entire show at your exhibit space (you will need
to confirm that the storage location and method is acceptable to the fire department and
Show Management.)
or,
2. Store the materials at the designated storage area within Cobo Center and make
advance delivery orders from CSS Service Desk. Deliveries can be made each day prior to
the show’s opening. During show hours, no deliveries will be allowed. Exhibitor personnel
will not be permitted inside the storage location due to safety and liability concerns.
Standard labor rates apply for each delivery to the booth or return of material to storage.
Accessible storage is not secured. All items are stored at Exhibitor’s sole risk.

Green Facility Statement
The Cobo Center commitment to environmental stewardship in our community is demonstrated by our continuous efforts to investigate, validate and implement new and innovative Green initiatives throughout the facility, and by our programs designed to educate our employees, vendors, customers, partners and visitors in the importance of the sustainability of our environment.
Current Cobo Center Green Practices
• The Cobo Center Green Committee meets several times monthly to promote
sustainability practices and Green initiatives, and has members from every department and in-‐house contracting company.
• The glass-‐enclosed Concourse area on the main level and the third floor corridor glass ceiling provide enough natural light during daytime hours to minimize main hallway daytime lighting throughout Cobo Center.
• Induction lighting is currently being installed in the Cobo Center with an expected 40% reduction in electric usage for lighting.
• Cobo Center is air conditioned by pumping grey water from the Detroit River through chillers that then send the cool water to various air handlers, providing cooling to zoned areas in the Center. This system uses considerably less electricity than conventional air conditioning units.
• All main hall lighting and heat/cool settings are computer programmed and managed.
• Paper, aluminum can and plastic bottle recycling containers are placed in all office areas and high traffic meeting areas throughout the Center for aggressive recycling.
• Escalators in the building are being replaced with energy efficient, Kone EcoMod units. All escalators run based on occupancy and event needs.
• All in-‐house contractors participate in Center recycling and Green initiatives.
• The current Cobo Center $299 million facility upgrade scheduled for completion in 2014 plans to incorporate numerous green building components.
• The Cobo Center housekeeping staff uses products that are environmentally safe and non-‐toxic.
• All pallets are recycled to a local area vendor.
• Centerplate, the Cobo Center exclusive food and beverage contractor collects prepared food that has not been served for pick up by Forgotten Harvest, a local company that delivers the food to pantries, soup kitchens and shelters throughout Southeastern Michigan.
