EXECUTIVE REPORT Jo Philpott read the executive report and was thanked by Charlie Jenkins.

AUDITED ACCOUNTS Jo Philpott presented the accounts.

Kit Owen said the accounts looked good, and was an outstanding year for external funding, its good that people want to support us.

Kit Owen asked if vehicles are regarded as assets, Jo Philpott confirmed this.

Proposal to adopt the Annual Report as a true and accurate record made by Charlie Jenkins.

3. APPOINTMENT OF AUDITORS

Jo Philpott proposed that we maintain the "relationship" with Moore Thompson seconded by Charlie Jenkins.

Ross Davies from Rotary Club asked about drivers and not being able to drive when the license expires and who would be paying. Charlie Jenkins asked to explain what he meant. Ross explained that John Lattimore and Mike Calvert had been told they needed to pay to renew license to drive for FACT. Sadie Smith explained that their MiDAS Certificates had expired, not there licenses. And that they were not drivers for FACT but registered drivers for Rotary Club. As their certificates have expired they were not able to use our vehicles. To be able to use them again they would need to redo the MiDAS course. Jo Philpott said that FACT could provide a driver to group in the mean time.

Bob Wicks asked if the Dial-A-Ride was open to people in Benwick. Jo Philpott said that we have had people ask in the past and said that if there was a demand we would be happy to added Benwick to our Dial-A-Ride. Wendy Otter said that questions could be made up and dropped in to all the homes in Benwick to see what transport requirements people needed before deciding on what service could be provided.

Glenn Edge did a talk about the bus cuts and how community transport could cover the gaps. Nothing has been decided yet, but meetings and strategy groups are being held at the moment.

Charlie Jenkins thanks everyone for attending the Annual General Meeting and said he was happy to carry on being chairman and that things are going well for FACT and said thank you to all the staff and drivers.

Executive Report 2011

We would like to acknowledge the passing away of one of FACT'S Trustees, John Clark. John sadly passed away on the 28 November 2011. John was a user of the DAR North Area, Sandra Thurston who is a DAR Central member is now replacing John as a fellow Trustee.

2011 has proved to be a year of continuation and endurance for FACT. In the grip of a recession and rising diesel prices, transport bookings are few and income has greatly reduced for us here. We have tried to substitute this loss with extra work through the DAR and CCC school contracts which will hopefully establish us as one of the leading community transport operators in the region.

During the year we carried 64,753 DAR passengers of which 5,673 were wheelchair users and completed 275,497 miles. This is an increase in journeys of a brilliant 24%.

A big priority during 2011 was readying ourselves for the large number of school contracts we have now been awarded from Cambridgeshire County Council. These contracts run for five years which gives us some level of income security. We needed to source many more reliable drivers and passenger assistants and hopefully our choices will not let us down. The admin and routing work that comes with these new routes is immense and some parents can be very challenging, so the office has been kept very busy by ensuring that all the routes were organised and timed perfectly.

The year also saw the launch of our special outings offered to all our DAR members to places that are further afield than our usual outings. Amongst these were trips to the Olympics Venue at Stratford, Milton Keynes, Lowestoft, Bury St Edmunds, Downtown in Grantham, Fakenham and Lakeside Shopping Centre. These proved to be very popular and some trips went with three full minibuses all from different areas. After seeing the popularity of these trips we are now in the process of planning more of these throughout 2012 especially during the school holidays and quieter periods.

The majority of this funding was geared towards an expansion of FACT into more of the smaller villages such as Benwick. This new route was eventually launched in September 2011 and is linked with the West Area DAR schedule. We have had approx. twenty members since the launch and lots of encouraging comments. It's very positive for us to have another area added to our route and we are happy to serve the Benwick residents who were desperate for our service for a long time.

FACT has been working with the Community Payback Scheme which offers offenders the chance to carry out their community work through various community groups in the area. The work carried out by the group has been brilliant. We have had our hedges trimmed, rooms painted, vehicles washed and other general repairs too. We are pleased to be representing the community and helping offenders in this area in a positive way. The various works done would have cost us a lot of money if done privately so it's nice to see that local community groups can really help each other out and co-operate for a common good.

Thanks go to Gail Reynolds and Wendy Otter from Fenland District Council for their support with marketing throughout the year.

Our committee, made up of Councillors, transport officers and retired entrepreneurs, has a varied expertise and we would like to thank all these individuals for their contributions to FACT.

Expansion is our ultimate goal and at the end of 2011 we are operating twenty three vehicles, six days a week throughout the rural Fenland area. We know the demand is out there for more transport which we can offer and fulfil with the right support and backing. We will continue to push FACT forward and our next aim is to operate thirty vehicles in the next two years, a vision which we believe to be fully achievable.

The management committee are required by law to prepare accounts for each financial year which give a true and fair view of the state of affairs of the association and of the surplus or deficit of the association for that period. In preparing these accounts, the management committee are required to:

• select suitable accounting policies and then apply them consistently;

• make judgements and estimates that are reasonable and prudent;

• prepare the accounts on the going concern basis unless it is inappropriate to presume that the association will continue in business.

The management committee are responsible for keeping adequate accounting records that are sufficient to show and explain the association's transactions and disclose with reasonable accuracy at any time the financial position of the association and enable them to ensure that the accounts comply with the Industrial and Provident Societies Act 1965 and the Friendly and Industrial and Provident Societies Act 1968. They are also responsible for safeguarding the assets of the company and hence for faking reasonable steps for the prevention and detection of fraud and other irregularities.

to the members of Fenland Association for Community Transport Limited

We have audited the accounts of Fenland Association for Community Transport Limited for the year ended 31 December 2011 which comprise the Income and Expenditure Account, the Balance Sheet and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and the Financial Reporting Standard For Smaller Entities (effective April 2008) (United Kingdom Generally Accepted Accounting Practice applicable to Smaller Entities).

This report is made solely to the association's members, as a body, In accordance with Section 9 of the Friendly and Industrial Provident Societies Act 1968. Our audit work has been undertaken so that we might state to the association's members those matters we are required to state to them in an auditors' report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the association and the

association's members as a body, for our audit work, for this report, or for the opinions we have formed.

Respective responsibilities of directors and auditors

As explained more fully in the Statement of Management Committees' Responsibilities, the members are responsible for

the preparation of the accounts and for being satisfied that they give a true and fair view. Our responsibility is to audit and

express an opinion on the accounts in accordance with applicable law and International Standards on Auditing (UK and

Ireland). Those standards require us to comply with the Auditing Practices Board's (APB's) Ethical Standards for Auditors.

In accordance with the exemption provided by APB Ethical Standard - Provisions Available for Smaller Entities (Revised),

we have prepared and submitted the company's returns to the tax authorities and assisted with the preparation of the accounts.

Opinion on the accounts

In our opinion the accounts:

• give a true and fair view of the state of the association's affairs as at 31 December 2011 and of its deficit for the year

then ended;

• have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice applicable

to Smaller Entities; and

• have been prepared in accordance with the requirements of the Friendly and Industrial Societies Act 1968.

Opinion on other matters

In our opinion the information given in the Management Committees' Report for the financial year for which the accounts

are prepared is consistent with the accounts.

Matters on which we are required to report by exception

We have nothing to report in respect of the following matters where if, in our opinion:

• adequate accounting records have not been kept, or returns adequate for our audit have not been received from

branches not visited by us; or

• the accounts are not in agreement with the accounting records and returns; or

• certain disclosures of managements' remuneration specified by law are not made; or

• we have not received all the information and explanations we require for our audit; or

• the management committee were not entitled to prepare the accounts and the management committees' report in

accordance with the small companies regime.

1 Accounting policies

Basis of preparation

The accounts have been prepared under the historical cost convention and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008).

Depreciation

Depreciation has been provided at the following rates in order to write off the assets over their

estimated useful lives.
