THIRTY EIGHTH ANNUAL GENERAL MEETING
Notice is hereby given that the Thirty Eighth Annual General Meeting of the Western India Regional Council (WIRC) of the Institute of Company Secretaries of India (ICSI) will be held on Friday, 25th July 2014 at 04.30 pm at WIRC Auditorium, 13 Jolly Maker Chambers No.2, First Floor, Nariman Point, Mumbai - 400021, to transact the following business:
1. To consider and adopt the Audited Annual Accounts for the year ended 31st March 2014 together with the reports of the Regional Council and Auditors thereon.
2. To appoint auditors for the year 2014-15 and fix their remuneration.
3. To transact such other business as may be brought before the meeting with the permission
of the Chair.

ANNUAL REPORT OF ICSI-WIRC FOR THE YEAR 2013-2014 Dear Members, The Western India Regional Council of The Institute of Company Secretaries of India (ICSI-WIRC / Regional Council) has the pleasure in presenting its 38th Annual Report together with the Audited Statement of Accounts for the year ended 31st March, 2014. 1. Regional Council:
During the year under review, the ICSI-WIRC unanimously elected CS Ragini Chokshi as Chairperson, CS Ashish Doshi as Vice Chairman, CS Ashish Garg as Secretary of the Regional Council. CS Amit Kumar Jain as Treasurer of the Regional Council for the year 2014. The Regional Council also formed various Committees for the year 2014 as detailed in Annexure ‘A’ to this Report.
2. Members: The total number of members in the Western Region as on 31st March, 2014 stood increased to
10365 as against 9459 as on 31st March, 2013. 3. Students:
The number of registered students in the Western Region as on 31st March, 2014 was 1,22,678. 4. Financial Performance:

Substantial expenditure of renovation as well as opening up of new Oral Training Centres to serve students at various locations of Mumbai resulted in a major drop in surplus. We are pleased to inform that on repayment of loan amount of Rs.45 lakhs to ICSI Head Office, the ICSI Head Office has waived the balance outstanding Loan of Rs.2.55 crores payable by WIRC over a period of next 17 years. Due to the waiver of the loan, the WIRC will have better liquidity in the years to come.
5. Best Regional Council Award: It is a matter of immense pride that the Regional Council was adjudged as the BEST REGIONAL COUNCIL for 2012 by the ICSI. A trophy and Award amount of Rs.50,000/- was presented at the 41st National Convention of the ICSI at Chennai in November 2013. It is the first ever Best Regional Council Award received by ICSI-WIRC.
6. Activities and New Initiatives: In keeping with the tradition of the ICSI-WIRC for the acquisition and dissemination of useful
information and updating of professional knowledge on subjects of interest to the profession of Company Secretaries, number of meetings, talks, lectures, seminars, study circle meetings and other professional development programmes were organised by ICSI-WIRC during the year under review. ICSI-WIRC conducted series of study circles at various locations across Mumbai and sub-urban areas, viz. Andheri, Borivali, Ghatkopar and Nariman Point.
Some of the initiatives and achievements for 2013-14 are highlighted, in the Annexure B to this
report.
(a) Renovation
Completion of Renovation work of WIRC Office Nos. 56 & 57.
WIRC is proud to have completed much awaited renovation of its fifth floor.
(b) ICSI-WIRO Library Facility
Library facility is available at the WIRC office.
(c) E-Focus
As a major Green Initiative the printed version of FOCUS was replaced by E-Focus during the year. The E-Focus is hosted on the WIRC Child Portal of ICSI and is available anytime to members.
(d) Profession recognition, brand building and awareness programs
• Meetings with Government Departments, Regulators, Stock Exchanges, Chambers, Industry Associations, Universities / Colleges
• Brand building measures such as branded program folders, students’ folders, laptop bags with our logo, media coverage
• Many Career Awareness programs in remote locations
• Investor Awareness Programme under the aegis of MCA.
• Capital Market Programme in association with BSE.
(e) Never-before Students Servicing
• Revamped Class Room Teaching Centres with various value-added features
• Unique Learning Module
• New Class Room Teaching Centres at Mumbai
(f) Campus Placements
Campus Placements were undertaken to provide good scope for students and members to prosper in Career and for Companies to attract suitable talents.

• More than 100 investor awareness programs across Maharashtra, Gujarat, Madhya Pradesh & Daman alongwith with Bombay Stock Exchange and Ministry of Corporate Affairs

• Capacity building programs on emerging areas
• Unique programs on Enhance Your Effectiveness
(h) MOU with Camplace
A special partnership with private initiative was conceived and implemented by WIRC in July 2013, when WIRC boldly embarked for a MoU with Camplace for special placement drive under the name TALENTICK. The statistics given by Camplace are given below: • Applications received by employers – 4525+ • Interviews conducted - 1400+ • New company registrations with ICSI for training – 2 It is to bring to your kind notice that a show cause notice was issued to WIRC by HO with respect to MoU as WIRC did not obtain statutory approval from HO.
(i) Special Drive for CSBF
WIRC for every member’s benevolence undertook a lot of awareness campaign for
CSBF, comprising of distributing brochure, display of special CSBF banner / standees,
telephonic calls and emailing brochure. At present the number of CSBF member stands
1680.
(j) Health, Sports & Culture Initiatives
• Formation of WIRC Sub-Committee
• Free medical camps, blood donation camps jointly with MCA
• Fellowship get-togethers
• WIRC Anniversary Day celebrations
• MCA-WIRC Cricket Match
(k) IT initiatives
• Web-portal revamped to be the best-in-class with various value-added features
• Online registration and payment of fees for programs conducted by the ICSI-WIRC

WIRC has brought out five publications in the year 2013 on:
• Companies Bill 2012 – Author – CS R. Balakrishnan, CS Shubhra Singh, CS Prakash Pandya
• Supreme Court Judgments on SEBI Act, Rules and Regulations, CS Prakash Pandya, CS Shailashri Bhaskar
• Practical Aspects of Service Tax – Author – CS Smitesh Amul Desai
• Transfer Pricing – Author – CS A Sekar
• Practical Aspects of Foreign Direct Investments (FDI) – Authors – CS A Sekar and CA Sudha Bhushan
7. Programme Membership Scheme of ICSI-WIRC Programme Membership Scheme of ICSI-WIRC (PMS) continued with the feature of validity of one year from the date of registration (subject of maximum of 8 full day programmes) for the benefit of members, corporates and students to enable them to swiftly register for the programme and also to take the benefit of concessional fees. As on 31st March 2014, there were more than 175 members (individuals and corporate) enrolled for the PMS.
8. Chapters: At present, there are Seventeen Chapters serving the members and students of the Institute in the
Western Region. These Chapters are located at Ahmedabad, Aurangabad, Bhayander, Bhopal, Dombivli, Goa, Indore, Kolhapur, Nagpur, Nasik, Navi Mumbai, Pune, Raipur, Rajkot, Surat, Thane and Vadodara. The details of the Chapters inclusive of contact address and office bearers are available on the website of ICSI (www.icsi.edu). The managing committee of Dombivli Chapter was superseded by the ICSI during the year. The said Chapter is now under the control and supervision of ICSI.
Chapters regularly conduct programmes, seminars, talks, study circle meetings for the benefit of
the members and students.
9. Student Services:
(a) Class Room Teaching Centres: WIRC continued to provide the facilities through existing and Teaching Centers in Mumbai at
Churchgate, Ghatkopar, Malad, Matunga, Vile Parle & Vikhroli which are as under:
• ICSI-Sydenham College, Churchgate • ICSI-Smt. P.N. Doshi Women’s College, Ghatkopar • ICSI-MKES College, Malad New Centres started during the year:
• ICSI- Institute of Commerce of R.A. Podar College, Matunga • ICSI-N.M. College, Vile Parle • ICSI-Vikas College, Vikhroli
Besides above, Coaching Centers are conducted by other Chapters across western region.
(b) Prize Awards:
Students from the Western Region have won number of awards/prizes for their meritorious performance in the Institute’s examinations held in December 2012 and June 2013. The list of students is given in ‘Annexure C’.
(c) Management Skills Orientation Programme, Student Induction Programme and Executive Development Programme:
ICSI-WIRC conducted 10 Management Skills Orientation Programme (MSOP) during the year under review to facilitate the Final passed students in fulfilling their training requirements and getting their membership from the institute. Ahmedabad, Thane, Indore and Pune chapters also conducted MSOPs during the year. Moreover, ICSI-WIRC conducted 04 Executive Development Programme (EDP) and also conducted 19 Student Induction Programme (SIP) as per CS Regulations. Chapters also conducted these programmes.
(d) Career Awareness :
About 289 Career Awareness programmes were organized in various colleges, schools and other institutions by WIRO and also by its Chapters. ICSI-WIRC and its Chapters also participated in many Career Fairs / Exhibitions in order to popularize Company Secretaries profession as a Career choice.
(e) Evaluation of Response Sheets:
ICSI-WIRC carried out local evaluation of response sheets for the students studying in Foundation Programme, Executive Programme and Professional Programme of the Institute. ICSI-WIRC also made necessary arrangements for issue of Coaching Completion Certificates to the successful students.
(f) Regional Students Conference - 2013
The Committee also organized various Student conferences across the region during the year jointly with Bhayander, Goa, Raipur and Surat Chapters.
10. Library: Besides WIRO the library facilities are also available at various Chapters of ICSI-WIRC. 11. Group Insurance Scheme:
ICSI-WIRC with a welfare motive towards its members in the western region, like yesteryears has carried forward group insurance scheme. The policy has been taken from LIC. Salient features of this scheme are as under. a. Rs.10 lakhs term cover per individual member b. The cover is global c. Premium payable Rs.2,800/- per annum plus Service Tax Rs.346/- Total amount is Rs.3,146/-. d. A member hailing from Western Region is eligible to become member of the scheme. e. No health check but only a simple declaration of good health at the time of joining. f. Age limit – 60 years
. Currently there are 222 members, who have enrolled in the scheme. Members are earnestly
requested to avail of this scheme and get benefitted out of this. 12. Auditors: M/s. Sarda Soni Associates, Chartered Accountants, Mumbai. The Auditors would retire at the
forthcoming Annual General Meeting and being eligible for reappointment. The suitable resolution is placed for the approval of members.
13. New Initiatives in the year 2014 :
Immediately after the new Executive Committee of ICSI-WIRC assumed charge effective from 19th January, 2014, it firmed up action plan for the year 2014 with numerous initiatives under consideration, some of which are highlighted below:

Publishing Research Works
Opening and increasing of further new Classroom Teaching centres (OTC)
Special training program for Independent Directors

We have audited the accompanying financial statements of WESTERN INDIA REGIONALCOUNCIL OF THE INSTITUTE OF COMPANY SECRETARIES OF INDIA, which comprise theBalance Sheet as at March 31, 2014 and the Statement of Income and Expenditure Accountfor the year then ended and a summary of significant accounting policies and otherexplanatory information.
Management is responsible for the preparation of these financial statements that give atrue and fair view of the financial position, financial performance of the Council. Thisresponsibility includes the design, implementation and maintenance of internal controlrelevant to the preparation and presentation of the financial statements that give a true andfair view and are free from material misstatement, whether due to fraud or error.
Our responsibility is to express an opinion on these financial statements based on our audit.We conducted our audit in accordance with the Standards on Auditing issued by theInstitute of Chartered Accountants of India. Those Standards require that we comply withethical requirements and plan and perform the audit to obtain reasonable assurance aboutwhether the financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts anddisclosures in the financial statements. The procedures selected depend on the auditor'sjudgment, including the assessment of the risks of material misstatement of the financialstatements, whether due to fraud or error. In making those risk assessments, the auditorconsiders internal control relevant to-the Council's preparation and fair presentation of thefinancial statements in order to design audit procedures that are appropriate in thecircumstances. An audit also includes evaluating the appropriateness of accounting policiesused and the reasonableness of the accounting estimates made by management, as well asevaluating the overall presentation of the financial statements.
We believe that the audit evidence we have obtained is sufficient and appropriate toprovide a basis for our audit opinion.
During the year under audit, the audited accounts of Kandivali Study Circle' are alsoincorporated and as there was no activity in Dadar Study Circle the accounts have not beenprepared.
