The Welland Partners Proposition

Our Projects

Welland Partners Development is an established developer which finds residential projects with planning permission, ready for Welland Partners to build out and sell. It uses its own funds, external investor equity and stretch senior lending to turn the cash invested back into cash and target profits within a 15 to 18 month window.

Investment returns of 1.25 - 1.4x money net of our fees and net of UK corporation tax are targeted with sufficient tolerances to protect against major market swings.

We compartmentalise the period of risk exposure for our investors, by only buying sites with full planning permission, appointing contractors we know well, on fixed price contracts and aiming to sell the units during the development phase “off plan” or with a show flat on site.

We develop sites to the high quality which our buyers appreciate. Our value engineering has achieved significant development gains post site acquisition. We sell through local and offshore sales streams, to the private market, block sales and housing associations.

Each property deal is put to investors in a separate presentation with deal specific information including acquisition, build and sales strategy with target investment returns and sensitivities.

Our investments are structured as property joint ventures. This is not a form of investment which is regulated by the FCA, although we run at very high professional standards and operate a monthly reporting structure to our investors on each project, with updates on the contruction, finance and sales process.

An investor participates in a project with a holding of ordinary shares in the capital of a dedicated project company. We produce a standard set of investment documentation including a shareholders agreement, articles of association and development management agreement with strong shareholder protection. At the end of the project, the orignal capital and the other proceeds are distributed by dividend or capital return on solvent liquidation.

We put a significant portion of the investor equity into the project ourselves and provide personal and corporate guarantees for the debt providers. Our investors are completely ring-fenced from risking anything other than their equity.

Investment Terms

The investor’s investment is made into ordinary share capital of the project company.

The development manager charges fees at 3% of the acquisition costs plus 3.5% of the development costs on an ongoing basis. The development manager also holds 20% of the net profit through a carried interest.

80% of the net profits are distributed to the investors via dividends on the shares and/or solvent liquidation (according to investor preference)

Alex Woodfield is a founding partner of Welland Partners. He was previously a senior equity partner in major international law firms and has noted specialisms in M&A, private equity investment, real estate and working with an international private and institutional client base.

Alex has acted on a large number of corporate property investments. His historic client base is among Welland’s investor base and he takes significant responsibility for investor relations as well as deal execution. Alex has wide experience of international markets and the needs and sensitivities of institutional and private clients, principally from Russia, Kazakhstan, Cyprus, Asia and UAE.

He has acted for a large number of HNWs in their own residential property portfolio in London and assisted them in tax and profit efficient structures for their investments. He is our managing director and responsible for deal selection, finance terms and the development management.

Simon Brock is the executive director and one of the key shareholders of the RBH Properties group of companies which has been investing in, and more recently developing, sizeable project schemes since 2011 with total values over £100m.

Under Simon’s leadership, RBH has purchased 22 properties consisting of a mixture of residential apartments (850 units), commercial units and development projects (212 units).

Simon is a director and investor in Welland Partners Development and assesses, inputs and approves all our development projects personally and with input from his development and procurement team.

Stuart Sullivan is the finance and operations manager of RBH Properties and is available for all Welland Partners developments. He has 26 years of experience as a NatWest bank manager, tailoring financial solutions for property developers.

He oversees the financial packages for acquisition and development, progress monitoring, contractor liaison and project viability.
