Invitation to tender for creative design services for the Grand Opera House

1. Introduction

The Grand Opera House Trust invites you to submit a tender for the provision of creative design services. The Grand Opera House Trust intends to award a contract for the period to December 2021, during which time the Theatre will undergo a significant restoration and development project ahead of its 125 year anniversary.

The procurement commenced on Monday 29 July 2019 with the publication of an advertisement by the Grand Opera House on the eSourcingNI portal and on the Grand Opera House website.

2. Background

The Grand Opera House

The Grand Opera House is Northern Ireland’s Premier Theatre. Built in 1895 the Grand Opera House stages spectacular touring musicals, many direct from the West End, as well as plays, opera, ballet, comedy, music, locally created work, and Northern Ireland’s biggest pantomime. The Grand Opera House welcomed 300,000 theatregoers in 2018, making it one of the biggest live entertainment venues in Northern Ireland. The Theatre has charitable status and currently receives funding from the Arts Council of Northern Ireland, Belfast City Council and support from the commercial sector through sponsorship. The Theatre currently has a capacity of 1,057.

The aims and values of the Grand Opera House Trust are: to present a world-class theatrical experience; to extend and enhance its reputation nationally and internationally; to exercise the responsible stewardship of its landmark building; to maintain a distinctive creative learning and outreach programme; to sustain and develop a successful organisation; to provide a positive experience whether visiting or working in the Grand Opera

House.

Working closely with the local community the Grand Opera House also promotes an outstanding creative learning and outreach programme, working with schools, community groups and youth organisations to deliver participatory programmes, learning projects and large-scale education initiatives, including an annual Summer Youth Project involving 200 young people. From performance masterclasses to a thriving youth theatre programme, the Grand Opera House is a passionate participant in the life of the community, working hard to provide access to the arts for everyone in Northern Ireland.

The Theatre’s Marketing and Sales team, supported by its creative design agency, works with producers to promote and sell more than 40 shows each year, as well as creating collateral such as

fliers, posters, brochures and digital content including the Theatre’s website. The team manages above-the-line and below-the-line marketing and promotions, and engages with more than 100,000 people through its social media platforms, and 250,000 through its customer database.

In January 2020 the Theatre will close for much-needed restoration and development work, and will reopen in November 2020 ahead of its 125th anniversary on 23 December 2020. The restoration and development project will cost £12.2 million, made possible thanks to financial support from the National Lottery Heritage Fund and other Trusts and Foundations. The project will restore the Frank Matcham-designed 1895 auditorium to its original splendour, bring the Theatre’s technical infrastructure up to date, and significantly enhance customer facilities. One of the key benefits of the restoration will be the installation of the first-ever permanent exhibition sharing the Theatre’s rich and colourful heritage and history.

In addition to working closely with the Theatre’s marketing and sales team to design and produce day-to-day collateral to support the promotion of productions and other initiatives such as Creative Learning projects, the successful agency will work with the Chief Executive and the Head of Marketing and Sales to refresh the Theatre’s brand and generate all necessary materials in support of the restoration and development project, and 125th anniversary celebrations.

3. Details of the Project

The creative design agency will support the Theatre’s management in the following areas:

Brand Identity

Working with the Chief Executive and the Head of Marketing and Sales:o Create an extension to the existing Grand Opera House brand to incorporate the

2020 restoration and development projecto Develop a new Mother Brand for use post-restorationo Create an extension to this new Mother Brand for the Theatre’s 125th anniversary

year from reopening until December 2021 Create artwork to allow these new identities to be used in print, online, commercial

opportunities and for any other purpose Create simple brand guidelines to help encourage the consistent use of the brand identities The successful agency will be expected to work alongside the restoration project’s

Interpretative Designers to ensure collateral, signage and other visual references are consistent

Production artwork

Working with the Head of Marketing and Sales and the wider marketing team, create engaging, high quality, creative and professional artwork and design for season brochures, fliers and posters, outdoor, print and online advertising (static and digital) and any other production marketing requirement

Create the overall design concepts for a small number of productions developed in house each year

Manipulate existing open artwork for different promotional requirements

Restoration & development, and history & heritage artwork and design

Working with the Chief Executive, the Head of Marketing and Sales and external contractors, create artwork and display panels to help tell the story of the Theatre’s history

Develop artwork and designs for a range of brochures and leaflets relating to the restoration and development of the Theatre, and to its history and heritage

Develop artwork and designs for promotional displays around the exterior of the Theatre while restoration work is being undertaken; events taking place outside the Theatre during restoration; and digital screens inside and outside the Theatre post-restoration

Develop artwork and designs for all material needed for the reopening of the Theatre after restoration, including a commemorative programme, promotional leaflets and opening night invitations

Artwork and design for creative learning and outreach work and other projects

Create artwork and design for creative learning initiatives, Friends membership schemes, Theatre tours and any other project work as required

4. Structure of the Procurement

To be considered for this contract, tenderers must submit all the information set out in section 7 by noon on Friday 16 August 2019. Submissions will be evaluated by a panel of suitably experienced and qualified representatives from the Grand Opera House using the criteria set out in section 9. The evaluation panel will attend a consensus meeting at which it will agree consensus scores. This consensus view shall be final and the score for each tender response shall be final.

The Grand Opera House Trust intends to invite the three highest ranked tenderers, following evaluation of tenderers’ submissions, to proceed to the presentation and interview stage. The Grand Opera House Trust may, at its sole discretion, select more or less than three tenderers to invite to interview.

Further information on the presentation and interview process is set out in section 10 below. The Grand Opera House Trust currently intends to inform tenderers if they have been invited to interview on Tuesday 20 August 2019, with presentations and interviews taking place on Monday 9 September 2019.

Following assessment of tenderers’ responses, including assessment of the presentation and interview, in accordance with the procedure set out in section 9 below, the Grand Opera House Trust will award the contract to the chosen tenderer.

5. Timescale

An indicative timetable for the main stages of the procurement is set out below. The Grand Opera House Trust reserves the right to amend any dates or timescales at its sole discretion. Any amendments to the timetable below will be notified to all tenderers simultaneously.

6. Clarifications

The Grand Opera House will not enter into detailed discussions on the requirements of the procurement with individual tenderers.

In the event that a tenderer considers that any part of the invitation to tender is unclear, the tenderer shall seek clarification from the Grand Opera House by sending an email via the eSourcing NI portal. The Grand Opera House shall supply such further information as is reasonably requested, provided the request is received no later than 12.00 noon on Friday 9 August 2019.

The Grand Opera House will respond to all clarification questions via the eSourcingNI portal.

Where a tenderer believes that a clarification is confidential in nature, the request should clearly identify that the tenderer wishes the response to be kept confidential and not circulated to all tenderers. However, if the Grand Opera House decides, in the interests of open and fair competition, that a response to a confidential clarification should be circulated to all tenderers, then the tenderer that raised the clarification will be notified and given the opportunity to either retract the clarification question or to inform the Grand Opera House that the clarification may be treated as not being confidential.

The Grand Opera House reserves the right, at its sole discretion, to communicate clarifications or amendments to tenderers at any stage.

7. Tender submission requirements

Tenderers are required to submit the information requested in points A-F below, in their tender proposal:

A) Experience Submission

1. Agency credentials: agency background, history and philosophy/aims and objectives. Tenderers are required to submit details of the team members likely to be involved in servicing the Grand Opera House account should they be successful, including professional qualifications and experience.

2. Breadth of agency experience of successfully working with clients to deliver services including those outlined in section 3 above.

3. Client support and liaison: details of the tenderer’s approach to client management, including its ability to respond creatively to a brief, provision of strategic advice and support, flexibility, ability to respond quickly to new requirements, accuracy and attention to detail.

4. Three specific examples of where the tenderer has provided creative design services similar to those specified in section 3 above for an organisation (ideally a theatre or entertainment venue) of a similar scope and scale as the Grand Opera House, including client testimonials. Tenderers are required to provide examples of artwork and design, as well as details of the

briefs they were asked to follow and the creative and operational challenges they faced in doing this.

5. Details of value added services that the tenderer would be able to provide to the Grand Opera House.

B) Pricing Submission

Tenderers are required to complete and return the pro-forma Pricing Submission Template to detail the cost of delivery of the services detailed in the Invitation to Tender.

Tenderers must quote their prices inclusive of any UK Retail Price Index assumptions for year 2 if appropriate.

The Pricing Submission Template will automatically calculate a Total Cost, which will be used for the purposes of evaluation.

Tenderers should note that the stated assumptions are estimates for the purposes of evaluation only and the actual requirements may be higher or lower based on the Theatre’s operational requirements.

C) Confirmation statement (Appendix 1)

See section 8 below for details, and Appendix 1 for the Confirmation Statement itself.

Declarations (Requirements D, E and F below)

Tenderers must complete all declarations contained in the Invitation to Tender and submit these as part of their tender response.

Failure to complete and submit all declarations may result in the tenderers being rejected from the Procurement.

D) Confidentiality Declaration (Appendix 2)

Tenderers are required to clearly specify and identify any information contained in their tender response or otherwise provided to the Grand Opera House which it considers to be commercially sensitive or confidential. The Grand Opera House will not disclose any information designated as confidential by tenderers except as the Grand Opera House considers necessary to comply with any applicable legal obligation.

Please note that six copies of the tender proposal should be submitted.

8. Confirmation Statement

The tenderer must submit the attached confirmation statement with their tender submission. Tenderers who do not meet the required criteria set out below may have their tender response rejected, at the sole discretion of the Grand Opera House.

(a) Mandatory Exclusion Criteria

Tenderers are required to confirm that none of the mandatory exclusion criteria identified below apply to their organisation. Tenderers that are subject to any of these mandatory exclusion criteria will have their Tender Response rejected.

The Grand Opera House will treat as ineligible and shall not select a tenderer if a tenderer (or any parent company/affiliates) or any of its directors (of a company), partners (of a firm) or anyone in an equivalent position e.g. any other senior managers who have powers of representation, decision or control has been convicted of any of the offences set out in paragraphs (a) to (n) below.

a) conspiracy within the meaning of section 1 or 1A of the Criminal Law Act 1977 or article 9 or 9A of the Criminal Attempts and Conspiracy (Northern Ireland) Order 1983 where that conspiracy relates to participation in a criminal organisation as defined in Article 2 of Council Framework Decision 2008/841/JHA on the fight against organised crime;

b) corruption within the meaning of section 1(2) of the Public Bodies Corrupt Practices Act 1889 or section 1 of the Prevention of Corruption Act 1906;

c) the common law offence of bribery;

d) bribery within the meaning of sections 1, 2 or 6 of the Bribery Act 2010, or section 113 of the Representation of the People Act 1983;

e) where the offence relates to fraud affecting the European Communities’ financial interests as defined by Article 1 of the Convention on the protection of the financial interests of the European Communities:—

i. the common law offence of cheating the Revenue;

ii. the common law offence of conspiracy to defraud;

iii. fraud or theft within the meaning of the Theft Act 1968(i), the Theft Act (Northern Ireland) 1969, the Theft Act 1978 or the Theft (Northern Ireland) Order1978;

iv. fraudulent trading within the meaning of section 458 of the Companies Act 1985, article 451 of the Companies (Northern Ireland) Order 1986(n) or section 993 of the Companies Act 2006;

v. fraudulent evasion within the meaning of section 170 of the Customs and Excise Management Act 1979 or section 72 of the Value Added Tax Act 1994;

vi. an offence in connection with taxation in the European Union within the meaning of section 71 of the Criminal Justice Act 1993;

vii. destroying, defacing or concealing of documents or procuring the execution of a valuable security within the meaning of section 20 of the Theft Act 1968 or section 19 of the Theft Act (Northern Ireland) 1969;

viii. fraud within the meaning of section 2, 3 or 4 of the Fraud Act 2006; or

ix. the possession of articles for use in frauds within the meaning of section 6 of the Fraud Act 2006, or the making, adapting, supplying or offering to supply articles for use in frauds within the meaning of section 7 of that Act;

f) any offence listed—

i. in section 41 of the Counter Terrorism Act 2008(a); or

ii. in Schedule 2 to that Act where the court has determined that there is a terrorist connection;

g) any offence under sections 44 to 46 of the Serious Crime Act 2007 which relates to an offence covered by subparagraph (f);

h) money laundering within the meaning of sections 340(11) and 415 of the Proceeds of Crime Act 2002;

i) an offence in connection with the proceeds of criminal conduct within the meaning of section 93A, 93B or 93C of the Criminal Justice Act 1988 or article 45, 46 or 47 of the Proceeds of Crime (Northern Ireland) Order 1996;

j) an offence under section 4 of the Asylum and Immigration (Treatment of Claimants, etc.) Act 2004;

k) an offence under section 59A of the Sexual Offences Act 2003;

l) an offence under section 71 of the Coroners and Justice Act 2009;

la) an offence under section 2 or 4 of the Modern Slavery Act 2015;

m) an offence in connection with the proceeds of drug trafficking within the meaning of section 49, 50 or 51 of the Drug Trafficking Act 1994;

ma) an offence under section 1, 2 or 4 of the Modern Slavery Act 2015; or

n) any other offence within the meaning of Article 57(1) of the Public Contracts Directive—

(i) as defined by the law of any jurisdiction outside England and Wales and Northern Ireland; or

(ii) created, after the day on which these Regulations were made, in the law of England and Wales or Northern Ireland.

(b) Discretionary Exclusion Criteria

Tenderers are required to confirm that none of the discretionary exclusion criteria identified below apply to their organisation. Tenderers that are subject to any of these discretionary exclusion criteria may have their Tender Response rejected, at the sole discretion of the Grand Opera House.

The Grand Opera House may treat as ineligible and shall not select a tenderer if a tenderer (or any parent company/affiliates) or any of its directors (of a company), or partners (of a firm) is in any of the situations listed in paragraphs (a) to (i) below:

a) where the Grand Opera House can demonstrate by any appropriate means a violation of applicable obligations referred to in Regulation 56(2) of the Regulations;

b) where the Economic Operator is bankrupt or is the subject of insolvency or winding-up proceedings, where its assets are being administered by a liquidator or by the court, where it is in an arrangement with creditors, where its business activities are suspended or it is in any analogous situation arising from a similar procedure under the laws and regulations of any state;

c) where the Grand Opera House can demonstrate by appropriate means that the Economic Operator is guilty of grave professional misconduct, which renders its integrity questionable;

d) where the Grand Opera House has sufficiently plausible indications to conclude that the Economic Operator has entered into agreements with other Economic Operators aimed at distorting competition;

e) where a conflict of interest within the meaning of Regulation 24 of the Regulations cannot be effectively remedied by other, less intrusive, measures;

f) where a distortion of competition from the prior involvement of the Economic Operator in the preparation of the procurement procedure, as referred to in Regulation 41 of the Regulations, cannot be remedied by other, less intrusive, measures;

g) where the Economic Operator has shown significant or persistent deficiencies in the performance of a substantive requirement under a prior public contract, a prior contract with a contracting entity, or a prior concession contract, which led to early termination of that prior contract, damages or other comparable sanctions;

h) where the Economic Operator—

i. has been guilty of serious misrepresentation in supplying the information required for the verification of the absence of grounds for exclusion or the fulfilment of the selection criteria; or

ii. has withheld such information or is not able to submit supporting documents required under Regulation 59 of the Regulations; or

i) where the Economic Operator has

i. undertaken to—

(aa) unduly influence the decision-making process of the Grand Opera House, or (bb) obtain confidential information that may confer upon it undue advantages in the procurement procedure; or

ii. negligently provided misleading information that may have a material influence on decisions concerning exclusion, selection or award.

9. Evaluation criteria

The Grand Opera House intends to award the contract based on the following ratio:

Interview 50

Total marks for experience 100

Tenderers’ experience submission with be evaluated out of a total of 100 marks. The Trust will then multiply tenderers’ experience scores by 70% to arrive at the tenderers’ weighted experience score.

10. Interview

In accordance with section 4 above, the Grand Opera House will invite the top three highest ranking tenderers to attend an interview.

The interview will consist of the following parts:

Maximum 40 minutes for a presentation in respect of the tenderer’s experience, focusing on, but not limited to their ability to carry out the work outlined in section 3 with creative flair and to the highest quality levels

Maximum 15 minutes for the Grand Opera House Trust to ask questions and clarifications about the tenderers’ presentations; and

Maximum 15 minutes for the Grand Opera House Trust to ask questions and clarifications about tenderers’ written responses.

Exact details of the presentation requirements will be communicated to tenderers in the invitation to attend interview.

The exact timings will be confirmed in the invitation to attend interview.

11. Submission of Tender Responses

Please submit six copies of your tender submission in a sealed envelope marked ‘Private and confidential – tender document for the provision of creative design services’ to:

on or before noon on Friday 16 August 2019.

Late submissions will not be considered. Please note that it is the responsibility of the tenderer to study the requirements before submitting the tender. Failure by a tenderer to complete all submission requirements fully and in accordance with the Invitation to Tender may result in the tender response being rejected.

12. Conditions of Tendering

Acceptance of Tender Responses – the Grand Opera House is not obliged to consider or accept alternative offers and similarly, offers made subject to additional or alternative conditions may be rejected. Tender Responses may also be rejected if complete information is not given at the time of tendering.

Extension to Tender Submission Deadline – Any request for an extension to the Tender Submission Deadline must be received at least seven days before the Tender Submission Deadline, but no undertaking can be given that an extension will be granted.

Expenses and losses – Tenderers shall be liable for all their own costs and expenses arising from the preparation and submission of Tender Responses. The Grand Opera House will not be responsible for, or pay, any expenses or losses which may be incurred by tenderers in participating in the procurement.

Canvassing – Any tenderer that directly or indirectly canvasses any official of the Grand Opera House in relation to the procurement, or who directly or indirectly obtains or attempts to obtain information from such officials in relation to the procurement, will be disqualified.

Collusive behaviour – Any tenderer that:i. fixes or adjusts the amount of its Tender Response by or in accordance with

any agreement or arrangement with any other party;ii. communicates to any party other than the Grand Opera House the amount or

approximate amount of its proposed Tender Response or information that would enable the amount or approximate amount to be calculated (except where such disclosure is made in confidence in order to obtain quotations necessary for the preparation of Tender Responses, insurances or other necessary securities);

iii. enters into any agreement or arrangement with any other party that such other party shall refrain from submitting a Tender Response;

iv. offers or agrees to pay or give or does pay or give any sum or sums of money, inducement or valuable consideration directly or indirectly to any party for doing or having done or causing or having caused to be done in relation to any other Tender Response or proposed Tender Response, any act or omission;shall (without prejudice to any other civil remedies available to the Grand Opera House and without prejudice to any criminal liability that such conduct may attract) be disqualified.

Compliance – Tender Responses must be submitted in accordance with this document and any clarifications as may be issued by the Grand Opera House during the procurement. Failure to comply may result in a Tender Response being rejected.

Tender validity period – Tenderers must keep their Tender Responses open for a period of 120 days from the Tender Submission Deadline.

Oral communication – Oral discussions will not be considered binding. Tenderers shall not make assumptions on any matter or rely on any statements or representations made to it during any visit or at any other time by persons acting on behalf of the Grand Opera House unless they are confirmed in writing as an amendment to this document.

Publicity – Tenderers must not engage in any publicity in relation to the Contract without the prior approval of Grand Opera House.

Amendments – the Grand Opera House may modify or amend this document at any time prior to the Tender Submission Deadline. Any such modifications will be issued to all tenderers. If deemed necessary, the Grand Opera House may, at its sole discretion, extend the Tender Submission Deadline.

13. Disclaimers

a. Only the express terms of any written contract relating to the subject matter of the procurement, as and when executed, shall have any contractual effect.

b. These provisions extend to liability in relation to any statement, opinion or conclusion contained in, or any omission from, this document and in respect of any other written or oral communication transmitted or otherwise made available to any person, and no representations or warranties are made in relation to such opinions, statements or conclusions. This exclusion does not extend to any fraudulent misrepresentation made by or on behalf of the Grand Opera House.

c. Any persons considering making a decision to enter into contractual relationships with the Grand Opera House as a result of the procurement should seek their own professional financial, legal and other advice. This document should not be regarded as an investment recommendation made by the Grand Opera House. i. Provides information or confirmations which later provide to be untrue or incorrect; and/or

h. The Grand Opera House reserves the right to require the submission of any additional, supplementary or clarification information as it may, at its absolute discretion, consider appropriate.

i. The Grand Opera House reserves the right:

i. To waive any requirements of the procurement (to the extent permitted by law);ii. To disqualify any tenderer that does not submit a compliant Tender Response in

accordance with this document;iii. To withdraw this document or procurement at any time or to re-invite responses

on the same or any alternative basis;iv. Not to award any contract as a result of the procurement; andv. To make whatever changes it sees fit to the timetable, structure or content of the

Procurement, dependent on the Grand Opera House approvals processes or for any other reason.

j. The submission of the Tender Response will be deemed to imply that the tenderer accepts the foregoing provisions without qualification.

1. The essence of tendering is that the Grand Opera House shall receive bona fide competitive tenders from all companies tendering. In recognition of this principle we certify that this is a bona fide tender intended to be competitive and that we have not fixed or adjusted the tender price by or under or in accordance with any agreement or arrangement with any other person.

2. We also certify that we have not:(a) communicated to a person other than the person calling for these tenders the

amount or approximate amount of the proposed tender except where the disclosure, in confidence, of the approximate amount of the tender was necessary to obtain insurance premium quotations required for the preparation of the tender;

(b) entered into any agreement or arrangement with any other person that they shall refrain from tendering or as to the amount of any tender to be submitted; and / or
