Hydro One’s business is focused on the transmission and distribution of electricity – its transmission system accounts for approximately 98% of Ontario’s electricity transmission capacity. Hydro One also owns the largest local distribution business in Ontario, which serves approximately 1.4 million predominantly rural customers, or approximately 26% of the total number of customers. This includes homes, commercial and industrial businesses, and institutions such as governments, schools, and hospitals.

With significant industry innovations on the horizon and a focus on modernizing its infrastructure for the future needs of its customers, Hydro One will invest up to $5 billion in capital assets over the next three years. This will involve replacing, repairing and upgrading equipment in almost every community to keep the public safe and increase reliability.

Successful partnerships with Indigenous-owned contractors will continue to play an important role in Hydro One’s capital plans. Enabling the delivery of critical infrastructure and economic value to the people of Ontario, Hydro One’s commitment to inclusion will also ensure benefits will flow to local First Nation communities. Hydro One will continue to implement its multi-year Indigenous hiring plan and will develop a comprehensive Indigenous community engagement plan that will guide Indigenous equity partnerships, procurement, and employment opportunities along the way.

The Ontario Energy Board The Ontario Energy Board (OEB) regulates Ontario’s energy sector. The OEB ensures that natural gas and electricity companies follow the rules. As an independent government agency, OEB’s goal is to promote a sustainable, reliable energy sector that helps consumers get value from their natural gas and electricity services.

Independent Electricity System Operator (IESO) The Independent Electricity System Operator (IESO) delivers key services across the electricity sector, including managing the power system in real time, planning for Ontario’s future energy needs, enabling conservation, and designing a more efficient electricity marketplace to support sector evolution. The IESO enforces reliability standards and coordinates with system operators and reliability agencies in other jurisdictions to ensure energy adequacy and security across the interconnected bulk electricity system in North America.

The Canadian Energy Regulator The Canadian Energy Regulator has jurisdiction over the construction and operation of international power lines. As Hydro One owns and operates 11 active international power lines connecting Ontario’s transmission system with transmission systems in Michigan, Minnesota, and New York, Hydro One holds several certificates and permits with the Canadian Energy Regulator.

• Adapting business practices to respond to the legal rights of Indigenous communities and individuals.• Developing and maintaining relationships across all Hydro One lines of business with Indigenous Peoples

that demonstrate understanding, respect and are based upon mutual trust.• Increasing procurement opportunities for Indigenous businesses to support their aspirations for

self-sustainability and track progress of such growth.• Increasing Indigenous representation in all levels in our workforce and track progress of such growth.• Increasing Indigenous community investments through our sponsorship and grant programs to assist

communities in advancing positive and lasting socioeconomic outcomes.• Undertaking procedural aspects of consultation, as required by law or guided by leading industry practices,

in the early stages of, and throughout, projects that may have an impact on Indigenous rights.• Seeking good faith resolution of transmission and distribution line issues on First Nation reserve lands in a

fair manner.• Ensuring employees have the skills, training, and resources necessary to perform their duties with respect

to developing and advancing relationships with Indigenous Peoples that demonstrate mutual respect andunderstanding of the unique rights of Indigenous Peoples.

Key accountabilities of the Indigenous Relations Department include: • Working collaboratively with accountable lines of business• Providing guidance to support programs and initiatives development• Providing intelligence to support community engagement, communication, and consultation• Providing insight on internal and external issues and activities, community political perspectives and

priorities• Providing support with respect to issues management.

Hydro One’s Indigenous Relations Department Overview

Hydro One maintains relationships with 133 First Nation communities and 34 Métis Chartered Community Councils across Ontario. Through its distribution system, Hydro One directly services 88 First Nation communities and over 22,000 First Nation customers. Over 50% of Hydro One’s First Nation customers are in northern Ontario. In addition, 23 First Nations host One Networks Transmission assets on their reserves. Hydro One Remote Communities—often referred to as “Remotes”—serves an additional 17 First Nations.

The organization acknowledges that Indigenous peoples have unique historic and cultural relationships with their land and a unique knowledge of the natural environment. Forging meaningful relationships with Indigenous peoples based upon trust, confidence, and accountability is vital to achieving our corporate objectives. Hydro One recognizes distinctions between and among First Nations, Inuit, and the Métis Nation.

Hydro One has an Indigenous Relations Policy focused on the following commitments:

• Developing strategies and leading the strategic long-term negotiations (including the duty to consult, landuse permits, resolving past grievances) for Indigenous communities that impact Hydro One.

• Developing and maintaining strong relationships with individual First Nation communities across Ontario,and working closely with these communities, to inspire trust and confidence and to help ensure that HydroOne reaches mutually beneficial arrangements, as it pertains to capital projects and other relevant initiatives.

• Translating Hydro One’s business objectives into an actionable Indigenous Relations Strategy and will ensuredelivery of Hydro One’s focus on community and social performance. This includes advising executiveleadership, managers, and staff to ensure that Indigenous Relations policies, principles, and strategies areintegrated across the organization and the overall corporate culture.

• Providing leadership to build knowledge and awareness across the organization regarding IndigenousRelations issues.

• Creating a culture of respect, transparency and collaboration while ensuring that business goals are met andthat commitments to stakeholders made during the engagement process are satisfied.

• Briefing and preparing members of the company (senior executives, the Board of Directors, seniormanagement, etc.) ahead of their engagements with the Indigenous communities.

• Providing expertise in the complex legal, cultural, and economic framework of Indigenous relationships.• Creating and implementing new business relationships and commercial models related to Indigenous

Relations across the entire corporation.• Working closely with internal business partners including the communications, operations, legal,

procurement and human resources teams.• Representing Hydro One interests in addressing Indigenous relationship building, negotiating with a wide

range of stakeholders and various levels of government.• Working as a coach and mentor to team members to further strengthen their skills with an eye to succession

planning and, on an as-needed basis, grow the Indigenous Relations team to address emerging needs.

The Role

Reporting to the Chief Corporate Affairs and Customer Care Officer and leading a team of staff, the Vice President, Indigenous Relations is accountable for:

Skills, Knowledge, and Experience• Proven track record of developing and building successful relationships and has achieved demonstrable outcomes with Ontario’s Indigenous communities along with critical stakeholders within government and regulatory bodies.• Strong understanding of Indigenous cultures and traditions as well as a sound political acumen, diplomacy, tact and enjoy building and leading teams.• Ability to develop, implement and execute strategic and operating plans in collaboration with a broad cross-section of professionals and decision-makers.• Strong project planning, implementation and reporting capabilities that will ensure commitments, progress, impacts, challenges and successes are tracked and communicated with great confidence and credibility to internal and external audiences.• Extensive knowledge of recent case law with respect to the duty to consult.• Strong leadership capacity and understanding of social, professional and legal standards related to Indigenous inclusion and reconciliation including the United Nations Declaration on the Rights of Indigenous Peoples, Canada’s Truth and Reconciliation Commission Report and the evolving landscape of Indigenous Relations.• Experience with Indigenous engagements specific to large scale infrastructure projects.• A strategic and effective relationship builder who supports advocacy efforts across the organization and understands how to bring people together to create meaningful and lasting change. • Can achieve world-class standards in Indigenous Affairs that is scalable to the organization.• Ability to present to various groups, large and small, internal and external, formal and informal.• Excellent communication skills, both written and verbal.• Skill and experience at preparing briefing notes on various topics.• Personable, friendly, with the ability to quickly form strong working relationships with all different types of people.• Able to build and lead a team of professionals in the Indigenous Relations department.
