1. The information contained in this Request for Proposal (RFP) document or information provided subsequently to bidder/s by or on behalf of DU, is provided for the limited purpose of

enabling the interested bidders to submit proposal and for no other purpose. In no

circumstances shall University of Delhi or its offices, employees, advisors, and/or consultants

incur any liability arising out of or in respect of the issue of this RFP, the contents hereof to the

Bid Process.

2. This RFP is being made available to the interested bidders on the terms set out in this RFP.

The possession or use of this RFP in any manner contrary to and applicable laws or for any

other purpose other than specified in this RFP is expressly prohibited. The interested bidders

will inform themselves concerning and shall observe any applicable legal requirement. This

RFP is issued with express understanding that it will be used by the interested bidders for

submitting their proposal and no other purpose.

3. The interested bidders shall be responsible for and bear all the costs incurred in connection

with participation in the RFP process, preparation and submission of their bids, including, but

not limited to, costs incurred in conduct of informative and other diligence activities,

participation in meetings/ discussions/ presentations, preparation of Bids, in providing any

additional information required by DU to facilitate the evaluation process. DU will in no case be responsible or liable for any costs, regardless of the conduct or outcome of the bidding

process.

4. This RFP is neither an agreement nor an offer and is only an invitation by DU to the interested bidders for submission of bids. The purpose of this RFP is to provide the banks with information to assist the formulation of their proposals. This RFP does not claim to contain all the information each bidder may require. Each bidder shall conduct its own enquiry and analysis and shall check the accuracy, reliability and completeness of the information in this RFP and where necessary may obtain an independent advice. DU makes no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of this RFP. DU may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information in this RFP.

5. This is not an offer by the DU but only an invitation to bid in the selection process initiated by the DU. No contractual obligation whatsoever shall arise from the RFP process until the duly authorised signatory of the DU and the selected bidder executes a formal contract.

6. DU reserves the right to change the basis of or modify or alter any/all the terms and provisions of the RFP, or the procedures (including the timetable) relating to the selection procedure and may request for additional information, if required, from the Bidder. DU also reserves the right to withdraw this RFP without assigning any reason and without any liability to the Bidder or any other person or party.

7. Each interested bidder must rely on the terms and conditions contained in any contract, when and if finally executed, subject to such limitations and restrictions, which may be specified in such contract. Any reference to RFP in any such contract or any correspondence between DU and the interested bidder shall not be construed as this RFP forming part of such contract.

1. Background

The University of Delhi (DU) is the premier Central University of the country and is known for its high standards in teaching and research and attracts eminent scholars to its faculty. It was established in 1922 as a unitary, teaching and residential university by an Act of the then Central Legislative Assembly. At present, there are 16 faculties, 86 academic departments, 77 colleges and 5 other recognized institutes spread all over the city, with around 1.5 lakh regular students (UG & PG) and around 2.5 lakh students in non-formal education programme.

2. NEED FOR ONLINE PAYMENT GATEWAYS University of Delhi is moving towards Digital Governance and Online Payment Gateway is one such step which allows ease of doing financial transactions.

3. PURPOSE OF RFP The objective of this RFP is to appoint a Bank to provide Payment Gateway services to the University for Online Payment of fee and other charges relating to their respective courses as well as for all kinds of services being provided by the University of Delhi (DU). This RFP is to detail out the Technical and other requirements and provide General instructions to the Banks for the said purpose.

4. SCOPE OF WORK The objective of the RFP is to select a Bank that will provide an end- to- end Payment Gateway Solution which supports and enables e-payments including but not limited to providing of the required application software, database, middleware, third party utilities, if any and installation, testing, commissioning, warranty, maintenance, required/guaranteed uptime, etc., as regards primary site with a minimum uptime of 99.95 % and support of minimum of 100 Transactions per second (TPS). The payment Gateway is required for online collection/ refund solution available for integration with all applications / services of DU on web. This service is for approximately 250,000 students who would be applying for different undergraduate courses and will pay registration fee. About 60,000 students will be enrolled in affiliated colleges/institutes who will henceforth pay admission fee. Also, the same services is required for approximately 150,000 applicants applying for PG/M.Phil./Ph.D. programmes for payment of registration fee and around 10000 out of them for payment of College/Department admission fee. The similar services are needed for various Diploma/Certificate courses offered by DU. The Bidder (Bank) shall be able to provide payment gateway services for admission of Foreign Nationals for similar purposes to incorporate payment through international credit/debit cards.

i. The Bidder (Bank) shall provide a solution which shall be easy-to-use/ pluggable/ easy to integrate on DU platform, configurable, scalable, compliant with various standards like PCI, etc., and shall be able process various card - credit and debit / Internet Banking/ Wallet transaction on various channels like Web etc., with minimum TPS of 100. DU can add new services from various departments at any point of time.

ii. The system shall support online/ real-time comprehensive and customizable management dashboard. The dashboard shall be able to provide convenient access via web Interface to various reports online/ offline/ real time settlement / usage/ charge back claims, status, transaction status / summary, etc. The admin interface shall be integral part of the solution for parameterization, monitor, control, etc.

iii. The solution shall provide comprehensive reporting system. Report/s shall be available in

any file format like- pdf, xlsx, html, csv, txt, etc. The report format must be flexible to customize and can run on multiple templates

iv. The Bidder (Bank) will be one point contact to provide the solution to DU. The selected

Bidder (Bank) will provide the DU an end-to-end solution, including but not limited to supply of required, application software, database, middleware, third party utilities, if any and installation, testing, commissioning, warranty, maintenance, required/guaranteed uptime, etc. The system will have to be integrated with the DU’s existing network.

v. The website of DU (or any other site as directed by DU) would facilitate e-payment by

providing redirection to end-users. The user shall be redirected to the web page/URL specified by the bank and process the user’s request regarding service opted by the user from among various services offered by the DU. After the process, the end user shall be redirected to DU’s website (or any other site as directed by DU) with relevant transaction details.

vi. Redirection of end users from DU’s website (or any other site as directed by DU) to the

Bank web page over a secure encrypted channel is the main responsibility of the Bidder (Bank), and that is done over two steps:

(a) Creation of the redirection based on the parameters basis the application of including the

course & college selected. (b) Redirecting end users to the Bidder (Bank)’s webpage and then back to DU’s website

vii. The payment service must offer SSL (Secure Sockets Layer) for transaction security.

viii. The solution shall get integrated with Fraud Risk Management Monitoring Solution and

SIEM deployed with capabilities such as log aggregation from heterogeneous sources, log forensics, event correlation, real-time alerting, file integrity monitoring, log analysis, user activity monitoring, object access auditing, compliance reporting, and log retention.

ix. Integration between the website and Successful Bidder (Bank) will be done by DU. The

Bank shall provide all necessary support in the form of API, etc., for the integration, keeping in view of time frame and urgency of the matter.

x. The solution shall check for URL tampering while the request is sent for and other relevant

information. xi. Any payment made with a credit or debit card or via a payment service must first be

authorised by the card issuing authority or the digital payment service provider. The Service must provide a secure link between DU, user / consumer and credit card processor to avoid fraudulent transactions. The secure line shall also ensure fast and efficient transaction processing.

xii. The Successful Bidder (Bank) shall also support the requisite certifications, integration, maintenance, patching, on boarding of DU’s compliance, etc., and day-to-day operations on 24*7*365 basis.

xiii. All guidelines issued from time to time by RBI for internet banking, digital payments and

related security issues including transaction done through Credit Cards, Debit Cards and other online collection modes, etc., shall be mandatorily binding on the Successful Bidder (Bank) and it is responsible to keep its processes updated as required from time to time.

xiv. The service provider shall have to necessarily debit the user/consumer’s account and credit to DU’s designated account(s).

xv. All settlement of transactions by Successful Bidder (Bank) will be as per applicable RBI

guidelines in this regard. xvi. Successful Bidder (Bank) MIS systems shall have the ability to itemize separately DU fees

and the Bank fees (all-inclusive). xvii. Successful Bidder (Bank) shall be required to place kiosk in Identified Colleges and Bank

Branches of Delhi to enable students to pay the Admission fees. The Kiosk shall be API integrated with the DU application system for real time updation. The Kiosk shall provide following modes of FEE Collection: Cash, Credit Card and Debit Card.

xviii. The Successful Bidder (Bank) shall be responsible for reconciliation of all the transactions

on daily basis. The solution shall provide comprehensive audit trail and logging for various activities like– reporting, admininstration, transaction processing, etc., at various stages of transaction flow.

xix. The Successful Bidder (Bank) shall provide transaction report to the University, which shall

include the following details: (a) Name of student money received from (b) Application Number (c) Course (d) College/Institution (e) Type of fee (Registration Fees, Admission Fee, Cancellation Fee) (f) Amount received and date (g) Mode of payment (h) Payment Status (Accepted / Rejected, etc.) and reason for rejection, if

applicable. (i) Contact No. (j) E-mail id

All payment related issues shall be directly handled by the Successful Bidder (Bank) and

issues shall be resolved as per the given SLAs. A periodic and as and when required MIS report shall be submitted to DU related to the issues concerning the applicants: number of pending and resolved issues.

xx. The Successful Bidder (Bank) will be solely responsible for implementation of all guidelines issued from time to time by RBI for various e-payment services. The amount received on behalf of the University shall be credited to the University account within T+1 working day.

xxi. The Successful Bidder (Bank) shall provide an emergency technical & other support to

the University on 24*7 basis and appoint a dedicated nodal officer for all queries. xxii. Successful Bidder (Bank) shall be required to provide an exclusive Customer Care Helpline

(with at least five dedicated numbers) to support for addressing the student’s payment related queries during the admission process.

xxiii. Successful Bidder (Bank) shall be able to integrate the payment gateway in

consultation with software team of DU in maximum of seven days and would also provide training to University’s personnel for the same.

xxiv. Simplified Merchant Integration - System is capable to integrate with the merchants on

various platforms - JAVA, ASP, ASP.NET, PERL, PHP, etc.

xxv. The Successful Bidder (Bank) shall also provide separate Test/ Development /UAT environment.

xxvi. Successful Bidder (Bank) shall provide reports on settlement after reconciliation along with detailed report.

xxvii. The Successful Bidder (Bank) shall also support the requisite certifications, integration, maintenance, patching, compliance /audit compliance, etc., and day to day operations.

xxviii. The Successful Bidder (Bank) is responsible to provide a detailed FAQ for

applicants regarding payment related issues.

xxix. The Successful Bidder (Bank) shall provide a presentation/video/animation to be uploaded on the DU website detailing the payment procedure for different modes of electronic payment.

For the purpose of RTI/Court Cases, the Successful Bidder (Bank) shall provide system generated reports / Logs as and when required.

5. ELIGIBILITY CRITERIA The Successful Bidder (Bank) needs to comply with all the eligibility criteria mentioned below. Non-compliance with any of the eligibility criteria would result in outright rejection of Bank’s bid. Any credential Mentioned in Annexure-II – Conformity to Eligibility Criteria and not accompanied by relevant proof / documents to the satisfaction of DU may not be considered for evaluation.

i. Bidder shall be a scheduled commercial bank and shall be included in the Second Schedule of the Reserve Bank of India Act, 1934 or Banking company as defined in clause (c) of Section 5 of the Banking Regulation Act, 1949 and it shall respond to this tender as sole bidder. Consortium of bidders is not allowed.

ii. Bank must have implemented/installed and/or managed end-to-end Payment Gateway Solution successfully for minimum 02 years, during the last 03 years for at least 02 Organisations/ Institutions, out of which at least 01 must be Educational Institution.

iii. Bank must have experience of deployment monitoring and management solution of Payment Gateway.

iv. The bank must have positive net worth in the last three audited balance sheets (2014-15, 2015-16 & 2016-17). The Bank shall provide a certificate to that effect from the Auditor.

v. Bank must not have been blacklisted by any Organisation in India/ RBI during the last five

years.

vi. The bank should not have any pending litigation against DU or any organisation which may materially impact the Bank’s responsibility to implement the scope of this RFP.

6. TECHNICAL & FUNCTIONAL SPECIFICATIONS The following Criteria must be met for qualification of the Bids:

I. Bidder shall provide complete information as per Annexure II.

II. The bidder Bank must be authorised by Reserve Bank of India (RBI) to provide Electronic Payment Aggregation Services.

III. The bidder Bank has to provide a list of branches in close proximity to University of Delhi, its campuses and affiliated colleges. Bank should share the list of branches mapped to each of the DU colleges.

IV. The bidder Bank must be currently providing similar services with high transaction volumes to Universities/Institutes/Organisations as stipulated in the eligibility criteria. The bidder Bank needs to provide document/s of such mandate/s.

V. The bidder Bank shall be fully equipped to provide Online payment Gateway services for all approved electronic payment modes including through international debit/credit cards or approved payment methods by RBI.

VI. The bidder Bank must possess valid ISO-27001 Certification (for Information Security Management System.) Please attach the documentary proof.

VII. Payment gateway must use a minimum of 128 bit encryption system for secure transmission of data.

VIII. The bidder Bank will provide the facility of fees deposition for physically challenged students through Cash Challan at branches with real time credit which has to be in real time sync with Delhi University application software.

IX. The bidder Bank will have to provide the Kiosks at Designated Colleges/ bank branches as desired by University of Delhi to enable students to pay registration/ admission fees through various modes including Cash.

X. The bidder Bank must share the list of branches in North-eastern region of India, which may act as Information Centres to facilitate students in these areas to apply for admissions.

XI. The bidder Bank shall be required to provide the exclusive Customer Care Helpline support for addressing the applicants’ payment related queries/ grievances during the admission process. There must be at least 5 help lines to handle the volume of students from the day of registration till the last date of admission and at least 2 help lines later to address the refund related grievances till the refund process is complete.

XII. The bidder Bank has to ensure seamless provision/ arrangement where in the applicant get mobility without paying full fees again and again for change in course and/or college. Refunds for cancellation of admissions shall be processed online, based on the data provided by DU.

XIII. The software must incorporate the facility to process and reconcile the applicant request for change of course and college by the end of respective cut-off list. The Bank shall maintain the complete payment record of the student during the admission process.

XIV. The bidder Bank has to provide the facility to re-validate/ re-verify the status of each transaction completed through the online payment gateway or through the collections made

by branches (Reverse query).

XV. The bidder Bank shall provide single integration kit for all modes.

XVI. The bidder Bank must provide online customizable dashboard to DU.

XVII. Daily payment Collections shall be shared through the respective dashboard of the colleges with respect to collections made on behalf of Individual Colleges based on the live admission data.

XVIII. The bidder Bank shall provide single MIS for all modes periodically and as and when required by DU.

An undertaking to this effect, as mentioned above, is required from the bidder Bank. Documentary proof for all the above criteria has to be invariably enclosed failing which the bid shall be liable to be rejected.

7. BID PROCESS

7.1 Submission of Bids

Online bids are invited under two-bid system through e-procurement system from well-established / reputed scheduled commercial banks to provide Payment Gateway services to the University of Delhi (DU) for Online Payment of fee and other charges relating to their respective courses as well as for all kinds of services being provided by the University of Delhi (DU).

Bid shall be submitted through online mode only.

7.2 Clarification of Bidding Documents

i. Bank/Bidder requiring any clarification of the Bidding Document may notify the DU by writing an email to [email protected].

ii. To assist in the scrutiny, evaluation and comparison of offers, DU may, at its discretion, ask some or all Banks for clarification of their offer. The request for such clarifications and the response shall necessarily be sent through either by post/ by hand or from official email account of the bidder bank.

iii. A pre-bid meeting as per schedule will be held but relaxation in any of the terms contained in the Bid, in general, will not be made. However, if any change is necessary the same will be published on the DU’s website as corrigendum.

7.3 Amendment of Bidding Documents

i. At any time prior to the deadline for submission of Bids, the DU, for any reason, whether at its own initiative, or in response to a clarification requested by a prospective Bidder, may modify the Bidding Document, by amendment/ corrigendum.

ii. Notification of amendments / corrigendum will be published on the DU’s Website and will be binding on all Bidders.

iii. In order to allow prospective Bidders reasonable time to take cognizance of the amendment into account while preparing their Bids, the DU, at its discretion, may extend the deadline for a reasonable period as decided by the DU for the submission of Bids.

7.4 Right to Terminate the BID

DU may terminate the bidding process at any time without assigning any reason. DU makes no commitments, express or implied, that this process will result in a business transaction with anyone. This RFP does not constitute an offer by DU. DU may invite the Bank for further discussions. 7.5 Deadlines for Submission of Bids

i. Bids must be submitted online, not later than the date and time specified in the RFP.

ii. The DU may at its discretion, extend this deadline for the submission of Bids by amending the Bid document, in which case, all rights and obligations of the DU and the Bidders previously subject to the deadline will thereafter be subject to the deadline as extended.

7.6 Late Bids

Bids received by DU after due date and time for any reason whatsoever, shall stand automatically rejected.

7.7 Evaluation of Bids

The committee constituted by the University for the purpose will review the proposal.

i. The committee will examine the Bids to determine whether they are complete, in the formats as required, the bid/ documents required to be enclosed, have been properly signed and the bid is in order.

ii. If a Bid is not substantially responsive, it will be rejected by DU and the Bidder will not be permitted for making any correction or addition to meet the non-conformity.

iii. The technical evaluation will take into account the capability of the bidder, as per prescribed matrix, to implement the proposed solution.

iv. Only those bids, which meet the Eligibility criteria, mentioned above shall be evaluated.

v. The financial bids would then be opened on a specified date and time to be intimated to the respective bidders directly by the CPP Portal.

vi. The details of evaluation have been explained below. The BID evaluation methodology is to facilitate the selection of the most cost-effective solution that meets the technical requirements of DU. The process shall be carried out in two-stages: 1) the bid would be first evaluated on technical grounds; and 2) on the financials grounds. The Bank/ bidder needs to cover the entire functional requirement as given in the RFP. All bids shall be evaluated by an Evaluation Committee set up for this purpose by the University.

8. Technical Evaluation-

i. Detailed technical evaluation shall be carried out by the Technical Evaluation Committee pursuant to Annexures - II & III and other conditions in the tender document to determine the substantial responsiveness of each tender. For this clause, the substantially responsive bid is the one that conforms to all the eligibility and terms and condition of the tender without any material deviation.

ii. The Technical Evaluation Committee may call the responsive bidders for discussion or presentation to facilitate and assess their understanding of the scope of work and its execution. However, the Committee shall have the sole discretion to call for discussion/presentation of the responsive bidders.

iii. The bidder will be scored on the basis of the Technical details submitted in Annexure - IV after evaluating conformity to eligibility criteria (Annexure - III).

iv. The bidder scoring the highest marks will be called T1 and the bidder scoring the next higher marks will be T2 and so on. In case of a tie of the total score at T1: (a) The bidder with the higher score in line item 2 (Number of transactions routed

through Payment Gateway in a Quarter) will be treated as T1.

(b) In case of a tie in (a) above, the bidder with the higher score in line item 5 (No. of digital transactions routed for all channels through Payment gateway mode in 2017-18) of the technical score sheet will be treated as T1.

(c) In case of a tie in (b) above, the bidder with the higher score in line item 4 (services provided to PSU/Govt. Sectors for providing electronic payment gateway services till March 2018) of the technical score sheet will be treated as T1.

(d) In case of two Banks still have same score T1 then DU may at its sole discretion declare looking at other parameters in Annexure IV, one of them or more as technically qualified bank/bidder as successful to provide the services of payment gateway as described in this RFP.

v. Bidders securing minimum score against each line item listed 1 through 6 in the TABLE

(Annexure – IV) an overall minimum score of 50 on the Technical proposal will be declared Technically qualified Bidder(s) for further evaluation of Financial Bids subject to the following conditions: At least two bidders must Technically Qualify as an outcome of the technical evaluation, failing which the process of selection of Bank for Payment Gateway solution may be retendered.

vi. Technical Evaluation Committee’s decision on scoring will be final and will be binding on all the bidders. No Communication regarding marks will be entertained

9. Financial Evaluation-

The financial bids shall be opened of only those bidders who have been found to be technically eligible as enumerated under Annexure IV. The per transaction rate quoted for each item offered under payment gateway services may be given in Annexure V.

The financial bid of the technically qualified bidders will only be opened. The lowest price in each category will be calculated at on the basis of transaction rate submitted for each category in Annexure V. Financial Bid received will be opened and evaluated for arriving at L1 rate as demonstrated in the SAMPLE Table A, below (dummy rates displayed for the purpose of illustration ONLY).

i. The bidder with T1 (Technical) score will be asked to match the L1 rate as demonstrated in TABLE B in each Category.

ii. If T1 bidder consents to match the L1 price as demonstrated in TABLE B in all the categories, T1 will be declared successful and awarded the contract for providing payment gateway services to DU.

iii. In case, the bidder with T1 score doesn’t match the L1 price; the bidder with T2 score will be asked to match L1 price in each category. If T2 matches the L1 in all the categories, the bidder with T2 score will be declared successful and awarded the contract for providing payment gateway to DU.

iv. In case, the last technically qualified bidder declines to match L1 in all the categories, the committee would go back to T1 to give opportunity to match rates in Point Serial Number 1, 2, 4 and 6 only of Appendix V. Further, if T1 still declines then similarly T2 will be offered and so on.

v. At any time during the process of Bid evaluation, DU may seek specific clarifications from any or all Bidders. Further, DU may opt not to avail any or all of the services for which the prices have been quoted by the bidder in the financial bid. DU will not be liable to pay any cost to the bidder for the services, which DU opts not to avail.

Note: Even though the Banks meet the above qualifying criteria, they may be disqualified on any of the following grounds:

i. The Bank is in litigation with DU or with any Department;

ii. The Bank has made any false representation in the forms, statements and attachments submitted in proof of the pre-qualification requirements;

iii. The Bank has a record of poor performance such as abandoning of any allotted project, inability to complete any allotted project, delay in completion of any allotted projects, etc.; or

iv. The Bank has not been black listed by any State Government/Central Government or its organizations. Banks may specifically note that while evaluating the proposals, if it comes to DU’s knowledge explicitly or implicitly, that some Bank(s) may have colluded in any manner whatsoever or otherwise joined to form an alliance/cartel, then the Banks so involved are liable to be disqualified for this contract as well as for a further period of two years from participation in any of the tenders floated by DU.

10. Qualification for Technical & Financial Bid i. The bid documents shall be submitted on e-procurement portal as provided by DU. Hard Copy

would not be acceptable. The Financial Bid shall be submitted separately. ii. The original and copies of the bid each consisting of the documents listed in instructions and

proposal cover letters, shall be typed in indelible ink and shall be signed & stamped on each page by duly authorised person/persons of the Bank.

10.1 Validity of Bids The pre-qualification bid shall be valid for a period of 7 days from the closing date of submission of the proposals. 10.2 Cost & Currency The offer must be made in Indian Rupees (INR) only and shall exclude GST. 10.3 Language of Bids The bids and all correspondence and documents shall be written in English. All bids and accompanying documentation will become the property of DU and will not be returned.

10.4 Delivery/ Implementation Schedule The products and/or Systems and/or Services covered under this invitation are to be supplied, installed and commissioned within the period of 7 days from the issue of the purchase order. No credit will be given to early deliveries.

11. Rejection of the Bid

The bids are liable to be rejected in the following cases or in case the Bank fails to meet the bidding requirements as indicated in this RFP:

i. Proposal not submitted in accordance with the mentioned specifications;

ii. During validity of the proposal, or its extended period, whichever be the case, the Bank

increases its quoted prices;

iii. Proposal received in incomplete form;

iv. Proposal is not accompanied by all requisite documents;

v. Failure to comply with the requirements as set out within the RFP and failure to submit the bid as detailed in the RFP may render the bid non-compliant;

vi. Bids found with suppression of details, conditional offers, partial offers, etc.;

vii. Information submitted in technical proposal is found to be misrepresented, incorrect or false,

accidentally, unwittingly or otherwise, at any time during the processing of the contract (no matter at which stage) or during the tenure of the contract including the extension period if any;

viii. Any contact made to influence DU on any matter relating to its Bid, from the time of opening of Bid till the time the Contract is awarded.

ix. Bank tries to influence the proposal evaluation process by unlawful means at any point of time during the bid process; or

x. In case the bidder Bank partly submits or submits multiple proposals or if common interests are found in two or more Banks, the bidder Banks are likely to be disqualified, unless additional proposals/Banks are withdrawn upon notice immediately;

Notes: 1. The decision of DU in the evaluation of bids shall be final.

2. DU reserves the right to reject any or all bids on the basis of any deviation(s);

12. SERVICE LEVEL AGREEMENT The purpose of this service level agreement (hereinafter referred to as SLA) is to clearly define the levels of service to be provided by the successful Bank to DU for the duration of this contract. SLA defines the terms of the successful Bidder’s responsibility in ensuring the timely delivery of the deliverables and the correctness of the same based on the agreed Performance Indicators as detailed in the Agreement. This section defines various service level Indicators that will be considered by DU in the SLA with successful Bank.

The successful Bank has to comply with all SLAs defined below to ensure adherence to project timelines, quality and availability of services. Penalties shall not be levied on the successful Bank in the following cases: The non-compliance to the SLA has been solely due to reasons beyond the control of the Bank. e.g. the net-banking services of a given bank have been impacted all over the country / region, there is a force majeure event affecting the SLA which is beyond the control of the successful Bank.

i. The payment gateway has to be integrated with various DU’s web based applications in not later than 7 working days. This time would start from the date, a formal communication has been sent by DU to the successful Bank till the time the payment gateway is integrated with the application and is ready for fund transfer.

ii. The payment gateway solution has to be up for at least 99.8% of the time for 24 x7

period. The measurement would be done every week per application integrated with the payment gateway solution. The successful Bidder (Bank) shall share this uptime report clearly stating the uptime in percentage with all the departments whose applications have been integrated with the payment gateway system. This report shall be shared within the first 3 working days of every week through email and subsequently every week.

iii. The payment gateway service shall facilitate multiple users making transactions from

various locations at any point of time.

iv. Service unavailability resulting from loss of network availability can be excluded from service availability calculations, if the network availability loss is caused by any factors beyond the PGSP’s control, such as natural disasters, IP transit provider or end user's portion of the network failure, the same shall not be counted as downtime.

v. The Bank shall retain authorization logs, non-repudiation logs and transaction records

for the entire period of contract.

All records shall be kept in accordance with generally accepted accounting principles & procedures. All principles & procedures shall be in accordance with central, state, and local laws.

vi. The Bank shall certify that online financial transactions shall be based on secure data

transmission and a standard public-and-private key encryption system that encrypts the user’s submission of private financial data before it leaves their web browser. The data must remain encrypted throughout transmission until it is safely received at the intended server where it is decrypted and processed. The required licenses shall be at the cost of the Bidder Bank.

vii. The Bank shall ensure that appropriate security measures are put in place to protect

DU’s internal systems from intrusions and other attacks while conducting e-Payment transactions, whether internal or external e.g., message interception, tampering, redirection, or repudiation or while pulling data from or pushing data into DU server.

The Bank shall ensure compliance with international information security standards and best practices.

viii. Throughout the term of this contract, DU shall have the right (at any time) to inspect Bank’s transaction records for DU charges and associated bank fees. Any such inspection shall be made during regular business hours and comply with any reasonable security and confidentiality procedures of the Bank. DU may audit or get it audited all or any of such accounts as per its discretion.

ix. The Bank shall provide DU with the capability to securely access, via password-

protected site/portal/software, to view transaction details.

x. Payment services must offer fraud-screening tools to reduce fraudulent transactions. This includes address verification, card verification value (CVV), expiry date of the card, date of birth, etc., to ensure that the payments made via payment service gateway are legitimate.

xi. The payment service shall adhere to certain standards such as VeriSign Secured/ VBV/ Secure Code.

xii. All the citizen payment issues (including refund of failed transactions) shall be resolved within a period of 2 days (irrespective of weekends or public holidays).

xiii. The Bank will warrant the system to be free from defects in material and

workmanship from the date of final acceptance by the University as long as the contract is in force. In case the system is unable to meet specified performance criteria, the Bank shall modify the system to resolve the problem or meet the performance criteria without any cost to the University.

xiv. During the contract period it is the Bank's responsibility to provide technical response

within three hours (i.e. time required for Supplier’s maintenance engineers to report to the installations after a request call / fax / e-mail is made or letter is written) shall not exceed 3 (three) hours.

xv. The resolution to the problem or performance issue within ten hours of the time the

problem/issue is reported. Technical support shall be made available 24×7by the bidder bank.

xvi. Any rectification required in the Application Software due to inherent bugs in the

System Software / off-the-shelf software shall also be rectified by the Supplier or his associates, free of cost, within a reasonable period.

xvii. Bank shall be required to provide the exclusive Customer Care Helpline support for

addressing the student’s payment related queries during the admission process. xviii. Bank will have to provide the Kiosks at Designated Colleges/ bank branches as desired

by the University of Delhi to enable the students to pay admission fees through various electronic payment modes including Cash. Kiosk shall be API integrated with the DU application system for real time updation. Kiosk shall provide following modes of FEE Collection – Cash, Debit Card, and Credit Card.

Bank shall share the list of branches in North-eastern region of India, which may act as Information Centres to facilitate students in these areas to apply for admissions.

13. AWARD OF CONTRACT 13.1. Award Criteria This RFP is not an offer to enter into an agreement or contract with responding Banks. Only the execution of a written contract will bind the University in accordance with the terms and conditions specified in the contract. DU will award the Contract to the successful Bidder (Bank). 13.2. Contract Period The contract shall remain in force for one year from the date of issue of work order and extendable to further two years based upon the performance without inviting any further bids and as per University norms. 13.3. Notification of Award

Prior to the expiration of the validity period, DU will notify the successful Bank in writing or by fax, to be confirmed in writing by latter, that its proposal has been accepted. The notification of award will constitute the formation of the contract. 13.4. Signing of Contract

After DU notifies the successful Bank that its proposal has been accepted, DU shall enter into a separate contract. 13.5. Failure to agree with the Terms & Conditions of the RFP .

Failure of the successful Bank to agree with the Terms & Conditions of the RFP shall constitute sufficient grounds for the annulment of the award, in which event DU may award the contract to the next best value Bank or call for new proposals.

14. PAYMENT TERMS 1) Any fluctuation in cost due to inflation in due course of time shall be borne by the Successful

Bidder (Bank). 2) For the payment purposes, price reduction shall be applied on pro rata basis on all head, sub heads

and items of the financial bid.

15. OTHER TERMS & CONDITIONS

15.1. Termination for Default

Default is said to have occurred: i. If the successful Bidder (Bank) fails to deliver any or all contracted services as

per service standards specified in the Contract; ii. If the successful Bidder (Bank) fails to perform any other obligation(s) under the Contract; iii. If the successful Bidder (Bank) in the judgment of DU has engaged in corrupt or

fraudulent practices in competing for or in executing the Contract; Notes; 1) If the bank, in either of the above circumstances, does not take remedial steps within a

period of 7 days after receipt of the default notice from DU (or takes longer period in spite of what DU may authorize in writing), DU may terminate the contract / work order in whole or in part. In addition to above, DU may at its discretion also take the subsequent actions.

2) In the event DU terminates the Contract in whole or in part, DU may procure, upon such terms and in such manner, as it deems appropriate, services similar to those undelivered, and the successful Bidder (Bank) shall be liable to DU for any excess costs for such similar services. However, the Bank shall continue performance of the Contract to the extent not terminated. Alternately, DU would be free to fully take over the assets and operations earlier being undertaken by the Bank on mutually agreed terms, without prejudice to any other action as contemplated in the Contract.

3) DU may at any time terminate the contract by giving 7 days written notice to the selected Bank, if the latter becomes bankrupt or otherwise insolvent. In this event, termination will be without compensation to the selected Bank, provided that such termination will not prejudice or affect any right of action or remedy, which has accrued or will accrue thereafter to DU.

15.2. Termination of Contract DU reserves the right to terminate the contract without assigning any reason. 15.3. Force Majeure i. The successful Bank shall not be liable for termination for default, if and to the extent that

its delay in performance or other failure to perform its obligations under the Contract is the result of an event of Force Majeure.

For purposes of this clause, “Force Majeure” means an event beyond the control of the successful Bank and not involving the successful Bank’s fault or negligence, and not foreseeable. Such events may include, but are not restricted to, acts of DU in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

15.4. Termination for Insolvency

The University may at any time terminate the contract by giving notice to the service provider,

if the service provider becomes bankrupt or otherwise insolvent. In this event, the termination

of the contract will be without any compensation to the service provider, provided that such

termination will not prejudice or affect any right of action or remedy, which has accrued or

will accrue thereafter to the University.

15.5. Resolution of Disputes i. If any dispute, difference, question or disagreement arises between DU and the selected Bank in

connection with the construction, meaning, operation, effect, interpretation or breach of the

contract which parties are unable to settle mutually, the same may first be referred to

conciliation through a committee as agreed to by both parties.

ii. If the parties are not able to resolve the dispute through the committee or do not opt for

conciliation through the committee, the aggrieved party may invoke the arbitration clause as

provided in the contract.

iii. In the event of any question, dispute or difference whatsoever arising between the parties out of

or in relation to the construction, interpretation, application, meaning, scope, operation,

performance or effect of this tender contract or the validity or breach thereof, the matter shall be

referred to the sole arbitrator agreed to by both the parties. The award of the arbitrator shall be

final and binding on the parties.

iv. The arbitrator may, from time to time, with the consent of the parties, change the time for

making and publishing the award. The Arbitration and Conciliation Act, 1996 and the rules

made thereunder, as amended from time to time shall be deemed to be applicable to the

arbitration proceeding under this clause. The proceedings of the arbitration shall be carried out in Delhi which shall be subject to the

jurisdiction of courts in Delhi.

15.6. Notices Any notice given by one party to the other pursuant to this Contract shall be sent to the other party in writing or by email and confirmed in writing to the other party. A notice shall be effective from the date when delivered, tendered or affixed on the notice board whichever is earlier. 15.7. Confidentiality The service provider and its personnel shall not, either during implementation or after completion

of the project, disclose any proprietary or confidential information relating to the services,

agreement or the University’s business or operations without the prior written consent of the

University.

15.8. General Terms & Conditions

i. The Bank shall perform the services and carry out its obligations under the Contract with

due diligence and efficiency, in accordance with generally accepted techniques and practices used in the industry. The Bank shall always act, in respect of any matter relating to this Contract, as faithful advisors to DU and shall, at all times, support and safeguard DU’s legitimate interests in any dealings with Third parties.

ii. DU reserves the right to assess the performance of the Bank prior to commencement or in between the work progress.

iii. The selected Bank shall indemnify DU against all third party claims of infringement of patent, trademark/copyright or industrial design rights arising from the use of the supplied software/ hardware/manpower etc., and related services or any part thereof.

iv. The bidder should enclose EMD of INR 1,00,000/- (Rupees One Lakh only)

[Refundable] in form of Demand Draft drawn in favour of “Registrar, University of Delhi” and payable at Delhi. The Earnest Money Deposit (EMD) must be deposited to General Branch-II, Room No.209, IInd Floor, New Administrative Block, North Campus, University of Delhi, Delhi - 110007 (Near Gate No.1) before end date/time of bid submission. The tenders without EMD (except those having exemption from depositing EMD) shall be summarily rejected. The successful bidder shall be required to deposit performance guarantee equivalent to INR 3,00,000/- (Rupees Three lakhs only) before release of his EMD.

v. The EMD of the unsuccessful bidder(s) shall be returned without interest after award of

contract to the successful bidder. The EMD stands forfeited in case the bidder withdraws or amends the bid after submission of tender document toward higher side.

vi. The Performance Guarantee must be in the form of Bank Guarantee/FDR of a

Commercial Bank. Performance guarantee has to be valid for a period of one year and extendable on year to year basis if the contract is extended by the University.

vii. The proceeds of the performance guarantee shall be payable to DU as compensation for any loss resulting from the successful Bidder’s (Bank) failure to complete its obligations under the RFP.

viii. Reference, information and certificates from the respective clients certifying technical, delivery and execution capability of the bidder shall be signed and the contact numbers of all such clients shall be mentioned. The University of Delhi may also independently seek information regarding the performance from the clients.

ix. The bidder is advised to attach any additional information, which he thinks is necessary in

regard to his capabilities to establish that the bidder is capable in all respects to successfully complete the envisaged work. He is however, advised not to attach superfluous information. No further information will be entertained after tender document is submitted, unless the University calls for it.

x. Even though the bidder may satisfy the qualifying criteria, it is liable to disqualification if it has a record of poor performance or not able to understand the scope of work etc.

xi. Prospective bidders may seek clarification regarding the project and/or the requirements

for pre-qualification, in writing through fax or email.

xii. As the tender is an on-line tender, the technical and financial bids shall be uploaded in the CPP portal. For any clarification or query the bidder may get in touch with - Joint Registrar (Procurement & General), Room no.1, Ground Floor, New Administrative Building, University of Delhi – 110007. xiii. The Registrar, University of Delhi reserves right to award the work/cancel the award without assigning any reason. In case of differences, if any, the decision of the Registrar, University of Delhi shall be final. The work can be awarded to one or more agencies if need arises. Initially the contract will be for one year extendable upto 3 years upon successful completion of the job to the entire satisfaction of the University.

xiv. Bidders are neither allowed to join hands to participate in the tender nor allowed to

submit multiple bids. In case found otherwise, their bid is liable to be rejected.

xv. The Bidder shall ensure that sufficient bandwidth is available to handle the transactions.

xvi. The Successful bidder (Bank) shall make the arrangement to send SMS for alerts and OTP

generation/re-generation during online authentication transactions. The cost for SMS

gateway shall be borne by the Bidder. The Bidder must have SLA with the SMS aggregator.

The DU may levy penalty in cases where the transactions fail due to non-delivery of SMS /

OTP messages.

xvii. Services delivered by the successful bidder (Bank) shall comply with the SLA and any violation of SLA will attract penalties as below: a) Uptime of 99.5% and above: No penalty.

b) Uptime of 98.5% and above but below 99.5%: 1% of total Performance Bank

Guarantee.

c) Uptime of 97.5% and above but below 98.5%: 2% of total Performance Bank

Guarantee.

d) Uptime of 96.5% and above but below 97.5%: 3% of total Performance Bank

Guarantee.

e) Uptime of 95.5% and above but below 96.5%: 4% of total Performance Bank

Guarantee.

f) Below 95.5%: 10% of total Performance Bank Guarantee.

g) Further, if the number of downtime instances during a month exceed 3 times, an

additional 0.50 % downtime will be reduced from uptime and the penalty will be

calculated accordingly.

xviii. Liability on account of any System Compromise

Bidder shall inform the DU immediately with full details of any security lapse /

compromise for taking necessary steps against misuse on account of such occurrence

and also take steps to mitigate the risk. Bidder shall be fully liable in case of any

Security lapse / Compromise. The Bidder shall reimburse for the Compromise and

shall be liable to DU up to a maximum of the Performance Bank Guarantee.

xix. If the Successful bidder (Bank) is not able to fulfil the terms & conditions of the University then DU shall not be liable for any default caused by successful bidder (Bank). This violation shall leads to cancellation of work order. Payment gateway services integration with DU site shall be completed in 7 days and in any case shall not exceed 3 weeks from the date of contract/SLA. Any time beyond four weeks may call for penalty.

xx. If the Successful bidder (Bank) fails to complete the work within prescribed period (4 Weeks) or within any extended time allowed on account of delay due to unforeseen reasons beyond control, the successful bidder (Bank) shall pay at INR 10,000/- per week subject to a maximum of INR 1,00,000/-and successful bidder (Bank) shall be blacklisted for the next three years and his earnest/security money laying with the DU shall be forfeited.

xxi. If the Successful bidder (Bank) fails transfer the collected amount within prescribed period as specified in the Scope of Work i.e., T+1 day or within any extended time allowed on account of delay due to unforeseen reasons beyond control, the successful bidder (Bank) shall pay 1.5% per month interest on the delayed amount for the number of days delayed. The penalty shall have to be deposited by the successful bidder (Bank) in the form of electronic payment to the DU within five (5) days.

xxii. If the Successful bidder (Bank) is not able to fulfil its obligations under the contract, which includes

(a) non-completion of the work, DU reserves the right to select another Bank to accomplish the work. The Successful bidder (Bank) shall not outsource the works assigned to any other party except their direct franchisees/aggregator approved by Reserve Bank of India. The University shall not be liable for any default caused by aggregator. This violation will attract towards cancellation of work order.

Format Covering Letter To The Registrar University of Delhi Ref: Request for Proposal for Payment Gateway Dear Sir, Having examined the RFP, the receipt of which is hereby duly acknowledged, we, the undersigned, offer to provide the professional services as required and outlined in the RFP. To meet such requirements and provide such services as required are set out in the RFP. We attach hereto the technical response as required by the RFP, which constitutes our proposal. We undertake, if our proposal is accepted, to adhere to the implementation plan. If our Bid is accepted, we will obtain the guarantee of a reputed Bank for the due performance of the Contract, as per the RFP and sign the Non Disclosure Agreement document appended as Annexure II in the RFP. We undertake that, in competing for, (and, if the award is made to us in executing) the above contract, we will strictly observe the laws against fraud and corruption in force in India. We agree for unconditional acceptance of all the terms and conditions set out in the RFP document and also agree to abide by this tender response for current year from the date of issue of work order and can be renewed based upon the performance without inviting any further bids and it shall remain binding upon us with full force and virtue, until within this period a formal contract is prepared and executed, this tender response, together with your written acceptance thereof in your notification of award, shall constitute a binding contract between us and DU. We confirm that the information contained in this proposal or any part thereof, including its exhibits, schedules, and other documents and instruments delivered or to be delivered to DU is true, accurate and complete. This proposal includes all information necessary to ensure that the statements therein do not in whole or in part misled DU as to any material fact. We agree to furnish a lump sum Performance Bank Guarantee amounting to Rs 3 lakhs (Rupees Three lakhs only) from any Commercial Bank within 7 days from award of work order as selected bidder by DU for this RFP. a) If we are declared as the Successful bidder (Bank) for this RFP and in case our tender is withdrawn before expiry of the validity period or before issue of acceptance letter, whichever is earlier, or we make any modifications in the terms and conditions of the bid and/or SLA which are not acceptable to DU, in such case 50% of the EMD will be forfeited by DU. b) In case our bid is accepted as successful by DU and the Performance Bank Guarantee is not submitted within the prescribed period of the SLA, DU has full rights to forfeit the EMD of INR 100,000 (Rupees One Lakh only) submitted by us.
