WHEREAS, the Authority has devel-oped a program (the ''RenewableEnergy Program") for the financing,design, permitting, acquisition, instal-lation, operation and maintenance ofrenewable energy capital equipmentand facilities consisting of solar pan-els, including any related electricalmodifications or other work required orconvenient for the installation of suchsolar panels (collectively, the renew-able energy capital equipment andfacilities, the ''Renewable EnergyProjects") for and on behalf of theCounty and local governmental unitswithin the County, including withoutlimitation municipalities, boards ofeducation for school districts, localauthorities and any other local govern-ment instrumentalities, public bodiesor other local government entities (col-lectively, including the County, the"Local Units");

WHEREAS, on August 31, 2010, theAuthority issued "Request for Propos-als for a Developer of PhotovoltaicSystems with respect to certain LocalGovernment Facilities in the County ofUnion, New Jersey" (the "RFP"V;

WHEREAS, the Renewable EnergyProjects procured under the Renew-able Energy Program are to beinstalled on, in, affixed or adjacent toand/or for any other Local Unit con-trolled buildings, other structures,lands or other properties of the LocalUnits (collectively, the "Local UnitFacilit ies");

WHEREAS, it may be necessary,desirable or convenient, in connectionwith the financing, design, permitting,acquisition, construction, installation,operation and maintenance of theRenewable Energy Projects, tofinance, design, permit, acquire, con-struct, renovate and install certaincapital improvements to the Local UnitFacilities, including without limitation,improvements to or replacement of,roofing systems (the "CapitalImprovement Projects" and togetherwith the Renewable Energy Projectsand any Completion Project as definedIn the Bond Resolution, the "Pro-jects");

WHEREAS, one of the goals of theRenewable Energy Program is toexpand the use of renewable energysources available and utilized.by theLocal Units for their Local Unit Facili-ties, with the attendant environmentaland financial benefits associatedthereby, and to reduce the energyrelated operating costs to the LocalUnits for their Local Unit Facilities, allintended to be offered at no net cost tothe Local Units;

WHEREAS, in order to Implement theRenewable Energy Program, and tofinance costs associated with theRenewable Energy Program that theAuthority determines to be necessary,convenient or desirable for the suc-cessful implementation of the Renew-able Energy Program, including with-out limitation up to the 70% of the costof Projects, the Authority is undertak-ing a project financing, which mayinclude one or more series of bondsentitled "County of Union GuaranteedRenewable Energy Program LeaseRevenue Bonds, Series 2011" datedtheir date of delivery, in the principalamount not to exceed $20,000,000(the "Series 2011 Bonds");
