AGREEMENT

FOR

PROFESSIONAL CONSULTING SERVICES

MEMORANDUM OF AGREEMENT dated the 2nd day of June A.D. 1999

THE CORPORATION OF COUNTY OF PRMCE EDWARD

Hereinafter called the "Client"

THE PARTY OF THE FIRST PART

-AND-

TOTTEN SIMS HUBICKI ASSOCIATES (1997) LTD.

Hereinafter called the "Consultant"

THE PARTY OF THE SECOND PART

WHEREAS the Client intends to prepare a Comprehensive Zoning By-law for the County of Prince Edward hereinafior called the 'Project' and has requested the Consultant to furnish professional services in connection therewith;

NOW THEREFORE WITNESSETH that in consideration of the covenants contained herein, the Client and the Consultant mutually agree as foIlows:

ARTICLE 1 - GENERAL CONDITIONS

1.01 Retainer

The Client hereby retains the services ofthe Consultant in connection with the Project and the Consultant hereby agrees to provide the services described herein under the general direction and control of the Client,

In this Agreement the word Consultant shall mean professionals and other specialists engaged by the Client directly and whose names are party to this Agreement.

1.02 Services

The services to be provided by the Consultant and by the Client for the Project are set forth in Article 2 and such services as changed, altered or added to under Sedan 1.08 are hereinafter called the 'Services'.

1.03 Compensation

The Client shall pay the Consultant in accordance with the provisions set forth in Article 3

1.04 Staff and Methods

The Consultant shall use current state of the art principles and shall skillfully and competently perform the Services and shall employ only skilled and competent staff who will be under the supervision of a senior member of the Consultant's staff.

1.0511.06 Drawings, Documents, Intellectual Property, Copyright and Patents

All concepts, products and processes produced by or resulting from the Sorvices rendered by the Consultant (including specifically the Comprehensive Zoning By-law), including any copyright therein and any ownership thereof, #hall be the property of the Clienr and all right, title and interest therein of the Consultant and the Subconsultant be Roger Pickard Surveying Ltd. shall be transferred by the Consultant andlor the Subconsultant as the case may be to the Client, including all drawings, documents or copies thereof, all source codes, databases and other information, materials, programs and data produced in connection with the Services under this Contract. The Consultant and the Subconsultant shall have anon- exclusive royalty free licence to use the Comprehensive Zoning By-law produced by or resulting from the Services in connection with their own internal use and for no other purpose or project or for any commercial use.

1.07 Records and Audit

(a) In order to provide data for the calculation of fees on a time basis, the Consultant shall keep a detailed record of the hours worked by and salaries paid to his staff employed for the Project.

(b) The Client may inspea and audit the books, payrolls, accounts and records of the Consultant during regular office hours with respect to any item which the Client is required to pay on a time scale or disbursement basis as a result ofthis Agreement.

(c) The Consultant, when requested by the Client, shall provide copies of receipts with respect to any disbursements for which the Consultant claims payment under this Agreement.

1.08 Changes and Alterations and Additional Services

With the consent of the Consultant the Client may in writing at any time after the execution of the Agreement or the commencement of the Services delete, extend, increase, vary or otherwise alter the Services forming the subject of the Agreement, and if such action by the Client necessitates additional staff or services, the Consultant shall be paid in accordance with Section 3.2.1 for such additional staff employed directly thereon, together with such expenses and disbursements as allowed under Section 3.2.4.

1.09 Suspension or Termination

The Client may at any time by notice in writing to the Consultant suspend or terminate the Services or any portion thereof at any stage of the undertaking. Upon receipt of such written notice, the Coasu2t;lnt shall perform no further services other than those reaso&bly necessary to close out his Services. In such an event, the Consultant shall be entitled to payment in accordance with Section 3.2.1 for any of the Consultant's staff employed directly thereon together with such expenses and disbursements allowed under Section 3.2.4.

If the Consultant is practicing as an individual and dies before his Services have been completed, this Agreement shall terminate as of the date of his death, and the Client shall pay for the Services rendered and disbursements incurred by the Consultant to the date of such termination.

1.10 Indemnification

The Consultant shall indemnify and save harmless the Client from and against all claims, actions, losses, expenses, costs or damages of every nature and kind whatsoever which the Client, his employees, officers or agents may suffer as a result of the negligence of the Consultant, his employees, officers or agents in the performance of this Agreement.

1.11 Insurance and Limit of Liability

The Client will accept the insurance coverage specified in this clause as the limit of liability of the Consultant.

a) Comprehensive General Liability and Automobile Insurance

The Insurance Coverage shall be Two Million Dollars for general liability and automobile insurance. When requested the Consultant shall provide the Client with proof of Comprehensive General Liability and Automobile Insurance (Inclusive Limits) for both owned and non-owned vehicles.

b) Professional Liability Insurance

The Insurance Coverap shall b~ in the amount of Two Million Dollars. Whcn requested the Consultant shall provide to the Client proof of Professional Liability Insurance carried by thc Consultant, and in accordance with APE0 Act, 1984 and Regulations therein.

c) Change in Coverage

If the Client requests to have the amount of coverage increased or to obtain other special insurance for this Project then the Consultant shall endeavour forthwith to obtain such increased or special insurance at the Client's expense as a disbursement allowed under Section 3.2.4.

It is understood and agreed that the coverage provided by these policies will not be changed or amended in any way nor canceled by the Consultant until (60) days after written notice of such change or cancellations has been personally delivered to the Client.

1-12 Contracting for Construction

Neitherthe Consultant nor any person, firm or corporation associated or affiliated with or subsidiary to the Consultant shall tender for the construction of the Project, or have an interest either directly or indirectly in the construction of the Project.

1.13 Assignment

Neither party may assign this Agreement without the prior consent in writing of the other.

1.14 Previous Agreements

This Agreement supersedes all previous agreements, arrangements or understandings between the parties whether written or oral in connection with or incidental to the Project.

1.15 Approval by Other Authorities

Unless otherwise provided in this Agreement, where the work of the Consultant is subject to the approval or review of an authority, department of government, or agency other than the Client, such applications for approval or review shall be the responsibility of the Consultant, but shall be submitted through the offices of the Client and unless authorized by the Client in writing, such applications for approval or review shall not be obtained by direct contact by the Consultant with such other authority, department of government or agency.

1.16 Principals and Executives

The use of Principals and Executives on a time basis by the Consultant, will be in accordance with Section 1.23.1 (c).

1.17 Specialized Services

The Consultant may engage others for specialized services provided that prior approval is obtained, in writing, from the Client and may add a mark-up of not more that 5% of the wst of such services to cover ofice administration costs when cl-g reimbursement from the Client, plus the cost of the additional insurance incurred by the Consultant for the specialized services.

1.18 Inspection

The Client, or persons authorized by the Client, shall have the right, at all reasonable times, to inspect or otherwise d e w the Services performed, or being performed, under the Project and the premises where they are being performed.

1-19 Publication

The Consultant agrees to obtain the consent of the Client before publishing or issuing any detailed information regarding the Project.

1.20 Confidential Data

The Consultant shall not divulge any specific information identified as confidential, communicated to or acquired by him, or disclosed by the Client in the course of wrying out the Services provided for herein. No such information shall be used by the Consultant on any other project without the approval in writing of the Client.

1.21 Arbitration

(a) Any dispute, difference or disagreement between the parties hereto in relation to the Agreement may, with the consent of both parties, be referred to arbitration,

@) No person shall be appointed to act as arbitrator who is in any way interested, financially or otherwise, in the conduct of the work on the Project or in the business or other affairs of either the Client or the Consultant.

(e) The award of the arbitrator shall be final and binding upon the parties.

(d) The provisions of The Arbitrations Act presently in force, as amended shall apply.

1.22 Time

The Consultant shall perform the Services expediti~usly to meet the requirements of the Client and shall complete any or portions of the Services in such order as the Client may require and the Client shall have the right to take possession of and use any completed or partially completed portions of the Work notwithstanding any provisions expressed or implied to the contrary.

The Client shall give due consideration to all designs, drawings, plans, specifications, reports, tenders, proposals and other information submitted by the Consultant, and shall make any decisions which he is required to make in connection therewith within a reasonable time so as not to delay the work of the Consultant.

1.23 Estimates, Schedules and Staff List

1.23.1 Preparation of Estimate of Fees, Sehedule of Progress and Staff List

When requested by the Client, the Consultant shall within fourteen days of the execution of this Agreement provide, for approval by the Client:

(a) An estimate of the total fees to be paid for the Services.

(b) A schedule showing an estimate of the portion of the Services to be completed in each month and an estimate of the portion of the fee which will be payable for each such'month.

(c) A staff list showing the number, classifications and salary ranges of staff andlor hourly rate ranges for Principals and Executives, for which the Consultant will seek payment on a time basis. The c o n s u l t s shall relate such information to the particular type of work that such staff is to perform, while employed on the Project. Such list shaI1 designate the member of the Consultant's staff who is to be the liaison person between the Consultant and the Client.

1.23.2 Subsequent Changes in the Estimate of Fees, Schedule of Progtess and Staff List

The Consultant will require written approval, from the Client for any of the following changes:

(a) Any increase in the estimated fees beyond those approved under Subsection 1.23.1 (a).

(b) Any change in the schedule of progress which results in a longer period than provided in Subsection 1.23.1 (b).

(c) Any change in the number, classification and salary ranges of the staff provided under Subsection 1.23.1 (c).

1.23.3 Monthly Reporting of Progress

When requested by the Client, the Consultant shall provide the Client with a written report showing the portion of the Services completed in the preceding month.

1.25 Time for Delivery

A target data of December 3 1, 1999 has been established. The parties hereto covenant and agree they will use their best efforts to ensure that this time frame is met and the Services delivered and the Project completed within such time.

ARTICLE 2 - SERVICES

Services to be provided under this assignment are described in the Terms of Reference prepared by the County of Prince Edward, dated April 1, 1999, as amended by addendum dated April 16, 1999 and responses to cjuestions dated April 29, 1999; which form Appendix A to this agreement.

Services to be provided are further described in the proposal submitted by Tonen Sims Hubicki Associates (1997) Ltd. dated May 5, 1999 which forms Schedule B to this agreement.

In the event that there is any discrepancy or disagreement between the provisions ofthis Agreement and the provisions of Appendix A to this Agreement and Schedule B to this Agreement, then the following shall be the order of priority determining which provision shall apply in the event of such disagreement or discrepancy:

(i) the terms of reference - Appendix A;

(ii) the proposal - Appendix B;

(iii) the terms of this Agreement.

ARTICLE 3 - FEES AND DISBURSEMENTS

3.1 Definitions

For the purpose of this Agreement, the following definitions shall apply:

(a) Payroll Cost

Payroll Cost is defined as hourly salary plus payroll burden.

i ) The fallowing formula shall be used to calculate the hourly salary for billing purposes. Hourly salary equals:

Annual Salarv Hours Per Week x 52 x .85

ii) Payroll burden equals fringe benefits expressed as a percentage of salary that provides for health and medical insurance, group life and disability insurance, company and Canada pension employer contributions, Workers' Compensation and Unemployment Insurance, but excludes bonuses or profit sharing. For the purposes of this agreement payroll burden is 26.69%.

(b) Cost of the Wark

i) The "Cost of the Work" shall mean the total cost of the Project including all materials, equipment, sales taxes, labour and contractor's overhead and profit, necessary to complete the work for which the Consultant prepares designs, drawings or specifications, for which he is responsible. Where sales taxes are not included in the cost of the work, the fee shall be adjusted upwards by the factor equivalent to the sales taxes. The adjusted fee may be computed to the nearest one-tenth of one percent (l/lO%)).

ii) Wherever the Client furnishes labour or any other service which is incorporated in the work, the current price of labour or other service when the work was executed sM1 be used to compute the Cost of the Work.

iii) Whenever used material or equipment is furnished by or on behalf of the Client, the fair market value of such material or equipment, as though it was purchased new, shall be used to compute the Cost of the Work.

iv) In computing the Cost of the Work, no deductions shall be made on account of any penalties or damages claimed by the Client from any contractor or on account of my other sum withheld hom any contractor.

V) The Cost of the Work shall not include any fees and disbursements due to the Consultant, the Client's engineering and office expenses, or cost of land.

(c) Site

Site includes Zhe actual work sitc and other Iocations wherc the checking of materials, equipment add workmanship is carried out.

3.2 Basis of Payment

3.2.1 Fees Calculated on a Time Basis

3.2.1.1 The Client shall pay the Consultant a fee, calculated on a time basis, for that part of the Services described in Article 2. Fees on a time basis shall be as follows:

(a) For staff identified in the proposal which forms Appendix B to this agreement - hourly rates as quoted.

(b) For other staff on normal assignments - Payroll Cost plus 100%.

3.2.1,2 Time Expended

All time expended an the assignment, whether in the Consultant's ofice, at the Client's premises, or elsewhere, and including travel time, shall be chargeable. This also includes, but is not limited to, stenographic and clerical staff engaged in the preparation of documents such as reports, and specifications.

3.2.1.3 Reimbursable Expenses

The Consultant shall be reimbursed at cost, for all expenses properly incurred by him in connection with the project, including but not limited to: vehicle use charges, traveling and living expenses, long distancc telephone charges, teletype and telegraph charges, printing and reproductions, progress photography, advertising for tenders, special delivery and express charges, overtime premium costs, and the cost of providing and maintaining site offices, supplies and equipment, chemical and physical tests.

3.2.1.4 Upset Fee Limit

For that part of the services described in Article 2, consulting fees and reimbursable expenses under 3.2.1.3 shall not exceed $64,767.80. GST is extra.

3.3 Payment

The Consultant shall submit an invoice to the Client for all Services completed in the immediately preceding month.

TERMS OF REFERENCE -PREPARATION OF A COUNTY OF PRTNCE EDWARD COMPREHENSIVE ZONING BY-LAW

In wnsultatiw with the County of Prince Edward Planning Ikpartment, County Planning Committee, County Council and County legal counsel as required, the followine work shall be undertaken to prepre and campkk a new County Zoning By-law prior to hwmber 31.1999:

1 .a. Complete a land use survey of all propties in the County to determine existing land use.

1.b. The land use information will be p l o w an a separate digital layer for each Ward on top of the digital County Ontario Basic Mapping System (OBM) and parcel-based layer (see separate Request for Propo%l also dated April 1, 1999). The land use surveys will be ~omplmeiited with and ccampmd with ms~ssment iqhnation in mkr to ensure the highest d e p e of accuracy.

2.a. Consolidate reritually all existing Ward Compreknsive Zoniag By-Ism.

Totten Sims Hubicki Associates (TSH) is pleased to provide the County with a proposal to prepare a Comprehensive Zoning By-law. Our understanding of this assignment is bsed upon your April 1, 1999 Request For Pmposds, the Addendum to Requests for Proposals, dated April 16, 1999, the responses to questions, dated April 29, 1999 and a review of the existing Zoning By-laws.

The opportunity to prepare the first new Comprehensive Zoning By-law for the recently created Municipality of the County of Prince Edward is both a challenging and exciting prospect. The existing land uses and development trends are very diverse, from hetitage village cow to recent urban residential and commercial uses and from rural and agricultural uses to heavy industrial uses. TSH looks forward to working with the County on this project.

The project that we are proposing is designed to be both effective and efficient. We recognize the County's time frame constraints and have designed a program that we are confdent can be completed by the end of 1999. With respect to mapping, TSB, in conjunction with B. Roger Pickard Surveying Ltd., has. submitted a proposal to prepare the digital parcel layer map. We are however prepared to work with the County and any consultant selected by the County to prepare the base map. If selected to undertake the preparation of the Comprehensive Zoning By-law we have the capability to work with mapping produced on any software and to tov vide to the County, mapping that will be compatible with almost any software.

We believe that with our previous experience in the County of Prince Edwarrd, our related project experience and our commitment to providing efficient plarining service, we are eminently qualified to provide service to the County on this assignment, We are familiar with the existing Zoning By-laws and believe that we can pr~vide the professional p l d n g services needed to create a new Comprehensive Zoning By-law to meet the future needs of the Cowty.

1. B A C K G R O W AND STUDY PURPOSE

The County of Prince Edward would like to prepare a comprehensive Zoning By-law, based generally upon the Zoning By-laws that applied to the ten former local municipalities that now constitute the Municipality of the County of Prince Edward. According to the request for proposals, the municipality is looking to create a new comprehensive Zoning By-law, by consolidating existing general and zone provisions and establishing new provisions and regulations as appropriate, employing a process that involves consultation with the county Planning Committee, Staff, agencies and the public.

The request for proposal indicates that the assignment constitutes the following three major components:

1. Complete a land use survey of all properties in the County. The land use information is to be plotted on to the newly created digital parcel layer map, for each ward.

2. Consolidate individually, the text and zone maps for each of tho former municipal zoning by-laws. Zn addition, all existing zoning is to be plotted on the new digital base map for each Ward.

3. Prepare the new Comprehensive Zoning By-law (text and schedules). This component will include agency review, public open houses, formal public meeting and Council passage of the By-law.

2. COMPANY BACKGROUND

Totten Sims Hubicki Associates (TSH) is a multidisciplinary consulting firm serving the fields of rural, urban and regional planning: landscape architecture: municipal, transportation and environmental engineering; conservation and resources management; and, building and industrial engineering, together with other related specialty services and disciplines.

The Firm was founded i~ Cobourg in 1962 with the basic objective of providing engineering services to Municipalities and Government Agencies. Since 1962, the scope of the company has been expanded many times into a multi-disciplinary consulting firm. TSH operates ofices in Kingston, Cobourg, Whitby, Ottawa, Sault Ste. Marie, Waterloo, London, St. Catharines and Bracebridge. Collectively, these offices provide consulting services to numerous municipalities throughout the Province of Ontario. During 1970, the Planning Cjroup of TSH

was established to complement the Company's activities. We have a thorough knowledge of planning issues and the Ontario Planning process.

The Planning Group assists municipalities with all aspects of planning from official plans and zoning by-laws, to development charges and the review of development proposals. The TSB Planning Group has extensive experience with rural, urban and regional planning, assisting numerous municipalities throughout Ontario. Our work is supported by our cartographic and graphics services, using both MapInfo and Computer Assisted Drafting (CAD) technology.

3. WORK PROGRAM

There will be three major phases to this study in order to prepare an appropriate Comprehensive Zoning By-law for the Municipality. Due to the timing of the availability of the new digital parcel layer map, we are proposing to undertake as much work as possible that does not rely upon the availability of the map, in the first stages Of this assignment. To this end we hare ptoposing to consider the consolidation of the existing by-laws, text and schedules, as phase 1.

Phase 1 - Project Initiation and Consolidation of Fhhthg Zoning By-laws

The preparation and adoption of a new Comprehensive Zoning By-law is a major task reliant on close communication with the Planning Commitfee, Staff, agencies and members of the public within the community in order to create an appropriate document. In addition, the status of the cumnt zoning throughout the Municipality is important as the basis for developing new pmvisiom, regulations and zones.

This pbase will consist of the following activities:

. Meet with Planning Conunittee and Staff (Meeting No, 1) to discuss the project, confim the goals and objectives of the project, identify additional issues, establish a list of provincial and local agency contacts, identify tentative meeting dates and review and confirm sources of background information.

. Contact provincial and local agencies by letter, including the Ministry of Municipal Affairs and Housing, the Ministry of Natural Resources, Quinte conservation, public utilities, LACAC and any other relevant ministries and agencies for input and available background information.

. Meet with Planning Committee and Staff (Meeting NO. 2) to review the consolidated documents (text and schedules) and to discuss the existing zoning and any issues that arise from the review of the current zoning of properties within the Municipality.

Prepare maps of the existing zoning that is in place in each ward, on the new digital base maps for each ward.

Pbase 2 - Land Use S w e y

In order to develop a new Comprehensive Zoning By-law, it is important to review the current land uses within the Municipality. We believe that the mapping basis for conducting the land use survey should be the new digital parcel layer map, and the assessment data plotted on the new maps.

As the maps will not be available until August 16, 1999, we have delayed the commencement of the land use survey. If portions of the new mapping, perhaps individual wards, were available at an earlier date, the project time line would be improved as it would be possible to commence the land use survey at an earlier date.

This phase will consist of the following activities:

. Complete a land use survey of all propetries in the County to determine existing land uses. Identifiable commercial, industrial and institutional uses will be located and mapped and numbered for reference purposes.

. Plot the l p d use information on a separate digital layer for each Ward. The land use SUNeyS will be compared with assessment information to ensure the highest degree of accuracy. We propose to prepare the land use map using MapInfo. Please refer to Appendix A for a brochure detailing MapInfo.

P h e 3 - Premtion of Zoning By-law Text and Schedules

The final phase in this project is the development of the new Comprehensive Zoning By-law. To as large degree as possible, we intend to rely on defutitions, provisions and zone regulations found in the existing zoning by-laws. This approach will be both effective and efficient as the resultant definitions, provisions and regulations will be generally familiar to Council, Planning Committee, Staff and the public. A draft outline of the contents of the text of the By-law is included in Appendix B.

This phase will consist of the following activities:

Develop the first draft of the of the text and schedules for the new Comprehensive Zoning By-law.

. Meet with Planning Committee and Staff (Meeting No. 4) to discuss the draft material. TSH would provide the municipality with copies of the draft material in advance of the meeting.

Circulate the draft text and schedules to agencies for their review and comments. TSH will follow up with each agency reviewing the material to make sure that complete responses are obtained within the specified review period. TSH will prepare a surnrnary of all agencies comments and provide this summary along with one copy of each agency response to the municipality. At this stage, we propose another meeting with Planning Committee and Staff (Meeting No. 5) to review the agency comments, discuss text and schedule revisions and prepare for the upcoming public information sessions.

. Conduct information sessions to present the draft text and schedules of the Comprehensive Zoning By-law to the public. We propose to present this information to the public, during informal infatmation sessions. In order to ensure that all residents and spe& interest &oups have an oppormnity to attend, it is our opinion that it would be appropriate to hold meetings at three locatioas, Ameliasburgh, Wellington and Picton. The meetings could be held on three consecutive days. As part of the public information

process we also recommend that copies of the draft text and schedules be made available for public review at the County offices in Picton and at the sub offices in Ameliasburgh and Wellington, once the public information sessions have been advertised. Subsequent to the sessions, we would summarize all public input and note our responses and answers to address issues that were raised.

. Review and analysis public comments obtained from the information sessions and any written comments that are submitted. All of the comments will be reviewed and analyzed by the County Planning Staff, the Planning Committee and TSH. We propose a meeting with Planning Committee and Staff (Meeting No. 6) to review the public comments and to consider revisions.

Prepare a second draft of the text and schedules to incorporate any necessary changes, as a result of the agency circulatioa and public comments. If necessary, addition consultation with agencies will be undertaken to discuss any proposed changes.

Meet with Planning Committee and Staff (Meeting No. 7) to review the second draft of the text and schedules. At this meeting it is anticipated that the County Planning Committee will be in a position to schedule the public meeting required pursuant to the Planning Act.

Hold a statumiy public meeting, to give the general public an opportunity to provide input into the process and to receive specific details regarding the proposed Comprehensive Zoning By-law. TSH will be available to make a presentation and answer questions.

Meet with Planning Committee and Staff (Meeting No. 8) to review the public comments and to determine if further revisions to the document are required.

. Make final changes and put the document in a form appropriate for Council to pass. TSH will provide copies of the final plan for passage by Council. We will attend the Council meeting when passage of the Zoning By-law is scheduled, in order to answer any final questions and to assist the Municipality with process.

The work program consists of three phases. To complete this program will require approximately t h i - two (32) weeks from the date of the first meeting. This is a very limited timeframe in which to complete the project. Our study schedule detailing the time lines for each phase of the project is set out on Table NO. 1, Study Schedule and Project Fee Chart. The cooperation of Planning Committee and Staff will be essential with respect to the scheduling of meeting and the review of drafr material. In addition the cooperation of the review agencies will be critical in order to meet this "ambitious" timeframe. Specifically, there are a number of theframes that must be adhered to; a reasonable period for agency review; an appropriate notification period to advertise the public information sessions and a minimum twenty day notice period prior to the statutory public meeting. The timing of these events will create a possible problem to the scheduling of this project, that can only be overcome by strict adherence to the study schedule.

Given that the last week of the year is generally taken up by the "Holiday Season" we propose to strive to have the document in a form that the P l h g Committee can recommend for Council approval by the year's end, however we anticipate that the actual Council passage will take place early in the new year. The attached Study Schedule and Project Fee Chart outlines the activities associated with each phase of the project sad a summary of the timing of events for completion of the phases and activities associated with each phase, TSH is prepared to commence work immediately upon notice being given.

We will endeavour to maintain the proposed schedule within the parametors indicated in this proposal. Our past experience indicates that when dealing with a large number of stakeholders and organizations. difficulties in coordinating meetings and receiving responses in a timely manner can occur. To overcome these potential problems, strict adherence to the schedule

must be stressed at the outset of the Study. Our proactive approach to consultation and adequate advance notice of meetings will help keep the project on schedule.

5. PROJECT FEES

Based on the work program set forth in this proposal, the total upset fee to complete the work is $64,767.80 not including GST: with GST added in, the total is $ 69,301.55. The cost of meetings and disbursements is included in this fee. A detailed breakdown of staff hours, by project team member and associated fees and disbursements is presented on the Study Schedule and Project Fee Chart (Table No.1). With regard to attendance at Planning CommitteelCouncil meetings, public information sessions and public meetings, this quotation includes only the number of meetings specified. Attendance at additional meetings with staff, County legal counsel and Council, is priced on Table No.2. Please note that all of our fees and disbursements have been calculated based upon working from our -ston office. Our fee does not include the cost of advertising the information sessions or the statutory public meeting or the cost of hall rentals if required.

The fee can be considered an "upset" fee which cannot be exceeded without prior written approval of the Municipality.

The following table (Table NO. 2) sets out the fee quotations for the specific components of the project, as set out in the request for proposals.

The program cost and time allocations have been based on a total assessment of the study and are not strictly based on hourly or daily consultant rates. It is not possible to predict the exact number of hours each consultant will be required to spend on the project, as the aim of TSH is to produce a program which meets all the objectives and requirements of the Client. However, should the need arise for additional consulting services beyond those set out in this proposal or for services which are not part of this project, a current schedule of per diem rates for coasultants can be provided.

In the event of an appeal of the comprehensive Zoning By-law, we would be available to assist and represent the municipality. However, costs for such are not included in the fee.

TSH will issue,invoices on a monthly basis for work unde-en in regard to this assignment. The invoices shall provide the Client with a breakdown as to personnel, nature of function performed and time required, and disbursements such as printing costs and travel expenses. Normally, payment of invoices is due within 30 days of receipt of the invoice.

6. PROJJXT 'IEAM AND QUALIFICATIONS

The proposed staffing provides a diverse group of professionals with capabilities in all of the required areas of expertise. We are committed to providing all of the necessary resources to ensure that the project schedule is maintained. In this regard, we have assembled a team which recognizes the importance of both time and fiscal constraints providing the County with value for every dollar spent. The designated Project Team members consist of a group of specialists knowledgeable in the various multi-disciplinary aspects of the Study. They are able to provide a perspective of applied experience in public participation and have considerable experience in successfully completing similar planning assignments. Resumes of the Project Team are included ia Appendh C.

Mr. Guy Laporte, P.Eng., will be the Project Manager for this assignment. Mr. Laporte will be responsible to ensure that the assignment is completed on time and within budget.

Mr. Ken J. Hurford, B.Sc.Wom.), AMCT, will be the Project Planner for this assignment. His responsibilities will responsible for u n d e a a k i ~ the consolidation of the existing zoning by- laws, the land use survey, agency contact and preparation of the definitions, provisions and regulations that constitute the new Comprehensive Zoning By-law. Mr. Hurford will supervise the preparation of all mapping and schedules. In addition, Mr. Hurford will attend all meeting with Council, information sessions and public meetings.

Mr. Hurford is a Senior Planner with the TSH Planning Group. He has over twelve y a s experience in development control and strategic planning including Official Plans and Zoning By-laws. Mr. Hurford has extensive experience with rural and small urban municipalities. He l& experience with matters such as wetlands, aggregates, flood plains, rural residential development, agricultural lands, cottage conversions, servicing capacity and home occupations.

Mr. Grabam Good, B.Sc.(FIoDB.), O.I.S. Mapping Coordinator, will be responsible for the preparation of the new land use map as well as all schedules to the new Comprehensive Zoning By-law, using MapInfa, a desktop mapping software.

The project team will be assisted by TSH suppon staff with respect to matters such as word processing, general cartography and the land use survey.

At times, the Project Team may draw on the experience of the engineering, architectural and landscape architectural professionals in our company. Access to this range of experience often simplifies projects and allows more energy to be directed to creating solutions to the problems or issues.

7. CONnICT OF INTEREST

TSH does not currently represent or work with any private developers in the County of Prince Edward. We therefore have no confiicts of interest, working for the municipality. TSB would not take on any new clients within the municipality without first conwlting with Council.

8. QUALITY ASSURANCE AND QUALITY C ' ~ m R O L

TSB intends to implement active and creative measures to contain costs throughout the project. Costlperformance optimization is an intrinsic function of all TSH work. A draft quality management manual is available to project managers and the procedures for studies will be applied to this project. Methods used for quality management on this project will include: minimum of one review of all written material by a senior management representative; mandatory c h e c w of all calculations, drawings, charts, figures, etc.; recordinglffling of all meetings, telephone, fax and other communiCBfions; and weekly review by the project manager of schedule and budget status for all work components. All information collected and produced for this project will become the property of the municipality.

9. COMPANY INSURANCEICOh'TR4CTUAL MATTERS

TSH maintains Professional Liability coverage in the amount of $2,000,000.00 per claim as well as Comprehensive General Liability insurance in the amount of $5,MNl+000.00 and Non- Owned Automobile Public Liability insurance in the amount of $5,00O,MX).00.

This Proposal meets all the requirements as outlined in the Requwt for Proposals. TSH is committed to carrying out the work program o u t l i d in rhis Proposal and will not vary the scope of the project nor responsibilities without written approval from the municipality. The Proposal will form part of our Consultant's Offer and will be incorporated into the Consultant Agreement, should we be successful in obtaining this assignment.
