Scrutinizer's Report on Postal Ballot Voting including Voting by Electronic means in
respect of passing of the resolutions contained in the Notice dated 14-02-2020
through Postal Ballot.
Dear Sir,
In terms of the provisions of section 110 of the Companies Act, 2013 read with Rule 22 of the
Companies (Management & Administration) Rules 2014(the rules), Board of Directors of The
Ugar Sugar Works Limited (the Company) through resolution dated 14" February, 2020, have
appointed CS Abhay Raghunath Gulavani, Practicing Company Secretary (ACS 28983), as a
Scrutinizer for scrutinizing postal ballot voting including voting by electronic means in respect of
the passing of the resolutions contained in the Notice dated 14" February, 2020 through Postal
Ballat.
The management of the company is responsible to ensure the compliance with the
requirements of the relevant provisions of (i) the Companies Act, 2013 and the rules made
thereunder and (ii) the Listing agreements with the Stock Exchanges, relating to postal ballot
voting including voting by electronic means. My responsibility as a scrutiniz®r is restricted to
making a Scrutinizer’s report of the votes cast by the members for the resolutions contained in
the Notice dated 14" February, 2020, based on the reports generated from the e-voting system
provided by NSDL the authorized agency engaged by the Company to provide e-voting facilities
for e-voting and scrutiny of the physical ballot received till the time fixed for closing of the
voting process i.e till 5.00 pm. on Thursday, 2™ April, 2020.

Mi,
| could only consider the physical ballot forms received till 21 March, 2020 due to closure of
post office/ courier and offices of the Company as well as our office, as ordered by government
authorities for containment of corona virus (covid-19} pandemic. In wake of the COVID19
Pandemic, the Company went under complete lockdown and had adopted work from home
policy (except necessary activities as the Company operates under Essential Commodities Act)
since 22"4 March, 2020.
| submit my report as under:
1. The Company has completed upto 29" February, 2020 the dispatch of Postal Ballot Forms along with postage prepaid business reply envelopes to its members and sent the emails of notice of Postal Ballot dated 14‘ February, 2020, to its members whose name(s) appeared on the Register of Members / List of Beneficiaries as on 18 February, 2020 and the paper advertisement was also given.
2. Particulars of all Postal Ballot Forms received including the votes casted through e-
voting form/by the Members have been kept / stored /entered in a Register separately
maintained for the purpose.
3. After the time fixed for closing of the e-voting ie till 5.00 p.m on Thursday, 2™ April,
2020 a final electronic report of the e-voting was generated by me by authorizing and
accessing the data available to me from the website of NSDL, the authorized agency to
provide e-voting facility appointed by the Company in front of 2 persons who are not
the employees of the Company. Data regarding the e-votes was diligently scrutinized.
4. Physical copies of all the Postal Ballot forms could not be dispatched to the undersigned
due to nation wide Lock down and hence scan copies of which were received from the
RTA / Company were kept under my safe custody.
5. The scan copies of postal ballot forms were duly examined by the undersigned and
‘scrutinized and the shareholding was matched / confirmed with the Register of
»Members of the Company / list of beneficiaries as on ig February, 2020 as maintained
by RTA M/s. Bigshare Services Private Limited. Votes cast by e-voting were matched
‘with the Register of Members and checked for duplicate viz voting by both physical and
electronic mode. !f any shareholder has voted for lesser number of share’ than those
held by them, then only the shares actually voted by them were considered for this
sreport.
6. All the postal ballot forms received / votes casted upto the close of the working hour {on
Thursday, 2"? April, 2028 upto 5.00 p.m.), the last day and time fixed by the Company,
were considered for scrutiny.

In wake of the COVID19 Pandemic, the Company went under complete lockdown and had adopted work from home policy since March 22™ 2020. Thus, physical postal ballot forms, if any received during the period from 22™ March, 2020 to 2°" April, 2020 could not be considered and reported.
7. Envelopes received after 5.00 p.m. on Thursday, 2” April, 2020 containing the Postal Ballot Forms are treated as not having been received.
8. Due to the Corona outbreak, all the employees of the RTA and Company are working from home, hence it was not possible to ascertain the details of postal ballots returned undelivered.
9. I did not find any defaced or mutilated ballot papers / forms.
10. Details of Postal Ballot result for each resolution is given as Annexure — 1 to this report.
11. All the Postal Ballot Resolutions from 1 to 3 were passed with requisite majority as per combined report of Postal Ballot + E-voting.
12. A detailed file containing a list of equity shareholders who voted “FOR”, “AGAINST” for each resolution is enclosed and there were no invalid votes for each resolution.
13.1 will hand over the postal ballot forms and other related papers/ registers and records for safe custody to Shri. B. G. Kulkarni, GM Corporate Affairs & Company Secretary of the Company as authorized by the Board to supervise the postal ballot process after the lockdown is relaxed by the Government. Till the time it will be kept with the undersigned.
