Ciaran Rooney: Described by The Telegraph as a “beautifully designed iphone app”, can you explain briefly what Bloom.fm is and does?

Jeff Hardman: Bloom.fm is a mobile music service. We give users access to millions of songs on their phone with a free app and subscriptions starting at £1 per month. There are also hundreds of free genre based radios and a music discovery feature, which makes it easy to find music you’ll love. We’ve created the service specifically for mobile phones, because that’s where most music is consumed these days. When you try the app, you know it’s been designed to make the most of a small touch screen.

At its heart, Bloom offers an innovative pricing model. We have what we describe as a ‘borrow, enjoy, return’ system which lets subscribers save songs to their phone to play offline, and swap them when they want something new. There is a choice of 3 subscription levels, depending on how many songs you want to ‘borrow’ at a time. £1 lets you borrow 20 songs, £5 gets you 200 and our £10 unlimited service gives you unlimited borrowing and on-demand streaming. We’ve also got a free service, called Bloom Zero, which gives you access to our streaming radio stations, but no borrowing.

As Legal Manager what has been the biggest issue you have faced from a legal point of view and how did you get around it?

In order to get our catalogue of music approaching 20 million, we had to sign licensing agreements with a plethora of content providers right across the world. Getting to grips with the shifting and competing priorities of so many licensors, in different time zones, with different domestic consumption patterns was certainly a challenge.

Understanding the commercials of our business was far more important than mastering any technical legal

point. At the heart of any licensing agreement, licensors want to know how much money they will be receiving and often explaining this is not as easy as it seems.

We have an innovative business model which can be quite impenetrable for those smaller labels not well versed in the digital market. With many smaller labels you are educating them about the market, particularly around pricing and at the same time convincing them that we are creating value for their artists.

If you were to give a technology based start-up with limited resources a few tips about where it should focus its limited legal budget, what would they be?

As a start-up, you will be dealing with a broad range of legal problems whether it be licensing, managing your intellectual property portfolio or digging around corporate documents. It goes without saying that on occasion you will have to outsource these issues to external parties.

There will always be the temptation to overcomplicate matters when outsourcing, perhaps suppliers will wish to convince you to construct a tax efficient corporate group or a fiendishly complicated Employment Benefit Trust. My advice would always be to keep it simple and delay any complicated corporate arrangements until you are generating revenue. Shareholders’ primary focus will almost always be on product development and you need to be mindful of this fact.

It is very important for a start-up to have its ducks in a row from an early stage as this will assist when it comes to seeking outside investment at any stage. This does not necessarily have to be an expensive exercise and a good first step would be to take advantage of the free tech start-up clinics a law firm like Blake Lapthorn offers. A quick 15 to 30 minute chat with someone like yourself can be really beneficial for a tech start-up and something I would thoroughly recommend.

How important do you think it is for a technology start-up to actively protect its intellectual property?

Actively protecting our trademarks and any patentable ideas is something that is very important to Bloom. Interestingly, this is not a one off process. Bloom has moved in different directions very quickly at different times and so we have actively reviewed our product every few months in order to decide whether we need any additional protection.

On the question of patents – I really think that it is important that you shop around for a patent attorney that understands your business. They really do seem to speak a different language at times, so it is important that they have the ability to translate your business idea

into something that it patentable. If they don’t, you will end up having lots of further meetings as they fumble to understand your product/idea - costing you money.

If the Government could do one more thing to encourage and assist technology start-ups, what would it be?

Long term, there needs to be real emphasis on computer science skills like programming at school. Excellent developers in London are scarce. There is certainly a skills shortage, with Bloom competing for the best talent. Recently we tried to recruit a highly skilled android developer and the process took an incredibly long time and was very torturous.

Bloom.fm is currently a UK based start-up, are there plans to move overseas?

We certainly have global ambitions. As mentioned earlier we only launched three months ago on iPhone. Our immediate focus is getting Bloom.fm onto both Android phones and desktops in the next few months. Once we’ve done that we’ll start thinking about international expansion. Watch this space!

City Meets tech aims to bridge the gap between the City of London and start-ups based in Tech City (which though only 1/2 a mile apart physically, are worlds apart in every other aspect).

This is being achieved by running educational events aimed at senior people working in the City, showing them why start-ups are fun, not all scary and investing in tech start-ups stimulates the economy and can generate signi�cant returns (and is tax e�cient).

There are also events aimed at start-ups and putting them in-front of angels etc (such as pitching events).

In future it's hoped there will be a City Meets Tech early stage fund.

We’ve been there haven’t we, the lights have dipped, highlighting the opening PowerPoint slide someone has shuffled awkwardly onto the stage holding their pointer, introduced themselves, something along the lines of, “I’m here today to talk to you about...” and we’re away. The second slide emerges in the gloom, possibly an agenda or a list of bullet points. If you’re lucky there’ll be a shiny photo of some young, attractive corporate types. Then you take out your sharpened pencil ready to stab it into your leg about 20 minutes into the presentation. Great stand up is incredibly close to great presenting.
