INVITATION OF BIDS

The Selection of Tissue Culture Service Provider (TCSP) for the work of Raising, Hardening and Supply of Teak Tissue Culture Plants at

Tissue culture Laboratory, Gandhinagar for Forest Department, Gujarat State.

(To be signed and returned with the technical proposal)

1 Bids are invited for raising, hardening and supply of minimum 2 (two) lac Teak tissue culture plants/ annum,in 18 (eighteen) weeks maximum batch time as a continuous process at Tissue culture Laboratory, Gandhinagar for Gujarat Forest Department;

2 Bids shall be submitted as per instructions given on different pages of tender document;

3 All the pages of bids shall be duly signed with seal; 4 Bids to be submitted so as to reach to the office of the Deputy Conservator Of

Forest Research, TRO Bhavan Sector-30, Gandhinagar, Gujarat-382030 on or before 18:10hours of 07/07/2016;

5 Bids submitted shall be complete in all respects with signature on all pages by authorized signatories. Incomplete, partially signed or unsigned bids shall be treated as invalid;

6 Physical documents of technical bid not submitted in above time limit shall be treated as invalid and no representations in this regard shall be entertained;

7 Technical bids shall be opened on 08/07/2016 at 12.00 hours in the Conference room of TRO Bhavan, Sector-30, Gandhinagar, Gujarat PIN-382030 in presence of bidders;

8 The bids offered by the applicant organization must be valid for a minimum period of six months from the date of opening of bids;

9 The Gujarat Forest Department reserves the right to accept or reject any or all bids without assigning any reason;

10 The Gujarat Forest Department reserves the right to seek additional information from the applicant organization, if necessary, during the course of bid’s evaluation;

11 Experience and Quality of work will be given preference, hence comprehensive proposal with details of similar work experience are expected;

12 The payment schedule after entering in to the agreement with successful applicant organization will be subject to submission of deliverables and progress reports;

13 All statutory taxes will have to be borne by and paid to the relevant authorities by the applicant organization separately. In case there is any statutory requirement of tax deduction at source under any Act, rules etc., such taxes will be deducted at source while making payment by the Gujarat Forest Department;

14 The information supplied by Gujarat Forest Department or the information generated/ collected during this assignment shall remain the sole property of the Gujarat Forest Department and the organizations shall not divulge the information

or publish itin any form without the prior written permission from the Deputy Conservator of Forests, Research Division, Gandhinagar Gujarat State, Gandhinagar;

15 After receipt of the proposal, the Gujarat Forest Department may establish official communication with the prospective organizations in order to seek explanation/clarification and confirmations. CHAPTER – I

General Instructions

1. Bidders who wish to participate in this tender process will have to register on www.nprocure.comFurther, participating Bidders will have to procure Digital signature Certificate as per prevalent Acts and Rules. The Bidders who already have a Digital signature Certificate need not procure a new one for this tender;

2. Technical Bid: Bidders shall submit physically their bids in TWO SEPARATE sealed

envelopes super-scribed with due date, time, project, zone and nature of bid through Registered Post only.

PART-I: One Sealed Envelope containing two DDs:

Tender Security Deposit/ EMD. Please enclose EMD in form of Demand Draft drawn in favour of “Deputy Conservator of Forests, Research Division, Gandhinagar” payable at Gandhinagar. Tender fee for one Tender is ` 5,000/- in form of Demand Draft drawn in favour of “Deputy Conservator of Forests, Research Division, Gandhinagar” payable at Gandhinagar.

7. GFD has established tissue culture laboratory with hardening facilities. The same has to be utilized for the production purpose as quoted in this tender;

CHAPTER –II

GENERAL TERMS AND CONDITIONS AND INSTRUCTIONS TO THE BIDDERS ELIGIBILITY CRITERIA FOR BIDDERS

The Bidder should be fulfilling the following preconditions and must also submit documentary evidence in support of fulfillment of these conditions while submitting the technical bid. Claims without documentary evidence will not be considered.

3 The Bidder should have minimum three years of experience in similar Tissue culture Project

Minimum work of 3-years in Tissue culture business - duly certificate by CA

4 The Bidder should have raised and supplied more than 2 lakhs Teak,Bamboo or any Forestry species Tissue Culture Plants in nay one year of the last 3 years.

Report of plants raised &supplied with a list of recipients

The GFD reserves the right to verify the claims made by the Bidders and to carry out the

capability assessment of the Bidders and the GFD’s decision shall be final in this regard.

CHECKLIST OF DOCUMENTS COMPRISING THE BID 1.1 The bid/bids submitted shall have the following documents: Part-I

2. A CD containing the softcopy of the Technical Bid and scan copy of the documents submitted.

3. In case bidder is a company- Certified copy of Certificate of incorporation for companies & Memorandum and Articles of Associations, Or - In case the Bidder is a society- Certified copy of registration deed with objects of constitution of society Or - In case Bidder is a corporation- Authenticated copy of the parent statute Or In case of Trust- Certified copy of the Trust Deed Or - In case of Firm- Certified copy of the Registration Deed Or- In case of Proprietorship Firm- Registration under Shop Establishment Act Certified copies of documents submitted, as above, must be signed and carry the seal of the authorized signatory. 4. List of present Directors/Owners/Executive Council Members/Trustees/ Board members as applicable.

5. Approach Paper elaborating the Bidder’s concept of the proposed Project, the model proposed to be adopted, his contribution to improve the feasibility of the Project, etc.

6. Current Sales Tax or VAT Clearance Certificate and certified copy (duly signed) of Sales Tax or VAT Registration Certificate. 7. General power of attorney/Board of Directors resolution/ Deed of Authority contract and all correspondences/documents thereof.

8. The bidder should have minimum annual average turnover of ` 100 Lacs from Tissue culture seedling production business for the last 3 years.

9. Audited Balance sheet and Income statement duly signed by the statutory auditors and authorized signatory/ies of the Bidder for the recent last three years.

10. Documentary evidence (signed by authorized signatory) proving that bidder fulfills the eligibility criteria as stated in tender document.

11. Documentary evidence (signed by authorized signatory) proving that bidder has provided all the data and documents required for carrying the evaluation of their Bid as per the parameters given tender document.

12. Clause by clause acceptance of all the clauses of the whole Tender Document including all Annexures

13. All deviations and/or non-compliance clauses shall be listed separately

14. Provide Details in the formats as given at Annexure – I to V. (Please check all the Annexures Nos I to V.) Part-III a) Financial Bid as per Annexure – 1;TO BE SUBMITTED ON-LINE ONLY b) No deviations and/or non-compliance clauses shall be allowed in the Financial Bid.

BID DOCUMENT Bidder is expected to examine all instructions, forms, terms and specifications in the bidding

documents. Failure to furnish all information required by the bidding documents or submits a Bid not substantially responsive to the bidding documents in every respect may result in the rejection of the Bid.

AMENDMENT OF BIDDING DOCUMENTS

At any time prior to the deadline for submission of bids, GFD for any reason, whether at its own initiative or in response to the clarifications requested by prospective Bidders may modify the bidding documents by amendment.

All prospective Bidders who have received the bidding documents will be notified of the amendment and such modification will be binding on them. In order to allow prospective Bidders a reasonable time to take the amendment into account in preparing their bids, GFD, at its discretion, may extend the deadline for the submission of bids. LANGUAGE OF BID

The Bid prepared by the Bidder, as well as all correspondence and documents relating to the Bid exchanged by the Bidder and GFD shall be in English. Supporting documents and printed literature furnished by the Bidder may be in another language provided they are accompanied by an accurate translation of the relevant pages in English. For purposes of interpretation of the bid, the translation shall govern. COST OF BIDDING

The Bidder shall bear all costs associated with the preparation and submission of the Bid and GFD will in no case be responsible for those costs, regardless of the conduct or outcome of the bidding process. BID FORMS

Wherever a specific form is prescribed in the Tender Document, the Bidder shall use the form

to provide relevant information. If the form does not provide space for any required information, space at the end of the form or additional sheets shall be used to convey the said information. For all other cases, the Bidder shall design a form to hold the required information. GFD shall not be bound by any conditions or provisions in the Bidder's Bid Forms. FRAUDULENT & CORRUPT PRACTICE

Fraudulent practice means a misrepresentation of facts in order to influence a procurement process or the execution of a Contract and includes collusive practice among Bidders (prior to or after Bid submission) designed to establish bid prices at artificial on-competitive levels and to deprive the GFD of the benefits of free and open competition. GFD will reject a proposal for award if it determines that the Bidder recommended for award has engaged in corrupt or fraudulent practices in competing for, or in executing, contract(s). LACK OF INFORMATION TO BIDDER

The Bidder shall be deemed to have carefully examined all contracts documents to his entire satisfaction. Any lack of information shall not in any way relieve the Bidder of his responsibility to fulfill his obligation under the document.

CONTRACT OBLIGATIONS

If after the award of the contract, the Bidder does not sign the Agreement or fails to furnish the performance guarantee within the prescribed time limit as mentioned in the purchase order (PO), the GFD reserves the right to cancel the contract and apply all remedies available to him under the terms and conditions of this document. PENALTY CLAUSE

Nonperformance, poor performance or failure to supply teak tissue culture seedlings in quantity and/ or quality as per the agreement signed subsequent to issue of PO shall not be allowed. Penalty will be levied on the defaulter as per the agreement. Party’s failure to produce and supply teak tissue culture seedlings as per the terms and conditions of the tender agreement shall entitle Gujarat Forest Department to cancel the PO, forfeiture of security and arrange production from next party at the cost and risk of defaulting producer. BID PRICE

The Financial bid should indicate the prices in the format/price schedule given at Annexure – 1. Bidder shall categorically confirm strict compliance with the following stipulation in respect of their offer. a) Any effort by a Bidder or Bidder's agent/consultant or representative howsoever described, to influence the GFD in any way concerning scrutiny/consideration/ evaluation/ comparison of the bid or decision concerning award of contract shall entail rejection of the bid. b) The Bidder should indicate a single consolidated rate for contract period based on the payment terms specified in the Tender.

c)FINANCIAL BIDS should be submitted directly and “ONLINE” only by the Bidder. GFD reserves the right to seek clarification/justification from the Bidder on the bid price in case GFD deems it necessary. Based on the justification provided by the Bidder, if GFD feels that the price is unrealistic/ infeasible in order to execute a project of this nature, GFD reserves the right to negotiate the rates offered or to reject the said bid at their discretion. The decision of GFD shall be final in this regard. BID CURRENCY

For the services required in the Tender the prices shall be quoted in R-Indian Rupees. Payment for such services as specified in the agreement shall be made in R-Indian Rupees only. BID EARNEST MONEY DEPOSIT (EMD)

The Bidder shall furnish, anEMD for the amount as specified in the form of DD in favour of “Deputy Conservator of Forests, Research Division, Gandhinagar” payable at Gandhinagar issued by any nationalized bank in India in a separate envelope. Only after the confirmation of valid EMD, the Technical Bid will be opened.

No interest shall be paid on bid security / EMD. EMD of Bidders not short-listed will be refunded within 30 days from the date of declaration of Short-listed Bidders. The EMD may be forfeited either in full or in part, at the discretion of GFD, on account of one or more of the following reasons: a) The Bidder withdraws their Bid during the period of Bid validity; b) Bidder does not respond to requests for clarification of their Bid; c) Bidder fails to co-operate in the Bid evaluation process, and d) Bidder fails to sign the Agreement in time. PERIOD OF VALIDITY OF BIDS

Bids shall remain valid for 180 days after the date of Bid opening prescribed by GFD. A Bid valid for a shorter period shall be rejected as non-responsive. FORMAT AND SIGNING OF BID

The Bidder shall prepare required number of copies of the bid, clearly marking each “Original Bid” and “Copy of Bid” as appropriate. In the event of any discrepancy between them, the original shall govern. The original and all copies of the bid shall be typed or written in indelible ink and shall be signed by the Bidder or a person duly authorized to bind the Bidder to the Contract/Concession Agreement. All pages of the bid, except for un-amended printed literature, shall be signed by the person or persons signing the bid. The complete bid shall be without alteration or erasures, except those to accord with instruction issued by the GFD or as necessary to correct errors made by the Bidder, in which case such corrections shall be initiated by the person or persons signing the bid SEALING AND MARKING OF BID

Bidder shall submit their bids zone wise in TWO SEPARATE PARTS in sealed envelopes super-scribed with due date, time, project and nature of bid (Bid Security and Technical Bid). Part: I The Security/ EMD and Tender Fees in a separate sealed envelope super scribed with the Tender Document number. Part: II Original and one copy of TECHNICAL BID complete with all technical and commercial details other than price. NOTE: Filling up prices in Part-II will render the Bidder disqualified. The envelopes containing Part-I and Part-II of bid should be enclosed in a larger envelope duly sealed. The enclosed CUT-OUT Slips (as per Formats given) shall be filled and pasted on the envelopes. All pages of the offer must be numbered and signed.

The outer envelope shall indicate the name and address of the Bidder to enable the bid to be returned unopened in cases it is declared `late'. If these envelopes are not sealed and marked as required, the GFD will assume no responsibility for the bid's misplacement or premature opening and rejection. BID DUE DATE

Bid must be received by the GFD at the address specified in the Tender Document not later than the date specified in the bid. The GFD may, at its discretion, on giving reasonable notice to all prospective Bidders who have been issued the Tender documents, extend the bid due date, in which case all rights and obligations of the GFD and the Bidders, previously subject to the bid due date, shall thereafter be subject to the new bid due date as extended. LATE BID/CONDITIONAL BID

Any bid received by the GFD after the bid due date/time prescribed in the Tender Document shall be rejected. Any bid indicating conditions beyond those indicated in this Tender Document, i.e. conditional bid shall be rejected. MODIFICATION AND WITHDRAWAL OF BID

The Bidder shall not be permitted to modify the bid. The bidder can withdraw its Bid after the Bid's submission, provided that written notice of the withdrawal of the bids is received by the GFD prior to the deadline prescribed for submission of bids. No Bid may be withdrawn after the deadline for submission of bids. OPENING OF BIDS BY THE GFD

Bids will be opened in the presence of Bidder's representatives, who choose to attend. The Bidder's representatives who are present shall sign a register evidencing their attendance. The Bidder's names, Bid modifications or withdrawals and the presence or absence of relevant Bid security and such other details as the GFD at his/her discretion, may consider appropriate, will be announced at the opening. At the pre-decided time, anauthorized officer of GFD from FM wing shall open the Technical Bids and list them for further evaluation. Any participating Bidder may depute a representative to witness these procedures. CONTACTING GFD

Bidder shall not approach the GFD officers beyond office hours and/or outside the GFD premises, from the time of the Bid opening to the time the Contract is awarded. Any effort by a Bidder to influence the GFD officers in the decisions on Bid evaluation bid comparison or contract award may result in rejection of the Bidder's offer.

Bidding process:

Bidding process shall be divided into two part i.e. technical presentation and financial bid opening. Each of the pre-qualifying bidders shall be invited to make a presentation of the proposal submitted by them. Each agency shall submit a detail solution for the requirements of the client in terms of for continuous production of two lac Teak seedlings/ annum or more as part of the technical presentation. Top 3 agencies scoring marks shall be considered for opening of financial bid. Client holds the right to accept or reject any/all offers received even after technical qualification of the agency.

If any such change causes an increase or decrease in the cost of, or the time required for, the Bidder performance of any part of the work under the Contract; whether changed or not changed by the order, an equitable adjustment shall be made in the Contract Price or schedule of implementation, or both, and the Contract shall accordingly be amended. Any claims by the Bidder for adjustment under this Para must be asserted within thirty (30) days from the date of the Bidder receipt of the GFD changed order. GFD'S RIGHTS TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS

The GFD reserves the right to reject any Bid and to annul the bidding process and reject all bids at any time prior to award of Contract without thereby incurring any liability to the affected Bidder(s) or any obligation to inform the affected Bidder(s) of the grounds for such decision. NOTIFICATION OF AWARD & SIGNING OF CONTRACT

Prior to expiry of the period of Bid validity, the GFD will notify the successful Bidder in writing that its Bid has been accepted and send successful Bidder the Contract Form with PO. Within 15 days of issue of the PO, the successful Bidder shall sign and date the contract and return it to the GFD. If the successful Bidder thus selected fails to sign the contract as stipulated, the GFD reserves the right to offer the contract to the next lowest Bidder. PERFORMANCE GUARANTEE

The contract performance guarantee has to be submitted within 15 (Fifteen) days of issue of PO. The performance guarantee shall be 3% of the Total Accepted Tender Value of three years. The performance guarantee can be in the form of bank guarantee from any of the Nationalized Bank only, which shall be valid for duration of 90 days beyond the expiry of contract period. If the successful Bidder fails to remit the performance guarantee the EMD remitted by him will be forfeited by the GFD and his bid will be held void. Upon the successful Bidder's furnishing of performance guarantee and signing of contractual documents, the GFD will promptly notify all Short-listed Bidders and will refund their Bid Security. The Performance Guarantee Format is given at Annexure –3.

The Performance Guarantee of the successful Bidder shall be refunded within two months from the expiry of the contract period and on satisfaction of the GFD for execution of the work / settlement of disputes, if any. PAYMENT TERMS The payment terms will be as per the following conditions:

• All the payments to the TCSP will be made by the concerned officers directly to the TCSP as per the rates finalized.

• No advance will be paid.

• The total value of the Services will be paid on receipt of the services, subject to quality certification by the officers concerned.

Documents to be submitted for payment:

Payments shall be made on submission of following documents:

Details of production and supply of seedlings to GFD;

Request letter clearly mentioning the amount of payment;

Bank Details;

Delivery challans duly signed by consignor & consignee with satisfactory/remark;

Invoices with stamp and authority signature.

GFD’s RIGHT TO AWARD THE CONTRACT TO ONE OR MORE BIDDERS

The GFD reserves the right to award the contract to one or more than one Bidder and split the order among different Bidders. CONTRACT PERIOD

This service shall commence within 1 month from the date of signing of the Agreement and shall continue thereafter for a maximum period of 3 years. Bidders are expected to quote rates for provision of for 3 years. This service shall be reviewed by the GFD at the end of the every year and rates may be revised based on the concurrent parameters as decided by the approval committee. The contract may be extended beyond its tenure of Three years with mutual consent. The terms and conditions for extension of the contract may be negotiated. BIDDER’S OBLIGATION

I. The Bidder shall raise, harden and supply minimum 2 lakhs Tissue Culture Plants of

Teak/ annum having height of 12" (One foot) above ground level to Gujarat Forest Department;

II. The bidder will have to procure all material needed for laboratory including consumables, chemicals and protocolexcept germ plasm on their own. The mother plant material will be provided by GFD;

III. The Bidder shall appoint, an authorized person as “Coordinator” to co-ordinate with the GFD in all matters related to Bidder for the successful implementation and operation of the project and to be responsible for all necessary exchange of information;

IV. The Bidder shall provide all assistance to the GFD representative/s as they may reasonably require for the performance of their duties and services;

V. The bidder shall work in such a manner that damages to infrastructure if any are minimized;

VI. The bidder shall arrange the work flow in such a manner that the efficiency of laboratory is maximized;

VII. The bidder shall arrange the work flow in such a manner that the running costs are minimized;

VIII. The bidder shall see to it that the damages to plants either in laboratory or hardening stage are minimized;

IX. The bidder shall arrange the work flow in such a manner that the total time for supply of a seedling (18 weeks at present) is minimized and batch wise regular production is maintained, so that 2 (TWO) Lac seedlings/ annum are supplied on regular basis;

X. The Bidder shall provide to the GFD reports on a regular basis during the Implementation Period and the Contract Period as per the requirement of GFD The Bidder shall appoint, supervise, monitor and control the activities of suppliers under their respective agreements as may be necessary;

XI. The Bidder shall be responsible for all statutory obligations/ liabilities including Salary, ESI. PF, etc. as per Labour Laws for the manpower employed for the project;

XII. The party shall be responsible for maintenance and efficient use of infrastructure provided by GFD. They should handover back the infrastructure in the same state as it was handed over to them. The equipments shall be maintained in working condition.

OBLIGATIONS OF GFD

I. GFD will provide laboratory facility to the Bidder which includes power supply, laminar flow, autoclave, treatedwater and hardening facility;

II. GFD will release the funds in a timely manner as per the payment terms, after satisfying itself of all the work-related, statutory and accounting aspects, so as to enable the TCSP to satisfactorily implement the work and perform its obligations, provided that funds are available at that time;

III. The GFD shall appoint, an authorized person as “Coordinator – GFD” to coordinate with the Bidder in all matters related to GFD for the successful implementation of the work and to be responsible for all necessary exchange of information required.

TERMINATION OF THE CONTRACT

The GFD will have the right to cancel the contract if the Bidder commits breach of any or all conditions of the contract. Breach of Contract includes, but not limited to, the following:

a) It is found that the schedule of implementation of the project is not being adhered to.

b) The Bidder stops work and such stoppage has not been authorized by the GFD.

c) The Bidder may become bankrupt or goes into liquidation other than for project or amalgamation.

d) The GFD gives notice to correct a particular defect/irregularity and the Bidder fails to correct such defects/irregularity within a reasonable period of time determined by the GFD. If the contract is terminated by the GFD unilaterally, the GFD will pay to the TCSP remaining amount, if any, for the payment for service / charges for the period for which the service has been rendered and all other claims through mutually agreeable settlement. “NO CLAIM” CONDITION

The Bidder shall not be entitled to make any claim, whatsoever, against the GFD, under or by virtue of or arising out of this Contract, nor shall the GFD entertain or consider any such claim. SUSPENSION

GFD may, by a written notice of suspension to the Bidder, suspend the Contract if the Bidder fails to perform any of its obligations under this Contract (including the carrying out of the services) provided that such notice of suspension:

1. Shall specify the nature of the failure and

2. Shall request the Bidder to make good such failure within a specified period from the date of receipt of such notice of suspension by the Bidder. TRANSFER ON COMPLETION OF CONTRACT PERIOD

The ownership of all the facilities and IPR assets (without any liability) necessary for proper and normal operation of the project including but not limited to all electrical, civil and mechanical works, vehicles, implements, tools and tackles on completion of the Contract period will automatically be vested with the GFD. TRANSFER OF RIGHTS

The Bidder shall not transfer the Contract to anybody except with the prior permission of GFD. IMPLEMENTATION SCHEDULE

The Successful Bidder is expected to submit an implementation schedule for every assignment offered by GFD wherein the level of preparation and planning of work by the bidder can be assessed by GFD. GFD AUTHORITY

Over and above all, the decision of GFD will be final and the TCSP agency shall abide by it. AMENDMENT IN DOCUMENT

GFD may amend the document if required and the details shall be made available at website from where the tender document is to be downloaded. LEGAL DISPUTE

Legal dispute, if any, would be subject to the Gandhinagar jurisdiction

CHAPTER – III TERMS OF REFERENCE

Gujarat StateForestdepartment is well known for its innovative initiatives and

providing leadership in the matters of forestry and allied fields. Advantage of use of Biotechnologyin general and plant tissueculturetoproduce high quality planting material in sufficientnumber in shortest possible time in particular is a well proven technology. Gujarat Forest Department has decided to put this modern technology in use to enhance quality of planting material. Forest department has started a Tissue culture lab at Gandhinagar is operating successfully since last 7-years.

This tender process is initiated forselection of Tissue culture Service Provider (TCSP) for the work of raising, hardening and supply of Teak Tissue Culture Plants atTissue culture Laboratory, Gandhinagar for Forest Department in Gujarat State. Necessary infrastructure and facilities will be provided by Gujarat Forest Department while TCSP – Bidders are expected to bring in Expertise, Managerial and Technical manpower, day to day consumables including chemicals and run the Tissue Culture Laboratories to optimum levels and provide high quality planting material to GFD using latest technology of Tissue culture.

The TCSP shall produce various TC plants using germplasm provided by GFD and provide the same after proper hardening.

Cost estimation for Selection of Tissue Culture Service Provider (TCSP) for the work of Raising, Hardening and Supply of Teak Tissue Culture Plants atTissue culture Laboratory, Gandhinagar for Forest Department in Gujarat Stateshall be prepared by the TCSP –Bidders keeping in mind all the requirements and running expenditure.
