WHEREAS, Section 2.10(b) of the Bylaws of the Foundation providesthat the establishment or amendment of the employment terms of the fivehighest-paid employees of the Foundation requires the affirmative vote ofat least two-thirds of the Foundation directors then in office and the ap-proval of the Board of Commissioners of the District;

WHEREAS, the Foundation Board of Directors recently approved anupdated Employee Manual that, on a non-contractual basis, may be con-sidered to establish or amend some of the employment terms of the Foun-dation employees;

e next item on the agenda was the relocation of the Dollar Generalstore on Arkansas Road. Mr. Lazenbry presented the plans and specifica-tions for the new building and a brief discussion followed. CommissionerOwens made a motion to accept the business affluent upon completionand inspection. Commissioner Leach seconded the motion. e motionpassed by a unanimous voice vote.

Next was a discussion concerning the billing reports from Greater Oua-chita Water Company and Severn Trent Services. Terry Cox, manager ofthe WOSD No. 5 expressed concern that his office has not been able toreceive adequate information in a timely manner from Greater OuachitaWater Company, Inc. (GOWC) in order for the district's auditors to com-plete the fiscal year audit for 2012/2013. e difficulty that WOSD No.5 has experienced in receiving adequate information regarding deposit re-ports of funds collected for sewer service and customer deposits fromGOWC in a timely manner will result in the district's auditors being un-able to complete their audit of the district's finances prior to the audit duedate. is will result in a finding by the auditors that will require correctiveactions. Numerous letters and e-mails have been sent to Greater OuachitaWater Company and their operator (Severn Trent Services) requesting theneeded information and GOWC officials have informed the WOSD No.5 that they are aware of the problem and working diligently to resolve theproblem and produce the requested information.

Mr. Cox. reminded the Board of Commissioners that sewer rates in-creased on January 1, 2014, from $21.00 per residential customer to $30.00per residential customer and that commercial rates increased from $2.65per 1,000 gallons to $3.00 per $1,000 gallons. e increased sewer ratesare expected to start showing on sewer bills at the end of January or thebeginning of February, 2014. Mr. Lazenby and Mr. Cox advised the boardmembers that the monthly sewer treatment bills from the city of WestMonroe for the past three months were running slightly higher than hadbeen estimated in establishing the new sewer rate schedules.

e final item was cash disbursements. Mr. Cox presented the disburse-ments for the month and a discussion followed. Commissioner Leachmade a motion to accept the disbursements as reasonable and necessaryand Commissioner Owens seconded the motion. e motion was passedby a unanimous voice vote.

No further business being presented the meeting adjourned at 12:00p.m.

December 12, 2013 at six (6:00) o’clock p.m. at its regular meeting place,the Ouachita Parish School Board office.

e meeting was called to order by President Hicks as he welcomed visi-tors and guests to the meeting.

Director of Business Juanita Duke called the roll and the following mem-bers were present: Bill Norris, Scott Robinson, A. R. Sims, Jerry R. Hicks,John Russell, Carey Walker and Susan Spence. ere were none absent.

President Hicks led the Pledge of Allegiance to the American Flag.e Invocation was given by Board member Scott Robinson.On motion by A. R. Sims, seconded by Bill Norris, the Minutes of No-

vember 14, 2013 were unanimously approved as written.On motion by Susan Spence, seconded by A. R. Sims, the revised Agenda

was unanimously approved by the Board as amended. At the request of the Superintendent, Susan Spence moved, seconded by

Scott Robinson, that the Board accept his recommendation to terminatetwo support staff employees as listed on the Personnel Report. Motion car-ried unanimously.

Director of Business Juanita Duke presented a summary of the financialreport from the Finance Committee meeting held on November 19, 2013for the first quarter of the 2013-14 fiscal year through September 30, 2013for consideration. Mrs. Duke reported total revenue in the General Fundthrough September 30, 2013 is $30,547,476 and total expenditures of$20,129,872, leaving an excess of $10.3 million over expenditures at the endof September. She cautioned the Board not to assume there is $10 millionavailable to spend and suggested using a comparison of expenditures thissame time last year with the current year to get a true picture of the directorof overall financial position. e excess of funds is normal for this time ofyear and will gradually reduce as salaries are accrued for payment of 9, 10,and 11-month contract employee salaries in June 2014. Compared to thissame time last year, total revenue is up $648,000 mainly because of the re-ceipt in additional one-time appropriation of state funds. e expenditureshave increased $2.1 million over this same time last year because of an addi-tional $1 million in text book purchases made early this year (the Board didnot purchase text books last year). e remaining increase is from budgetedincreases in employee benefits (i.e. retirement rate increases) and installa-tion of a new student information system (to meet student managementneeds). Ms. Duke noted an unplanned 30 percent increase in electricity costscompared to this time last year is realized due to rate increases. She also re-ported that we will see an increase in health insurance costs due to the en-rollment of approximately 34 new members in group insurance during openenrollment due to the Affordable Care Act. Mrs. Duke summarized the dis-trict’s Maintenance and Operating Sales Tax fund performance. Mrs. Dukepointed out that the collections to date only reflects proceeds received for themonth of July due to the timing between when taxes are collected by vendorsand distributed by the Monroe City Tax division. In conclusion, Mrs. Dukesees normal spending patterns right now in the M&O Sales Tax while veri-fying there is very little difference in expenditures compared to this sametime last year. Following a review of the financial operations of the Boardthrough September 30, 2013, including the recommendation of the FinanceCommittee, Susan Spence moved, seconded by Bill Norris, that the Boardapprove the Finance Committee Financial Report for September 30, 2013as submitted by Director of Business Juanita Duke. Motion carried unani-mously.

Board attorney Elmer Noah presented a Resolution for consideration thatrepresents the interest of the Ouachita Parish School System and its desireto join the lawsuit entitled St. John the Baptist Parish School Board, et al v.State of Louisiana, et al; No. 622,693, Sec. 24 on the docket of the 19th Ju-dicial District Court for the Parish of East Baton Rouge, State of Louisiana,that has been filed alleging that public school systems across the State ofLouisiana were not provided with the proper funding for the 2012-13 fiscalyear under the MFP. A number of districts statewide are joining together toask the courts to hold the state accountable to pay them according to thestate’s 2011-12 Minimum Foundation Program formula, the last legally ap-proved formula. e courts declared the initial 2012-13 formula unconsti-tutional because it included funding for the state’s voucher program. e2012-13 formula was rejected because it is believed to have procedural flawsin the way it was approved. All districts around the state would share in anyproceeds of the decision, whether they decided to be plaintiffs in the case ornot, if the court rules those participating in the suit to be a “class” action.ere are no costs associated with joining the lawsuit in a class action pos-ture, since the attorneys have agreed to handle this case on a contingencyfee. If there is no recovery, then there are no fees owed to the attorneys fortheir work on this matter. Whereby, Bill Norris moved, seconded by, A. R.Sims, that the Board join the plaintiffs in this lawsuit entitled St. John theBaptist Parish School Board, et al v. State of Louisiana, et al and adopt theResolution pertaining thereto as presented by Elmer Noah. Motion carriedunanimously.

Special Projects/Safety Coordinator Kenneth Slusher reportedthat the tennis court construction at West Monroe High School will beginnext month, the construction of the covered walkway and elevator at Cen-tral Elementary School will be bid the first of March with construction tobegin this summer, and comented that bids for classroom construction atCalhoun Elementary will be evaluated following this update.

On the recommendation of Special Projects/Safety Coordinator Ken-neth Slusher, Scott Robinson moved, seconded by A. R. Sims, that the Boardaccept the low bid of Dave Jackson Builders in the amount of $382,498 witha budget of $375,000 for the construction of classrooms at Calhoun Ele-mentary School [Bid No. 10-14]. Motion carried unanimously.

On the recommendation of Purchasing Agent Bobby Jones, John Russellmoved, seconded by Susan Spence, that the Board accept the high bid of$352,000 from Good Hope Land & Timber for the sale of timber locatedin Section 16, T16N, R4E near Harmon Johnson Road [Bid No. 8-14]. Asmall portion of the proceeds will be divided with Richland Parish SchoolBoard because Ouachita Parish shares a percentage of the township withthem. e first allocation of the proceeds will be used for vocational re-sources at Richwood High School with distribution of the balance to be de-termined. Motion carried unanimously.
