The Directors present their report together with the consolidated financial statements for the

consolidated entity consisting of The National Trust of Australia (New South Wales) (“The Trust”) and

the entities it controlled at the end of or during the year ended 30 June 2013, and the auditor’s

report thereon.

As part of the long term funding strategy of the Trust, to preserve capital contributions received from

third parties and proceeds from sale of Trust properties, a new structure was set up on 19 March

2013, consisting of a trustee company and two trusts. The Trustee Company is known as National

Trust of Australia (NSW) Heritage Foundation Limited. The Trusts are known as the National Trust of

Australia (NSW) Heritage Foundation Trust (‘Heritage Foundation’) and National Trust of Australia

(NSW) Heritage Foundation Ancillary Fund (‘Ancillary Trust’). These entities form part of the

consolidated entity.

Ian Carroll, Don Godden, Neil Wykes, John Richardson and Ian Stephenson were re-elected and Ron

Bottrill was newly elected by the members in November 2012. Ian Carroll OAM was re-elected as

President, Professor Ross Griffiths was elected as Deputy President and Neil Wykes OAM was re-

elected as Treasurer in December 2012 by the directors. The Executive Director does not participate

in these elections.

The qualifications, experience and special responsibilities of Directors are set out on pages 6 to 10.

Corporate Governance

The election of Directors held in November 2012 produced seven candidates for the six available

positions on the Board. Therefore, an election of Board Directors was held. As a result, five sitting

members sought re-election and five were returned. One new Director was elected.

The Finance, Audit and Risk Management Committee as well as many technical, fundraising,

conservation and other volunteer committees continued to support the management of the

consolidated entity during the year. Those committees at 30 June 2013 are recognised within the

published Annual Review and a list is available on the consolidated entity’s public website.

Short and long-term objectives and strategy

The consolidated entity’s short and long-term objectives are:

• To be trusted as a leading independent guardian of Australia’s built, cultural and natural

heritage, and defender of our sense of place and belonging in a changing world.

• To advocate for the conservation of our built, cultural and natural heritage by engaging with

the community and government.

• To conserve and protect our built, cultural and natural heritage by example, advice and

support.

• To educate and engage the community by telling our stories in ways that awaken a sense of

place and belonging.

The consolidated entity’s strategies for achieving these objectives include the following:

• To lobby, facilitate, promote and raise awareness to protect our built, cultural and natural

heritage.

• To conserve, maintain, preserve or restore the Trust’s buildings, landscapes and collections for

current and future generations and advise and facilitate others on conservation techniques.

• To use properties, collections and intellectual expertise to develop formal education and

lifelong programs to encourage people of all ages to understand and relate to our heritage.

• To manage and enhance the Trust’s reputation and communication with its audience, and

maximise its brand and marketing to support the consolidated entity’s goals.

• To recruit, retain, involve and galvanise the Trust’s members and supporters.

• To initiate, undertake and support fundraising activities and generate commercial income from

business activities.

• To support the consolidated entity’s Board, staff and volunteers so they can work efficiently

and effectively and optimise and maintain assets.

• To comply with legal and regulatory requirements, management of risks, policies, constitution

and values.

Principal Activities

The Trust is a community based statutory body and a charity which works to protect Australia’s

heritage through advocacy, conservation and education within New South Wales. As independent

charitable organisations, the Trust and the entities the Trust controls are supported by memberships,

donations, sponsorships, bequests and our volunteers.

The work of the Trust’s employees compliments the estimated over 130,000 hours spent by

volunteers to conserve and interpret heritage for the people of New South Wales.

The consolidated entity’s principal activities during the year included:

• Major advocacy campaigns in relation to the State Government Planning White Paper and

Exposure Bill, Darling Harbour redevelopment, Thompson Square Windsor, Garden Island

Hammerhead Crane, Albury Ulver DC2 Aircraft Memorial, Glebe Island Bridge, Avoca Beach

Theatre, Historic Boot Factory in Bondi Junction, the Significant Trees Register, Hunter Valley

Class 10 Steam locomotive and a viable Environmental Defenders Office.

• Seeking and receiving $632,159 in specific and general purpose grants.

• Fundraising through gifts, donations, legacies, annual appeals and regular giving programs.

• Providing direct assistance to clients in the management of native bushland through Bush

Management Services bush regeneration contracts.

• Operating a trading enterprise that comprises a number of shops, function facilities, art

galleries and heritage properties. Income and interest in heritage is raised by events, gallery

and property visitation (135,325 visitors in 2013), inspections and guided tours which are

conducted by staff and volunteers. The consolidated entity also raised funds from the

commercial property rental of some properties.

• Helping the community to fund the conservation of significant heritage through Trust -

endorsed conservation appeals.

• Conducting the 20th annual National Trust Heritage Awards.

• Sale of a 99 year lease of Juniper Hall in January 2013 for $4,551,000, generating a profit of

$2,420,779.

• Major upgrade of Experiment Farm cottage with the assistance of donations from the Blaxland

Foundation.

• Relocation of timber slab church building to Dundullimal, including restoration and refit to

provide additional education facilities.

These activities have assisted the consolidated entity in achieving its objectives by enabling it to:

• Raise $8.8million in revenue;

• Fund major advocacy programs; and

• Connect with communities.

Results

During the year ended 30 June 2013, the consolidated entity paid out $1,392,128 more cash than it

received on its operating expenses and activities (2012: the consolidated entity paid out more by

$2,262,991 and 2011 by $4,336,429).

The consolidated entity reported a profit for accounting purposes of $1,585,968 (2012: deficit of

$1,757,673 and 2011: a loss of $133,642). This included the profit on sale of the lease on Juniper Hall

of $2,420,779 and an increase in the value of the consolidated entity’s investments of $393,008

(2012: decrease $179,485) and bequests of $10,000 (2012: $186,637).

The consolidated entity measures its performance based on the operating profit/(loss) which is the

profit/(loss) before unrealised gains and losses on investments, any bequests and before any profit

or loss on sale of properties or collections. The operating loss for the year was $1,239,433, compared

with $1,764,825 in 2012 and $2,277,095 in 2011.

State of Affairs

In the opinion of the Directors, there was a significant change in the state of affairs of the

consolidated entity that occurred during the financial year under review resulting from the sale of

Juniper Hall. This sale provided cash injection to enable the consolidated entity to continue its work.

As part of the long term strategy, in June 2013 $3 million of the proceeds from the sale of Juniper

Hall were placed in the Heritage Foundation to enable the proceeds to be preserved, with the

income from these funds to be used to assist the consolidated entity to continue its work.

INDEPENDENT AUDITOR’S REPORT

To the members of National Trust of Australia (New South Wales)

We have audited the accompanying financial report of National Trust of Australia (New South Wales) (“the Trust”), which comprises the consolidated statement of financial position as at 30 June 2013, the consolidated statement of profit or loss and other comprehensive income, the consolidated statement of changes in equity and the consolidated statement of cash flows for the year then ended, notes comprising a summary of significant accounting policies and other explanatory information, and the directors’ declaration, for the consolidated entity. The consolidated entity comprises the Trust and the entities it controlled at the year’s end or from time to time during the financial year.

Directors’ Responsibility for the Financial Report

The directors of the Trust are responsible for the preparation of the financial report that gives a true and fair view in accordance with Australian Accounting Standards and the Corporations Act 2001 and for such internal control as the directors determine is necessary to enable the preparation of the financial report that gives a true and fair view and is free from material misstatement, whether due to fraud or error.

In Note 1(a), the directors also state, in accordance with Accounting Standard AASB 101: Presentation of Financial Statements, that the consolidated financial report complies with International Financial Reporting

Standards.

Auditor’s Responsibility

Our responsibility is to express an opinion on the financial report based on our audit. We conducted our audit in accordance with Australian Auditing Standards. Those standards require that we comply with relevant ethical requirements relating to audit engagements and plan and perform the audit to obtain reasonable assurance about whether the financial report is free from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial report. The procedures selected depend on the auditor’s judgement, including the assessment of the risks of material misstatement of the financial report, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the company’s preparation of the financial report that gives a true and fair view in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Trust’s and its controlled entities’ internal control.

An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by the directors, as well as evaluating the overall presentation of the financial report.

Our audit did not involve an analysis of the prudence of business decisions made by directors or management.

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

Independence

In conducting our audit, we have complied with the independence requirements of the Corporations Act 2001. We confirm that the independence declaration required by the Corporations Act 2001, given to the directors of the company on 3 October 2013, would be in the same terms if provided to the directors as at the time of this auditor’s report.

Opinion

In our opinion:

(a) the financial report of National Trust of Australia (New South Wales) is in accordance with the Corporations Act 2001, including:

(i) giving a true and fair view of the consolidated entity’s financial position as at 30 June 2013 and its performance for the year ended on that date; and

(ii) complying with Australian Accounting Standards and the Corporations Regulations 2001; and

(b) the financial report also complies with International Financial Reporting Standards as disclosed in Note 1(a)

NOTE 1: STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES

The following significant accounting policies have been applied in the preparation of these

consolidated financial statements. These policies have been applied consistently to all the years

presented. These financial statements are for the consolidated entity consisting of The National Trust

of Australia (New South Wales) (the ‘Trust’) and the entities it controls.

(a) Basis of Preparation

The National Trust of Australia (New South Wales) is a statutory body and a statutory corporation

constituted by the National Trust of Australia (New South Wales) Act 1990 (‘the National Trust

Act’).

These general purpose financial statements have been prepared in accordance with Australian

Accounting Standards (AASB’s), Australian Accounting Interpretations, other authoritative

pronouncements of the Australian Accounting Standards Board, the Corporations Act 2001 and the

National Trust Act and Rules. They have been prepared on the basis of historical costs and do not

take into account changing money values or, except where stated, current valuations of non-

current assets.

STATEMENT OF COMPLIANCE:

The financial statements and notes comply with International Financial Reporting Standards (IFRS’s)

as issued by the International Accounting Standards Board (IASB).

(b) Principles of Consolidation

The consolidated financial statements incorporate the assets and liabilities of the Trust and the

entities it controls as at 30 June 2013 and the results of all such entities for the year then ended.

The Trust and the entities it controls together are referred to in these financial statements as the

group or the consolidated entity.

The entities the Trust controls are all entities over which the group has the power to govern the

financial and operating policies.

Controlled entities are fully consolidated from the date on which control is transferred to the

group. They are de-consolidated from the date that control ceases.

Intercompany transactions, balances and unrealised gains on transactions between group entities

are eliminated.

The group has formed a company limited by guarantee (“the Trustee”) and two Trusts on 19 March

2013, for the purpose of raising contributions and investing and limiting the distribution of

revenues from the sale of properties and fundraising. These entities are consolidated, as the

substance of the relationship is that the entities are controlled by the Trust. Refer note 24.

(c) Revenue Recognition

SALES REVENUE:

Sales revenue comprises revenue earned (net of returns, discount and allowances) from the

provision of products or services to customers. Sales revenue is recognised when the goods are

provided, or when the fee in respect of services provided is receivable.

REVENUE:

Interest income and rent are recognised as they accrue.

DONATIONS/BEQUESTS:

Donations/bequests are recognised when received.

MEMBERSHIP SUBSCRIPTIONS:

One year subscriptions are recognised when received.

Three year subscriptions are treated as annual subscriptions paid in advance. The first annual

subscription is recognised when due with the remainder in advance being deferred to be

recognised on the subsequent anniversary of the membership due date until the deferred amount

is fully utilised.

OTHER REVENUE:

Revenue recognition policies for grants and investments are described in Accounting Policy notes 1

(e) and (g) respectively.

(d) Grants

Both specific and general purpose grants are recognised as revenue when due and receivable.

If all funds received in respect of any grant that is refundable are not spent in the financial year of

receipt, the unspent portion is carried forward as a liability until the grant is not refundable.

(e) Taxation

The Trust has been granted exemption from:

• Income tax;

• Payroll tax;

• Land tax; and

• Stamp duty.

The Trust is listed by name as a Deductible Gift Recipient coved by item 1 of the table in section 30-

15 of the Income Tax Assessment Act 1997 (ITAA97).

(f) Receivables

Trade debtors and other receivables are carried at amounts due. The collectability of debts is

assessed at balance date and a specific provision is made for any doubtful debts.

(g) Financial Assets at Fair Value through Profit or Loss

Financial assets at fair value through profit or loss are initially recorded at cost, and subsequently

carried at market value, with changes in value recorded in profit or loss.

Distributions are recognised as revenue as at the date the distribution is declared and share

dividends are recognised when received.

(h) Land, Buildings and Collections

LAND AND BUILDINGS:

Freehold land and buildings are recorded at cost, or at valuation when received by way of bequest.

In certain instances, the Trust obtains an economic benefit from the use of land and buildings that

are not owned by it but are held by it on behalf of the owner. Where a right to use such land and

buildings vests, the Trust holds the land and buildings as custodian.

Improvements to land and buildings are recorded at cost (including assets revalued prior to 1 July

2000 which are now deemed to be at cost in accordance with AASB 1041 Revaluation of Non-

Current Assets, which was applied at that time).

If land and/or buildings are sold, the effective date of sale for accounting purposes is the date on

which the transaction is settled.

COLLECTIONS:

Museum collections are carried at fair value. Independent valuations are undertaken on a rolling

basis and considered by the Directors when determining fair value.

(i) Depreciation

PLANT, EQUIPMENT AND FURNITURE:

Items of plant, equipment and furniture are depreciated on a straight line basis over their

estimated useful lives. Assets are depreciated from the date of acquisition. The range of useful

lives used is 3 to 20 years, represented by the following depreciation rates:

Computers and related technology based equipment 33.3%

Plant and other general equipment – heavy use 33.3%

Plant and other general equipment – moderate use 20.0%

Plant and other general equipment – light use 6.6%

Motor vehicles 20.0%

Furniture & fittings 5.0% - 10.0%

Non-heritage buildings 5.0%

HISTORIC BUILDINGS AND COLLECTIONS:

Due to the historic nature of the Trust's buildings and collections, no depreciation expense is

charged in respect of these assets.

OPERATING LEASES:

Payments made under operating leases are expensed on a straight line basis over the term of the

lease.

(j) Payables

Liabilities are recognised for amounts to be paid in the future for goods and services received.

Trade accounts payable are normally settled within the payment terms.

(k) Inventories

Inventories are carried at the lower of cost and net realisable value.

(l) Employee Entitlements

WAGES, SALARIES, ANNUAL LEAVE:

Liabilities for employee entitlements to wages, salaries and annual leave represent present

obligations resulting from employees’ services provided up to the reporting date, calculated at

amounts based on expected future wage and salary rates including related on-costs.

LONG SERVICE LEAVE:

The liability for long service leave expected to be settled within 12 months of the reporting date is

recognised and measured in accordance with ‘annual leave’ above, including on-costs.

The liability for long service leave expected to be settled more than 12 months from the reporting

date including on-costs is recognised and is measured based on remuneration rates current as at

balance sheet date for all employees with five or more years of service. The Directors believe that

this method provides an estimate of the liability that is not materially different from the estimate

that would be obtained by using the present value basis of measurement.

(m) Cash & Cash Equivalents

Cash & cash equivalents include cash on hand and demand deposits and other short-term highly

liquid investments that are readily convertible to cash, that are held for the purpose of meeting

short-term cash commitments.

(n) New Accounting Standards & Interpretations

Certain new accounting standards and interpretations have been published that are not mandatory

for the 30 June 2013 reporting period. The Directors’ assessment of the impact of these new

standards and interpretations is that they will result in no changes to the amounts recognised or

disclosed in the financial statements.

NOTE 2: LONG TERM VIABILITY/GOING CONCERN

In 2012, the Board of the Trust established a Properties Review Taskforce to review all Trust properties

and determine those which may be appropriate for sale. During the year, the Trust sold a 99 year

lease on Juniper Hall, a property in Paddington NSW, and the Taskforce is continuing to review other

properties in the Trust’s portfolio. In addition, the Board established a Museums Taskforce to explore

ways of improving the performance of the Trust’s House Museums. Task Forces were also established

to review all the Trusts Heritage and Governance policies. These task forces complement the work of

the Trust’s various Technical Committees.

As disclosed in note 24, in 2013, with the help of a volunteer, the Trust set up the Heritage Foundation

into which the majority of the proceeds from property sales will be placed. An Ancillary Trust was also

set up to receive major donations and bequests where the donor requests that the capital be

preserved. For legal reasons, two funds were necessary, but the intent of them is the same, namely to

create capital funds to provide future investment income streams to support the work of the Trust.

During the 2013 financial year and subsequent to year end, the Trust continued to make changes to its

business model and this has resulted in the Trust now having sufficient ‘untied’ cash reserves to

continue as a going concern. These changes have significantly reduced the Trust’s cost base and are

projected to produce increased income in future years.

The major changes have been as follows:

• Reduced full time equivalent staff from 62 at 30 June 2011 to 37 at 30 June 2012 and to 31 at 30

June 2013;

• Reduced staff at Observatory Hill by 5 since 30 June 2012;

• Grants obtained from the NSW Government of $351,000 for 2013 and $600,000 for 2014 to

assist in the maintenance and upgrade of properties;

• Sold a 99 year lease on Juniper Hall for $4,551,000, of which $3 million has been placed into the

Heritage Foundation to ensure that the capital will be preserved;

• Continued to examine properties with a view to selling leases to provide funds for the Heritage

Foundation and the operations of the Trust;

• Entered into commercial leases for unused space in a number of properties. This process

continues;

• With the assistance of volunteers, donations, Government and other Grants were used to

upgrade properties such as Suamarez, Experiment Farm Cottage and Dundullimal which should

result in higher visitations and a better chance of becoming self sufficient. This process will

continue for these and other properties;

• Held forums for all properties and committees where ideas, strategies and processes for

improving the operational performance and appeal of the properties have been discussed;

• Implemented a magazine specifically for NSW Trust Members;

• Implemented regular eNews, Heritage Alerts and Newsletters;

• Listed 30 heritage items on the Trust register;

• Produced position papers on 11 matters of Heritage importance;

• Become the lead Trust for online retailing for all National Trusts in Australia; and

• Set a demanding but achievable budget for 2014, which if achieved, will see the Trust break

even for the first time in 7 years. The budget has been met for the first two months of the 2014

financial year.

The business model going forward, in addition to improved performance from existing operations, will

involve the derivation of investment income from Capital Funds established from the proceeds of

asset sales and from donations and bequests and will be based on a much smaller number of paid

staff, supplemented by volunteers.

The consolidated financial statements at 30 June 2013 show net assets of $59.3 million (2012: $57.7

million) and Cash and Other Financial Assets of $8.9 million (2012: $5.4 million). The cash balance

includes $3.0m relating to the Heritage Foundation.

Consequently, the Trust’s accounts have been prepared on the basis that the organisation will

continue as a going concern.

The Butler Estate Motor Vehicle fund was established in May 2009 on receipt of a bequest from Paul William Butler. These funds were to be used to make grants for the purpose of either public

exhibition of vintage and veteran cars or the preservation and restoration of vintage and veteran cars for the purpose of public exhibition, or education or research into vintage and veteran cars.

Grants for both purposes are to be used within New South Wales.

Unrestricted Other Financial Assets

This amount represents the funds of the Consolidated Entity that are not designated for particular purposes.

The Golden Vale fund was established in November 2007 after the subdivision and sale of a parcel of land adjacent to the residence at Golden Vale, which was permitted under a Deed of Gift from The

Honourable William Geoffrey Keighley and Karin Margot Spiegel-Keighley. The proceeds of the sale were to be invested for the purpose of funding the maintenance of the residue of Golden Vale.

The S H Ervin fund was established in July 1973 on receipt of a bequest from Samuel Henry Ervin. The funds were to be used to renovate, restore and maintain a Museum and Art Gallery for the

preservation and display of works of art.

The Wirrimbirra (Dew Sisters) fund was established in June 2007 on receipt of a bequest from Alice Dew. These funds were to be spent on an accommodation building for students at Wirrimbirra

named as a memorial to Barbara Dew.

The Hazel Porter's House fund was established in February 1998 on receipt of a bequest from Hazel Mildred Porter. The Will directed that the property at 434 Kings Street Newcastle be preserved for

the benefit of the public.

The Butler Estate House Museum fund was established in November 2009 on receipt of a bequest from Paul William Butler. The funds were to be used to acquire, restore, maintain and preserve house

museums of historical value or for the purchase of items of heritage value to be displayed in such house museums.

The consolidated entity is not materially exposed to any individual debtor as at 30 June 2013.

The consolidated entity has regular monthly procedures for the collection of debts.

These market risks are minimised through the selection of a high quality fund manager and

with investment in a moderate risk profile and a diversified asset allocation.

Interest rate on cash & cash equivalents at 30 June 2013 was 0.00% (2012: 0.00%).

The Consolidated Entity contributes to employee superannuation funds as required under the

Commonwealth Government's Superannuation Guarantee Legislation.

Capital available to the Consolidated Entity at the end of the financial year is represented by its

Total Accumulated Funds, being Retained Surplus and Reserves. The Board manages these Funds

through the use of budgets and regular forecasts and with the assistance of the Finance, Audit

and Risk Management Committee with the objective of ensuring that there are always sufficient

reserves to pay debts and to continue the growth of the Consolidated Entity.

The consolidated entity is exposed to interest rate risk in relation to its cash & cash

equivalents, and also in relation to other Financial Assets.

This is the risk that the consolidated entity will not be able to convert its financial

instruments (Other Financial Assets) to cash in sufficient time to pay its debts as they fall due.

The consolidated entity manages liquidity risk by monitoring forecast cash flows and ensuring

that adequate liquid funds or an unused overdraft facility are available to meet operating

expenses when they fall due. When necessary, cash is sourced from the liquidation of

financial assets.

In addition to the effects of movements in interest rates, investments in managed funds are

exposed to market risks, influencing investment earnings.

The credit risk on financial assets is the carrying amount net of any provision for doubtful

debts.

• The National Trust of Australia (NSW) Heritage Foundation Ltd ('Trustee');

• National Trust of Australia (NSW) Heritage Foundation Trust ('Heritage Foundation'); and

• National Trust of Australia (NSW) Heritage Foundation Ancillary Trust ('Ancillary Trust').

(a) Solely to the Trust; or

The directors of the Trustee at the date of this report are:

Mr Ian Carroll OAM - National Trust of Australia (New South Wales) director

Professor Ross Griffith - National Trust of Australia (New South Wales) director

Mr Neil Wykes OAM - National Trust of Australia (New South Wales) director.

As part of the long term funding strategy of the Trust to preserve capital contributions received

from third parties and to preserve part of the proceeds from the sale of Trust properties, a new

structure was set up consisting of a trustee company and two trusts.

The following entities became controlled entities of the Trust from 19 March 2013:

The amount of capital the trusts can distribute in any one year is 5% of the capital base. However,

approval of any distribution requires approval from at least 75% of Directors of the Trustee and

75% of the Directors of the Trust.

On 26 June 2013, the board of the Trust approved the transfer of $3,000,000 from the proceeds of

sale of Juniper Hall to the Heritage Foundation.

The objects of the two trusts are to pursue charitable purposes only and to apply the income and

property of the trusts however derived;

The amount of Income that can be distributed each year is as follows:

The Trustee is responsible for governing the day to day activities of the two Trusts, with a board of

up to 7 members, a majority of who must be directors of the Trust. The Chairman of the Trustee

is to be independent of the board of the Trust. The directors of the Trustee are appointed by the

Board of the Trust.

(b) Otherwise for the benefit or advancement of the objects of the Trust, if approved by special

resolution of the Trustee.

As a consequence these three entities are controlled entities of the Trust.

The trust deeds of the Heritage Foundation and Ancillary Trust set out the day to day activities,

including the investment activities of the trusts as well as the amount of income and capital the

trusts can distribute.

(ii) The trusts can distribute the remaining 20% only if the capital base has been augmented by

an amount equal to the 20%.

(i) The trusts can automatically distribute 80% of income to the Trust to be used in day to day

activities; and
