andtheFrenchRepublicThePresidentoftheUnitedStatesofAmericaandtheFirstConsuloftheFrenchRepublicinthenameoftheFrenchPeopledesiringtoremoveallSourceofmisunderstandingrelativetoobjectsofdiscussionmentionedintheSecondandfiftharticlesooftheConventionofthe8thVendémiairean9/30September1800relativetotherightsclaimedbytheUnitedStatesinvirtueoftheTreatyconcludedatMadridthe27ofOctober1795,betweenHisCatholicMajesty&theSaidUnitedStates,&willingtoStrengthentheunionandfriendshipwhichatthetimeoftheSaidConventionwashappilyreestablishedbetweenthetwonationshaverespectivelynamedtheirPlenipotentiariestowitThePresidentoftheUnitedStates,byandwiththeadviceandconsentooftheSenateoftheSaidStates;RobertR.LivingstonMinisterPlenipotentiaryoftheUnitedStatesandJamesMonroeMinisterPlenipotentiaryandEnvoyextraordinaryoftheSaidStatesneartheGovernmentoftheFrenchRepublic;AndtheFirstConsulinthenameoftheFrenchpeople,CitizenFrancisBarbéMarboisMinisterofthepublictreasurywhoafterhavingrespectivelyexchangedtheirfullpowershaveagreedtothefollowingArticles.ArticleIWhereasbytheArticlethethirdoftheTreatyconcludedatStIldefonsothe9thVendémiairean9/1stOctober1800betweentheFirstConsuloftheFrenchRepublicandhisCatholicMajestyitwasagreedasfollows.
"HisCatholicMajestypromisesandengagesonhisparttocedetotheFrenchRepublicsixmonthsafterthefullandentireexecutionoftheconditionsandStipulationshereinrelativetohisRoyalHighnesstheDukeofParma,theColonyorProvinceofLouisianawiththeSameextentthatitnowhasinthehandofSpain,&thatithadwhenFrancepossessedit;andSuchasitShouldbeaftertheTreatiessubsequentlyenteredintobetweenSpainandotherStates."
AndwhereasinpursuanceoftheTreatyandparticularlyofthethirdarticletheFrenchRepublichasanincontestibletitletothedomainandtothepossessionofthesaidTerritory--TheFirstConsuloftheFrenchRepublicdesiringtogivetotheUnitedStatesastrongproofofhisfriendshipdothherebycedetotheUnitedStatesinthenameoftheFrenchRepublicforeverandinfullSovereigntythesaidterritorywithallitsrightsandappurtenancesasfullyandintheSamemannerastheyhavebeebeenacquiredbytheFrenchRepublicinvirtueoftheabovementionedTreatyconcludedwithhisCatholicMajesty.Art:IIInthecessionmadebythepreceedingarticleareincludedtheadjacentIslandsbelongingtoLouisianaallpubliclotsandSquares,vacantlandsandallpublicbuildings,fortifications,barracksandotheredificeswhicharenotprivateproperty.--TheArchives,papers&documentsrelativetothedomainandSovereigntyofLouisianaanditsdependanceswillbeleftinthepossessionoftheCommissariesoftheUnitedStates,andcopieswillbeafterwardsgivenindueformtotheMagistratesandMunicipalofficersofsuchofthesaidpapersanddocumentsasmaybenecessarytothem.

Art:IIITheinhabitantsofthecededterritoryshallbeincorporatedintheUnionoftheUnitedStatesandadmittedassoonaspossibleaccordingtotheprinciplesofthefederalConstitutiontotheenjoymentofalltheserights,advantagesandimmunitiesofcitizensoftheUnitedStates,andinthemeantimetheyshallbemaintainedandprotectedinthefreeenjoymentoftheirliberty,propertyandtheReligionwhichtheyprofess.Art:IVThereShallbeSentbytheGovernmentofFranceaCommissarytoLouisianatotheendthathedoeveryactnecessaryaswelltoreceivefromtheOfficersofhisCatholicMajestytheSaidcountryanditsdependancesinthenameoftheFrenchRepublicifithasnotbeenalreadydoneastotransmititinthenameoftheFrenchRepublictotheCommissaryoragentoftheUnitedStates.Art:VImmediatelyaftertheratificationofthepresentTreatybythePresidentoftheUnitedStatesandincasethatofthefirstConsul'sshallhavebeenpreviouslyobtained,thecommissaryoftheFrenchRepublicshallremitallmilitarypostsofNewOrleansandotherpartsofthecededterritorytotheCommissaryorCommissariesnamedbythePresidenttotakepossession--thetroopswhetherofFranceorSpainwhomaybethereshallceasetooccupyanymilitarypostfromthetimeoftakingpossessionandshallbeembarkedassoonaspossibleinthecourseofthreemonthsaftertheratificationofthistreaty.Art:VITheUnitedStatespromisetoexecuteSuchtreatiesandarticlesasmayhavebeenagreedbetweenSpainandthetribesandnationsofIndiansuntilbymutualconsentoftheUnitedStatesandthesaidtribesornationsotherSuitablearticlesShallhavebeenagreedupon.Art:VIIAsitisreciprocallyadvantageoustothecommerceofFranceandtheUnitedStatestoencouragethecommunicationofbothnationsforalimitedtimeinthecountrycededbythepresenttreatyuntilgeneralarrangementsrelativetocommerceofbothnationsmaybeagreedon;ithasbeenagreedbetweenthecontractingpartiesthattheFrenchShipscomingdirectlyfromFranceoranyofhercoloniesloadedonlywiththeproduceandmanufacturesofFranceorherSaidColonies;andtheShipsofSpaincomingdirectlyfromSpainoranyofhercoloniesloadedonlywiththeproduceormanufacturesofSpainorherColoniesshallbeadmittedduringtheSpaceoftwelveyearsinthePortofNew-Orleansandinallotherlegalports-of-entrywithinthecededterritoryintheSamemannerastheShipsoftheUnitedStatescomingdirectlyfromFranceorSpainoranyoftheirColonieswithoutbeingSubjecttoanyotherorgreaterdutyonmerchandizeorotherorgreatertonnagethanthatpaidbythecitizensoftheUnited.States.DuringthatSpaceoftimeabovementionednoothernationShallhavearighttotheSameprivilegesinthePortsofthecededterritory--thetwelveyearsShallcommencethreemonthsaftertheexchangeofratificationsifitShalltakeplaceinFranceorthreemonthsafteritShallhavebeennotifiedatParistotheFrenchGovernmentifitShalltakeplaceintheUnitedStates;

Itishoweverwellunderstoodthattheobjectoftheabovearticleistofavourthemanufactures,Commerce,freightandnavigationofFranceandofSpainSofarasrelatestotheimportationsthattheFrenchandSpanishShallmakeintotheSaidPortsoftheUnitedStateswithoutinanySortaffectingtheregulationsthattheUnitedStatesmaymakeconcerningtheexportationoftheproduceandmerchandizeoftheUnitedStates,oranyrighttheymayhavetomakeSuchregulations.Art:VIIIInfutureandforeveraftertheexpirationofthetwelveyears,theShipsofFranceshallbetreateduponthefootingofthemostfavourednationsintheportsabovementioned.Art:IXTheparticularConventionSignedthisdaybytherespectiveMinisters,havingforitsobjecttoprovideforthepaymentofdebtsduetotheCitizensoftheUnitedStatesbytheFrenchRepublicpriortothe30thSept.1800(8thVendémiairean9)isapprovedandtohaveitsexecutionintheSamemannerasifithadbeeninsertedinthispresenttreaty,anditShallberatifiedinthesameformandintheSametimeSothattheoneShallnotberatifieddistinctfromtheother.AnotherparticularConventionSignedattheSamedateasthepresenttreatyrelativetoadefinitiverulebetweenthecontractingpartiesisinthelikemannerapprovedandwillberatifiedintheSameform,andintheSametimeandjointly.Art:XThepresenttreatyShallberatifiedingoodanddueformandtheratificationsShallbeexchangedintheSpaceofSixmonthsafterthedateoftheSignaturebytheMinistersPlenipotentiaryorSoonerifpossible.InfaithwhereoftherespectivePlenipotentiarieshaveSignedthesearticlesintheFrenchandEnglishlanguages;declaringneverthelessthatthepresentTreatywasoriginallyagreedtointheFrenchlanguage;andhavethereuntoaffixedtheirSeals.DoneatParisthetenthdayofFlorealintheeleventhyearoftheFrenchRepublic;andthe30thofApril1803.

andtheFrenchRepublicThePresidentoftheUnitedStatesofAmericaandtheFirstConsuloftheFrenchRepublicinthenameoftheFrenchpeople,inconsequenceofthetreatyofcessionofLouisianawhichhasbeenSignedthisday;wishingtoregulatedefinitivelyeverythingwhichhasrelationtotheSaidcessionhaveauthorizedtothiseffectthePlenipotentiaries,thatistosaythePresidentoftheUnitedStateshas,byandwiththeadviceandconsentoftheSenateoftheSaidStates,nominatedfortheirPlenipotentiaries,RobertR.Livingston,MinisterPlenipotentiaryoftheUnitedStates,andJamesMonroe,MinisterPlenipotentiaryandEnvoy-ExtraordinaryoftheSaidUnitedStates,neartheGovernmentoftheFrenchRepublic;andtheFirstConsuloftheFrenchRepublic,inthenameoftheFrenchpeople,hasnamedasPleniopotentiaryoftheSaidRepublicthecitizenFrancisBarbéMarbois:who,invirtueoftheirfullpowers,whichhavebeenexchangedthisday,haveagreedtothefollowingsarticles:Art:1TheGovernmentoftheUnitedStatesengagestopaytotheFrenchgovernmentinthemannerSpecifiedinthefollowingarticlethesumofSixtymillionsoffrancsindependantoftheSumwhichShallbefixedbyanotherConventionforthepaymentofthedebtsduebyFrancetocitizensoftheUnitedStates.Art:2ForthepaymentoftheSumofSixtymillionsoffrancsmentionedinthepreceedingarticletheUnitedStatesshallcreateaStockofelevenmillions,twohundredandfiftythousandDollarsbearinganinterestofSixpercent:perannumpayablehalfyearlyinLondonAmsterdamorParisamountingbythehalfyeartothreehundredandthirtySeventhousandfivehundredDollars,accordingtotheproportionswhichShallbedeterminedbythefrenchGovenmenttobepaidateitherplace:TheprincipaloftheSaidStocktobereimbursedatthetreasuryoftheUnitedStatesinannualpaymentsofnotlessthanthreemillionsofDollarseach;ofwhichthefirstpaymentShallcommencefifteenyearsafterthedateoftheexchangeofratifications:--thisStockShallbetransferredtothegovernmentofFranceortoSuchpersonorpersonsasShallbeauthorizedtoreceiveitinthreemonthsatmostaftertheexchangeofratificationsofthistreatyandafterLouisianaShallbetakenpossessionofthenameoftheGovernmentoftheUnitedStates.ItisfurtheragreedthatifthefrenchGovernmentShouldbedesirousofdisposingoftheSaidStocktoreceivethecapitalinEuropeatShortertermsthatitsmeasuresforthatpurposeShallbetakenSoastofavourinthegreatestdegreepossiblethecreditoftheUnitedStates,andtoraisetothehighestpricetheSaidStock.Art:3ItisagreedthattheDollaroftheUnitedStatesSpecifiedinthepresentConventionshallbefixedatfivefrancs3333/100000orfivelivreseightSoustournois.

theUnitedStatesotherwisethanhemighthavehadtotheGovernmentoftheFrenchrepublic,andonlyincaseofinsufficiencyofthecaptors--2dthedebtsmentionedintheSaidfifthArticleoftheConventioncontractedbeforethe8thVendémiairean9/30thSeptember1800thepaymentofwhichhasbeenheretoforeclaimedoftheactualGovernmentofFranceandforwhichthecreditorshavearighttotheprotectionoftheUnitedStates;--theSaid5thArticledoesnotcomprehendprizeswhosecondemnationhasbeenorShallbeconfirmed:itistheexpressintentionofthecontractingpartiesnottoextendthebenefitofthepresentConventiontoreclamationsofAmericancitizenswhoShallhaveestablishedhousesofCommerceinFrance,EnglandorothercountriesthantheUnitedStatesinpartnershipwithforeigners,andwhobythatreasonandthenatureoftheircommerceoughttoberegardedasdomiciliatedintheplaceswhereSuchhouseexist.--Allagreementsandbargainsconcerningmerchandize,whichShallnotbethepropertyofAmericancitizens,areequallyexceptedfromthebenefitofthesaidConventions,SavinghowevertoSuchpersonstheirclaimsinlikemannerasifthisTreatyhadnotbeenmade.Art:6Andthatthedifferentquestionswhichmayariseundertheprecedingarticlemaybefairlyinvestigated,theMinistersPlenipotentiaryoftheUnitedStatesShallnamethreepersons,whoShallactfromthepresentandprovisionally,andwhoshallhavefullpowertoexamine,withoutremovingthedocuments,alltheaccountsofthedifferentclaimsalreadyliquidatedbytheBureausestablishedforthispurposebytheFrenchRepublic,andtoascertainwhethertheybelongtotheclassesdesignatedbythepresentConventionandtheprinciplesestablishedinitoriftheyarenotinoneofitsexceptionsandontheirCertificate,declaringthatthedebtisduetoanAmericanCitizenorhisrepresentativeandthatitexistedbeforethe8thVendémiaire9thyear/30September1800thedebtorshallbeentitledtoanorderontheTreasuryoftheUnitedStatesinthemannerprescribedbythe3dArticle.Art:7TheSameagentsShalllikewisehavepower,withoutremovingthedocuments,toexaminetheclaimswhicharepreparedforverification,andtocertifythosewhichoughttobeadmittedbyunitingthenecessaryqualifications,andnotbeingcomprisedintheexceptionscontainedinthepresentConvention.Art:8TheSameagentsShalllikewiseexaminetheclaimswhicharenotpreparedforliquidation,andcertifyinwritingthosewhichintheirjudgementoughttobeadmittedtoliquidation.Art:9InproportionasthedebtsmentionedinthesearticlesShallbeadmittedtheyShallbedischargedwithinterestatSixperCent:bytheTreasuryoftheUnitedStates.Art:10Andthatnodebtshallnothavethequalificationsabovementionedandthatnounjustorexorbitantdemandmaybeadmitted,theCommercialagentoftheUnitedStatesatParisorsuchotheragentastheMinisterPlenipotentiaryortheUnitedStatesShallthinkpropertonominateshallassistattheoperationsoftheBureausandcooperateintheexaminationsofthe

claims;andifthisagentShallbeoftheopinionthatanydebtisnotcompletelyproved,orifheshalljudgethatitisnotcomprisedintheprinciplesofthefiftharticleabovementioned,andifnotwithstandinghisopiniontheBureausestablishedbythefrenchGovernmentshouldthinkthatitoughttobeliquidated,heshalltransmithisobservationstotheboardestablishedbytheUnitedStates,who,withoutremovingdocuments,shallmakeacompleteexaminationofthedebtandvoucherswhichSupportit,andreporttheresulttotheMinisteroftheUnitedStates.--TheMinisteroftheUnitedStatesShalltransmithisobservationsinallSuchcasestotheMinisterofthetreasuryoftheFrenchRepublic,onwhosereporttheFrenchGovernmentShalldecidedefinitivelyineverycase.TherejectionofanyclaimShallhavenoothereffectthantoexempttheUnitedStatesfromthepaymentofit,theFrenchGovernmentreservingtoitself,therighttodecidedefinitivelyonSuchclaimSofarasitconcernsitself.Art:11EverynecessarydecisionShallbemadeinthecourseofayeartocommencefromtheexchangeofratifications,andnoreclamationShallbeadmittedafterwards.Art:12IncaseofclaimsfordebtscontractedbytheGovernmentofFrancewithcitizensoftheUnitedStatesSincethe8thVendémiaire9thyear/30September1800notbeingcomprisedinthisConventionmaybepursued,andthepaymentdemandedintheSamemannerasifithadnotbeenmade.Art:13ThepresentconventionShallberatifiedingoodanddueformandtheratificationsShallbeexchangedinSixmonthsfromthedateoftheSignatureoftheMinistersPlenipotentiary,orSoonerifpossible.Infaithofwhich,therespectiveMinistersPlenipotentiaryhavesignedtheaboveArticlesbothinthefrenchandenglishlanguages,declaringneverthelessthatthepresenttreatyhasbeenoriginallyagreedonandwritteninthefrenchlanguage,towhichtheyhavehereuntoaffixedtheirSeals.DoneatParis,thetenthofFloreal,eleventhyearoftheFrenchRepublic.30thApril1803.
