DIRECTORS' REPORT FOR THE YEAR ENDED 31 DECEMBER 2015 The directors submit their report, together with the audited financial statements, for the year ended 31 December 2015. Constitution The Company is registered as a charitable company limited by guarantee. The Company is a registered charity number 20011260. The principal objectives, for which the company is established, are to aid, assist by any means, counsel and support people living with, or affected by end stage renal disease, as set out in the Memorandum and Articles of Association. Organisation The Chief Executive Officer reports to the Board of Directors, and is employed to manage the charity’s affairs. DIRECTORS' RESPONSIBILITIES STATEMENT The Directors are responsible for preparing the Directors' Report and the financial statements in accordance with Irish law and regulations. Irish company law requires the Directors to prepare financial statements for each financial year. Under the law, the Directors have elected to prepare the financial statements in accordance with Irish Generally Accepted Accounting Practice in Ireland, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' and promulgated by the Institute of Chartered Accountants in Ireland and Irish law. Under company law, the Directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the assets, liabilities and financial position of the Company for the financial year end date of the surplus or deficit of the company for that financial year and otherwise comply with the Companies Act 2014. In preparing these financial statements, the Directors are required to: • select suitable accounting policies and then apply them consistently; • make judgments and accounting estimates that are reasonable and prudent; and • state whether the financial statements have been prepared in accordance with applicable accounting

standards, identify those standards, and note the effect and the reasons for any material departure from those standards; and

• prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.

The Directors are responsible for ensuring that the Company keeps or causes to be kept adequate accounting records which correctly explain and record the transactions of the Company, enable at any time the assets, liabilities, financial position and surplus or deficit of the Company to be determined with reasonable accuracy, enable them to ensure that the financial statements and Directors' Report comply with the Companies Act 2014 and enable the financial statements to be audited. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Objectives and Activities a. Principle objectives The main objectives, for which the company is established, are to aid, assist by any means, counsel and support people living with, or affected by end stage renal disease, as set out in the Memorandum and Articles of Association.

b. Membership Members of the association join by subscribing to the Memorandum & Articles of Association. The voluntary Board of Directors consists of one representative elected from each of the 25 branches of the association. At 31 December 2015 we had 2,200 renal patient members (59%) out of a total membership of 3,767 persons. c. Review of the results for the year The statement of financial activities showed a net expenditure of �125,000 for the year. Income decreased by �44,453 to �1,558,713. Expenditure decreased by �108,800 to �1,683,713. Donor promotions and education decreased by �100,519 while patient aid and support rose by �13,154 to �721,346.

d. Principle activity Donor Promotions and Education For the first time in 28 years we no longer receive a National Lottery Grant allocation from the Minister for Health’s allocation towards our organ donor awareness activities including the printing and distribution of the organ donor cards. This activity is now funded through Organ Donation and Transplantation Ireland (ODTI) of the Health Service Executive, (HSE). The financial grants from the HSE and the Department of Social Protection now stand at �417,562. The Garda Siochana and Prison Officer payroll contributions were a combined total of �39,022. The IKA’s unique perspective of having over 2,000 members nationwide who are benefiting from an organ transplant makes the ideal and natural promoter of organ donation to the public at large. We do less and less advertising due to financial constraints but we have been very successful in utilising transplant articles and interviews from recipients of donated organs in our three organ donation awareness campaigns in April, Organ Donor Awareness Week, Summer Transplant Games, and in Autumn highlighting the European Day for Organ Donation and Transplantation. The IKA 25 branch structure facilitates the volunteers in the distribution of the organ donor cards and unites the patients and carers in continued peer support within their own branch area. Reminding the public of the importance of the gift of life is extended throughout the IKA activities by the use of the forget-me-not flower, pens, keyrings, brooches and wrist bands. Posters of Mary Kennedy, RTE Presenter, as the IKA’s ambassador for 2014 and 2015, were widely praised. The association utilises the services of ‘Connect Communications’ for our media relations and ‘Rainbow Displays Ltd’ for our marketing materials. A total of 4,439 Individual requests to head office for organ donor cards came from our free text service, our website, post and telephone. The Inform leaflet stands in 1,300 Doctor Surgeries and health centres consumed over 35,000 donor cards in 2015. Bulk requests from pharmacies, credit unions, businesses and restaurants etc. totalled 103,000 cards. Over 100,000 cards were distributed through the IKA branch network. 200,000 donor cards in small z-card format and 50,000 in leaflet format are printed annually. At the 31st December 2015 we were communicating with over 14,000 people on the IKA Facebook page a rise of 3,000 followers. 77% of the followers are female and 70% are in the 18-44 age group. Our Twitter account has 1,700 followers, up by 500 or 40% in the year. Our Instagram account jumped from 180 to 512 followers in 2015.

4 athletes from Ireland attended the 20th World Transplant Games in Mar Del Plata Argentina for 23rd – 30th August. The Team between them won 7 gold, 4 silver and 2 bronze medals. Nine transplant athletes attended the British Transplant Games in Gateshead. They returned with 6 gold, 5 silver, and 3 bronze medals. Transplanted athletes also took part in the German Transplant Games and the 5 Nations Golf Championships. The IKA provides training days to the transplant recipient and dialysis patient athletes in the Alsaa Sports Centre at Dublin Airport. The 30th consecutive Service of Remembrance and Thanksgiving was held on the 3rd of October 2015 in Corpus Christi Church in Drumcondra, Dublin 9. The Principal Celebrant, Bishop Raymond Field, led the multi-denominational service. The music was provided by Pro Nuova Group under musical director Dr Sharon Lyons. The congregation of 1,700 organ donor families and recipients of organ transplants makes the event the outstanding occasion in the IKA calendar. In 2015 Beaumont University Hospital conducted a total of 120 kidney transplants, made possible from 81 deceased donors whose relatives consented to their beloved ones’ organs being considered for donation. 33 living kidney donors permitted a further 33 kidney transplant making the combined total of 153 kidney transplants in Ireland in 2015. The Mater Hospital conducted a record 52 transplants, 36 lungs and 16 hearts, and St. Vincent’s transplanted livers into 61 patients. What the statistics figures do not reveal is the 8 paediatric transplants being performed in the UK on Irish children funded by the HSE and the HSE funded 8 living kidney transplants in the paired exchange programme in the UK. The year was undermined by the publicity surrounding the Pancreas Transplant Programme which is being re-established in St. Vincent’s University Hospital. April 2015 saw the activation of the HSE’s new Organ Procurement Service based at Organ Donation and Transplantation Ireland’s offices in Parnell Street in Dublin. The service was previously managed from the transplant department of Beaumont Hospital by their dedicated team of coordinators. The new procurement service was necessitated by the European Directive on Organ Donation and Transplantation of 2012. The new working relationship between ODTI and the IKA is well established and we now have stronger connections directly with this new management team and have been appointed as their promoters of organ donation to the public, as we previously were by the Department of Health. 100 people were referred to the IKA counselling service in 2015. This was a marked increase on the 2014 figure of 85. Referrals came from all over the country; 39 referrals from Nurses, 4 from a family member and 58 people self-referred. 72 people were seen by counsellors in their local area. The remainder (28) received counselling from the IKA counsellor based in Donor House. Over 650 hours of individual face to face counselling was provided in 2015 by the IKA. The first IKA six week self-management programme was run in March/April. Beaumont Hospital provided leaders training and two IKA members were trained to run the programme. Twelve people attended the six week programme. In October 47 counsellors from around the country attended the IKA Counsellors Study Day in Dublin. The aim of the day is to bring counsellors contracted by the IKA together to look at the particular issues related to counselling people with a chronic condition and their families. 2015 saw a busy year in our Tramore 4-apartment Respite Holiday Centre. Thanks to the management and staff of Waterford Regional Hospital 45 haemodialysis patients had a week away. 22 peritoneal dialysis and 19 transplanted patients also enjoyed the facility for a week. In total, including their family 309 people received a week’s break at our Tramore apartments. Tralee General Hospital dialysis unit was too full to provide treatments in 2015 so no haemodialysis patients could avail of our holiday house in Tralee. In total 80 people including 20 peritoneal dialysis and 12 transplanted patients availed of the facility. 213 haemodialysis patients had holidays abroad with their treatments being organised by the holiday coordinators in head office. The vast majority of holidays were in Europe where haemodialysis is available free to those with a European Health Insurance Card (EHIC). Some ventured as far as the USA.

Patient Aid and Support Provision and management of Aid and Support to renal patients are in the forms of: subventing financial aid in addition to the standard welfare entitlements which was received by over 400 people in 2015. We manage the assessment of patient needs; developing individual and family care plans; liaising with employers, hospital staff, training authorities and educational institutions; initiating and maintaining the process of the patient regaining independence. Information provision via Head Office and the volunteer members of the 25 IKA nationwide branches, including 6 books of Guidelines for Patients, Renal Diet Recipe books and the IKA quarterly Support magazine are all part of the education of patients and carers in print form and online at our website www.ika.ie Support Centre Since 2014 the IKA Renal Support Centre on the grounds of Beaumont Hospital, Dublin 9 has 13 ensuite bedrooms and in 2015 the centre provided for 11% more bed nights at a total of 2,641. 243 different patient families utilised the facility on 714 occasions of which 525 times were for one 1 night only. 170 were for 2-5 nights the remaining 19 were for more than a week. On only 12 nights in the year we were full and a room was not available. Risks and uncertainties In common with many charities, the association recognises that it must maintain and develop its income sources to ensure its current level of service to renal patients. In order to manage this risk, the directors review the sources of income on an ongoing basis. In addition, reserve levels are monitored to ensure that they are maintained at a reasonable level in the context of planned expenditure and future commitments. The association monitors changes to regulations and legislation on an ongoing basis.

Directors and secretary and their interests The names of persons who were directors at any time during the year ended 31 December 2015 are listed on page 3. Unless otherwise stated, they served as directors for the entire year. There was no change since the end of the year. The company is limited by guarantee and does not have a share capital. Therefore the directors and secretary who served during the year did not have a beneficial interest in the company. All directors serve in a voluntary capacity.

Going concern After making appropriate enquiries, the trustees have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the Accounting Policies.

ACCOUNTING RECORDS The measures taken by the Directors to ensure compliance with the requirements of Sections 281 to 285 of the Companies Act 2014 with regard to the keeping of accounting records, are the employment of appropriately qualified accounting personnel and the maintenance of computerised accounting systems. The company's accounting records are maintained at the company's registered office at Donor House, Block 43A, Park West, Dublin 12. POST BALANCE SHEET EVENTS There have been no significant events affecting the company since the year end.

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF THE IRISH KIDNEY ASSOCIATION LIMITED We have audited the financial statements of The Irish Kidney Association Limited which comprise the Income Statement, the Statement of Comprehensive Income, the Balance Sheet, the Statement of Cash Flows, the Statement of Changes in Reserves and the related notes. The relevant financial reporting framework that has been applied in their preparation is the Companies Act 2014 and issued by the Financial Reporting Council and promulgated by the Institute of Chartered Accountants in Ireland (Generally Accepted Accounting Practice in Ireland) including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland'. This report is made solely to the Company's members, as a body, in accordance with Section 391 of the Companies Act 2014. Our audit work has been undertaken so that we might state to the Company's members those matters we are required to state to them in an Auditors' Report and for no other purpose. NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 DECEMBER 2015 1. Accounting Policies 1.1 Basis of preparation of financial statements

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2014 The Irish Kidney Association Limited meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.

1.2 Going concern

The financial statements have been prepared on the going concern basis. 1.3 Reconciliation with previous Generally Accepted Accounting Practice

In preparing these accounts, the Directors have considered whether in applying the accounting policies required by FRS 102 and the Charities SORP FRS 102 the restatement of comparative items was required.

No restatements were required.

1.4 Company status

The Company is a company limited by guarantee. The members of the company are the Directors named on page 1. In the event of the Company being wound up, the liability in respect of the guarantee is limited to �1 per member of the Company.

1.5 Fund accounting

General funds are unrestricted funds which are available for use at the discretion of the Directors in furtherance of the general objectives of the Company and which have not been designated for other purposes.

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Company for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements.

All income is recognised once the Company has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.

For legacies, entitlement is taken as the earlier of the date on which either: the Company is aware that probate has been granted, the estate has been finalised and notification has been made by the executor(s) to the Trust that a distribution will be made, or when a distribution is received from the estate. Receipt of a legacy, in whole or in part, is only considered probable when the amount can be measured reliably and the Company has been notified of the executor's intention to make a distribution. Where legacies have been notified to the Company, or the Company is aware of the granting of probate, and the criteria for income recognition have not been met, then the legacy is treated as a contingent asset and disclosed if material.

Donated services or facilities are recognised when the Company has control over the item, any conditions associated with the donated item have been met, the receipt of economic benefit from the use of the Company of the item is probable and that economic benefit can be measured reliably. In accordance with the Charities SORP (FRS 102), the general volunteer time of the Friends is not recognised and refer to the Directors' Report for more information about their contribution. On receipt, donated professional services and donated facilities are recognised on the basis of the value of the gift to the Company which is the amount the Company would have been willing to pay to obtain services or facilities of equivalent economic benefit on the open market; a corresponding amount is then recognised in expenditure in the period of receipt.

Income tax recoverable in relation to investment income is recognised at the time the investment income is receivable.

1.7 Expenditure

Expenditure is recognised once there is a legal or constructive obligation to make payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably. All expenditure is accounted for on an accruals basis. All expenses including support costs and governance costs are allocated to the applicable expenditure headings.

1.8 Tangible fixed assets and depreciation

Tangible fixed assets are stated at cost less depreciation. Depreciation is provided at rates calculated to write off the cost of fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Company; this is normally upon notification of the interest paid or payable by the Bank.

1.10 Stocks

Stocks are valued at the lower of cost and net realisable value after making due allowance for obsolete and slow-moving stocks. Cost includes all direct costs and an appropriate proportion of fixed and variable overheads.

1.11 Debtors

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount repaid net of any trade discounts due.

1.12 Cash at Bank and in hand

Cash at bank and in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

1.13 Creditors and provisions

Creditors and provisions are recognised where the Company has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

The Company only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade and other accounts receivable and payable, loans from banks and other third parties and loans to related parties. Debt instruments (other than those wholly repayable or receivable within one year), including loans and other accounts receivable and payable, are initially measured at present value of the future cash flows and subsequently at amortised cost using the effective interest method. Debt instruments that are payable or receivable within one year, typically trade payables or receivables, are measured, initially and subsequently, at the undiscounted amount of the cash or other consideration, expected to be paid or received. However if the arrangements of a short-term instrument constitute a financing transaction, like the payment of a trade debt deferred beyond normal business terms or financed at a rate of interest that is not a market rate or in case of an out-right short-term loan not at market rate, the financial asset or liability is measured, initially, at the present value of the future cash flow discounted at a market rate of interest for a similar debt instrument and subsequently at amortised cost. Financial assets that are measured at cost and amortised cost are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in the Profit and Loss Account. For financial assets measured at amortised cost, the impairment loss is measured as the difference between an asset's carrying amount and the present value of estimated cash flows discounted at the asset's original effective interest rate. If a financial asset has a variable interest rate, the discount rate for measuring any impairment loss is the current effective interest rate determined under the contract. For financial assets measured at cost less impairment, the impairment loss is measured as the difference between an asset's carrying amount and best estimate, which is an approximation of the amount that the Company would receive for the asset if it were to be sold at the balance sheet date. Financial assets and liabilities are offset and the net amount reported in the Balance Sheet when there is an enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

The Directors consider the accounting assumption below to be its critical accounting judgement: Going concern The Directors have prepared budgets and cash flows for a period of at least twelve months from the date of the approval of the financial statements which demonstrate that there is no material uncertainty regarding the company’s ability to meet its liabilities as they fall due, and to continue as a going concern. On this basis the Directors consider it appropriate to prepare the financial statements on a going concern basis. Accordingly, these financial statements do not include any adjustments to the carrying amounts and classification of assets and liabilities that may arise if the company was unable to continue as a going concern.

The Company operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the Company in an independently administered fund. The pension cost charge represents contributions payable by the Company to the fund and amounted to �59,372 (2014: �57,389).

22. Related party transactions

There were no related party transactions in the year ended 31 December 2015.

23 Post balance sheet events

There have been no significant events since the end of the year. 24. Company status

The Company is limited by guarantee and consequently does not have share capital.

The policies applied under the entity's previous accounting framework are not materially different to FRS 102 and have not impacted on equity or income and expenditure.

26. Approval of financial statements

The board of Directors approved these financial statements for issue on 18 August 2016.
