The following exhibits concern American Nonwovens Corporation, an affiliate of Donald R. Depriest. MCLM only recently disclosed American Nonwovens Corporation as an affiliate in the Amendment to the above-captioned File No. American Nonwovens’ gross revenues by themselves disqualify MCLM as a bidder and from receiving a 35% bidding discount. However, MCLM did not disclose the subsidiaries of American Nonwovens Corporation. Below is information regarding the gross revenues for American Nonwovens Corporation and its subsidiaries that are well above what MCLM disclosed in the Amendment. Also, MCLM in its Amendment to the above-captioned application stated that Sandra DePriest had no relationship with American Nonwovens Corporation from 2002-2004. However, the below information contradicts this. She was a principal officer of American Nonwovens, per its Annual Reports, for 2002 and 2003. It is also further evidence that Sandra and Donald DePriest conduct and are involved in various businesses together (they have an At-Will Partnership). 204

This company was not disclosed on the MCLM Form 175 or 601. As an operating company for years it should be providing service. In addition, it must have a bank account (interest income) and be paying bills. MCLM in its Opposition asserts that this company has had no revenues since 1999; however, it is unlikely that Sprint Nextel would be buying a license not generating any revenues at all.

Warpath Properties, Inc. is clearly an affiliate of Donald DePriest’s and should have been listed on MCLM’s Forms 175 and 601 and its gross revenues disclosed. Donald DePriest was its President and sole director in 2002, its President and one of two directors in 2003, and a director in 2004. [Exhibit 2.31]: Affiliation between Richard Seney and Donald DePriest—“Identity of Interest”, Common Management, Common Investments, Common Facilities, Etc.

As seen from the below and the above information in these Exhibits (see e.g. the exhibits on MCT Investors, L.P., MCT Corp. and Maritel, Inc.), Richard Seney has been involved in several companies with Donald DePriest, often times in a management position under Mr. DePriest. They have both been involved in several companies together, including: American Telecasting, Inc. (Mr. Seney was in a postion under Mr. DePriest), Charisma Communications Corporation (Mr. Seney was in a position under Mr. DePriest), Medcom Development Corporation (see below—Mr. Seney is in an officer position under Mr. DePriest), MCT Investors, L.P. (Mr. Seney is Vice-President and Mr. DePriest is President), MCT Corp. (Mr. Seney is CEO, President and a director and Mr. DePriest is a director—chairman of the Board), Maritel, Inc. (both Mr. Seney and Mr. DePriest are directors, but Mr. DePriest is chairman of the Board and holds controlling ownership), etc. In addition, the companies share addresses with those of Mr. DePriest, even MCT Corp. for which Mr. Seney is CEO and President. Per the Commission’s Rules, Mr. Seney, under Section 1.2110, is an affiliate of Donald DePriest. Also, since Mr. Seney is an officer of Medcom Development Corporation, which still controls MCLM, he is an affiliate of MCLM. The following is the Medcom Development Corporation Certificate for Renewal and Revival of Charter. This lists Donald DePriest as President and Richard Seney as Acting Secretary. Mr. Seney is an officer of Medcom Development Corporation. Medcom Development Corporation is still in control of S/RJW Limited Partnership, L.P. (Medcom Development Corporation never withdrew as a general partner per Delaware records), or at least, was still in control of S/RJW Limited Partnership, L.P. past the Form 175 deadline.

[Exhibit 2.32]: Scotland House, Inc.’s Assets and Gross Revenues MCLM admitted in its Opposition to Petition for Reconsideration that Scotland House, Inc. is an affiliate of Donald DePriest’s, but MCLM claimed that it has no revenues. However, in Donald DePriest’s August 7, 2003 deposition in the record for Case #: 2:02CV2177 in the USDC for Western District of Tennessee, Western Division, Mr. DePriest admitted that Scotland House, Inc. owns the office building out where he locates his offices (see Donald DePriest Deposition at page 17, lines 5-18). Thus, Scotland House, Inc. must at least have gross revenues from the collection of rental income for this building. It also means that it must have enough money to be maintaining the building.
